Ease of integration
The main advantage of Trane’s cabinet fan coil is its
capability to be integrated simply and quickly into
existing rooms. This resides in the fact that no
ductwork, ceiling modification or wall thermostat
installation are necessary. The UniTraneв„ў Harmony
cabinet fan coil can be mounted either in a vertical or
horizontal position for wall or ceiling installation. Its
graceful cabinet design fits into any room’s style.
In order to simplify installation even further, Trane
proposes several factory-mounted features such as:

Ease of use
UniTraneв„ў Harmony is the perfect choice to ensure
both thermal and acoustical comfort for room
occupants. On the EC motor version (FVAE, FCAE
and FKAE models), the unit controller is able to continuously modulate the airflow to adapt to a room’s
changing thermal load resulting in an extremely stable
room temperature. The continuous modulation of the
fan also improves the acoustic comfort in the room by
eliminating brutal fanspeed transitions.
Trane offers controls solutions ranging from simple
mechanical thermostats to sophisticated Building
Management Systems. The IR wireless remote
control , either handheld or wall-mounted, allows

ALMINNELIGE LEVERINGSBETINGELSER
for leveranser av maskiner samt annen mekanisk, elektrisk og elektronisk utrustning i og mellom
Danmark, Finland, Norge og Sverige. Utgitt i 2001 av Hovedorganisationen Dansk Industri,
Danmark, Metalliteollisuuden Keskusliitto - Metallindustriens Centralförbund r.y., Finland,
Teknologibedriftenes Landsforening, Norge, samt Sveriges Verkstadsindustrier, Sverige.
Anvendelse
1. Disse alminnelige leveringsbetingelser fГҐr anvendelse dersom partene
skriftlig eller pГҐ annen mГҐte har avtalt dem. Gjelder leveringsbetingelsene for
en leveranse, mГҐ eventuelle fravik avtales skriftlig.
Når det i disse betingelser anvendes ordet ”skriftlig”, skal dette bety et
dokument undertegnet av begge parter, eller brev, faks, e-post eller andre former partene har blitt enige om.
Produktinformasjon
2. Oppgaver i produktinformasjon og prislister er bare bindende i den
utstrekning avtalen uttrykkelig henviser til dem.
Tekniske dokumenter og teknisk informasjon
3. Alle tegninger og andre tekniske dokumenter vedrГёrende materiellet eller
dets tilvirkning som fГёr eller etter avtalens inngГҐelse overleveres fra en part til
den annen, forblir den parts eiendom som har overlevert dem.
Mottatte tegninger, andre tekniske dokumenter eller teknisk informasjon
kan ikke uten samtykke fra den annen part brukes til annet enn formГҐlet med
overleveringen. Uten samtykke fra den annen part mГҐ de ikke kopieres, reproduseres, utleveres til tredjemann eller pГҐ annen mГҐte bringes til dennes kunnskap.
4. Selgeren skal senest ved leveringen vederlagsfritt stille til kjГёperens disposisjon ett eller et avtalt stГёrre antall eksemplarer av tegninger og andre tekniske dokumenter som er tilstrekkelig utfГёrlige til at kjГёperen skal kunne besГёrge montasje, idriftsetting, drift og vedlikehold (herunder lГёpende reparasjoner)
av alle materiellets deler. Selgeren er dog ikke forpliktet til ГҐ utlevere tegninger
og dokumenter som angГҐr tilvirkning av materiellet eller reservedeler.
AvleveringsprГёve
5. Er det avtalt avleveringsprГёve, finner prГёven sted der materiellet tilvirkes,
medmindre et annet sted er avtalt. Er det ikke avtalt hvilke tekniske krav som
skal gjelde for prГёven, utfГёres den i samsvar med vanlig praksis innen vedkommende industribransje i det land der materiellet tilvirkes.
6. Selgeren skal skriftlig underrette kjГёperen om en avleveringsprГёve i sГҐ god
tid at kjøperen kan være tilstede. Avleveringsprøve kan avholdes selv om kjøperen ikke er representert ved prøven, dersom han har mottatt slik underretning.
Selgeren skal fГёre protokoll over avleveringsprГёven.
PrГёveprotokollen skal sendes til kjГёperen. PrГёveprotokollen skal anses for ГҐ gi
en korrekt beskrivelse av avleveringsprГёvens gjennomfГёring og resultat medmindre kjГёperen beviser noe annet.
7. Hvis materiellet ved en avleveringsprøve viser seg ikke å være kontraktsmessig, skal selgeren så snart som mulig sørge for at materiellet bringes i overensstemmelse med avtalen. Hvis kjøperen forlanger det, skal ny prøve deretter
avholdes. Har mangelen vært ubetydelig, kan ny prøve ikke forlanges.
8. Er ikke annen fordeling avtalt, skal selgeren bære alle omkostninger ved
avleveringsprøver som utføres der materiellet tilvirkes. Kjøperen bærer dog
alle omkostninger for sine representanter, herunder reise- og oppholdsutgifter,
ved slike avleveringsprГёver.
Levering
9. Er leveringsklausul avtalt, skal den fortolkes i henhold til de ved avtalens
inngГҐelse gjeldende INCOTERMS.
Er ingen leveringsklausul særskilt avtalt, skal levering skje ”Ex Works”.
Leveringstid. Forsinkelse
10. Dersom partene istedenfor et bestemt leveringstidspunkt har angitt et
tidsrom innen hvilket levering skal skje, lГёper dette fra avtalens inngГҐelse.
11. Finner selgeren at han ikke kan levere i rett tid, eller mГҐ forsinkelse fra
hans side ansees som sannsynlig, skal han uten ugrunnet opphold skriftlig meddele kjГёperen dette og samtidig angi ГҐrsaken til forsinkelsen, samt sГҐvidt mulig
det tidspunkt levering pГҐregnes ГҐ kunne finne sted. Unnlater selgeren ГҐ gi slikt
varsel, skal han, uten hensyn til bestemmelsene i pkt. 13 og 14, erstatte kjГёperen
de merutgifter denne pГҐfГёres og som han ville ha unngГҐtt om han hadde fГҐtt
varsel i tide.
12. Blir leveringen forsinket som fГёlge av en omstendighet som i henhold til
punkt 36 utgjГёr en fritagelsesgrunn eller pГҐ grunn av en handling eller unnlatelse fra kjГёperens side, herunder selgerens innstilling av oppfyllelsen etter pkt.
18, skal leveringstiden forlenges med en tid som etter sakens omstendigheter
er rimelig. Leveringstiden skal forlenges selv om ГҐrsaken til forsinkelsen inntrer
etter utgangen av den opprinnelig avtalte leveringstid.
13. Dersom selgeren ikke leverer materiellet til rett tid, er kjГёperen berettiget
til konvensjonalbot, fra den dag levering skulle ha funnet sted.
Konvensjonalboten utgjГёr 0,5 % for hver hel ukes forsinkelse,
regnet av den avtalte kjГёpesum. Gjelder forsinkelsen bare en del av materiellet,
beregnes konvensjonalboten av den del av kjГёpesummen som knytter seg til
det av materiellet som ikke kan tas i bruk pГҐ grunn av forsinkelsen.
Konvensjonalboten kan ikke overstige 7,5% av dette beregningsgrunnlag.
Konvensjonalboten forfaller til betaling ved skriftlig pГҐkrav fra kjГёperen, dog
tidligst nГҐr fullstendig levering av materiellet finner sted, eller eventuelt pГҐ
dagen for hevning etter punkt 14.
KjГёperen taper sin rett til konvensjonalbot, sГҐfremt han ikke har fremsatt
skriftlig krav om dette innen 6 mГҐneder etter at levering skulle ha funnet sted.
14. Dersom kjøperen har vært berettiget til maksimal konvensjonalbot etter
punkt 13, og materiellet fremdeles ikke leveres, kan kjГёperen ved skriftlig meddelelse til selgeren kreve levering og fastsette en siste, rimelig frist som ikke
kan være kortere enn 1 uke.
Hvis selgeren heller ikke leverer innen den fastsatte frist og dette ikke
skyldes forhold som kjøperen bærer ansvaret for, kan kjøperen gjennom skriftlig meddelelse til selgeren heve avtalen forsåvidt angår det av materiellet
som ikke kan tas i bruk pГҐ grunn av forsinkelsen. KjГёperen har ved slik hevning
dessuten krav pГҐ erstatning for det tap han er pГҐfГёrt ved selgerens forsinkelse,
dersom tapet overstiger den maksimale konvensjonalbot han har kunnet kreve
etter punkt 13. Denne erstatning mГҐ ikke overstige 7,5% av den avtalte kjГёpesum som knytter seg til det av materiellet som omfattes av hevningen.
KjГёperen har dessuten rett til, ved skriftlig meddelelse til selgeren, ГҐ heve
avtalen dersom det er klart at det vil inntreffe en forsinkelse som etter reglene
i punkt 13 ville gi kjГёperen rett til maksimal konvensjonalbot. Ved en slik hevning
har kjГёperen rett til sГҐvel maksimal konvensjonalbot som erstatning i henhold
til tredje ledd. Bortsett fra konvensjonalbot etter punkt 13 og hevning med
begrenset erstatning etter punkt 14, er ethvert krav fra kjГёperen i anledning
selgerens forsinkelse utelukket. Denne begrensning i selgers ansvar gjelder
ikke dersom han har gjort seg skyldig i grov uaktsomhet.
15. Finner kjГёperen at han ikke vil kunne motta materiellet pГҐ den avtalte
dag, eller mГҐ forsinkelse fra hans side ansees som sannsynlig, skal han uten
ugrunnet opphold skriftlig meddele selgeren dette, og samtidig angi ГҐrsaken
til forsinkelsen, samt sГҐvidt mulig det tidspunkt mottakelse pГҐregnes ГҐ kunne
finne sted.
Hvis kjГёperen unnlater ГҐ ta imot materiellet pГҐ den avtalte dag, er han
likevel forpliktet til ГҐ erlegge enhver betaling som er gjort avhengig av levering,
som om materiellet hadde vært levert. Selgeren skal besørge lagring av materiellet for kjøperens regning og risiko. Hvis kjøperen krever det, skal selgeren
forsikre materiellet for kjГёperens regning.
16. Medmindre den unnlatelse fra kjГёperens side som omhandles under punkt
15 skyldes forhold som er angitt under punkt 36, kan selgeren skriftlig oppfordre kjøperen til å motta materiellet innen en rimelig frist. Unnlater kjøperen, av grunner som ikke selgeren bærer ansvaret for, å gjøre
dette innen denne frist, kan selgeren gjennom skriftlig meddelelse til kjГёperen heve avtalen, forsГҐvidt angГҐr den leveringsferdige del av materiellet,
som pГҐ grunn av kjГёperens unnlatelse ikke blir levert. Selgeren har i sГҐ fall
rett til erstatning for den skade som kjГёperens forsГёmmelse har voldt ham.
ErstatningsbelГёpet mГҐ ikke overstige den del av kjГёpesummen som gjelder den
del av materiellet som hevningen omfatter.

Betaling
17. Dersom ikke annet er fastsatt i avtalen, skal den avtalte kjГёpesum med tillegg av eventuell moms faktureres med en tredjedel ved avtalens inngГҐelse og
en tredjedel ved selgerens skriftlige meddelelse om at det vesentlige av materiellet er leveringsferdig. SluttoppgjГёret faktureres ved materiellets levering.
BelГёpene forfaller til betaling 30 dager etter fakturaens dato.
18. Betaler ikke kjГёperen til avtalt tid, har selgeren fra forfallsdag krav pГҐ
morarente med den rentesats som gjelder i henhold til lovgivningen i selgerens
land om renter ved forsinket betaling.
Betaler ikke kjГёperen til avtalt tid, har selgeren i tillegg rett til, etter ГҐ ha
gitt kjГёperen skriftlig meddelelse om dette, ГҐ innstille oppfyllelsen av sine kontraktsforpliktelser inntil betaling skjer.
19. Dersom kjГёperen ikke har betalt det forfalne belГёp innen 3 mГҐneder, er selgeren berettiget til gjennom skriftlig meddelelse til kjГёperen ГҐ heve avtalen, og
i tillegg til morarente ГҐ kreve skadeserstatning hos kjГёperen for det tap han har
lidt. Erstatningen mГҐ ikke overstige den avtalte kjГёpesum.
Eiendomsforbehold
20. Materiellet forblir selgerens eiendom inntil det er fullt betalt i den utstrekning slikt eiendomsforbehold er gyldig. Ansvar for mangler
21. Selgeren er forpliktet til ГҐ avhjelpe alle mangler som skyldes feil i konstruksjonen, materiale eller tilvirkning ved utbedring eller utskifting av materiellet i
overensstemmelse med punktene 23-33 nedenfor. Selgerens ansvar omfatter
ikke mangler som forГҐrsakes av materiale som er skaffet av kjГёperen eller av
konstruksjoner som er foreskrevet eller spesifisert av ham.
22. Selgerens ansvar omfatter ikke mangler som skriver seg fra ГҐrsaker oppstГҐtt etter at risikoen er gГҐtt over pГҐ kjГёperen. Ansvaret omfatter for eksempel
ikke mangler som oppstГҐr som fГёlge av at de i avtalen forutsatte arbeidsforhold
ikke fГёlges eller av uriktig anvendelse av materiellet. Det omfatter heller ikke
mangler som skyldes mangelfullt vedlikehold eller uriktig montering fra kjГёperens side, forandringer foretatt uten selgerens skriftlige samtykke eller reparasjoner som kjГёperen har utfГёrt pГҐ feilaktig mГҐte. Endelig omfatter ikke ansvaret
normal slitasje og forringelse.
23. Selgerens ansvar omfatter bare mangler som viser seg i lГёpet av ett ГҐr fra
den dag materiellet ble levert. Anvendes materiellet mer intensivt enn avtalt,
forkortes denne periode i tilsvarende grad.
24. For deler som er byttet ut eller reparert overensstemmende med punkt
21, pГҐtar selgeren seg de samme forpliktelser som gjelder for det opprinnelige
materiell i en tid av ett ГҐr. For materiellets Гёvrige deler forlenges bare perioden
nevnt i punkt 23 med det tidsrom materiellet ikke har kunnet bli anvendt som
fГёlge av mangler som selgeren har ansvar for.
25. KjГёperen skal gi skriftlig melding til selgeren om en mangel uten ugrunnet
opphold etter at mangelen har vist seg og i intet tilfelle senere enn 2 uker etter
at fristen i punkt 23, jfr. punkt 24, er utlГёpt. Meldingen skal inneholde en beskrivelse av hvorledes mangelen ytrer seg. Dersom kjГёperen ikke skriftlig underretter selgeren om en mangel innen de frister som er angitt ovenfor, mister
kjГёperen retten til ГҐ fremsette krav pГҐ grunn av mangelen.
Dersom det er grunn til ГҐ tro at mangelen kan medfГёre risiko for skade, skal
melding gis straks. Gis ikke melding straks, taper kjГёperen retten til ГҐ fremsette
krav på grunnlag av skade som inntrer og som ville ha vært unngått hvis slik
melding var blitt gitt.
26. Etter ГҐ ha mottatt skriftlig meddelelse fra kjГёperen i henhold til punkt 25,
skal selgeren uten ugrunnet opphold avhjelpe mangelen. Avhjelp innenfor denne
frist skal finne sted på et tidspunkt som ikke i unødvendig grad forstyrrer kjøperens virksomhet. Selgeren må selv bære omkostningene ved dette i henhold til
reglene i punktene 21-32.
Reparasjonen utfГёres hos kjГёperen, med mindre selgeren finner det hensiktsmessig at den mangelfulle del eller eventuelt materiellet returneres for
at selgeren kan reparere den eller skifte den ut hos seg. Krever demontering
og innmontering av delen spesiell kyndighet, er selgeren forpliktet ГҐ foreta slik
demontering og innmontering. Kreves ikke slik kyndighet, er selgerens forpliktelse vedkommende den mangelfulle del oppfylt nГҐr han leverer til kjГёperen en
tilbГёrlig reparert eller en utskiftet del.
27. Dersom kjГёperen har gitt slik melding som nevnt i punkt 25, og det viser seg
ikke ГҐ foreligge noen mangel som selgeren svarer for, har selgeren rett til kompensasjon for det arbeid og de kostnader reklamasjonen har pГҐfГёrt ham.
28. Dersom avhjelp av mangelen medfГёrer inngrep i annet enn materiellet, svarer kjГёperen for arbeidet og omkostningene med dette.
29. Enhver forsendelse i forbindelse med utbedring eller utskifting skal skje
for selgerens regning og risiko. KjГёperen skal fГёlge selgerens instruksjoner om
forsendelsesmГҐte.
30. Kjøperen skal bære de meromkostninger for selgeren ved avhjelp av mangelen som forårsakes av at materiellet befinner seg på et annet sted enn det i
avtalen angitte bestemmelsessted eller - dersom det ikke er angitt - leveringsstedet.
31. Mangelfulle deler som byttes ut i henhold til punkt 21, skal stilles til selgerens disposisjon og blir hans eiendom.
32. Dersom selgeren ikke innen rimelig tid oppfyller sine forpliktelser ifГёlge
punkt 26, kan kjГёperen skriftlig gi selgeren en siste frist for oppfyllelse. Er ikke
forpliktelsene oppfylt innen den satte frist, har kjГёperen, etter eget valg, rett til:
a) ГҐ la utfГёre de reparasjoner som er nГёdvendige og/eller ГҐ fГҐ fremstilt nye
deler for selgerens regning og risiko, forutsatt at han her gГҐr frem pГҐ en
fornuftig og rimelig mГҐte eller
b) ГҐ kreve prisavslag oppad begrenset til 15 % av den avtalte kjГёpesum.
Dersom mangelen er vesentlig kan kjГёperen istedet heve avtalen ved skriftlig meddelelse til selgeren. KjГёperen har ogsГҐ rett til slik ГҐ heve avtalen dersom
mangelen etter tiltak som nevnt under a) fortsatt er vesentlig. KjГёperen kan ved
hevning kreve erstatning for det tap han har lidt, oppad begrenset til 15 % av
den avtalte kjГёpesum.
33. Uansett det som bestemmes under punkt 21-32, gjelder selgerens mangelsansvar ikke for noen del av materiellet lenger enn 2 ГҐr fra den i punkt 23 nevnte
periodes begynnelse.
34. Selgeren har intet ansvar for mangler utover det som er foreskrevet i punktene 21-33. Dette gjelder ethvert tap mangelen mГҐtte forГҐrsake, som for eksempel driftstap, tapt fortjeneste og andre Гёkonomiske konsekvenstap. Denne
begrensning i selgers ansvar gjelder ikke dersom han har gjort seg skyldig i grov
uaktsomhet.
Ansvar for tingskade forvoldt av materiellet
35. KjГёperen skal holde selgeren skadeslГёs i den utstrekning selgeren pГҐlegges
ansvar overfor tredjemann for slik skade og tap som selgeren overfor kjГёperen
etter annet og tredje avsnitt ikke svarer for.
Selgeren har intet ansvar for skade voldt av materiellet:
a) pГҐ fast eiendom eller lГёsГёre og konsekvenser av slik skade dersom skaden inntrer mens materiellet er i kjГёperens besittelse,
b) pГҐ produkter fremstilt av kjГёperen eller pГҐ produkter der kjГёperens produkter inngГҐr.
De nevnte begrensninger i selgers ansvar gjelder ikke dersom han har gjort
seg skyldig i grov uaktsomhet. Fremmer tredjemann krav mot selger eller kjГёper om erstatning for skade og tap som er omhandlet under dette punkt, skal
medkontrahenten straks skriftlig underrettes om dette.
Selger og kjГёper er gjensidig forpliktet til ГҐ la seg saksГёke ved den domstol
eller voldgiftsrett som behandler erstatningskrav mot en av dem, pГҐ grunnlag
av en skade eller et tap som pГҐstГҐs forГҐrsaket av det leverte materiell. Det
innbyrdes forhold mellom kjГёper og selger skal dog alltid avgjГёres ved voldgift i
henhold til punkt 39.
Fritagelsesgrunner (force majeure)
36. FГёlgende omstendigheter skal betraktes som fritagelses-grunner, dersom de hindrer avtalens oppfyllelse eller gjГёr oppfyllelsen urimelig tyngende:
arbeidskonflikt og enhver annen omstendighet, nГҐr partene ikke kan rГҐde over
den, såsom brann, krig, mobilisering eller militære innkallelser av tilsvarende
omfang, rekvisisjon, beslag, handels- og valutarestriksjoner, opprГёr og opplГёp,
knapphet pГҐ transportmidler, alminnelig vareknapphet, innskrenkninger i tilfГёrslene av drivkraft, samt mangler ved leveranser fra underleverandГёrer eller
forsinkelse av slike leveranser som fГёlge av slik omstendighet som omhandles i
dette punkt.
Omstendigheter som nevnt, er bare fritagelsesgrunn dersom deres virkninger pГҐ avtalens oppfyllelse ikke kunne forutses ved inngГҐelsen av avtalen.
37. Det pГҐligger den part som Гёnsker ГҐ pГҐberope seg en fritagelsesgrunn som
omhandlet under punkt 36, uten opphold skriftlig ГҐ underrette den annen part,
sГҐvel om hind-ringens inntredelse som om dens opphГёr.
Ved force majeure hos kjГёperen skal denne dekke de omkostninger som selgeren pГҐdrar seg for ГҐ sikre og beskytte materiellet.
38. Uansett hva som ellers måtte være bestemt i disse bestemmelser, kan
enhver av partene heve avtalen ved skriftlig meddelelse til den annen part, dersom avtalens oppfyllelse vil bli hindret i mer enn 6 mГҐneder av en begivenhet
som nevnt i punkt 36.
Tvister. Lovvalg
39. Tvister i anledning av avtalen og alt som har sammenheng med den, skal
ikke inndras under domstolsprГёvelse, men skal avgjГёres gjennom voldgift og i
overensstemmelse med de lovregler om voldgift som gjelder i selgerens land.
40. Alle tvister som oppstГҐr i anledning av avtalen skal bedГёmmes etter loven i
selgerens land.
