"Based on the information we received from our main shareholder MH Perakendecilik, BC
Partners confirms that they are currently discussing a potential acquisition by Anadolu Group of
40,25% stake from BC Partners in Migros. Per share purchase price of TL 26 has been offered.
Following the non-binding offer for 40.25% of the Migros Ticaret A.Ş. shares, exclusive
discussions including due diligence has started and there can be no assurances given that the
parties will reach agreement. Shareholders of Migros will be kept informed of relevant
developments and further announcements will be made as and when appropriate."
TURKISH:
"Migros Ticaret A.Ş. çoğunluk hissedarı MH Perakendecilik T.A.Ş.'nin şirketimizi bilgilendirmesi
ile, BC Partners ve Anadolu Grubu'nun Migros'un %40,25 hissesi için muhtemel satış
görüşmeleri içerisinde oldukları bildirilmiştir. Pay başına26 TL alım fiyatı teklif edilmiştir. Migros
Ticaret A.Ş’nin %40.25 hissesi için, Anadolu Grubu’nun BC Partners’a verdiği bağlayıcı olmayan
teklifi akabinde durum tespit süreçleri (due diligence) dahil münhasıran müzakere süreci
başlamıştır. Tarafların herhangi bir anlaşmaya varacaklarına dair bir güvence bulunmamaktadır.
Migros hissedarları ilgili gelişmeler konusunda bilgilendirilecek ve ileride gerekli olduğunda
kamuya açıklamalar yapılacaktır."
