dissipazione del calore. Il pannello frontale è in acrilico translucente ad alta efficienza
per la migliore diffusione della luce in modo uniforme. Accensione istantanea,
assenza di sfarfallio e di ronzio. Il sistema è costruito senza l’impiego di materiali
tossici (mercurio, piombo, ecc). L’installazione è facile, la plafoniera può essere utilizzata a sospensione (kit opz.) tramite i supporti presenti di serie sul pannello posteriore, oppure come plafoniera ad incastro inseribile nei controsoffitti attrezzati.

CONDIZIONI GENERALI DI VENDITA
Premessa
Le nostre vendite sono effettuate alle condizioni espresse dalle nostre conferme d’ordine le quali annullano ogni diversa clausola stampata o manoscritta sulle ordinazioni e corrispondenza del Cliente. Ogni ordine a noi trasmesso implica l’adesione alle condizioni generali di vendita sotto riportate.
Stipulazione del contratto
Art. 1 - il contratto si intende perfezionato quando, al ricevimento di una proposta d’ordine, Ederled Srl (di seguito detta Azienda) abbia spedito la conferma d’ordine
scritta e non siano pervenute controindicazioni scritte, come espresso sulla conferma stessa.
Art. 2 - le forniture comprendono solamente i materiali ed i quantitativi indicati per iscritto nella conferma d’ordine.
Termini di consegna
Art. 3 - i termini di consegna risultanti dalla conferma d’ordine hanno valore indicativo, eccettuato il caso di nostro impegno tassativo che dovrà risultare espressamente nella conferma d’ordine e salvo i casi imprevisti e quelli di forza maggiore. Eventuali ritardi non potranno in nessun caso dar luogo a risarcimento di danni o alla
risoluzione, anche parziale, del contratto. nel caso di risoluzione del contratto da parte dell’Azienda, al compratore spetterà unicamente la restituzione delle somme
anticipate, senza alcun risarcimento aggiuntivo.
Art. 4 - la resa della merce è franco nostro magazzino. sono sempre ammesse consegne parziali. Dal momento della consegna tutti i rischi si trasferiscono all’acquirente e sono a suo carico le spese di magazzinaggio, di custodia e quelle derivanti da copertura assicurativa. Quando non sono state pattuite o non giungono tempestive
istruzioni da parte dell’acquirente, la spedizione sarà eseguita dall’Azienda nel modo che riterrà più conveniente e senza sua responsabilità, neppure nel caso di omessa ed incompleta assicurazione che, ove venga stipulata, sarà sempre a carico dell’acquirente.
Art. 5 - qualora l’acquirente, ad avviso di merce pronta, invitasse l’Azienda a rinviare la consegna del materiale, a quest’ultima viene espressamente riconosciuto il
diritto ad emettere le relative fatture dando così inizio al decorso dei termini pattuiti per il pagamento. Il materiale stesso rimarrà depositato presso i magazzini dell’Azienda senza alcuna sua responsabilità ed a spese dell’acquirente.
Spedizioni - imballaggi
Art. 6 - tutte le spese di trasporto sono a carico dell’acquirente, eventuali diverse pattuizioni dovranno essere fatte esclusivamente per iscritto L’Azienda provvederà a
sua discrezione ad imballare i prodotti per la loro protezione durante i normali trasporti e movimentazioni che dovranno comunque essere effettuati con la massima
cura e secondo le istruzioni. Qualora si rendessero necessari imballaggi particolari, questi ultimi verranno fatturati al costo secondo gli accordi intervenuti di volta in
volta con l’acquirente. Nel caso in cui il cliente dovesse riscontrare delle difformità rispetto a quanto specificato nel Documento di trasporto ovvero danni di qualsiasi
genere, lo stesso dovrà darne immediata comunicazione scritta al vettore o allo spedizioniere e quindi dare corso all’azione di rivalsa nei confronti dei responsabili del
trasporto o di terzi.
Prezzi - Condizioni e termini di pagamento
Art. 7 - il pagamento delle nostre forniture dovrà essere effettuato per intero, comprese eventuali spese o tasse e nei termini pattuiti in conferma d’ordine; non sono
ammessi sconti non preventivamente concordati con l’Azienda. il pagamento dovrà essere indirizzato alla sede amministrativa dell’Azienda, che viene considerata ad
ogni effetto di legge luogo di adempimento del contratto, indipendentemente dal rilascio e dall’emissione contestuale o successiva di effetti cambiari pagabili altrove.
Art. 8 - l’acquirente non avrà diritto di sospendere o modificare in alcun modo di pagamenti, anche nel caso fosse insorta una contestazione tra le parti per qualsiasi
motivo. L’acquirente che sospendesse o ritardasse i pagamenti sarà ad ogni effetto considerato inadempiente; sulle somme non pagate alle scadenze contrattualmente
pattuite, verrà fatto decorrere un interesse passivo pari al tasso di sconto bancario maggiorato di 5 punti.
Art. 9 - in caso di mancato o ritardato pagamento anche di una sola delle rate convenute, l’acquirente decadrà dal benefi cio del termine e l’Azienda avrà il diritto di
pretendere il totale pagamento del prezzo in quel momento ancora dovuto. inoltre l’Azienda potrà pretendere il pagamento anticipato delle restanti forniture oppure di
sospendere o annullare l’esecuzione degli altri contratti in corso.
Garanzia
Art. 10 - l’Azienda garantisce che i propri prodotti sono privi di vizi di fabbricazione e/o di materiale, in caso d’uso conforme alla destinazione, per un periodo di due
anni dalla data della consegna. La garanzia ha efficacia purché il prodotto sia stato installato correttamente secondo le istruzioni d’installazione fornite con il prodotto,
purché non siano state eseguite modifiche ed adattamenti da parte del cliente o di personale non qualificato.
Art. 11 - la garanzia non copre danni causati dal trasporto, dall’utilizzo del prodotto in condizioni ambientali inadeguate, da un utilizzo tecnico del prodotto anormale o
stress, incluso il sotto/sovra voltaggio, eccessivi cicli di accensione/spegnimento e/o eccessive ore di operatività; danni causati da negligenza o da carenze manutentive o tentativi di riparazione eseguiti da personale non autorizzato.
Art. 12 - l’unica responsabilità legata alla presente garanzia è costituita dalla sostituzione del prodotto difettoso; sono altresì esclusi i costi di manodopera per la sostituzione degli apparati e comunque ogni danno connesso con la difettosità del prodotto. In nessun caso l’Azienda sarà responsabile per perdita di profitti, costi, danni,
incidenti e/o danni futuri o speciali.
Foro Competente
Art. 13 - per ogni eventuale controversia sarà esclusivamente competente il foro di Vicenza.
GENERAL CONDITIONS OF SALE
Introduction
Our sales are performed according to the conditions detailed in our order confirmations, which cancel any other printed clauses or text concerning orders as well as
Customer correspondence. Each order sent to us implies adherence with the general conditions of sales detailed below.
Stipulation of the contract
Art. 1 - The contract is understood as finalised when, after receiving an order request, Ederled Srl (hereinafter referred to as “the Company”) sends an order confirmation with no written marginal notes, as indicated in the order confirmation.
Art. 2 - Goods supplied only include materials and amounts indicated in writing in the order confirmation.
Delivery terms
Art. 3 - The delivery terms indicated in the order confirmation are merely indicative, save a binding pledge from us expressly detailed in the order confirmation and
barring any unforeseen circumstances and force majeure. Delayed deliveries do not in any case incur liability for damages or dissolution (even partial) of the contract.
In the event of contract termination by the Company, the buyer will only be due the repayment of the advance payments with no additional compensation.
Art. 4 - The provision of goods is ex-works. Partial deliveries are always permitted. At the moment of delivery all risks are transferred to the buyer who is responsible
for storage and custodial expenses and insurance coverage. When not agreed upon or indicated in timely instructions from the buyer, shipment will be performed by
the Company in the manner it deems most convenient and with no assumption of liability, including cases in which insurance is omitted or incomplete which, when
agreed upon, will always be borne by the buyer.
Art. 5 - If the buyer, upon notification that goods are ready, requests that the Company defer delivery of the material, the latter will expressly incur the right to issue
the relative invoices, thus marking the start of the payment period agreed upon. The same material will be deposited in Company warehouses at the expense of the
buyer and with the assumption of no liability on the part of the Company.
Shipment - packaging
Art. 6 - All transport expenses are borne by the buyer; any other agreements should be made exclusively in writing. The Company will provide, at its own discretion,
protective product packaging during normal transport and handling, which should in any case be performed with the utmost care and according to instructions. If
special packaging is necessary, this will be billed at cost as per agreements established individually with the buyer. In the event the Customer detects discrepancies
with the Transport Document or damage of any kind, the customer should provide immediate written notice to the carrier or shipping agent and thus initiate the refund process by contacting staff responsible for transportation or third parties.
Prices - Conditions and terms of payment
Art. 7 - Payments for orders should be net of all expenses, discounts and tax as per the terms agreed upon in the order confirmation; they should be sent to the Company’s administrative headquarters, which is deemed for all legal purposes to be the location of contract execution, regardless of the immediate or subsequent issuance of bills of exchange payable elsewhere. Payments to Company agents or representatives are only valid following explicit written authorization from the latter.
Art. 8 - The buyer does not have the right to suspend or modify payments in any way, even in the event a dispute occurs between the parties for any reason. The
buyer that suspends or delays payments will be, for all legal purposes, considered in default; sums left unpaid following the contractually established time limits will
accrue passive interest equal to the bank discount rate plus 5 points.
Art. 9 - In the event of missed or delayed payments, even one of the set instalments, the buyer will be subject to accelerated payment and the Company will have the
right to claim the total payment of the remaining price due at that moment. Additionally, the Company may claim advance payment for the remaining ordered goods
or suspend or cancel any other existing contracts.
Warranty
Art. 10 - The Company guarantees that its products are free of manufacturing and/or material defects, when used as intended, for a period of two years following the
delivery date. The warranty is valid provided that the product is correctly installed according to the included installation instructions and provided that no modifications
or adjustments were made by the customer or unqualified staff.
Art. 11 - The warranty does not cover damage caused by transport; the use of products in inappropriate environmental conditions; non-standard product use or stress
including under/over voltage, excessive on/off power cycles and/or excessive hours of operation; damage caused by negligence or a lack of maintenance or repair
attempts performed by unauthorized staff.
Art. 12 - The sole liability of the present warranty is the replacement of defective products. Labour costs for replacing systems are also excluded as well as any damage caused by defective products. In no event will the Company be liable for profit losses, costs, damage, accidents and/or future or special damage.
Jurisdiction
Art. 13 - All disputes will be exclusively resolved by the Court of Vicenza.
