Poštovani akcionari, poslovni partneri i prijatelji,
Možemo konstatovati da je još jedna godina uspiješnog
poslovanja iza nas. Ostvareni rezultati, koji su sastavni dio ovog
Izvještaja, odražavaju aktivnosti i trud koji su menadžment i zaposleni Nove banke zajednički uložili kako bi ih ostvarili. Protekla 2011. godina je bila izuzetno teška i neizvijesna, kako za
privredu Bosne i Hercegovine, tako i za njenu ekonomiju uopšte.
Neminovno je da su turbulencije na svjetskim tržištima kapitala uticale i na finansijski sektor na državnom nivou,
koji je uprkos velikim izazovima uspio da ostane stabilan. Međutim, naša Banka je ostvarila rezultate koji su
značajno iznad prosjeka ukupnog bankarskog sektora. Naime, ostvarena neto dobit od 8,9 miliona KM, prinos
na kapital (ROE) 12,9% i rast aktive od 16% su rezultati kojima bismo bili zadovoljni i da poslujemo u ekonomski
mnogo stabilnijim vremenima. Istovremeno u 2011. godini smo povećali akcijski kapital za 8 miliona KM, ali i
dopunski kapital za 10 miliona KM emisijom subordiniranih obveznica. Pored toga, proteklu godinu smo iskoristili kako bismo u potpunosti implementirali novu organizacionu šemu, kojom smo filijale banke okrenuli prema
prodaji i klijentima, uz centralizaciju svih ključnih funkcija u Banci.
Započeli smo i proces restrukturiranja mreže filijala i ekspozitura banke i otvaranja poslovnih jedinica na atraktivnim lokacijama, kako bismo naše usluge i servise što više približili klijentima. Ovaj proces planiramo završiti u
2012. godini, sa ciljem podizanja kvaliteta naših proizvoda i usluga na viši nivo. Uz to našu ponudu smo obogatili
i novim proizvodima, a naročitu pažnju smo posvetili našim najmlađim klijentima, kojima smo ponudili poseban
paket proizvoda i na taj način pružili mogućnost njihovim roditeljima da obezbijede njihovu budućnost.
U narednoj godini ćemo nastaviti sa daljim rastom i razvojem banke u svim segmentima, sa posebnim akcentom
na restrukturiranje pasive banke i obezbjeđenje što bogatijeg servisa za klijente. Kako bismo ostvarili zacrtane
ciljeve, oslonićemo se na naš kadrovski potencijal, koji ćemo nastaviti da unapređujemo obezbjeđivanjem edukacije i stručnog usavršavanja, ali istovremeno ćemo nastojati i da ga podmlađujemo. U prethodnim godinama
smo pokazali da možemo biti veoma dobri partneri našim klijentima i društvenoj zajednici uopšte. Na dobrome
smo putu da izgradimo snažnu, efikasnu i profitabilnu banku u koju će društvena zajednica, javnost i klijenti imati
povjerenje i prema kojoj će konkurencija na bankarskom tržištu imati značajan respekt. Zbog toga slogan »Za
dobra nova vremena« i dalje ostaje kao poziv našim klijentima, zaposlenim radnicima, akcionarima i poslovnim
partnerima da zajednički gradimo bolju budućnost.
Zahvaljujem svim našim zaposlenim radnicima i menadžmentu koji su, bez dileme, veoma dobro razumjeli strategiju koju smo im prezentovali. Ispred Uprave banke zahvaljujem se članovima Nadzornog odbora, Odbora za
reviziju i akcionarima što su dali svoj doprinos i podršku koja predstavlja temelj za budući rast i razvoj banke. Na
kraju, posebnu zahvalnost iskazujem našim klijentima, koji su nam ukazali svoje povjerenje koristeći proizvode i

INTRODUCTORY WORD
BY CEO
Dear shareholders, business partners and friends,
We can say that one more year of successful business is behind
us. Achieved results, which are integral part of this Report, reflect
activities and efforts made jointly by the Management and employees to make the possible.
Previous 2011 was very hard and uncertain for industry of BiH
and its overall economy. Inevitably, turbulences in work capital markets influenced financial sector on state level,
which remained stable despite huge challenges.
However, our bank achieved results, which are significantly above average of total banking sector. Namely,
achieved net profit amounting to 8,9 million KM, return on equity (ROE) of 12,9% and growth of assets of 16%
are the results, which would make us satisfied even if we worked in, economically, much more stable times. At the
same time, in 2011, we increased the share capital for 8 million KM, but also the supplementary capital for 10 million KM by issuing subordinated bonds. Additionally, we used the past year to implement fully new organizational
chart by which we turned branches of the Bank towards sale and clients with centralization of all key functions in
the Bank.
We have also started the process of restructuring our branch network in attractive location so we could bring our
services and products closer to our clients. We are planning to finish this process in 2012 with goal to raise quality
of products and services to a higher level. Aside from that, we have enriched our offer with new products. Special
attention was paid to our youngest clients whom we offered special product package, thus enabling their parents
with possibility to secure their future. We will continue, in the next year, with further growth and development of
the Bank in all segments with special focus on restructuring on the Bank’s liabilities and provision of the best possible services to our clients. We will rely on our human resources, which we will continue to improve by providing
education and professional improvement, but also to rejuvenate the same in order to achieve the set goals. In
previous years, we showed that we can be very good partners to our clients and community in general. We are
on a good path to build strong, efficient and profitable bank, which will be trusted by the community, public and
clients as well as the competition in the banking market. Therefore, our motto »For good new times« still remains
as invitation to our clients, employed individuals, shareholders and business partners to build better future together.
I would like to thank all our employees and Management who, without any doubt, understood very well the
strategy presented to them. On behalf of the Bank’s Management Board, I would like to thank members of the
Supervisory Board, Audit Committee and shareholders for giving their contribution and support, which represent
foundation for future growth and development of the Bank. Finally, I would like to express our special gratitude to

Na osnovu podataka u tabeli, evidentno je da je 2011. godina za Republiku Srpsku bila godina stagnacije ili blagog ekonomskog oporavka u odnosu na prethodni period.
U prvom i drugom kvartalu 2011. godine evidentiran je rast BDP-a po 1,5%, međutim globalna ekonomska kriza,
posebno ekonomsko usporavanje u zemljama koji su naši glavni trgovinski partneri, imalo je za rezultat da se rast
BDP spustio na 0,7% u trećem, odnosno 0,2% u četvrtom kvartalu.
Tržište rada
Nezaposlenost je i u toku 2011. godine zabilježila trend rasta, i to u prosjeku za 3,4% više u odnosu na prosječan
broj nezaposlenih u 2010. godini. Ovakav trend je direktan rezultat recesivnih ekonomskih kretanja i krize na
globalnom nivou. Prosječna neto plata je u 2011. godini iznosila 809 KM, dok je prosječna penzija iznosila 320
KM. Najveći doprinos povećanju prosječne neto plate u odnosu na 2010. godinu proizilazi iz privatnog sektora i
to od djelatnosti vađenja rude i kamena, građevinarstva i prerađivačke industrije.

From the data in the chart we can see that the year 2011 for the Republic of Srpska has been a year of stagnation or a rather mild economic recovery in relation with the previous period. In the first and second quarter of
2011, there has been a growth of GDP for 1.5%, however the global economic crises, especially the slowdown of
economic growth in the countries that are our main trade partners has lead to the reduction of GDP to 0.7% in
the third respectively 0.2% in the fourth quarter of the year.
Labor Market
The unemployment has been growing in the 2011, on average 3.4% more related to the average number of
unemployed in the 2010. This trend is a direct result of recessive economic movements and the global crisis. The
average net salary in the 2011 was 809BAM, while the average pension was set at 320BAM. The greatest contribution to the rise of the average net salary with respect to the 2010 comes from a private sector especially from
the activities of extraction of minerals and stone, construction and manufacturing industries.

Industrijska proizvodnja
Stopa rasta industrijske proizvodnje je u 2011. godini iznosila 4,7%, a što je u najvećoj mjeri rezultat ekspanzije u
oblasti vađenja rude i kamena i prerađivačke industrije. Naime, posmatrano po industrijskim područjima, u 2011.
godini, područje vađenja rude i kamena je raslo po stopi od 18,2%, a prerađivačka industrija po stopi 3,9%. U
2011. godini je evidentna stagnacija u oblasti proizvodnje i snabdijevanja električnom energijom, gasom i vodom.
Inflacija
U toku 2011. godine zabilježen je kontinuiran rast inflacije, tako da je opšti nivo cijena u RS, mjeren indeksom
potrošačkih cijena, bio veći za 3,9%. Rast opšteg nivoa cijena je bio predvođen rastom cijena hrane i bezalkoholnih pića (5,6%), alkoholnih pića i duvana (8%), prevoza (8,1%) i komunikacija (10,3%). S druge strane, smanjenje
cijena je zabilježeno u oblasti odjeće i obuće (-4,6%), zdravstva (-1%) i ostalih usluga i dobara (-0,5%).
Što se tiče makroekonomskih pokazatelja na nivou BiH, bruto domaći proizvod (BDP) je u 2011. godini iznosio
25,95 milijardi KM, odnosno 6.758 KM po glavi stanovnika. Realna stopa rasta je u 2010. godini iznosila 0,7%, a u
2011. godini 1,6%. Stopa rasta industrijske proizvodnje je iznosila 5,6%, a što je značajno povećanje u odnosu na
prethodnu godinu, kada je iznosila 1,6%. Prosječna inflacija na godišnjem nivou u 2011 godini je iznosila 3,7%, a
stopa nezaposlenosti 27,6%.
Tržište kapitala
U 2011. godini na Banjalučkoj berzi (BLSE) je ostvaren promet od 425.456.984 KM, a što je za 141,41% više u
odnosu na prethodnu godinu. Najveći udio u prometu imaju obveznice (49%), trezorski zapisi (21%) i na kraju
akcije (27%). Tržišna kapitalizacija je na kraju godine iznosila 3.835.425.219 KM. BIRS je u 2011. godini imao pad
za 8,34%.
U 2011. godini na Sarajevskoj berzi (SASE) ostvaren je ukupan promet od 244.787.112,11 KM , što čini 36,97%
od ukupnog prometa koji je ostvaren na BH berzama. Najveći promet je ostvaren na kotaciji fondova (28,13%),
zatim slijedi promet na primarnom tržištu (24,33%), kotacija obveznica (21,67%) i kotacija kompanija (4,9%). Kod
indeksa investicijskih fondova BIFX-a, u ovoj godini , zabilježen je porast vrijednosti od 1,36%. Porast je zabilježen
i kod indeksa Primarnog Slobodnog tržišta SASX-30 , čija je vrijednost porasla za 2,66% u odnosu na prethodnu
godinu. Vrijednost indeksa SASX-10 zabilježila je pad od 16,18% u odnosu na prethodnu godinu.

Industrial production
Growth rate of industrial production in 2011 was 4.7%, greatly owed to the expansion in the area of extracting
minerals and stone and the manufacturing industry. Individually in 2011 in the area of extracting mineral and
stone the growth rate was 18.2% and in the manufacturing industry 3.9%. There is a visible stagnation in 2011 in
the areas of production and supply of electricity, gas and water.
Inflation
During 2011 a continuous growth of inflation is registered, so that the general level of prices in RS measured with
the Consumer Price Index was higher for 3.9%. The growth of the general level of prices was led by the growth
of prices of food and non-alcoholic drinks (5.6%), alcoholic drinks and tobacco (8%), transportation (8.1%) and
communication (10.3%). On the other hand there was a reduction of prices in the areas of shoes and clothing
(-4.6%), health care (-1%), and other goods and services (-0.5%)
As for the macroeconomic indicators on BIH level, gross domestic product (GDP) in the 2011 was 25.95 milliard
BAM, relatively 6.758 BAM per capita. Real growth rate in 2010 was 0.7% and in 2011, 1.6%. The growth rate of
industrial production was 5.6%, which is significantly higher with relation to the previous year, when it was 1.6%.
The average annual inflation for 2011 was 3.7% and the unemployment rate 27.6%.
Capital market
In 2011 Banja Luka stock exchange (BLSE) turnover was 425.456.984BAM, which is 141.41% higher than the previous year. The highest share in the turnover goes to the bonds (49%), treasury bills (21%) and eventually shares
(27%). At the end of the year market capitalization was 3.835.425.219BAM. In 2011 BIRS marked a fall of 8.34%.
In 2011 Sarajevo stock exchange (SASE) total turnover was 244.787.112,11BAM, which represents 36.97% of total
turnover in BH stock exchanges.
The highest turnover goes to the official market of funds (28.13%), then primary market turnover (24.33%), the official market of bonds (21.67%) and the official market of companies (4.9%). Investment fund index BIFX-a marked
a rise of 1.36% in this year. There has also been a rise of the primary free market index SASX-30, whose value is
2.66% higher than in the previous year. The value of the SASX-10 is 16.18% lower with respect to the previous
year.

U toku 2011 godine na teritoriji BiH posluje 29 komercijalnih banka, od čega pet banaka ima 70% tržišnog
učešća. 19 banaka je sa sjedištem u FBiH, a 10 sa sjedištem u RS. Prema vlasničkoj strukturi, 21 banka je u stranom
vlasništvu, sedam u domaćem privatnom vlasništvu i jedna u većinskom državnom vlasništvu.
Ukupna potraživanja komercijalnih banaka u BiH iznosila su 15,31 milijardu KM na kraju četvrtog kvartala 2011.
godine.U decembru 2011. godine dugoročna potraživanja su učestvovala sa 74% u ukupnim potraživanjima
komercijalnih banaka u BiH. Godišnje stope rasta ukazuju na stabilizaciju kreditne aktivnosti komercijalnih banaka
i tokom četvrtog kvartala 2011. godine.
U decembru 2011. godine je došlo do primjene Međunarodnih računovodstvenih standarda (MRS) i međunarodnih
standarda u finansijskim izvještajima banaka u FBiH, kao i značajnog isknjižavanja nekvalitetnih kredita, što je u
cjelini uticalo na nivo kredita.
Na kraju četvrtog kvartala 2011. godine ukupni depoziti iznosili su 13 milijardi KM, a što predstavlja povećanje
za 470 miliona KM ili 3,8% na godišnjem nivou. Na kraju četvrtog kvartala 2011. godine ponderisani prosjek svih
aktivnih kamatnih stopa iznosio je 7,54%, a što je niže za 17 baznih poena u odnosu na kraj trećeg kvartala.
Na kraju četvrtog kvartala 2011. godine prosječne kamatne stope na oročene i štedne depozite u KM privatnim
preduzećima su povećane za 90 baznih poena na 2,14% u odnosu na kraj trećeg kvartala, a za stanovništvo za
devet baznih poena na 2,72%.
Ono što karakteriše bankarski sektor u BiH u 2011. godini jeste poboljšanje kvaliteta aktive, nakon dugog perioda
kontinuiranog pogoršanja. Učešće nekvalitetne aktive u ukupnoj aktivi je smanjeno sa 9,1% u trećem kvartalu na
8,8% u četvrtom kvartalu 2011. godine. Isto tako, učešće nekvalitetnih kredita u ukupnim kreditima je smanjeno
sa 12,6% na 11,8%.
Što se tiče adekvatnosti kapitala za cjelokupni bankarski sektor BiH, stopa adekvatnosti kapitala je na višem nivou
od zakonskog minimuma od 12%, i u četvrtom kvartalu je iznosila 16,4%.
Profitabilnost banaka je naglo porasla u 2011. godini, jer je povrat na prosječni kapital (ROAE) povećan na 7,2% u
četvrtom kvartalu. Povrat na prosječnu aktivu (ROAA) je takođe povećan na 0,8% u istom posmatranom periodu.

29 commercial banks run a business on the territory of BIH during 2011, five of which have 70% of the market
share. Headquarters of the 19 banks are in FBIH and 10 in RS. According to the ownership structure, 21 banks are
foreign owned, 7 are in domestic private ownership and one is state owned.
Total demand of commercial banks in BIH was 15.31 milliard of BAM at the end of the fourth quarter of 2011.
The application of International Accounting Standards (IAS), the international standards in the financial reports
of the banks in FBIH, as well as the significant derecognition of non-performing loans all of which introduced in
December 2011, affected the level of the loans on the whole.
At the end of the fourth quarter of 2011 total deposits were 13 billions of BAM, which represents the rise for 470
millions of BAM or 3.8% annually. At the end of the fourth quarter of 2011the weighted average of all active interest rates was 7.54%, which is lower for 17 basis points with respect to the end of the third quarter. At the end of
the fourth quarter of 2011 the average interest rates of time and thrift deposits in BAM in the private companies
increased for 90 basis points to 2.14% with respect to the end of the third quarter, and in the private clients sector
for 9 basis points to 2.72%.
One of the main characteristics of the banking sector of BIH in 2011 is the improvement of asset quality after the
long period of continued deterioration. The total participation of the non quality assets in total assets has been
reduced from 9.1% in the third quarter to 8.8% in the fourth quarter of 2011.
The participation of non-performing loans in total loans has been reduced from 12.6% to 11.8%.
As for the capital adequacy for the entire banking sector of BIH, the capital adequacy rate is higher than the legal
minimum of 12%, and in the fourth quarter of the year it was 16.4%. Profitability of the banks boomed in 2011,
because the return on average equity (ROAE) increased to 7.2% in the fourth quarter. Return on average aasets
(ROAA) also increased to 0.8% in the same period.

O Banci
Nova banka AD Banja Luka (u daljem tekstu: Banka) posluje na tržištu Bosne i Hercegovine od 1999. godine i
to kao jedna od prvih privatnih banaka u Bosni i Hercegovini. Od tada pa do danas, Banka je izrasla u jednu od
vodećih banaka u Republici Srpskoj i Bosni i Hercegovini . Banka je 2011. godinu završila ispunjenjem svoga cilja,
kao jedna od najprofitabilnijih Banka u Bosni i Hercegovini.
Banka nudi širok portfolio tradicionalnih bankarskih usluga (uključujući različite vrste kredita, dokumentarnih
poslova, depozita i štednje, platnih transakcija i transfera novca, mjenjačkih poslova i slično), ali takođe obavlja i
veliki broj primarno nebankarskih aktivnosti kao što su brokerske operacije, kastodi poslovanje, factoring i forfeting.
Organizacionu strukturu banke čine: Centrala banke u Banjoj Luci, koja je smještena u modernom i savremenom
objekatu, u vlasništvu banke, u centru grada i gdje su uspostavljenje core banking funkcije (dio Back Office funkcija/funkcije podrške je dislociran i zbog jeftinijih troškova poslovanja
smješten u Bijeljini), i 51 drugu organizacionu jednicu, odnosno, 11

ekspozitura, 22 izdvojenih šaltera i 9 agencija). Veći broj organizacionih jedinica banke lociran je u Republici Srpskoj, dok se nešto manji broj

kanali distribucije proizvoda banke prema klijentima, koji su primarno
retail i SME klijenti, a sekundarno veliki corporate klijenti.
Kao etabliran tržišni igrač Banka je prepoznata kao veoma interesantan i poželjan poslodavac, te je tako krajem 2011. godine imala 489
zaposlenih. Korporativna kultura banke je rezultovala visokim stepenom lojalnosti i izuzetno motivisanim zaposlenima, koji rade u 52

Banjalučkoj berzi hartija od vrijednosti (u daljem tekstu: Banjalučka berza), a od juna 2009. godine čini jednu od
6 akcija, jedinu iz finansijskog sektora, prema kojima se računa BH indeks koji se objavljuje na Vienna Stock Exchange. Akcijama banke se na dnevnom nivou trguje na Banjalučkoj berzi i u tom smislu one su veoma likvidne
akcije. Nominalna vrijednost jedne akcije banke iznosi 1,00 KM. Akcionarski kapital banke iznosi 70.863.284,00 KM
i formiran je kroz XVI emisija hartija od vrijednosti.
Banka ima veoma izraženu diverzifikaciju vlasništva. U prosjeku akcije banke posjeduje oko 400 fizičkih i pravnih
lica. U vlasništvu domaćih fizičkih i pravnih lica se nalazi 55% akcija, što Banci daje karakter pretežno domaće
banke. Ipak, pojedinačno najveći akcionari su Adriatic Fund B.V. iz Holandije sa 37% i International Finance Corporation iz Washington-a sa 8%.
Poslednjih nekoliko godina Banka je zabilježila izrazit rast u svim poljima i segmentima, što je rezultovalo visokim
nivoom profitabilnosti u odnosu na banke koje posluju na tržištu Bosne i Hercegovine.

Nova Banka JSC Banja Luka (hereinafter: Bank) operates in the BIH market since 1999 as one of the first private
banks in BIH. Since then the Bank has taken the role as one of the leading banks in RS. In the 2011 the Bank accomplished one of its objectives and finished the year as one of the most profitable banks in BIH.
The Bank offers a large portfolio of traditional banking services (including different kinds of loans, letter of credits,
deposits and savings, payment transactions and money transfer, exchange operations etc.) but it also performs a
large number of non banking activities like brokerage services, custody business, factoring and forfeiting.

(owned by the Bank), in the town centre where the core banking functions are also set up (the part of the Back

In the last couple of years the Bank registered significant growth in all fields, which resulted in high level of profitability with respect to the banks operating in BIH market. The Bank has initiated a large number of activities in order
to differentiate and strengthen the corporative identity, socially responsible management and the implementation
of corporate governance standards. The community where the Bank operates recognized this and acknowledged
through a large number of significant awards.

Banka je pokrenula veliki broj aktivnosti na diferenciranju i jačanju korporativnog identiteta, društveno odgovornog
upravljanja i implementaciji standarda korporativnog upravljanja, što je zajednica u kojoj Banka posluje prepoznala i priznala kroz veoma značajne nagrade.
Protekla godina za Novu banku bila je izuzetno uspiješna. Kao potvrda postignutih visokih rezultata na polju osnovnih bankarskih operacija, finansija, korporativnog i društveno odgovornog upravljanja , te poslovanja banke
uopšte stoje sljedeće nagrade:
• Direkcije Agencije za izbor najmenadžera BiH, Jugoistočne i Srednje Evrope dodijelila je nagradu direktoru
banke, mr Milanu Radoviću i Novoj banci AD Banja Luka priznanje za najmenadžera u bankarstvu i najbanku

• Deutsche Bank je dodijelila Novoj banci nagradu »STP Excellence award 2011«, za izuzetan kvalitet u obavljanju
inostranog platnog prometa. Nagrada se odnosi na postignut stopostotni nivo efikasnosti i tačnosti u prenosu
novca odredišnim bankama i klijentima u inostranstvu, uz smanjenje troškova prenosa. Već deset godina u kontinuitetu Deutsche bank nagrađuje Novu banku AD Banja Luka ovim povodom.
• Investiciono-razvojna banka Republike Srpske Novoj banci je dodijelila priznanje za izuzetan doprinos u realizaciji plasmana po kreditnim linijama Investiciono-razvojne banke Republike Srpske u 2011. godini.
• Nova banka je dobila nagradu »Dobro 2011« za najbolju primjenu korporativnog upravljanja i društveno odgovornog poslovanja u Bosni i Hercegovini, od strane IFC, Agencije »Mašta« i Fondacije»Mozaik«.

The last year has been very successful for the Nova Banka. The following awards stand as a confirmation of high
results in the field of banking businesses, financial ones as well as in the field of corporative and socially responsible management:

Ljudski resursi
Osnovni faktori na kojima se zasniva kontinuirani razvoj i napredak banke su posvećenost, profesionalizam i
produktivnost svih radnika banke. U 2011 godini, politika upravljanja ljudskim resursima banke je bila usmjerena
ka razvoju stimulativnog i poželjnog radnog okruženja, koji razvija visok nivo produktivnosti i efektivnosti radnika
banke kroz izražene procese motivacije i jačanja profesionalnih vještina svih zaposlenih radnika.
U tom smislu, osnovne karakteristike politike upravljanja ljudskih resursa u 2011. godini su
- Racionalizacija broja zaposlenih
- Povećanje instruktivnih i kontrolnih funkcija kroz jačanje onoga dijela banke koji spada u Centralu
- Povećanje broja zaposlenih čija zarada zavisi od pojedinačne efikasnosti radnika
- Naglašena prodajna radna orijentacija i atmosfere, u Banci u cjelini
- Kontinuirana edukcija i razvoj fer i korektne radne atmosfere, te jačanje timskog duha i percepcije banke kao
svoje druge kuće
Tokom godine, sve potrebe za radnicima, po kvalifikacionoj strukturi i po potrebnoj dinamici su zadovoljene. Broj
zaposlenih je povećan sa 414 na 489 /poređenja na kraju godina/ ili za 18%, a najviše u SSS oko 27,6%, u VSS za
14,6% i VŠS za 12,7%. Na kraju godine je bilo najviše VSS zaposlenih, tj 68%. Ponuda iz okruženja je bila brojna
i solidna, tako da su uglavnom primljeni radnici sa adekvatnim bankarskim iskustvom, što je rezultiralo brzim
uvođenjem, adaptacijom i postizanjem efikasnosti.
Tokom godine je otišlo 15 radnika, što je oko 3%, tj neplanirana fluktuacija je bila na vrlo niskom nivou.
Motivacija za rad zaposlenih je koncipirana na osnovu ostvarenja planova koje su postavljeni filijalama i drugim
organizacionim dijelovima. Tako su, od početka godine, kao nastavak aktivnosti započetih u 2010. godini definisani planovi za prodajno osoblje, u obliku nekoliko konkretnih ciljeva. Na osnovu realizacije i ostvarenja zadatih
planova, formirane su mjesečne zarade. U cjelini uzev taj način ostvarivanja zarada je dao dobre rezultate u
poslovima prodaje.
U toku godine, u dva različita perioda, je izvršeno anketno istraživanje (na osnovu internog znanja i vlastitim
sredstvima) nivoa zadovoljstva raznim aspektima rada u Banci i potencijalne fluktuacije. Rezultati ankete, koji su
pokazali da je Banka viđena kao veoma poželjan poslodavac su prezentovani Upravi banke, što je pak, imalo
odraza na uvođenje zarada prema radu i efikasnosti, u dijelu banke.
Važna obilježja HR potencijala su: selektiranost u pogledu radnog potencijala, prosečna starost od oko 37 god,
dobri međuljudski odnosi i kooperativnost među zaposlenima.

Bank Human Resources
The main factors on which is based the constant development and progress of the Bank depends on its main
factors, which are following ones: commitment, professionalism and productivity of all employees of the Bank. In
2011, human resource management policies of the Bank were aimed at the development of stimulating and desirable working environment, which develops a high level of productivity and effectiveness of Bank staff expressed
through the processes of motivation and strengthening the professional skills of all employees.
In that context, the basic characteristics of human resource management policy in 2010 are:
• Rationalization of the number of employees
• Increasing the instructional and supervisory functions through strengthening that part of the Bank which is the
part of the headquarters.
• Increase the number of employees whose earnings depend on their own efficiency.
• Emphasized sales orientation and working atmosphere in the Bank as a whole
• Continuing education and development of the fair working environment, and strengthening the team spirit and
perception of the Bank as its second home.
During the year all needs for the employees have been met. The number of employees increased from 414 to
489/comparison for the end of the year/ or for 18%, and by far in secondary school qualifications for 27.6%, college education for 14.6% and two year post secondary school qualifications for 12.7%. At the end of the year the
highest number of employees had university qualifications, 68%. The offer from the region was numerous and
solid so that most of the new employees have adequate banking experience which resulted in fast adaptation and
the acquirement of efficiency.

Motivation for employees has been designed on the basis of achievements of plans that have been set for the
branches and other organizational units. From the very beginning of the year, as the continuation of the activities
from 2010, planes have been defined in the form of specific objectives. The monthly salaries have been formed
on the basis of realization and achievement of already set objectives. Generally speaking it gave good results in
sales activities.
During the year, in two different periods, a survey was carried out (based on internal knowledge and own funding) about the level of satisfaction with the different aspects of the work inside the Bank as well as about potential
fluctuations. The results of the survey showed that the Bank is seen as a very desirable employer which affected
the introduction of earnings corresponding to the work and efficiency of the employees.
The important features of HR resources are: selectivity in terms of the work potential, the average age of about
37 years, good interpersonal relationships and cooperation among employees.

1. Rast broja klijenata
Banka je zabilježila značajan rast broja Retail klijenata u periodu decembar 2010.- decembar 2011. godine za
gotovo 14%. Rast broja klijenta je nastao kao rezultat permanentne akvizicije novih klijenata u kombininaciji sa
atraktivnim rizičnim i nerizičnim proizvodima koje Banka nudi. Trend rasta je nastavljen i u tekućoj godini.

2. Rast kreditnog portfelja
Široka lepeza kreditnih proizvoda (krediti, kreditne kartice i pozajmice po tekućem računu) Nove banke namijenjenih stanovništvu omogućila je kvalitetniju akviziciju klijenata, povećanje portfelja a time i diverzifikaciju rizika na
nivou ukupnih plasmana banke. U junu 2011. godine otpočeli smo akciju pod nazivom „Kreditni talas“ koja je bila
ključ za rast plasmana stanovništvu. Na bazi analize portfolia Nove banke na dan 31.12.2010. godine, plasmani
stanovništvu iznose 161,88 miliona KM a na dan 31.12.2011. godine iznose 179,24 miliona KM, dakle sa tendencijom su rasta za 10,18%.

RETAIL BANKING
1.Growth in the number of clients
The Bank recorded significant increase in the number of retail clients in the period December 2010,December
2011 for almost 14%. Growth in the number of clients is a result of permanent acquisition of new clients combined
with risky and risk-free products offered by the Bank. This trend continued in the next year.

2. Growth in the loan portfolio
The wide variety of credit products (loans, credit cards and transaction account overdraft) of Nova Banka has
enabled better acquisition of clients, growth of the portfolio and also the diversification of the risks on the level
of general Bank placement. In june 2011 we started a campaign called “Kreditni Talas” which was the key to this
increase. On the basis of the Nova Banka portfolio analysis from the 31/12/2010, retail loans amounted to 161.88
million BAM and from the 31/12/2011 they amounted to 179.24 million BAM, with the increasing trend of 10.18%.

3. Rast portfelja štednje
U 2011. godini Nova banka zabilježila je značajan rast depozita stanovništva. Široka ponuda atraktivnih proizvoda
prilagođenih različitim potrebama i željama klijenata sa jedne strane i konkurentne kamatne stope sa druge strane
uticao je na rapidan rast portfelja depozita stanovništva. Nova banka u cilju povećanja depozita stanovništva u
2011. godine organizovala je akciju štednja u okviru koje su bile podjeljene i nagrade najvjernijim i najsrećnijim
klijentima.
Tokom 2011. godine portfolio depozita stanovništva je uvećan za cca 70 miliona KM ili za 41%, a tržišno učešće
je povećano sa 11% na 14%.

4. Platne kartice
U segmentu poslovanja sa platnim karticama Nova banka je, kao jedna od banaka koja je prva počela izdavati i
prihvatati MasterCard platne kartice, i u 2011.godini ulagala značajne napore da zadovolji potrebe svojih klijenata
i zahtjevnog tržišta. U tom smislu se radilo na unapređenju internih procedura poslovanja sa platnim karticama,
unapređenju bankarskog softvera, uvođenju debit on-line autorizacije, obukama zaposlenih.
Nova banka nudi široku paletu platnih kartica: Maestro Debit, MasterCard Standard, MasterCard Business, VISA
Electron i VISA Electron za Internet plaćanja. S druge strane, široka mreža od 53 bankomata prihvata kartice iz
porodice VISA i MasterCard. Nova banka je jedna od rijetkih banaka na tržištu koja u svojoj mreži bankomata
posjeduje bankomate koji omogućavaju polog gotovine na račune pravnih lica. Osim podizanja gotovine, Nova
banka nudi i prihvat MasterCard kartica na POS terminalima.
U martu 2011.godine Nova banka je tržištu predstavila VISA Electron i VISA Electron karticu za Internet plaćanja
i time proširila ponudu svojih kartica, brendovima ove poznate kartične kuće. Navedene kartice posjeduju chip
tehnologiju što ih uveliko čini sigurnim i konkurentnim.
U cilju nagrađivanja svojih klijenata Nova banka je u 2011.godini organizovala kampanju platnih kartica pod nazivom „Spremne za sve“ čime je nagradila sve vjerne korisnike.
Nova banka je u 2011.godini povećala ukupan broj kartica za 6% u odnosu na 2010.godinu. U strukturi izdatih
kartica 17% čine kreditne i 83% debitne, dok 15% čine VISA, a 85% MasterCard kartice. Broj transakcija u 2011.
godini je povećan za 9% u odnosu na 2010.godinu.
Mreža bankomata je povećana sa 47 na 53 bankomata sa tendencijom daljeg širenja.

3. The growth in the savings portfolio
In 2011 Nova Banka recorded a significant growth in deposits. Wide range of attractive products adapted to
the different needs and wishes of the clients on one hand and the competitive interest rates on the other hand
affected the rapid growth in the deposit portfolio. Nova Banka had organized a savings campaign in 2011 and
awarded its most loyal and luckiest clients.
In 2011 the portfolio of the deposit is increased for about 70 millions BAM, 41% and the market share rise from
11% to 14%.

4. Payment cards
Nova Banka is one of the first banks that started to issue and accept MasterCard payment cards and in 2011 made
significant efforts to meet the needs of its clients and the demanding market. We worked on the improvement of
the internal procedures of business with the payment cards, the improvement of banking software, the introduction of debit on line authorization, and the employees training.
Nova Banka offers a high range of payment cards: Maestro Debit, MasterCard Standard, MasterCard Business,
VISA Electron i VISA Electron for internet payments. On the other hand a wide range including 53 ATM accepts all
VISA and MasterCard payment cards. Nova Banka is one of the rare banks on the market that owns ATMs which
enable cash deposit on legal entities accounts. Besides taking cash from ATM, Nova Banka also offers the possibility of acceptance of MasterCard cards on POS terminals.
In March 2011 Nova Banka, presented to the market VISA Electron and VISA Electron card for internet payment
and expanded the offer with the brands from this famous card company. These listed cards the chip technology
which makes them safe and competitive. With the objective of awarding its clients Nova Banka in 2011 organized
payment cards campaign named “Spremne za sve” and in that way awarded all loyal users.
Nova Banka increased total number of payment cards by 6% in 2011, with respect to 2010. In the structure of
issued cards 17% are credit ones, 83%debit cards, 15% VISA, 85% MasterCard cards. The number of the transactions in 2011 higher for 9% with respect to the 2010. The ATM network also increased from 47 to 53 ATM machines with the tendency of further enlargement.

5. Elektronsko bankarstvo i SMS usluga
Klijenti Nove banke su i u 2011.godini prepoznali prednosti brzog i sigurnog obavljanja transakcija putem web
bankarstva, tako da je postignuto povećanje od 57% prometa, 38% u broju realizovanih transakcija i 53% broja
klijenata u 2011. u odnosu na 2010.godinu. Osim toga, klijenti mogu birati način autentifikacije svojih transakcija
(username i password ili smart kartica).
SMS usluga banke je u 2011.godini dopunjena mogućnošću dobijanja SMS poruke nakon autorizacije kartične
transakcije, a pored standardnih usluga upita stanja, slanje raznih obavještenja, itd. Broj korisnika ove usluge se
povećao za 33% u odnosu na prethodnu godinu.
6. Bankoosiguranje
Sektor Retail i upravljanje mrežom je kreirao proizvode iz oblasti bankoosiguranja kojima je Nova banka AD
Banjaluka ponudila svojim klijentima, uz svoje proizvode i dodatne usluge. Potpisivanjem polise osiguranja našim
klijentima i njihovim porodicama smanjen je rizik pri odobravanju plasmana, a Banci omogućeno rješavanje eventualnih problema uslijed posljedica neželjenih događaja.

5. E-banking and SMS services
In 2011 Nova Banka clients recognized the advantages of fast and safe web banking transactions, so that there
has been an increase of 57% in transfer, 38% in the number of realized transactions and 53% in the number of
clients with respect to the 2010. Besides that, clients have the opportunity to chose the way of identification of
their transactions (user name and password or the smart card).
This service has been complemented with the possibility of receiving SMS after the authorization of a card’s transaction along with the standards services of status inquiry, different information, etc. The number of users of this
service has increased for 33% with respect to the previous year.
6. Bankassurance
Retail and Network Management Sector has created bankassurance services which helped Nova Banka Banja
Luka to offer to its clients some additional services. By signing the insurance policy our clients and their families
can reduce the risk of extending loans, and the Bank can easily solve possible any unexpected problems.

SME segment
SME segment postoji kao poseban segment u okviru Sektora Retail i upravljanje mrežom od 01.04.2011. godine
i od tada se izvještajno prati.
Prema segmentaciji klijenata koja je važila u toku 2011. godine, SME segmentu pripadale su sledeće grupe klijenata: privredna društva sa ostvarenim godišnjim prihodima manjim od 3 miliona KM i izloženošću prema banci
manjoj od 500.000 KM, preduzetnici i neprofitne organizacije (udruženja građana,političke stranke, vjerske organizacije, zajednice etažnih vlasnika, itd.).
U periodu 31.03.2011.-31.12. 2011. godine, kao rezultat pojačanih aktivnosti na akviziciji novih klijenata ukupan
broj transakcionih računa SME klijenata je povećan za 254 odnosno 3%.
Zahvaljujući proaktivnom nastupu na tržištu ali i visoko kvalitetnim i konkurentnim kreditnim proizvodima uz već
prepoznatljivu fleksibilnost i brzinu rješavanja zahtjeva naših klijenata, u navedenom periodu zabilježeno je i
povećanje portfolia kredita za 18,9 miliona KM odnosno 23%.

SME banking exists as a separate sector in the Retail and Network Management since 01/04/2011 and it is
being monitored by reporting. According to the segmentation of clients from 2011, the following groups
of clients belonged to the SME sector: companies with annual income less than 3 million BAM and bank
exposure less than 500,000 BAM, entrepreneurs and non-profit organizations (civic associations, political
parties, religious organizations, communities, condominium etc..).
Between 31/03/2011.-31/12/2011 total transaction accounts of SME customers increased by 254 or 3%, as
a result of increased activity related with the acquisition of new clients.

Nova banka je u 2011.god. ispunila očekivanja svojih klijenata kada su u pitanju potrebe za bankarskim proizvodima kao i dodatnim finansijskim sredstvima. U okviru Sektora poslovanja sa pravnim licima ispunjeni su
godišnji planovi, zadržana liderska pozicija u segmentu poslovanja sa privredom i uprkos ekonomski teškoj godini
zabilježen porast plasmana i depozita.
Aktivnosti u Sektoru poslovanja sa pravnim licima karakterišu prije svega dugoročni poslovni odnosi sa klijentima i stabilna baza klijenata, visok kvalitet usluga, efikasnost procesa kao i mogućnost usklađivanja postojećih i
uvođenja novih proizvoda u skladu sa zahtjevima klijenata.
I pored opšteg makro-ekonomskog trenda usporenja rasta bankarskog tržišta, broj klijenata u Sektoru poslovanja
sa pravnim licima zabilježio je tendenciju rasta i to za 24,18% u odnosu na kraj prethodne poslovne godine.
U toku 2011.god. intenzivirana je saradnja sa postojećim klijentima kroz različite cross selling aktivnosti kao i akvizicija novih klijenata putem povoljnijih uslova za saradnju.

In 2011, Nova Banka met expectations of its clients regarding needs for banking products as well as additional
financial resources. Within the Corporate Banking Sector, we fulfilled the annual plan, retained leading position
within economy and, despite difficult economic situation, insured increase of credits and deposits.
Corporate Banking Sector operations are primarily characterised by long-term business relationship with clients
and stable client base, high quality of services, efficiency as well as the possibility of harmonisation between existing and new products in accordance with the requirements of the clients. Despite general macroeconomic slowgrowth trend of banking market, the number of clients in Corporate Banking Sector recorded growth of 24.18%
in comparison to the previous financial year.

Aktivnosti privrednih subjekata u 2011.god. bile su usmjerene na oporavak od negativnih efekata ekonomske
krize. To je imalo za posljedicu uvećanu potrebu privrede za likvidnim sredstvima, smanjenje potreba za investicijama, kao i povećanje broja zahtjeva za reprogram i restruktuiranje kreditnih zaduženja. Due to negative effects of the economic crisis, economic entities operations during 2011 were recovery-oriented.
As a result, it led to the need for liquid means, investment reduction as well as to the increasing number of applications for reprogramming and restructuring credits. Considering lending to economic entities, Nova Banka
increased its market position whose credit portfolio for 2011 resulted in enhanced economic diversification of
41.54% in comparison to the year 2010.

Centralna banka BiH je i tokom 2011. godine zadržala politiku fiksnog kursa BAM u odnosu na EUR (1 EUR =
1,95583 BAM). U 2011. godini primjenjivana je stopa obavezne rezerve od 10% na osnovicu sa ročnošću do jedne
godine i 7% na osnovicu sa ročnošću preko jedne godine.
Osnovica za obračun obavezne rezerve na nivou BiH (podaci Centralne banke BiH) na kraju 2011. iznosi 15,39
milijardi KM. Dugoročna osnovica bilježi blago smanjenje u poslednjem kvartalu i iznosi 49,3%, dok ostatak čini
kratkoročna osnovica. Obavezna rezerva nije zabilježila značajnije oscilacije i u prosjeku je iznosila oko 1,31 milijardu KM.
Implicitna stopa obvezne rezerve, kao jedan od pokazatelja likvidnosti bankarskog sektora, ostala je na visokom
nivou. Na kraju 2011. godini iznosila je 18,8%.
Stopa naknade na obaveznu rezervu su se kretale u rasponu od 0,11% do 1,14%, a za iznose iznad obavezne
rezerve u rasponu od 0,14% do 1,14%. Stope su se smanjivale tokom godine, te su u posljednjem obračunskom
razdoblju bile najniže.

Cash assets
Throughout 2011, the Central Bank of Bosnia and Herzegovina kept a fixed-exchanged rate system policy at an
exchange rate of EUR 1: BAM 1.95583. Furthermore, in 2011, reserve requirement remained 10% applicable to
the basis with agreed maturity of less than one year and 7% to the basis with agreed maturity over a year. At the
end of 2011, according to the data of Central Bank of Bosnia and Herzegovina (CBBH), state level reserve requirement was based on 15.39 billion KM. Long-term basis faced a slight decrease in the last quarter and amounted
to 49.3% while the remainder corresponds to short-term basis. Average reserve requirement amounted to 1.31
billion KM.
Implicit rate of reserve requirement, as an indicator of banking sector liquidity, remained high. At the end of 2011,
it amounted to 18.8%. Reserve requirement indemnity rate ranged from 0.11% to 1.14% and from 0.14% to
1.14% for any other amount exceeding reserve requirement. Rates decreased during the year, being the lowest
in the final accounting period.

Poslovi FX u Novoj Banci
Odjeljenje za trgovanje u Novoj Banci nudi kupovinu i prodaju stranih valuta klijentima, uz veoma jednostavnu
proceduru..
Kupovinu i prodaju stranih valuta moguće je obavljati po trenutno važećim tržišnim kursevima na međunarodnom
tržištu. Klijentima se obezbjeđuju izuzetno konkurentne cijene, što Novu Banku čini market makerom, odnosno
vodećim igračem na domaćem tržištu valuta.
Posvećeni smo uvođenju finansijskih derivata, što će omogućiti fleksibilniju i raznovrsniju zaštitu od deviznog
rizika svojim klijentima. Ukoliko klijent želi da se zaštiti od rizika promjene deviznog kursa u budućnosti, Banka
će omogućiti zaključivanje forward transakcija, odnosno zaključivanje transakcije u budućem periodu po kursu i
uslovima dogovorenim na današnji dan. U ponudi će uskoro biti i niz drugih opcija za trgovanje.
Od prošle godine, Nova Banka je potpisala 50 novih ugovora za obavljanje mjenjačkih poslova, što je čini liderom
na tržištu u ovoj oblasti. Kupovinu i prodaju efektivnog stranog novca moguće je obavljati u našim ovlaštenim
mjenjačnicama po vrlo povoljnim cijenama.
Ono po čemu smo posebni je da koristeći savremeni informacioni sistem Reuters, Nova Banka aktivno prati
dešavanja na međunarodnom tržištu novca i valuta, te kroz dnevne izvještaje obavještava svoje klijente o istim.

Foreign Exchange (FX) Market
FX Operations in Nova Banka
Trading department of Nova Banka has been founded for the purpose of buying and selling foreign currencies,
following a very simple procedure.
Foreign exchange operations are performed according to international market exchange rates. Clients are provided with competitive prices, labelling Nova Banka as a market maker and leading player on domestic market.
We are dedicated to implementing financial derivatives, thus enabling more flexible and diverse protection and
foreign exchange risk management for our clients. If a client desires protection from foreign exchange rate risk,
we insure forward transactions intended for fixed favourable current exchange rates for the future. Soon, the offer
will be enriched with other trading options.
Since last year, Nova Banka has signed 50 new agreements for performing exchange operations, thus becoming
a market leader within this area. Buying and selling effective foreign currency is possible to perform at exchange
offices at favourable prices.
By using modern information system »Reuters«, Nova Banka actively monitors developments on the international
money and foreign currency market and, on a daily basis, informs its clients about the same, in accordance with
their needs.

RISK PROFIL I RISK POLITIKA banke
Generalni cilj upravljanja rizicima u Banci je otpimizacija odnosa rizika i prihoda. Banka preuzimanjem i upravljanjem rizicima uvećava prihode. Za profitabilnost banke je od presudnog značaja adekvatan koncept upravljanja
rizicima, a samim tim i prihodima.
Da bi u tome bila uspješna, zadatak menadžmenta banke je prepoznavanje i aktivno upravljanje rizicima.
Sve odluke koje se tiču izloženosti banke rizicima moraju biti koordinisane unutar cijele banke kao institucije.
Banka računa stepen rizika povezan sa određenim poslovima, procesima i aktivnostima. Drugačije rečeno, upotrebom metoda za upravljanje rizicima omogućava kvalitetnu ocjenu svih vrsta rizika, pravovremeno reagovanje i
smanjenje izloženosti prema istima.
Banka je izložena sljedećim vrstama rizika: kreditnom riziku, riziku likvidnosti, kamatnom riziku, operativnom
riziku, riziku izloženosti prema prema jednom licu ili grupi povezanih lica, riziku ulaganja u druge zemlje, i dr.
Organi banke nadležni za upravljanje rizikom permanentno prate promjene u zakonskoj regulativi, analiziraju njihov uticaj na visinu rizika na nivou banke, i preduzimaju mjere na usaglašavanju poslovanja i procedura sa novim
propisima u okvirima kontrolisanog rizika. Pored toga, uvođenje novih proizvoda i usluga praćeno je potrebnim
tržišnim i ekonomskim analizama u cilju optimizacije odnosa prihoda i rezervisanja za procijenjeni rizik.
Kreditni rizik
Kreditni rizik predstavlja rizik da korisnici kredita neće moći ili neće htjeti da izvrše ugovorene obaveze prema
Banci. Banka internim aktima, politikama, programima i procedurama, obezbjeđuje adekvatan sistem upravljanja
kreditnim rizikom i svođenje kreditnog rizika na prihvatljivu mjeru.
Banka upravlja kreditnim rizikom kako na nivou klijenta, grupe povezanih lica, tako i na nivou ukupnog portfelja.
Tržišni rizici
a) Rizik likvidnosti
Rizik likvidnosti predstavlja mogućnost da Banka ne posjeduje dovoljno likvidnih sredstava i rezervi likvidnosti za
izmirenje dospjelih obaveza i pokriće neočekivanih odliva depozita i nedepozitne pasive. Problem likvidnosti se
izražava kao manjak i otežano ili nemoguće pribavljanje likvidnih sredstava po razumnoj tržišnoj cijeni.
Rizikom likvidnosti se upravlja tako što se kontinuirano prati i analizira dnevna likvidnost, ročna
usklađenost Bančine aktive i pasive, odnos novčanih sredstava i ukupne aktive, odnos novčanih sredstava i depozita, koncentracija depozita, i drugo. Banka računa više indikatora/pokazatelja u modelu likvidnosti i redovno
izrađuje stres testove gdje uzima u obzir kretanja na tržištu.

BANK RISK PROFILE I RISK POLICY
The overall objective of risk management is to optimise ratio between risks and revenues. Throughout taking and
managing risks, the bank increases its revenues. Therefore, adequate concept of risk and revenue management is
crucial for the profitability of the bank.
In order to ensure success, bank management needs to recognise and actively manage risks. All decisions concerning the bank exposure to risks must be coordinated within the whole bank, as an institution. The bank estimates risk degree in correlation to certain operations, processes and activities. In other words, risk management
enables qualitative assessment of any risk, in due response and risk exposure reduction.
A banking risk framework includes: credit risk, liquidity risk, interest rate risk, operational and reputational risk,
exposure risk, investment risk, etc.
Employee of the Bank responsible for risk management continuously monitor all changes in legislation, analyse its
influence on the risk, take measures to adjust operations and procedures with new regulations within the framework of controlled risk. In addition, introducing new products and services is in accordance with the market needs
and economic analyses in order to optimise ratio of revenues and provisions for an estimated risk.
Credit Risk
Credit risk refers to the risk that a borrower will default on any type of debt by failing or refusing to make payments it is obliged to do. Throughout legislation, policies, programmes and procedures, the Bank ensures an
adequate system of credit risk management making the risk acceptable.
Nova Banka includes risk exposed to a single entity, a group of related entities and total portfolio respectively.
Market Risks
a) Liquidity Risk
Liquidity risk refers to the risk that the Bank will not have sufficient liquid assets and reserve requirement necessary
to meet all its due obligations and to cover an unexpected deposit outflow and non-deposit liabilities. Liquidity
problem represents a deficit or a state of difficult or impossible obtaining liquid assets at a fair market price.
Liquidity risk management is based on monitoring and analysing liquidity on a daily basis, the Bank’s
balance of financial resources and total bank assets, ratio of financial resources and deposits, deposit concentration, and more. The Bank includes several indicators in the liquidity model and regularly elaborates
stress tests considering developments on the market.

Upravljanje rizikom likvidnosti u Novoj banci izvodi se u skladu sa usvojenim politikama i strategijom kojima se
utvrđuju prava i sistemska odgovornost.
b) Rizik promjene kamatnih stopa
Rizik promjene kamatnih stopa predstavlja osjetiljivost kapitala i prihoda banke na promjene kamatnih stopa na
tržištu.
Kamatni rizik je rizik smanjenja profita ili neto vrijednosti imovine banke usljed promjena u visini kamatnih stopa.
Izloženost kamatnom riziku zavisi od odnosa kamatno osjetljive aktive i pasive banke.
U odjeljenju tržišnih rizika u okviru Sektora za upravljanje rizicima konstantno se rade analize gdje se izdvajaju
senzibilne aktiva i pasiva te računa visina izloženosti riziku promjene kamatnih stopa, uzimanjem različitih »šta
ako« hipoteza.
Cilj upravljanja ovom vrstom rizika je održavanje izloženosti riziku u prihvatljivim okvirima.
c) Devizni rizik
Devizni rizik je rizik mogućnosti nastanka negativnih efekata na finansijski rezultat i kapital banke usljed promjene
deviznog kursa. Bankarsko poslovanje u različitim valutama uslovljava izloženost oscilacijama deviznih kurseva
više valuta.
Interni limiti strožiji su od regulatornog limita devizne pozicije i prate se svakodnevno, uz svakodnevno zatvaranje
otvorenih pozicija, kako bi se osiguralo da izloženost banke deviznom riziku ostane unutar utvrđenih limita.
Operativni rizik
Operativni rizik je rizik nastanka negativnih efekata na finansijki rezultat i kapital banke usljed propusta u odvijanju
poslovnih procesa, ljudskih grešaka, grešaka u sistemu, ili dejstva spoljih faktora.
Uloga procesa upravljanja operativnim rizicima je da identifikuje, procijeni, kontroliše i smanji mogućnost nastanka
i uticaj operativnih rizika i gubitaka. Banka ne može da eliminiše sve operativne rizike, ali kroz proces evidentiranja
i analiziranja operativnih gubitaka može da identifikuje propuste u svojim procesima, proizvodima i procedurama,
i njihovim unapređivanjem smanji učestalost i negativan uticaj operativnih gubitaka na poslovanje i profitabilnost banke. Važan aspekt procesa upravljanja operativnim rizicima je ažurno izvještavanje menadžmenta banke
o značajnim operativnim rizicima, kao i permanentna obuka svih zaposlenih uključenih u proces prikupljanja
podataka o operativnim rizicima i sveobuhvatno razvijanje svijesti o značaju identifikovanja, mjerenja, kontrole i
ublažavanja operativnih rizika.

Liquidity risk management at Nova Banka is complied in accordance with the policies and strategies that help
regulating rights and responsibilities.
b) Interest Rate Risk
Variability of interest rate reflects the sensitivity of capital and revenues due to variability of interest rate on the
market.
Interest risk is the risk of reducing profit or net asset value of the Bank due to changes in interest rates. Exposure
to interest rate risk depends on the Banks’ ration of interest sensitive assets and liabilities of the Bank.
Market Risk Department within the Department of Risk Management sector constantly analyses and selects sensitive assets and liabilities and computes the level of risk exposure depending on interest rate variability, including
various »what if« hypothesis. Objective of the risk management is to maintain risk exposure within acceptable
parameters.
c) Foreign Exchange Risk
Foreign exchange risk (currency risk) is a form of risk that arises due to changes in currency exchange rate causing negative effects on financial result and capital of the Bank. Banking operations in different currencies include
exposure to currencies fluctuations.
Internal limits are more stringent than the regulatory foreign exchange position limit. In addition, internal limits
are monitored on a daily basis, thus keeping the risk exposure within established limits.
Operational Risk
Operational risk is the risk of negative effects on the financial result and capital of the Bank caused by omissions
in the work of employees, inadequate internal procedures and processes, inadequate management of information
and other systems, and unforeseeable external events.
The role of operational risk management is to identify, assess, control and decrease its probability of occurring
and affecting. The Bank cannot eliminate all operational risks, but, through the process of monitoring, noting and
analysing operational losses, it can identify omissions in its own processes, procedures and products whose improvement will certainly lead to the reduction of operational risk and its negative effects on business operations
and profitability.
An important aspect of operational risk management is to report promptly any suspicious and significant risks to
the Bank management,

Podaci o operativnim rizicima prikupljaju se u svi organizacionim dijelovima banke, vrši se njihova klasifikacija i
analiza primjenom odgovarajućeg softvera, i preporučuju načini umanjenja rizika i ublažavanje njihovih posljedica.

Sektor za upravljanje rizicima prati, mjeri i izvještava o riziku izloženosti prema jednom licu ili grupi povezanih lica,
riziku ulaganja banke u druga pravna lica, riziku zemlje porijekla lica prema kome je Banka izložena.
Rizici izloženosti banke obuhvataju rizike izloženosti banke prema jednom licu, grupi povezanih lica i licima povezanim sa Bankom.
Pod rizikom zemlje porijekla lica prema kojem je Banka izložena podrazumijevaju se negativni efekti koji bi mogli
uticati na finansijski rezultat i kapital banke zbog nemogućnosti da se naplati potraživanje od stranih lica iz razloga koji su rezultat političkih, ekonomskih ili socijalnih prilika u zemlji porijekla tog lica.
Nova banka utvrđuje limite izloženosti za svaku pojedinačnu zemlju koristeći rejtinge, te vlastitu metodologiju,
uzimajući u obzir i koncentracije prema pojedinim regionima. Pod tim se podrazumijeva da uspostavljaju limite
kako na nivou ino komitenta tako i na nivou zemlje u kojoj klijent posluje.
Upravljanje kapitalom
Cilj upravljanja kapitalom je da Banka zadrži sposobnost da nastavi svoje poslovanje u neograničenom periodu
u predvidljivoj budućnosti, kako bi očuvala optimalnu strukturu kapitala sa ciljem da se smanje troškovi kapitala,
a akcionarima obezbijede dividende.
Banka kontinuirano upravlja kapitalom kako bi ostvarila sljedeće:
- Obezbijedila usaglašenost sa zahtjevima u vezi sa kapitalom koji su definisani od strane regulatora,
- Obezbijedila adekvatan nivo kapitala za nastavak poslovanja po načelu stalnosti poslovanja,

overall awareness enhancement regarding the importance of identifying, measuring, controlling and mitigating.
Data collection on operational risks are performed at all organisational units of the Bank, then classified and
analysed by using appropriate software, thus ending with recommendations for risk reduction and mitigation.
Bank Exposure Risk
Management sector includes monitoring, assessment and reporting that provide insight into risk exposure to a
single entity or a group of related entities, investments risks, risk relating to the country of origin of the entity to
which the Bank is exposed.
Exposure risks include risks of the Bank’s exposure to a single entity or a group of related entities and risks of
banks’ exposure to a single entity related with the Bank.
Risks relating to the country of origin of the entity to which the Bank is exposed is the risk of negative effects on
the financial result and capital of the Bank due to its inability to collect claims from such entity for reason arising
from political, economic or social conditions in such entity’s country of origin.
Nova Banka sets exposure limits for each country according to rating data, its own methodology and concentration towards individual regions. This implies limits regarding foreign client as well as a country where the client
operates.
Capital Management
The objective of capital management is to ensure the Bank’s ability to continue its operations in the unforeseeable future, thus preserving an optimal capital structure in order to minimise costs and provide dividends to
shareholders.
The bank actively manages its capital for the following purposes:
- to ensure compliance with the requirements relating to capital as defined by regulators;

DRUŠTVENO ODGOVORNO POSLOVANJE I KORPORATIVNO UPRAVLJANJE
Za Novu banku AD Banja Luka društveno-odgovorno upravljanje, te etično i odgovorno djelovanje menadžmenta
i zaposlenih predstavljaju poslovni imperativ i njeno strateško opredjeljenje. Važan dio društveno-odgovornog
poslovanja je korporativna filantropija, koja, takođe, čini sastavni dio misije i prakse banke. Nova banka ne posluje
kao institucija samo za sebe, već shvata da predstavlja dio društva, te u tom kontekstu putem filantropskih
aktivnosti daje strateški odgovor na potrebe društvene zajednice. Budući da ulaganje u obrazovanje i ljudski potencijal predstavlja najbolju investiciju, kako za napredak pojedinca tako i društva uopšte, u protekloj
godini naša strategija je bila usmjerena najviše na taj segment i to u vidu podrške obrazovnim institucijama svih
nivoa, ali i centrima i domovima za nezbrinutu djecu ili za djecu sa posebnim potebama. Pored toga Banka je sa
značajnim iznosom sredstava podržavala i ostale nevladine organizacije, neprofitna udruženja građana, fondacije, održavanje kulturnih manifestacija, te učestvovala u brojnim humanitarnim akcijama. Korporativna filantropija
će i u buduće činiti važan dio naše strategije, koju ćemo nastojati da razvijamo u pravcu jasnih ciljeva i zdrave
prakse radi dobrobiti čitavog društva.
Korporativno upravljanje
Korporativni identitet Nove banke je stabilan, djelimično izgrađen, te mu u periodu od narednih nekoliko godina
predstoje značajni izazovi koje je potrebno iskoristiti u cilju izgradnje što pozitivnijeg imidža i reputacije, ali i u
cilju učvršćenja brenda. Najveća vrijednost korporativnog identiteta prije svega leži u korporativnom upravljanju,
prepoznatom na tržištu kao napredan i standardizovan sistem menadžmenta i sistem standarda kvaliteta (Nova
banka je odlikovana sa nekoliko nagrada za društveno odgovorno upravljanje u kategoriji Korporativnog upravljanja, kao banka sa najboljim standardima korporativnog upravljanja). Potrebno je zadržati strateško opredjeljenje
za centralizovanim, unificiranim i standardizovanim sistemom.
Nova banka je još 2007. godine usvojila svoje standarde korporativnog upravljanja kojim je detaljnije utvrdila
mehanizme funkcionisanja i zaštite interesa u međusobnim odnosima različitih nosilaca interesa u akcionarskom
društvu. Nosioci interesa u Novoj banci su postojeći i potencijalni akcionari, kreditori, povjerioci, zaposleni, Uprava, Nadzorni odbor i država.
Poštovanjem standarda upravljanja Bankom, poboljšava se konkurentna sposobnost društva, ostvaruju se povoljniji uslovi za investicionu aktivnost, te omogućava efikasnije funkcionisanje finansijskih tržišta. Standardi upravljanja Bankom utvrđeni su na bazi slijedećih principa korporativnog upravljanja:

Korporativna društvena odgovornost i etika
Orijentacija Nove banke prema korporativnoj društvenoj odgovornosti do sada je bila više reaktivna nego proaktivna, sa fokusom na socijalna davanja. Banka pomaže zajednicu u kojoj posluje, prije svega putem donacija socijalno ugroženim grupama (djeca sa posebnim potrebama, siromašni) i mladim talentima (dostignuća iz oblasti

To Nova Banka AD Banja Luka, corporate social responsibility, ethic and responsible actions of management and
employees represent a business imperative and strategic orientation. An important part of corporate social responsibility is corporate philanthropy, which also forms an integral part of the mission and activities of the Bank.
Nova Banka does not operate as a mere institution, but as a part of society, thus giving strategic response to the
needs of the social community through its philanthropic activities. Since investment in education and human potential represents the best investment with reference to the progress of an individual but of society in general as
well, over the past year, out strategy was oriented towards supporting education institutions at all levels, centres
and homes for abandoned children and children with special needs. In addition, the Bank significantly supported
non-governmental organisations, non-profit associations of citizens, foundations, cultural events, numerous charity events. Corporate philanthropy will remain an important part of our strategy, oriented towards clear goals and
healthy practice for the benefit of the whole society.
Corporate Governance
Corporate identity of the Nova Bank is stable, partially built, and in the period of the next few years significant
challenges lie ahead, challenges which need to be used in order to achieve a more positive image and reputation,
but also to consolidate the brand. The maximum value of corporate identity lies primarily in corporate governance, recognized on the market as a progressive and standardized management system and also a system of
quality standards ( Nova Bank was awarded the prize for socially responsible management in the category of
corporate governance, as the bank with the best standards of corporate governance). It is necessary to maintain
a strategic commitment to a centralized, unified and standardized system.
Nova Bank in 2007 adopted its own standards of corporate governance by which it has established function
mechanisms and ways of protecting the interests of the mutual relations of various stakeholders in the joint stock
company. Stakeholders in the Nova Bank are the existing and potential shareholders, creditors, employees, the
Management Board, Supervisory Board and the state.
By respecting the bank governance standard, the competitiveness of companies is improved, favorable conditions
for investment activity are realized, and more efficient functioning of financial markets is enabled. Standards of the
Bank are determined on the basis of the following principles of corporate governance:

a focus on social benefits. The Bank assists the community in which it operates, primarily through donations to

Izvršili smo reviziju finansijskih izvještaja Nove banke a.d. Banja Luka (u daljem tekstu: „Banka”) koji obuhvataju
bilans stanja na dan 31. decembra 2011. godine, bilans uspjeha, izvještaj o promjenama na kapitalu i izvještaj
o novčanim tokovima za godinu koja se završila na taj dan, kao i pregled značajnih računovodstvenih politika i
ostalih napomena uz finansijske izvještaje.
Odgovornost rukovodstva za finansijske izvještaje
Rukovodstvo banke je odgovorno za pripremu i objektivno prikazivanje ovih finansijskih izvještaja u skladu sa
Zakonom o računovodstvu i reviziji Republike Srpske i propisima Agencije za bankarstvo Republike Srpske, koji
regulišu finansijsko izvještavanje banaka, kao i za interne kontrole koje rukovodstvo smatra neophodnim da
omoguće pripremu finansijskih izvještaja koji ne sadrže materijalno značajne pogrešne iskaze, nastale usljed
prevare ili greške.
Odgovornost revizora
Naša je odgovornost da izrazimo mišljenje o finansijskim izvještajima, na osnovu revizije koju smo izvršili. Reviziju
smo izvršili u skladu sa Međunarodnim standardima revizije. Ovi standardi nalažu da se pridržavamo etičkih normi
i da reviziju planiramo i izvršimo na način koji omogućava da se, u razumnoj mjeri, uvjerimo da finansijski izvještaji
ne sadrže materijalno značajne pogrešne iskaze. Revizija obuhvata sprovođenje procedura u cilju prikupljanja
revizorskih dokaza o iznosima i objelodanjivanjima u finansijskim izvještajima. Izbor revizorskih procedura zavisi
od procjene revizora pri čemu se uzima u obzir i ocjena rizika da li finansijski izvještaji sadrže materijalno značajne
pogrešne iskaze nastale usljed prevare ili greške. Vršeći procjenu takvog rizika, revizor razmatra i interne kontrole bitne za pripremu i objektivno prikazivanje finansijskih izvještaja, u cilju kreiranja odgovarajućih revizorskih
procedura u skladu sa okolnostima, ali ne i u cilju izražavanja mišljenja o efikasnosti internih kontrola banke. Revizija takođe uključuje ocjenu opravdanosti primjene odgovarajućih računovodstvenih politika i računovodstvenih
procjena izvršenih od strane rukovodstva, kao i ocjenu opšte prezentacije finansijskih izvještaja. Smatramo da su
revizorski dokazi koje smo prikupili dovoljni i odgovarajući da obezbjede osnovu za izražavanje našeg mišljenja.
Mišljenje
Po našem mišljenju, finansijski izvještaji prikazuju objektivno i istinito finansijsko stanje banke na dan 31. decembra
2011. godine i rezultate njenog poslovanja i novčane tokove za godinu koja se završila na taj dan, u skladu sa
Zakonom o računovodstvu i reviziji Republike Srpske i propisima Agencije za bankarstvo Republike Srpske koji
regulišu finansijsko izvještavanje banaka.

We have audited the accompanying financial statements of Nova banka a.d., Banja Luka (hereinafter referred
as to ”the Bank”), which comprise the balance sheet as at 31 December 2011, income statement, statement of
changes in capital and cash flow statement for the year then ended, as well as a summary of significant accounting policies and other explanatory notes.
Management’s Responsibility for the Financial Statements
Management is responsible for the preparation and fair presentation of these financial statements in accordance
with Law on Accounting and Auditing of the Republic of Srpska, and regulations of the Banking Agency of the
Republic of Srpska, governing financial reporting of banks, and for such internal controls as management determines are necessary to enable the preparation of financial statements that are free from misstatement, whether
due to fraud or error.
Auditor’s Responsibility
Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our
audit in accordance with International standards on auditing. Those standards require that we comply with ethical
requirements and plan and perform the audit to obtain reasonable assurance whether the financial statements
are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the
amounts and disclosures in the financial statements. The procedures selected depend on the auditor ’s judgment,
including the assessment of the risks of material misstatement of the financial statements, whether due to fraud
or error. In making those risk assessments, the auditor considers internal control relevant to the entity’s preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in
the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity’s internal
control. Audit also includes evaluation of the appropriateness of accounting policies used and the reasonableness
of accounting estimates made by management, as well as evaluation of the overall presentation of the financial
statements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis
for our audit opinion.
Opinion
In our opinion, the financial statements give a true and fair view of the financial position of the Bank as of 31
December 2011, and of its financial performance and cash flows for the year then ended, in accordance with the
Law on Accounting and Auditing of the Republic of Srpska and regulations of the Banking Agency of the Republic

11. DEPOZITI I KREDITI U DOMAĆOJ I STRANOJ VALUTI
Na dan 31.12.2011. godine na računu kod Centralne banke Bosne i Hercegovine izdvojena su sredstva po osnovu
obavezne rezerve u iznosu od 117.198 hiljada KM.
Obavezna rezerva je izdvojena u skladu sa Odlukama Centralne banke Bosne i Hercegovine o utvrđivanju i
održavanju obaveznih rezervi i utvrđivanju naknade na iznos rezervi, koja propisuje osnovicu za obračun
obavezne rezerve, obračunski period, stopu obavezne rezerve, kao i obračun naknade banci za iznos sredstava
na računu rezervi kod Centralne banke.
Osnovicu za obračun obavezne rezerve čine depoziti i pozajmljena sredstva, bez obzira u kojoj su valuti sredstva izražena. Obavezna rezerva se obračunava prema stanju tih sredstava na kraju svakog radnog dana u toku
obračunskog perioda, koji prethodi periodu obračuna. Obračunski period (period obračuna obaveznih rezervi)
počinje svakog mjeseca u dane prvog, jedanaestog i dvadeset prvog, a završava se desetog, dvadesetog i zadnjeg dana u mjesecu. Banka je obavezna da nakon svakog obračunskog perioda, a najkasnije u roku od tri dana po
isteku perioda obračuna, dostavi Centralnoj banci BiH izvještaj o stanju svojih depozita i pozajmljenih sredstava
izraženih u konvertibilnim markama.
U skladu sa Odlukom o izmjenama o utvrđivanju i održavanju obaveznih rezervi i utvrđivanju naknada na iznos
sredstava rezervi, koja se primjenjivala u periodu od 01. februara 2011. godine do 01. avgusta 2011. godine,
definisano je da stopa obavezne rezerve koju primjenjuje Centralna banka iznosi 10% na depozite i pozajmljena
sredstva sa ugovorenim rokom dospjeća do jedne godine (kratkoročni depoziti i pozajmljena sredstva) i 7% na
depozite i pozajmljena sredstva sa ugovorenim dospjećem preko jedne godine (dugoročni depoziti i pozajmljena
sredstva). Centralna banka obračunava naknadu na iznos sredstava banke i to: na iznos obavezne rezerve i na
iznos sredstava iznad obavezne rezerve, po stopi koja se utvrđuje na osnovu prosjeka kamatne stope koju je u
istom periodu na tržištu ostvarila Centralna banka na prekonoćne depozite.
U skladu sa Odlukom o izmjenama drugog novog prečišćenog teksta Odluke o utvrđivanju i održavanju obaveznih
rezervi i utvrđivanju naknade na iznos rezerve, koja se primjenjuje od 01. avgusta 2011. godine promjenjen je
iznos naknade koji Centralna banka obračunava na iznos sredstava na računima rezerve: na iznos obavezne
rezerve 70% od stope koja je utvrđuje na osnovu ponderisanog prosjeka kamatnih stopa koje je u istom periodu
na tržištu ostvarila Centralna banka na depozite investirane do mjesec dana i na iznos sredstava iznad obavezne
rezerve 90% od stope koja se utvrđuje na osnovu ponderisanog prosjeka kamatnih koje je u istom periodu na

11. DEPOSITS AND LOANS IN LOCAL AND FOREIGN CURRENCY
As of 31 December 2011 assets KM 117,198 thousand KM were maintained for the mandatory reserve purposes
on the account held with the Central Bank of Bosnia and Herzegovina.
The mandatory reserve was maintained in the manner defined by the Decision of the Central Bank of Bosnia and
Herzegovina on determination and maintenance of mandatory reserves and determination of income for the
reserve, whereby the following are prescribed: the basis for obligatory reserve calculation, calculation period,
obligatory reserve rate, as well as income for the obligatory reserve amount with the Central Bank.
Deposits and funds borrowed represent the basis for calculating the mandatory reserve, regardless of their
currency. The mandatory reserve is calculated according to the balance at the end of each working day during
period, proceeding the maintenance period. The period for calculating the mandatory reserve begins as of 1st,
11th and 21st day of each month and concludes on 10th, 20th and the last day in a month. The Bank is obligated
to submit a report to the Central Bank of Bosnia and Herzegovina on the balance of its deposits and loans in KM.
In line with the Decision on the amendment of the Decision on determining and maintaining obligatory reserves
and determination of interest for reserves, that was applicable during the period of 1 February 2011 until 1 August
2011, obligatory reserve rate applied by the Central Bank is defined and it is 10% on deposits and borrowings with
agreed maturity up to one year (short-term deposits and borrowings) and 7% on deposits and borrowings with
agreed maturity over one year (long-term deposits and borrowings). The Central Bank calculates compensation
amount in the reserve account as follows: on the amount of obligatory reserve and on the amount above obligatory reserve, at the rate which is determined based on the average interest rate that the Central Bank has made
overnight deposits in the same period on the market.
In line with Decision on changes in the 2nd bowdlerized text of the Decision on determining and maintaining
obligatory reserves and determination of interest for reserves, that was applicable during the period of 1 August
2011, fees that the Central Bank calculates on the assets amount on reserve accounts is changed as follows: on
the amount of obligatory reserves 70% of the rate which is determined based on the weighted average interest
rate which the Central Bank has made in the same period on deposits invested up to a month on the market and
on the amount above obligatory reserve 90% of the rate which is determined based on weighted average interest rate which the Central Bank has made in the same period on deposits invested up to a month on the market.

vrijednosti drugih preduzeća u iznosu od 1.909 hiljada KM. U skladu sa Odlukom Vlade Republike Srpske o prvoj
emisiji obveznica Republike Srpske javnom ponudom od 12. novembra 2011. godine, Banka je, a na osnovu Odluke
Kreditnog odbora od 02. novembra 2011. godine, kupila obveznice u vrijednosti od 27.150 hiljada KM, čija vrijednost
na dan 31. decembra 2011. godine iznosi 27.200 hiljada KM, nakon usklađivanja sa tržišnom vrijednošću. Kamatna
stopa na obveznice je 5% na godišnjem nivou na nominalnu vrijednost obveznice i isplata kamate se vrši dva puta
godišnje po isteku svakog polugodišta od dana registracije. Banka je po osnovu ulaganja u hartije od vrijednosti od
države i državnih organa ostvarila prihode od kamata u iznosu od 195 hiljada KM.
Banka na dan 31. decembar 2011. godine ima iskazane hartije od vrijednosti koje se drže do dospijeća u iznosu od
226 hiljada KM (31. decembra 2010. godine: 234 hiljada KM) i odnose se na obveznice ratne štete u iznosu od 56
hiljada KM i na obveznice opštine Bijeljina u iznosu od 170 hiljada KM.
Banka na dan 31. decembra 2011. godine ima iskazana učešća (udjeli) u drugim pravnim licima, i najznačajnije
učešće odnosi se na Novu lizing (63%) u iznosu od 860 hiljada KM (neto vrijednost 724 hiljada KM) i na Novu Real

on Decision of the Loan Committee dated 2 November 2011, bought bonds in the amount of 27,150 thousand KM,

Preuzete neopozive obaveze
Preuzete neopozive obaveze se odnose na neiskorišćene odobrene kredite i revolving kredite (kreditne kartice i pozajmice). Preuzete neopozive obaveze obično imaju fiksne datume kada ističu ili druge odredbe u vezi isteka. Pošto
preuzete neopozive obaveze mogu isteći prije povlačenja kredita od strane komitenata, ukupno ugovoren iznos ne
predstavlja neophodno buduće gotovinske odlive.
Ipak, potencijalni kreditni gubitak je manji od ukupnih neiskorišćenih obaveza iz razloga što je većina obaveza
potencijalna i zavisi od ispunjenja određenih uslova od strane klijenta. Banka prati ročnost preuzetih neopozivih
obaveza po osnovu neiskorišćenih odobrenih kredita jer dugoročne preuzete obaveze nose viši stepen kreditnog
rizika od kratkoročnih preuzetih obaveza.

Komisioni poslovi uključuju iznos od 19.121 hiljada KM (31. decembra 2010. godine: 20.771 hiljada KM) koji predstavlja poslove u ime i za račun drugih pravnih lica.
U okviru datih komisionih poslova iznos od 11.327 hiljade KM se odnosi na poslove naplate kredita uz naknadu od
1% iznosa naplaćenih kredita, a sve u skladu sa zaključenim sporazumom o obavljanju komisionih poslova.
U skladu sa potpisanim ugovorima, Banka u ime i za račun opština RS (Trebinje, Višegrad, Derventa) kao i institucija
iz Fereracije BiH (Kanton Sarajevo) vrši plasman i naplatu kredita za razvoj privrede i poljoprivredne prozvodnje navedenih opština. Na dan 31. decembra 2011. godine ukupna potraživanja po osnovu zaključenih komisionih poslova
u ime i za račun opština i drugih institucija države iznose 6.886 hiljada KM.
Ostali komisioni poslovi u ime i za račun trećih lica (finansijske institucije) iznose 155 hiljada KM.
Banka od 2002. godine u ime i za račun finansijske institucije (IGA) vrši plasman i naplatu kredita odobrenih na ime
podsticanja i razvoja proizvodnje za izvoz i na dan 31.decembra.2011. godine ukupna potraživanja po osnovu datih
plasmana iznose 753 hiljada KM.

Irrevocable commitments
Irrevocable commitments are unused approved loans and revolving loans (credit cards and borrowings). Irrevocable
commitments usually have fixed dates of maturity or other provision regarding the expiration. Due to the fact that
irrevocable commitments may expire before the withdrawal of the loan by customer, total approved amount does
not necessary represent the future cash flow.
However, potential credit loss is less then total unused commitments due to the fact that majority of obligation are
potential and depends from fulfillment the specific conditions from customer. Bank monitors the maturity of irrevocable commitments based on unused funds because the long term liabilities bears the higher level of credit risk
then short-term liabilities.

Funds managed on behalf third parties include the amount of 19.121 thousand KM (31 December 2010 20.771
thousand KM) that relate to the loans of third parties.
Within the structure of funds managed on behalf of third parties, amount of 11.327 thousand KM is from collection
of loans with fee of 1% of collected loans, in accordance with signed agreement.
In accordance with signed agreements, the Bank can, on behalf of some municipalities in RS (Trebinje, Višegrad,
Derventa) and institutions from Federation of Bosnia and Herzegovina (Canton Sarajevo), execute placements and
collect loans for economic development and agriculture development of these municipalities. On 31 December
2011 total balance total balance of receivables that refer to transactions on behalf of third parties (municipalities and
other state institutions) was 6.886 thousand KM.
Other business managed on behalf of third parties (financial institutions) was 155 thousand KM.
Since 2002 Bank has made placements and collected of loans on behalf of financial institution IGA, approved for
encouragement and development of production for export. On 31 December 2011 total balance of these receivables was 753 thousand KM.

Banka na depozite po viđenju pravnih lica plaća kamatu po stopi od 0,1% godišnje, a na oročene depozite u
domaćoj i stranoj valuti kamatna stopa se kretala u rasponu od 0,31% do 6,5% godišnje, u zavisnosti od perioda

Bank on a vista deposits paid interest rate from 0,1% on yearly level, and on time deposits in local and foreign currency interest rate from 0,31% to 6,50% on yearly level, depending on maturity, amount and currency.

Obaveze po dugoročnim kreditima povučenim od fondova kojim upravlja IRB RS, odnose se na pojedinačne ugovore sa rokovima dospjeća od 3 do 20 godina i godišnjom kamatnom stopom od 2% do 3,7%. Sredstva su primljena
u cilju kreditiranja poljoprivrede, preduzetnike i preduzeća, stambene kredite za stanovništvo i za jedinice lokalne
samouprave.
Obaveze po dugoročnim kreditima prema IFC su iskazane u skladu sa Ugovorom o kreditnoj liniji zaključenim
između Nove banke i Međunarodne Finansijske korporacije maja 2006. godine. U skladu sa ovim Ugovorom kredit
se odobrava u vrijednosti od EUR 10.000.000, a povlačenje kredita se odobrava od strane IFC na osnovu dostavljenih
zahtjeva od strane zajmoprimca (Banka) i svaka isplata, izuzev posljednje biće u iznosu najmanje EUR 1.000.000. Rok
za otplatu kredita je 15. jun 2013. godine.
Obaveze po dugoročnim kreditima prema The European Fund for Southeast Europe (EFSE) su iskazane u skladu
sa okvirnim ugovorom za dodjelu Pojedinačnih kredita zaključenim dana 26. juna 2006. godine između Evropskog
Fonda za Jugoistočnu Evropu („Fond“) i Nove banke AD Banja Luka. U skladu sa Ugovorom kredit je povučen u
iznosu od EUR 17.000.000 sa otplatom u polugodišnjim ratama (31. marta i 30. septembra) počev od 31. marta
2007. godine po godišnjoj stopi koja je jednaka zbiru šestomjesečne evropske međubankarske stope (EURIBOR)
uvećanu za maržu koja je navedena u predmetnom Ugovoru o Pojedinačnom kreditu.
Obaveze prema IBR RS u iznosu od 13.209 hiljada KM, iskazane su u skladu sa ugovorom o supsidijarnom finansiranju (Svjetska banka) zaključenim 20. decembra 2010. godine između Investiciono-razvojne banke Republike Srpske
koja upravlja Fondom za razvoj i zapošljavanje Republike Srpske i Nove banke AD Banja Luka.
Ugovorom je definisano da će IBR RS proslijediti kreditna sredstva IBRD (Supsidijarno finansiranje) isključivo za
finansiranje podzajmova ka korisnicima, i da će supsidijarno finansiranje prema Banci biti identično po iznosu, rokovima dospjeća i grejs periodu kao i podzajmovi banke odobreni korisnicima. U skladu sa ugovorom Banka utvrđuje
kamatnu stopu za krajnje korisnike zavisno o procjeni rizika krajnjeg korisnika i kvalitetu instrumenata osiguranja, i
da kamatne stope za krajnje korisnike moraju biti vezane za šestomjesečni Euro Libor uvećan za maržu koju utvrđuje
Banka. Povučeni i neotplaćeni iznos supsidijarnog finansiranja imaće kamatnu stopu jednaku prosječnoj vrijednosti
Euro Libor za prethodni šestomjesečni period, kako ga obračunava Svetska banka svakog 15. juna i 15. decembra
plus marža od 2%. IRB RS obračunavaće i naplaćivati naknadu od banke u iznosu od 0,25% jednokratno po svakom
podzajmu koji će Banka odobriti krajnjem korisniku. Banka će otplaćivati iznos glavnice supsidijarnog finansiranja
dospjele u skladu sa otplatnim planom utvrđenim u relevatnim Aneksima ugovorima o supsidijarnom finansiranju i
otplata duga će se vršiti kvartalno 1. Marta, 1. Juna, 1. Septembra i 1. Decembra svake godine na račun koji odredi
IRB RS u skladu sa otplatnim planom.

Long term loans from funds managed by IRS, RS are related to single agreements with maturity date over the period
from 3 to 20 years and interest rate from 2% to 3.7% p.a. Funds were borrowed in order to fund agriculture, enterprises and entrepreneurs, Retail housing loans and loans for local self-management units.
Long-term loans from the International Finance Corporation relate to an Agreement on credit line signed in May
2006. In accordance with the Agreement, the loan is granted in the amount of EUR 10,000,000. The loan can be
withdrawn upon the approval of IFC on the basis of the request submitted by the debtor (the Bank). All the withdrawals (except the last one) will be in the amount not less than EUR 1,000,000. Loan is due on 15 June 2013.
Long-term borrowings from the European Fund for Southeast Europe relate to general agreement on granting
individual loans signed by the Bank and the European Fund for Southeast Europe (the Fund) on 26 June 2006. In
accordance with the Agreement, the loan is granted in the amount of EUR 17,000,000 and it is to be repaid in semiannual installments (on 31 March and 30 September) starting from 31 March 2007. Annual interest rate represents
the sum of 6m EURIBOR and a margin which is defined in each individual loan agreement.
Debt of KM 13,209 thousand to the IRB RS is reported in accordance with the Agreement of subsidiary funding
(World Bank IBRD), on 20 December 2010 between IRB RS, which manages Development and Employment Fund of
RS and Nova Banka a.d. Banja Luka.
In accordance to the agreement it is defined that the IBR RS will forward loan of IBRD (Subsidiary financing) exclusively to fund sub loans, and that subsidiary financing to Bank will be identical when it comes to amount, maturity,
grace period as well as sub loans which Bank approved to final borrowers. In line with agreement, Bank determines
interest rate for final borrowers in dependence with the estimated risk of the final user of the loan and quality of the
collaterals and the interest rate for the final borrower must be related with 6m Euro Libor increased for the Bank
margin. Taken and not paid amount of subsidiary finance will have interest rate calculated as average 6m Euro Libor
for the period of past six months, according to calculations which World Bank reports on June 15 and December 15
increased for 2%. IRB RS will calculate and charge Bank fee which is 0.25% one-off for each Subsidiary Loan Bank
that will allow the end user. Bank will repay principal amount of subsidiary user which has due in accordance with
plan which is estimated in agreement annexes and repay of the debt will be quarterly on March 1, June 1, September
1 and December 1 each year on the count which IRB RS will estimate according to repayment plan.

Po osnovu obaveza subordiniranog duga u iznosu od 10.000 hiljada KM, Skupština akcionara banke je dana 11.
maja 2011. godine, a na osnovu saglasnosti Agencije za bankarstvo Republike Srpske, donijela odluku o emitovanju
XVII emisije HoV, Prve emisije obveznica javnom ponudom u ukupnom iznosu od 10.000.000 KM. Komisija za Hartije
od Vrijednosti je dana 04. avgusta 2011., godine donijela Rešenje kojim se proglašava sedamnaesta emisija hartija
od vrijednosti (prva emisija obveznica) uspiješnom i upisuje u registar emitenata. Agencija za bankarstvo Republike
Srpske je dana 03. novembra 2011. godine donijela Rešenje kojim se daje saglasnost za uključenje subordiniranog
duga u dopunski kapital banke u iznosu od 10.000.000 KM. U skladu sa Odlukom Agencije, Banka u roku od 5 godina, a i nakon isteka roka od 5 godina ne smije vršiti otplatu subordiniranog duga, ako bi se kapital banke smanjio
ispod propisanog, kao i da je Banka dužna da za početak otplate subordiniranog duga traži prethodnu saglasnost
Agencije za bankarstvo Republike Srpske.
U skladu sa odlukom o emitovanju Prve emisije obveznica javnom ponudom, emitovane su obveznice sa rokom
dospijeća od 7 godina, uz fiksnu godišnju kamatnu stopu od 8%. U toku prve 3 godine od dana upisa obveznica,
Banka će isplaćivati kamatu dva puta godišnje (grace period), a nakon isteka perioda od 3 godine, Banka će u naredne četri godine polugodišnje isplaćivati glavnicu u osam jednakih iznosa, zajedno sa pripadajućom kamatom.
Obveznice Prve emisije u iznosu od 10.000.000 KM, kupili su Fond za razvoj za zapošljavanje (2.500.000,00 KM),
Fond za restituciju RS (2.500.000 KM) i Akcijski fond RS (5.000.000 KM).
Banka na dan 31. decembra 2011. godine, takođe ima subordinirani dug u iznosu od 868 hiljada KM i odnosi se na
obaveze za kredit povučen od USAD-a. Banka je u toku 2003. godine kupila kreditni portfolio od USAID-a za iznos
od KM 4.825 hiljada. Iznos od 2.895 hiljada KM plaćen je u avgustu 2003. godine, dok je za preostali iznos od 1.930
hiljada KM zaključen Ugovor o subordiniranom kreditu. Saglasno Ugovoru o subordiniranom kreditu, Banka je u
obavezi da subordinirane obaveze plati u jednakim kvartalnim ratama počev od 01.12.2003. godine do 01.09.2018.
godine, uz fiksnu kamatnu stopu Euro LIBOR na godišnjem nivou.
Pasivna vremenska razgraničenja u domaćoj i stranoj iznose 10.611 hiljada KM i čine sljedeće:

On the basis of subordinated debt in the amount of 10,000 thousand KM, on the 11 May 2011 Shareholders’ Meeting of the Bank, with the consent of Banking Agency or Republic of Srpska decided to broadcast 17th issue of the
securities, First issue of the bonds by public offer in the amount of 10,000,000 KM. On 4 August 2011 Securities
commission adopted the decision and declared the seventeenth issue of the securities (the first issue of the bonds)
as successfully entered into the registry of issuers. On 03 November 2011 Banking Agency of the Republic of Srpska
adopted the Decision approving the inclusion of subordinated debt in supplementary capital of the Bank in the
amount of 10,000,000 KM. In accordance with the decision of the Banking Agency the Bank, should not repay the
subordinated debt, within 5 years, and after the expiration of 5 years, if the capital is reduced below the prescribed
and that the Bank is required to start repayment of subordinated debt and that the Bank should require the approval
of the Banking Agency.
In accordance with the Decision of First bond issue by public offer, issued bonds have 7 years maturity with fixed
interest rate of 8%. During first three years from the date of bonds, the Bank will pay interest twice a year (grace
period), and after three years the Bank will, in next four years and semi-annually, pay principal amount together with
interest in eight equal amounts.
First issue of the bonds in amount of 10,000,000KM bought Development and Employment Fund of RS (2,500,000
KM), Restitution Fund RS (2,500,000 KM) and Equity Fund RS (5,000,000 KM).
On the 31 December 2011 Bank also had subordinated loan in amount of 869 thousand KM, which refers to the
obligations of the loan withdrawn from USAID. During 2003, Bank bought credit portfolio from the USAID in amount
KM 4,815 thousand. Amount KM 2,895, was paid in August 2003, and the subordinated debt agreement was made
for the rest of the amount, which is KM 1,930 thousand KM. According to the subordinated debt agreement, the
Bank is obligated to pay subordinated liabilities quarterly in equal payments beginning from 01. December 2003 till
the 01 September 2018, with fixed interest rate, which is Euro LIBOR annually.

Sve gore navedene promjene akcionara banke evidentirane su u jedinstvenoj evidenciji akcionara kod Centralnog
registra Hartija od vrijednosti Republike Srpske.
Banka na dan 31. decembra 2011. godine ima novčani iznos kapitala u iznosu od 70.863 hiljada KM. Zakonom o
bankama Republike Srpske propisan je minimalan iznos novčanog kapitala od 15.000 hiljada KM.
Članom 90. stav 3. Zakona o bankama Republike Srpske, odnosno Odlukom o minimalnim standardima za upravljanje kapitalom banaka, propisan je minimalni koeficijent adekvatnosti kapitala od 12% i način obračuna istog.
Na dan 31. decembra 2011. godine, koeficijent adekvatnosti kapitala banke iznosio je 14% (31.decembra.2010.
godine: 13,9%).
23. SUDSKI SPOROVI
Najznačajniji spor koji se vodi protiv banke je po tužbi Farmaland AD Nova Topola, koji takođe vodi spor i protiv
Republike Srpske radi utvrđivanja u učešću akcionarskog kapitala u Novoj banci AD Banja Luka od 0,323% i za
iznos od 4.500 hiljada KM na ime prava po osnovu vlasništva nad akcijama banke. Naime, Farmaland je pravni
nasljednik PIK Mladen Stojanović, čiji je kapital odlukom nadležnih državnih organa isknjižen, jer je Država bila
većinski akcionar PIK Mladen Stojanović. Na dan 01. januara 2003. godine Agroprom banka je pripojena Novoj
banci AD Banja Luka i na dan pripajanja tužilac nije imao učešća u akcionarskom kapitalu Agroprom banke.
Imajući u vidu da Banka nije bila u bilo kakvom odnosu sa tužiocem, rukovodstvo banke smatra da iz ovog spora
neće proisteći materijalno značajna obaveza i zbog toga nisu vršena rezervisanja po tom osnovu.
24. DOGAĐAJI NAKON DATUMA BILANSA STANJA
Nije bilo događaja nakon datuma Bilansa stanja koji bi materijalno uticali na finansijske izvještaje banke.

All above stated changes of the Bank’s shareholders are recorded with the Central Securities Registry of the Republic of Srpska.
On 31 December 2011, the Bank’s monetary equity amounted to KM 70,863 thousand. As prescribed by the Law
on Banks of the Republic of Srpska, minimal monetary equity amount is KM 15,000 thousand.
According to the Article 90, paragraph 3, of the aforementioned Law and the Decision on minimum standards for
management of banks’ capital, the minimal capital adequacy ratio of 12% is prescribed, and the way of calculation
the same one. As of 31 December 2011 capital adequacy ratio was 14% (31 December 2010: 13.9%).
23. LITIGATIONS
The most important lawsuit against the Bank is from the litigation of Farmaland a.d. Nova Topola, that also initiated lawsuit against Republic of Srpska in order to determine the shareholder ’s equity in Nova Banka a.d., Banja
Luka in the amount of 0.323% and requested amount of 4,500 KM based on the ownership of the Bank shares.
Farmaland is legal successor of PIK Mladen Stojanovic, whose capital was lost during the privatization of Agroprom banke a.d., Banja Luka. On January the 1, 2003 Agroprom Bank was merged with Nova Banka a.d., Banja
Luka and on that day plaintiff did not have shares in shareholder ’s equity of Agroprom banka. Considering that
the Bank was not in any relation with the plaintiff, the Bank’s management believes that this litigation will be resolved in its favor and therefore did not make provisions for this case.
24. EVENTS AFTER BALANCE SHEET DATE
The Bank had no other significant events after balance sheet date which would have material effect on the financial statements.
