General Sales Conditions
1 - APPLICABILITÀ DELLE CONDIZIONI.
1.1. Le presenti condizioni generali (qui di seguito “le CONDIZIONI”) costituiscono parte integrante di tutti i contratti
di vendita delle piastrelle ed altro materiale ceramico (qui di seguito “il/i PRODOTTI”) a cui sia parte la PANARIAGROUP
Industrie Ceramiche S.P.A. divisione Fiordo Industrie Ceramiche (qui di seguito “il FABBRICANTE”). Salvo singoli casi in
cui esse siano state derogate con espresse pattuizioni scritte a firma del FABBRICANTE, esse costituiranno la disciplina
esclusiva di tali vendite. Se una o più parti delle presenti CONDIZIONI o dei singoli contratti che le includano risultassero
invalide, le CONDIZIONI generali o particolari resteranno valide nel loro complesso; le parti invalide saranno sostituite
con pattuizioni che si avvicinino quanto possibile alla originaria volontà delle parti.
2 - CONCLUSIONE DEL CONTRATTO DI VENDITA - CONSEGNA DEI PRODOTTI.
2.1. Il contratto si intende concluso al momento in cui il proponente o l’ordinante vengano a conoscenza del consenso
scritto della controparte.
2.2. L’ordine non confermato per iscritto in nessun caso potrà intendersi accettato salvo esecuzione del medesimo da
parte del FABBRICANTE mediante spedizione o consegna dei PRODOTTI. La consegna parziale di PRODOTTI ordinati
non comporta l’accettazione dell’intero ordine, ma solo di quella parte di PRODOTTI effettivamente consegnata.
2.3. Salvo diverso accordo scritto, la consegna dei PRODOTTI e la resa degli stessi in Italia e all’estero avverrà secondo
la formula “Franco Fabbrica”. Tale formula, come anche nelle formule di resa che fossero convenute per iscritto
in alternativa ad essa, fanno riferimento agli “Incoterms” della Camera di Commercio Internazionale di Parigi, nella
edizione vigente al momento della vendita.
2.4. Salvo diverso accordo, tutte le date indicate come termine di consegna si intendono a titolo indicativo.
3 - CARATTERISTICHE DEI PRODOTTI - GARANZIA - RECLAMI.
3.1. Le piastrelle in ceramica ed altri PRODOTTI ceramici fabbricati dalla PANARIAGROUP Industrie Ceramiche S.P.A.
divisione Fiordo Industrie Ceramiche sono conformi alle norme europee UNI-DIN-ISO 13006-G BIa. Il FABBRICANTE
vende esclusivamente a rivenditori professionali; questi sono responsabili della correttezza delle informazioni tecniche
fornite agli utilizzatori finali e/o ai negozi al dettaglio. La classificazione del prodotto è indicata dal FABBRICANTE sul
materiale pubblicitario e/o sui listini prezzi. L’acquirente deve di conseguenza utilizzare i PRODOTTI sulla base della
classificazione fornita dal FABBRICANTE. Per facilitare le indicazioni di utilizzo, ed adattare le classificazioni standard alle
specificità della produzione del FABBRICANTE, a fronte di ogni prodotto, nei listini o sui cataloghi sono posti dei segni
che indicano l’uso specifico consigliato dal FABBRICANTE.
3.2. Le differenze di tonalità non sono un difetto del PRODOTTO bensì una caratteristica dello specifico materiale cotto
ad alte temperature. Il particolare requisito di ingelività si applica solo ai PRODOTTI che il FABBRICANTE garantisce
espressamente con apposita indicazione sul materiale pubblicitario e/o listini. In mancanza di tale indicazione i
materiali ceramici si considerano solo ed unicamente per uso in interni o comunque in locali protetti dalle intemperie.
La garanzia di ingelività ha una durata di due anni.
3.3. I materiali in ceramica con superficie lucida non possono mai essere utilizzati in locali a piano terreno con accesso
all’esterno, né in locali in cui sia previsto un grande calpestio. Le piastrelle brillanti sono inoltre suscettibili di una certa
scivolosità, specialmente se bagnate: il FABBRICANTE ne sconsiglia di conseguenza l’uso in locali pubblici. Per i locali
ove sia previsto un grande calpestio l’acquirente dovrà acquistare solo i PRODOTTI classificati dal FABBRICANTE come
PEI V, ed in particolare quelle piastrelle che il FABBRICANTE consiglia specificatamente per uso in locali pubblici.
3.4. Le rappresentazioni dei PRODOTTI sui depliant ed altri materiali pubblicitari del FABBRICANTE sono puramente
illustrative e non rappresentano necessariamente il risultato estetico finale di posa dello specifico PRODOTTO
rappresentato.
3.5. Il FABBRICANTE garantisce la buona qualità e l’assenza di vizi nei PRODOTTI forniti. La garanzia non si applica
per PRODOTTI classificati dal FABBRICANTE per qualità inferiori alla 1^ scelta o per partite di PRODOTTI di fine serie,
vendute in blocco e segnalate come partite speciali.
3.6. Il FABBRICANTE non è responsabile per vizi e/o anomalie rilevate sui PRODOTTI non dovuti alla qualità dei
PRODOTTI stessi ma all’uso improprio degli stessi da parte degli acquirenti e/o dei suoi aventi causa. In particolare, il
FABBRICANTE non accetta reclami o contestazioni in relazione alle situazioni precedentemente descritte.
3.7. I reclami devono essere comunicati dall’acquirente al FABBRICANTE per iscritto entro 8 giorni dalla consegna
della merce. Per vizi occulti il termine è di 8 giorni dalla scoperta del vizio. In nessun caso il FABBRICANTE risponderà
per vizi che vengano denunciati dopo 12 mesi dalla consegna dei PRODOTTI all’acquirente al primo acquirente del
FABBRICANTE. A tal fine, in espressa deroga a quanto previsto dall’art. 1519-quinquies cod.civ., il rivenditore potrà
esercitare l’azione di regresso contro il FABBRICANTE esclusivamente entro il termine di 1 anno dalla consegna dei
Prodotti.
3.8. In generale la garanzia si applica solo per vizi rilevati in prodotti non ancora posati. Per eventuali vizi occulti rilevabili
solo successivamente alla posa, ai fini dell’applicazione della garanzia, è necessario che il FABBRICANTE accerti che la
posa sia stata eseguita a regola d’arte (secondo i codici di posa nazionali o secondo le norme europee - ISO sulla posa).
3.9. La garanzia del FABBRICANTE si limita alla sostituzione dei prodotti difettosi con altri dello stesso tipo esenti da
vizi, trasporto incluso. E’ escluso il rimborso di altri oneri e/o spese accessorie e, in particolare, i costi di demolizione
e riposatura dei PRODOTTI. In tutti i casi la garanzia del FABBRICANTE non potrà eccedere cinque volte il valore del
materiale contestato, con un massimo assoluto di Euro 10.000 (diecimila).
3.10. Il FABBRICANTE non risponde per reclami dovuti ad una classificazione del materiale ceramico da parte di
organismi di controllo e/o certificazione esteri, diversa da quella italiana, sulla base di specifiche tecniche che non
corrispondano a quelle utilizzate dal FABBRICANTE. Eventuali expertise tecnici attivati dagli acquirenti dovranno
necessariamente basarsi sulla conformità del materiale venduto alle specifiche tecniche indicate dal FABBRICANTE,
in vigore in Italia.
4 - PREZZI E CONDIZIONI DI PAGAMENTO.
4.1. I prezzi di vendita dei PRODOTTI sono quelli indicati nel listino del FABBRICANTE in vigore al momento della
conferma dell’ordine. In casi di contratti di vendita a consegne ripartite il prezzo, se non convenuto fermo per iscritto,
sarà quello del listino prezzi in vigore al momento delle singole consegne. Per tutti i PRODOTTI destinati all’estero
i prezzi potranno essere calcolati, a scelta del FABBRICANTE, nella valuta estera del paese di destinazione o in Euro.
4.2. Salvo diverso accordo, i pagamenti sono da effettuarsi dall’Acquirente, tramite bonifico bancario, entro 30 giorni
data fattura. Tutte le spese bancarie e di negoziazione sono a carico dell’Acquirente. In caso di ritardo nei pagamenti,
il FABBRICANTE avrà diritto a percepire, senza alcuna necessità di messa in mora, oltre agli eventuali danni, un interesse
moratorio come previsto dal D.Lgs 9/10/2002 n.231, e a sospendere o annullare le forniture in corso.
4.3. Le fatture non contestate entro 8 giorni dal ricevimento si intendono accettate.
4 BIS - SCONTI.
Sono previsti altresì sconti quantità in fattura, sconti in merce di propria produzione, sconti in natura con prodotti di
non propria produzione e singole pattuizioni commerciali, rapportati alle entità degli acquisti.
5 - AGENTI.
5.1. Gli agenti del FABBRICANTE promuovono le vendite e non sono autorizzati ad agire in nome e per conto del
FABBRICANTE salvo specifica autorizzazione scritta.
5.2. Gli ordini trasmessi dagli agenti non vincolano il FABBRICANTE e devono quindi essere espressamente accettati per
iscritto dal FABBRICANTE stesso.
6 - RISERVATO DOMINIO.
6.1. E’ convenuto tra le parti che la vendita dei PRODOTTI è effettuata con riserva di proprietà a favore del FABBRICANTE
sino al totale pagamento del prezzo pattuito, ai sensi dell’art. 1523 e seguenti del codice Civile Italiano. Tuttavia il
rischio di perimento della merce passa all’Acquirente dal momento della consegna dei PRODOTTI. Nelle vendite
all’estero, nel caso in cui la merce sia venduta e consegnata a clienti terzi prima del passaggio di proprietà, nell’ambito
di normali rapporti commerciali dell’Acquirente stesso, la riserva di proprietà a favore del FABBRICANTE permane anche
nei confronti dei terzi, ove la legge lo consenta.
6.2. In caso di mora dell’Acquirente il FABBRICANTE potrà, senza necessità di alcuna formalità, compresa la messa in mora,
ritirare tutta la merce oggetto di riservato dominio ed eventualmente, se la legge lo consente, tutti i titoli di credito verso
terzi ad essa afferenti, con riserva di ogni ulteriore opportuno rimedio in via giudiziale per il pregiudizio subito.
7 - FORZA MAGGIORE.
7.1. Il FABBRICANTE non è responsabile nei confronti dell’Acquirente per ogni inadempimento, compresa la mancata
o ritardata consegna, causata da eventi al di fuori del suo ragionevole controllo quali, a titolo meramente indicativo,
mancata o ritardata consegna dei materiali di lavorazione da parte dei fornitori, guasti agli impianti, scioperi e altre
azioni sindacali, interruzione dei flussi energetici, sospensione o difficoltà nei trasporti.
8 - DIRITTO APPLICABILE - FORO COMPETENTE.
8.1. I contratti di vendita all’esportazione cui sia parte il FABBRICANTE sono regolati dalla legge italiana ed in particolare
dalla Convenzione sui Contratti di Vendita Internazionali di beni mobili, ove non derogata dalle presenti CONDIZIONI e
dalla Convenzione di Vienna dell’11 aprile 1980.
8.2. Foro competente per tutte le controversie relative alle vendite di PRODOTTI da parte del FABBRICANTE e dei
rapporti connessi a tali vendite è il FORO della sede legale del FABBRICANTE, anche qualora l’azione promossa riguardi
titoli di credito rilasciati al FABBRICANTE quali mezzi di pagamento.

1 - APPLICABILITY OF THE CONDITION
1.1. These general condition (from hereinafter referred to as “the CONDITIONS” constitute an integral part of the sales
contract of tiles and other ceramic materials (from hereinafter referred to as “the PRODUCT or PRODUCTS”) produced
by PANARIAGROUP Industrie Ceramiche S.P.A. divisione Fiordo Industrie Ceramiche (from hereinafter to as “ the
MANUFACTURER”). Apart from individual cases, when these conditions have been derogated by means of explicit
written agreements signed by the MANUFACTURER, they represent the sole procedure for these sales. If one or more
parts of these CONDITIONS, or single contracts included therein, are found to be invalid, the general CONDITIONS, or
details thereof, will remain valid as a whole; the invalid parts will be replaced with agreements that draw together, as
far as is possible, the initial intention of the part in question.
2 - CONCLUSION OF THE SALES CONTRATCT - DELIVERY OF PRODUCTS
2.1. The contract will be considered to be concluded when the proposer or the purchaser are informed of the written
consensus of the counter-party.
2.2. An order that has not been confirmed in writing cannot, under any circumstances, be considered to be accepted,
unless carried out by the MANUFACTURER by means of the shipment or delivery of the PRODUCTS. Partial delivery of
ordered products does not signify the acceptance of the entire order, but only that part of the PRODUCTS that have
been effectively delivered.
2.3. Unless otherwise concurred by means of written agreement, the delivery of the PRODUCTS and their surrender
in Italy or abroad, will be carried out according to the “Ex-Works” procedure. This procedure, as with the surrender
procedures, if agreed upon in writing as an alternative to this procedure, make reference to the “Incoterms” of the Paris
Chamber of Commerce in force at the moment of sale.
2.4. Unless otherwise agreed, all the dates indicated as delivery dates are intended in indicative terms.
3 - PRODUCT SPECIFICATIONS - GUARANTEES - COMPLAINTS
3.1. The ceramic tiles and other ceramic products manufactured by PANARIAGROUP Industrie Ceramiche S.P.A.
divisione Fiordo Industrie Ceramiche conform to European standards UNI-DIN-ISO 13006-G BIa. The MANUFACTURER
only supplies the professional sellers. These are responsible for the rightness of the technical information given to the
final users and/or the shopkeepers.The PEI classificati on of the ceramic material is indicated by the MANUFACTURER
in the advertising copy and/or in the price lists, the purchaser must therefore use the PRODUCTS according to the
specifications supplied by the MANUFACTURER, also in relation to the INSTRUCTIONS FOR USE.
3.2. The differences in tonality are not a defect of the PRODUCT, but a characteristic of the specific material fired at
a hightemperature. The special “freeze-proof” requisite is only applied to PRODUCTS that the MANUFACTURER has
explicitly guaranteed with specific indications in the advertising copy and/or price lists. Whitout this explicit indications
the ceramic material should be considered to be only and exclusively for internal use, or for use in environments
protected from inclement weather.
3.3. Materials with polished surfaces can never be used in ground floor rooms with external access, or in rooms where
there will be particulary heavy use. The shiny tiles can also be somewhat slippery, especially if wet. The MANUFACTURER
therefore does not recommend their use in pubblic rooms. For rooms where heavy use is expected the Purchaser
is advised to purchase PRODUCTS classified as PEI V by the MANUFACTURER, and especially the tiles that the
MANUFACTURER SPECIFICALLY recommends for rooms employed for public use.
3.4. The representation of the PRODUCTS in brochures or advertising copy published by the MANUFACTURER are purely
illustrative and do not necessarily represent the final aesthetic result of the laying of the specific PRODUCT represented.
3.5. The MANUFACTURER guarantees the good quality and absence of defects in the PRODUCTS. The guarantee cannot
be applied to PRODUCTS that the MANUFACTURER classifies as inferior to the 1st choice quality, or for lots of end of
series PRODUCT when sold in bulk, or when indicated as a special lot.
3.6. The MANUFACTURER will not be held not responsible for defects and/or anomalies that are detected in the
PRODUCTS that are not caused by the quality of the PRODUCTS themselves, but by the improper use of the PRODUCTS
by the Purchaser and/or others acting on the Purchaser’s behalf. In particular, the MANUFACTURER will not accept
complaints or disputes in relation to the situations previously described.
3.7. The buyer shall notify the MANUFACTURER in writing of all claims within 8 (eight) days of delivery of the goods.
In the event of latent defects, the latest date of notification shall be 8 (eight) days after the discovery of such defect.
In no case shall the MANUFACTURER be liable for defects notified after 12 (twelve) months following the delivery of
PRODUCTS to the first buyer by the MANUFACTURER. To this end, in derogation of the provisions of Art. 1519 -5 of the
Italian Civil Code, the retailer shall have right of recourse against the MANUFACTURER for only 1 (one) year from the
date of delivery of the PRODUCTS.
3.8. The MANUFACTURER will not be held libel for defects found on products that have already been laid, given the
hight incidence of laying errors made with fully satisfactory PRODUCTS. However, the guarantee will be applied if the
MANUFACTURER verifies that the defect of the product that has already been laid is the result of a production defect
(according to the national tiling laws or according the European ISO norms for tiling).
3.9. The guarantee issued by MANUFACTURER is limited to the replacement of defective products with other non-defective
products of the same type transport included.Other costs and/or accessory expenses are not included, in particular the
cost of the demolition and re-laying of the PRODUCTS. In any case the garantee issued by the MANUFACTURER will not
be higher than 5 times the contested material’s value, considering a strict top amount of Euro 10.000 (ten thousands).
3.10. The MANIFACTURER will not be held libel for complaints caused by the classification of ceramics materials
on behalf of control agencies and/or foreign certifications, different from italian bodies, on the basis of technical
specifications that do not correspond with those used by the MANUFACTURER. Any eventual technical expertise
put into action by the Purchaser must be based on the conformities of the materials sold according to the techical
specificatons indicated by the MANUFACTURER and currently in force in Italy.
4 - PRICES AND PAYMENT CONDITIONS
4.1. The selling prices of the PRODUCTS are those indicated in the MANUFACTURER ‘s price list in force on the date of the
confirmation of the order. For sales contracts with divided deliveries the price, unless otherwise agreed in writing, will be that
of the price list in force at the time of the single deliveries. For all PRODUCTS for foreign markets the price may be calculated,
on the MANUFATURER’s prerogative in the foreign currency of the country of destination, or in Euro.
4.2. Unless otherwise agreed, payments should be made by the purchaser by mean of bank transfer within 30 days of
the invoice. All banking and negotiation costs are at the expense of the Purchaser. In the case of delayed payment, the
MANUFACTURER will have the right to receive, without the need to place in default, along with any eventual damages, an
overdue interes as preview D.Lgs 9/10/2002 n.231, and to suspend or cancel the supplies in progress.
4.3. The invoices not objected within 8 days from their receipt are meant as accepted.
4 BIS - DISCOUNTS
Discounts for the invoiced quantities, for own-production goods, discounts in nature with not own-production goods
and individual commercial agreements, depending on the purchased amounts, are also expected.
5 - MANUFACTURER’S AGENTS
5.1. The agents of the MANUFACTURER are not authorized to act in the name of or on account of, or on account of the
MANUFACTURER, unless specifically provided with written authorization.
5.2. Orders trasmitted by agents to the MANUFACTURER are not biding, and should therefore be explicitly accept in
writing by the MANUFACTURER.
6 - RISERVATO DOMINIO
6.1. It is agreed between the parties that the sale of PRODUCTS is carried out with the ownership rights remaining in
favor of the MANUFACTURER until the total payment of the agreed price has been made, according to Article 1523 (and
following) of the c.c. (Civil Law Code). However, in the risk of the deterioration of the goods is transferred to the Purchaser
at the moment of the delivery of the PRODUCTS. For foreign sales, if the goods are sold and delivered to third parties
before the transfer of property, within the sphere of the Purchaser’s normal commercial activities, the right of owenership
remains in favor of the MANUFACTURER, also with regard to third parties, as allowed by the law.
6.2. In the case of delayed payment by the Purchaser the MANUFACTURER may without the need for any formal
procedure including placing in default, withdraw all of the goods subject to Lien and eventually, if allowed by the law,
revoke all instruments of credit pertaining to third parties, with the right to pursue all ulterior and opportune legal
measures necessary in order to settle the damages withstood.
7 - ACTS OF GOD
7.1. The MANUFACTURER will not be held responsable by the Purchaser for any non-fulfillment, including the nondelivery or delayed delivery, caused by events by that are out of the MANUFACTURER’s reasonable field of control, such
as, by way of examples, the non-delivery or delayd of working materials by the supplier, plant breakdowns, strikes or
other Union action, interruption of energy sources, suspension or difficulties in trasport.
8 - APPLICABLE LAW - COMPETENT COURTS OF LAW
8.1. Exportation sales contracts that are underwritten by the MANUFACTURER are subject to Italian law and in particular,
the International Sales Contracts Convention for personal property, where not derogated by the present CONDITIONS
and the Vienna Convention of April 11th 1980.
8.2. The competent Court of law for all disputes relative to the sale PRODUCTS by the MANUFACTURER and other
elements connected to these sales, is the Court of law of the legal offices of the MANUFATCTURER, also in regard to
action concernig instruments of credit issued to the MANUFACTURER as means of payment.
