Application • This message is applicable to the Americas Aerospace Quality Group members and its subsidiary bodies. • This message is also applicable to AAQG oversight and audit committees, document management and development teams and any other working groups, committees and operations including the SAE-G14 Americas Aerospace Quality Standards Committee. • G14 members function as individuals and not as agents or representatives of their associated organizations. Governmental employees shall participate per applicable government regulations. • G14 members shall follow the rules and guidelines of the SAE Technical Standards Board Governance Policy and the SAE Aerospace Council Organization and Operating Guide Technical Committee Charter/Guidelines March 2015 AAQG 1 Meeting Conduct • We will follow the published agenda and strive to stay on time. Please be on time returning from all breaks and lunch • Please minimize your computer use & be courteous to the presenters • The first time you use an acronym, please state its meaning • Audio or video recordings are not permitted • Get the most of your attendance, actively participate • Only one person speaks at a time and avoid unauthorized or ‘private’ side meetings. Discussions should be open and follow the agenda. • Use the microphone and identify yourself when speaking • Respect all ideas and comments • Attack the issue, not the person • Do not dominate the discussion • The Group shall secure support staff advice as well as legal counsel when necessary March 2015 AAQG 2 Anti-Trust Reminder • Participants are not to discuss non-public, company-specific information relating to present or future competition in the marketplace • Discussion of any of the following company-specific information is improper and is not permitted: – Prices or any element, such as credit terms, rebates, discounts, product usage surveys, marketing plans or other related topics. Meetings shall focus on technical issues and not on the marketing aspects of products – Company-specific costs or profits (discussion of comparative costs of technological alternatives is permitted) – Individual customers or competitors – Business or strategic plans including research & development activities • Each participant is asked to speak-up immediately if these rules are not followed. March 2015 AAQG 3 Conflict of Interest Reminder • An interested individual must disclose the existence and nature of any potential conflict of interest to the Leadership Team – An interested individual is any individual member of the AAQG, its working groups, or any subsidiary body who has a direct or indirect financial interest in a proposed transaction – Financial interest includes: » Ownership or investment interest in the entity in which the AAQG has a proposed transaction or arrangement » A compensation arrangement with the AAQG or with any entity with which the AAQG has a proposed transaction or arrangement » A potential ownership or investment interest in, or compensation arrangement with, any entity with which the AAQG has a proposed transaction or arrangement • After disclosure of the potential conflict, the interested party will leave the concerned AAQG body March 2015 AAQG 4 Export Compliance Reminder • Members of the AAQG include numerous companies engaged in development of aerospace and defense technology – All members, and participants in AAQG working groups, must remain mindful of the laws and regulations regarding export/import of those technologies – Each member shall: » Comply will all relevant export, import, and sanction laws, regulations, orders, and authorizations. » Ensure that items that are restricted by export/import regulations of any country are not introduced or accessed » Conduct business in a manner that assures that export restricted products and data are not shared » Be responsible for his/her compliance to their country’s export/import laws and regulations » Be responsible for safeguarding and protecting any export/import controlled technical data March 2015 AAQG 5 Intellectual Property Reminder • The AAQG is committed to maintaining a fair development process for materials within the Scope of the organization • Member companies participate in working groups to create these materials • AAQG Members are responsible for: – Ensuring AAQSC has the freedom to use the deliverables created in working groups – Ensuring intellectual property rights will be granted to the AAQSC • Each working group lead and sponsor is responsible for compliance to AAQSC Intellectual Protection Policy March 2015 AAQG 6 Ethics Reminder • The AAQG/AAQSC values their members, and each member and participant is entitled to be treated with courtesy and respect. • The AAQG/AAQSC respects the dignity and private life of each of its members and participants • The AAQG/AAQSC looks for an atmosphere of good communication, involvement, and responsibility • No form of discrimination or harassment will be tolerated • Members and participants must abide by the law in all geographic locations where the AAQG/AAQSC carries out its activities • No form of corrupt practices for the benefit of those in the public or private sector will be tolerated • Business courtesies, such as gifts and hospitality, given or received from customers, suppliers and partners must not exceed a nominal value and may not influence, or give the appearance of influencing, a decision.
