5. Participation on the YPAL Board of Directors requires a great deal of commitment,
including attendance at each monthly board meeting and performing the
responsibilities of your position. This level of commitment may require support from
your employer, family, or other obligations you have. The Board can only succeed when
all of its members are committed to completing their roles and responsibilities. How are
you prepared to ensure your commitment to YPAL? How flexible is your work schedule
to allow for day time meetings?

Commitment Agreement
By applying to join the YPAL Board of Directors (“Board”) I am committing myself, if elected, to
serve on the Board from July 1st of the year in which I am elected through June 30th of the
following year. Further, the month of June in the year in which I am elected will be a month of
transition. During the month of June, I will be expected to meet with and support the Board
Member who holds the position I will be filling.
Any position on the Board brings with it responsibility to:

Attend all Board meetings;
Be a positive representative of YPAL in the community;
Be familiar with the mission, objectives, bylaws, policies and procedures of
YPAL and strive to further that mission and those objectives;
Actively assist in recruiting, cultivating, and maintaining YPAL membership;
Use reasonable care and judgment in making decisions on behalf of YPAL;
Maintain my YPAL membership;
Raise a minimum of $1,000 for the organization
If I cannot attend a Board meeting, I must obtain a proxy to attend in my stead. If I miss over
two meetings, with or without a proxy, my commitment to the Board will be reviewed and I may
be asked to step down. If I miss three meetings, with or without proxy, I will be immediately
removed from the Board.
I shall not use my position on the Board, if elected, to inure any personal gain, financial or
otherwise. I further understand that if I do so I may be removed from the Board.
Further, as a member of the Board, I may be removed, with or without cause, by an affirmative
vote of a majority of the Board. Any member of the Board may resign from the Board by giving
written notice to the Board. A resignation shall be effective when the notice is delivered unless
the notice specifies a later effective date.

Job Responsibilities
 Develop and maintain organization website and email, both internal and external
 Develop and implement technology plan for organization, as technology advances or
changes
 Manage moderation process for directors to submit information for events
 Teach directors process to self-post events, send email campaigns, and update website
 Assist Executive Development Officer with Job/Volunteer board moderation
 Further connect YPAL to Louisville’s technology community
 Chair the Technology committee and run monthly committee meetings
General responsibilities as a board member
 Attend all signature events
 Manage committee to ensure requirements set forth in committee description and goals
and bylaws, as applicable, are abided
 Attend monthly board meeting(s)
 Attend two board retreats (one in Summer; one in late Fall/early Winter)
 Recruit new members to the organization
 Recruit a successor for your office
 Responsible for keeping the content pertaining to your events up-to-date on the website
at all times
 Each member of the board of directors should keep detailed notes of their activities in a
binder or other organizational tool that can be handed over to their successor. This will
ensure a smooth transition from one officer to another year after year.
