The organization shall be referred to as “ALPA ACE Club” within these bylaws. ARTICLE II – MISSION STATEMENT The mission of the ALPA ACE Club at the Ellensburg, Washington campus of Central Washington University is to propagate, promote, and uphold professionalism and a culture of safety among the future airline pilots at Central Washington University; represent the interests of each ALPA ACE Club member as a whole; be a strong, visible force in advocating an airline pilot career; and to be the primary student organization by which Central Washington University future airline pilots can be industry recognized. ARTICLE III – VISION STATEMENT, STRATEGIC GOALS & INITIATIVES Section 1 – Vision Statement The ALPA ACE Club student organization serves as a unified group of CWU airmen committed to exemplifying the values of an ALPA pilot both in the air and on the ground, while promoting a culture of professionalism and safety among tomorrow’s leaders in the cockpit. As well, the ALPA ACE Club will strive to give students the best education possible about current topics and events within the airline industry, as well as education on topics not discussed in the classroom. Lastly, the ALPA ACE Club will strive to provide mentorship to aviationinterested students at Central Washington University. 1 Section 2 – Strategic Goals The ALPA ACE Club shall: Strive to maintain excellence in flight, and advocate for a professional flight environment Work together as an organization to maintain high standards for each member and the organization as a whole Strive to build membership unity and maintain a constant growth rate within the Department of Aviation Remain devoted, dependable, and accountable to the ALPA ACE Club Take pride in their actions both on and off the flight line, representing the ALPA ACE Club at all times whether in the air or on the ground Section 3 – Strategic Initiatives Sustain an open and valued relationship with the Air Line Pilots Association Keep contact with the Air Line Pilots Association to ensure the goals of the ALPA ACE Club are always in line with the Air Line Pilot Association’s expectations Create a core value system so that the ideals of an ACE Club member are always known Create more exposure of an airline-like environment for interested students and the community in general Provide leadership examples within the aviation community and Ellensburg, WA community 2 ARTICLE IV – CODE OF ETHICS The ALPA Code of Ethics outlines the values, integrity, and behavior that ALPA members strive for, as follows: An Airline Pilot will keep uppermost in his/her mind that the safety, comfort, and well-being of the passengers who entrust their lives to him/her are his/her first and greatest responsibility An Airline Pilot will faithfully discharge the duty he/she owes the airline that employs him/her and whose salary makes possible his/her way of life An Airline Pilot will accept the responsibilities as well as the rewards of command and will at all times so conduct him/herself both on duty and off as to instill and merit the confidence and respect of his/her crew, his/her fellow employees, and his/her associates within the profession An Airline Pilot will conduct his/her affairs with other members of the profession and with the Air Line Pilots Association in such a manner as to bring credit to the profession and the Air Line Pilots Association as well as to himself An Airline Pilot will always honor his/her profession and will always remember that his own character and conduct will reflect honor or dishonor upon him/herself, the airline, and the industry as a whole As Department of Aviation students and members of the ALPA ACE Club at CWU, we shall endeavor to follow to their utmost and strive to faithfully fulfill the obligations of the Air Line Pilots Association Code of Ethics and Canons for the Guidance of Air Line Pilots. Doing so will develop the level of professionalism and integrity required for a career as an Airline Pilot. 3 ARTICLE V – MEMBERSHIP STATUS, RESPONSIBILITIES, AND PRIVILEGES1 Section 1 – Membership Categories Association membership shall fall under the following categories: Active Student Membership, Inactive Student Membership, and Active Student Membership in Good Standing. All members are expected to uphold the values and ethics of the ALPA ACE Club as described in Articles II, III, and IV. All membership categories shall be reviewed at the conclusion of each quarter. Section 2 – Membership Requirements and Privileges I. Active Student Member Status A. Requirements 1. Shall attend the majority of General Session meetings (50% of yearly meetings) 2. Shall be connected via social media 3. May be reviewed on a case-by-case basis B. Privileges 1. May vote 2. May hold officer positions II. Inactive Student Member Status A. Criteria 1. Member who is connected via social media 2. Does not show up to a majority of meetings 1 Adherence to this article is under the discretion of the ALPA ACE Club Executive Board 4 III. Active Student Members in Good Standing A. Shall be reviewed as needed by the Executive Board B. Criteria 1. Attends two-thirds ACE Club General Session meetings 2. Shows general interest in the ALPA ACE Club by demonstrating high levels of professionalism and respect 3. May be reviewed on a case-by-case basis C. Privileges 1. Shall be given special consideration for special events, drawings, and benefits of the ACE Club as defined by the Executive Board 2. May hold officer positions Section 3 – Attendance Attendance will be taken at each meeting Attendance is not required but encouraged Special attendance consideration will be given to members of the ROTC program and the CAP Section 4 – Inactive Members Students on internships, cooperative education programs, or extended leave will be considered Inactive Members but are still included on the Club’s roster. They will be included when calculating total organizational size. Inactive Members who are degree complete within the Commercial Pilot or Flight Officer degree major and will not be returning as Active Student Members will be considered Alumni Members of the ALPA ACE Club and will not be included when calculating total organizational size 5 ARTICLE VI – ORGANIZATIONAL SIZE AND MEETINGS Section 1 – Organizational Size The goal of the ALPA ACE Club is to provide a structure for future pilots at Central Washington University to learn more about the airline piloting profession. Thus, any student meeting the membership requirements is eligible to join. Section 2 – Committees The ALPA ACE Club can develop committees as needed. Section 3 – General Session Meetings Air Line Pilots Association-led General Session meetings shall be held once per quarter provided ALPA can organize the event. General Session meetings will focus on a particular topic in the airline industry with Air Line Pilots Association pilots leading the discussion and presentation. Other nonALPA pilots may also attend. Section 4 – Student Led Meetings Student-led meetings will be held at the discretion of the Executive Board and will generally preview and cover a topic in the airline industry that will be presented at the General Session. The Air Line Pilots Association may provide input as to which topic to cover, as well as give material to use, such as scenarios, videos, PowerPoints, etc. Section 5 – Executive Board Meetings Executive Board meetings will be held on an as needed basis and must consist of an executive quorum, or at least one less Executive Board Members present than there are positions (i.e. six positions, five members must be present for an executive quorum). Section 6 – Election Meetings Election meetings will be held on an as needed basis in the event where an election is not feasible. The chairs of the Executive Board can make interim election decisions on an as needed basis. 6 ARTCLE VII – OFFICER DUTIES Section 1 – President 1. Must represent the University and the ALPA ACE Club in the best possible way 2. Shall be directly responsible for all actions of the ALPA ACE Club 3. Be the primary contact between the Air Line Pilots Association, Central Washington University, the CWU Department of Aviation, any other professional organizations, and the ALPA ACE Club 4. Maintain professional and open lines of communication with the above parties said in Article VII, Section 1, Paragraph 3 5. Shall preside and co-chair all Executive Board, General Session, Election, and professional meetings including but not limited to teleconferences, video conferences, etc. 6. Host on-campus visits by the Air Line Pilots Association and other industry personnel 7. Shall keep a calendar of all events 8. Shall keep an accurate set of attendance records for each General Session meeting 9. Shall ensure all old officers meet with new officers to pass on duties and responsibilities 10. Shall fulfill all other duties associated with the office 11. Shall represent the Club in a positive and professional manner 7 Section 2 – Vice President 1. Shall assume President’s duties in the event of the President’s absence 2. Should provide input in the design of the ALPA ACE Club’s meetings, existence, and direction 3. Shall co-chair with the President all Executive Board, General Session, Election, and professional meetings 4. Shall keep a calendar of all events 5. Shall coordinate the academic and alumni activities of the Club, as well as those between this and other organizations 6. Shall coordinate with the Treasurer on the upkeep of the Club’s financial needs 7. Shall oversee all matter of policy with respect to the Club 8. Shall perform any other duties as assigned by the President 9. Shall represent the Club in a positive and professional manner 10. Must be able to perform all duties of all positions on the Executive Board, as needed, on an interim basis 11. Report directly to President 8 Section 3 – Treasurer 1. Is responsible for applying for Student Government Funding (if needed) and following the process through 2. Manage the ALPA ACE Club budget (if applicable) 3. Perform any other duties as assigned by President and Vice President 4. Shall represent the Club in a positive and professional manner 5. Must be able to fulfill duties of all members of the Executive Board, if needed, on an interim basis 6. Shall be directly responsible for presenting proposals for meeting locations, location rentals, and all other matters related to venue scheduling and payment 7. Report directly to Vice President for general duties and directly to the President for financial related issues 9 Section 4 – Secretary 1. Shall keep detailed minutes of each General Board and Executive Board meetings 2. Shall fill out required documents for student activities or other University departments 3. Shall supply copies of the General Board and Executive Board meeting minutes and agenda to all members in a timely matter 4. Shall keep an up-to-date meeting list/roster of all Active Student Members, Active Student Members in Good Standing, and Inactive members. 5. Shall jointly work as a Promotion Liaison in promotion of all events through electronic media, word of mouth, etc. 6. Shall perform any other duties as assigned by the President or Vice President 7. Must be able to fulfill duties of all members of the Executive Board, if needed, on an interim basis 8. Shall represent the Club in a positive and professional manner 9. Shall report directly to Vice President 10 Section 5 – Senior Promotion Liaison/Junior Promotion Liaison 1. Shall be directly responsible for all promotional materials relating to the Club, Club events, electronic media, and word of mouth around campus and the flight line 2. Must be able to fulfill duties of all members of the Executive Board, if needed, on an interim basis 3. Shall represent and promote the Club in a positive and professional manner 4. Shall be directly responsible for all duties and responsibilities that the position of senator entails 5. Junior Promotion Liaison shall work as a team with the Senior Promotion Liaison and split duties accordingly 6. Shall report directly to the Vice President and to the President for flyer design approval 11 Section 6 – Senator 1. Shall be directly responsible for all matters pertaining to the ACE Club’s voting power within the Club Senate and any other applicable votes campus wide 2. Shall report all agendas pertaining to Club Senate and any other applicable voting opportunities campus wide to the Executive Board at every board meeting 3. Shall vote according to how the Executive Board decides via a quorum-based majority vote (See Article IX) 4. Shall represent and promote the Club in a positive and professional manner 5. Shall report directly to the President 12 ARTICLE VIII – Executive Board Section 1 – Composition The Executive Board will consist of (In order of seniority): 1. President 2. Vice President 3. Treasurer 4. Secretary 5. Senior Promotion Liaison 6. Junior Promotion Liaison 7. Senator Section 2 – Attendance All Executive Board members will attend all Executive Board and General Board meetings for the duration of the entire meeting unless prior arrangement with the President has been made to provide an alternate for that position. Section 3 – Executive Board Member Voting Status Each member of the Executive Board will have one vote in all matters voted on by the Executive Board. 13 ARTICLE IX – QUORUM, NOMINATIONS, ELECTIONS, TERMS OF OFFICE, OFFICER VACANCIES Section 1 – Quorum A quorum shall consist of at a minimum 30 members of the Active Student Membership Section 2 – Election Process 1. At a time deemed appropriate by the acting Executive Board Co-Chairs, the ALPA ACE Club may hold elections. The election for Executive Board members should be at least one meeting prior to the last one of the spring Quarter, in order to provide time for new Executive Board members to be oriented to their new position 2. Any active member enrolled in the Commercial Pilot or Flight Officer degree programs may run for a cabinet position on the Executive Board 3. On Election Day, each candidate may give a short speech, no longer than 10 minutes, describing their desires and why they constitute a vote. Voting must take place with a quorum of active members and be a closed ballot. 4. If a quorum cannot be attained in due time, the Executive Board Co-Chairs will make an executive decision on a remedial basis 5. The acting Executive Board shall not vote. The board will instead proctor the vote and tally the votes. The top candidates will then be selected for review i. The number of candidates selected for review shall be not more than two more than the number of open seats on the Executive Board. Example: if there are three seats available, then five candidates shall be selected for review ii. In the event there are not enough candidates, then the Executive Board reserves the right to limit the amount of open seats at their discretion to ensure a review process iii. The inaugural Executive Board will be hand picked by the founding President Mychal Hornbeck 14 Section 3 – Executive Review 1. Candidates who place well in the popular vote and are selected for Executive Review will be subject to an interview with the acting Executive Board 2. A résumé must be provided during the interview process 3. Once all the candidates have been review, the current Executive Board will vote on the final placements of the candidates 4. Executive review occurs to ensure all candidates are capable of representing the best possible interests of the ALPA ACE Club and are clear in what the Code of Ethics is, as well as ensure the candidates are of “good moral character” Section 4 – Election of the President 1. In order to be considered for President, the candidate must have been an active member of the Executive Board for at least two quarters 2. The acting Executive Board will conduct an internal vote, with at least three votes, with the candidates abstaining. In the event that there are less than three votes with the candidates abstaining, then the vote will default to a quorum by the general membership 3. In the event where the President graduates before other Executive members, the Vice President will assume the President’s position and a new Vice President will be elected with preference given to the Executive Board Section 5 – Terms of Office 1. All officers will maintain their positions until graduation, self-termination, or at the discretion of the Executive Board Co-Chairs 2. The President shall maintain his/her position until self-termination, or graduation 3. All the Board Members have the option to run for office again 4. Incumbents must run for election using the same process as outlined in Article IX, Section 2 i. To avoid conflict of interest or a tied vote, if Executive Review occurs, the President will vote on whether or not the incumbent remains in his or her place 15 Section 6 – Officer Vacancies The current officers, if needed, will call an emergency Election Meeting to fill officer vacancies on an interim basis until the next regular election meeting takes place, if it is deemed necessary that the position needs to be filled. Section 7 – Dues 1. Dues and membership fees shall be determined by a majority vote of the Executive Board prior to the first General Board meeting of each quarter (as needed) 2. Dues shall be collected by the fourth General Board meeting of each quarter (as needed) 3. All Associate members shall pay a one-time membership fee during their first quarter in a method deemed acceptable by the Treasurer (as needed) 4. Dues and membership fees will be non-refundable 16 ARTICLE X – IMPEACHMENT Section 1 – Procedure 1. Any active student member may call for an impeachment committee to be formed 2. The Executive Board will convene to discuss the nature of the case 3. Members of the Executive Board (excluding the President) may be relieved of their positions on the Executive Board by a quorum vote of the Executive Board ARTICLE XI – AMENDMENTS AND SUSPENSION OF BYLAWS Section 1 – Initiating an Amendment A proposal to amend or suspend any bylaw can be presented at any time to the President. The amendment will then be proposed at the next Executive Board meeting subject to approval by resolution. Section 2 – Amendment and Suspension Procedure The Bylaws may be amended or suspended by a majority vote of the quorum present at a meeting called for that purpose or by the President. Section 3 – Emergencies In case of emergency, any part of the bylaws may be suspended or amended by a three-fourths vote of the voting members present or in extreme cases, by the President. Only the Co-Chairs may call an emergency meeting for the purpose of amending or suspending any part of the Bylaws. ARTICLE XII – HAZING/NAGGING/DEVIANT MISCONDUCT Under no circumstances will there be any hazing, harassment, nagging, or deviant misconduct within the scope of the ALPA ACE Club. Any persons found violating this article will immediately be removed from the ACE Club and reported to campus authorities and all applicable law enforcement. 17 ARTICLE XIII – DISCRIMINATION In no way shall any member of the ALPA ACE Club racially or sexually discriminate against any individual in the Club. Any persons found doing so will immediately be removed from the ALPA ACE Club and reported to campus authorities and all applicable law enforcement. 18
