Project Background Cardno’s growth and burgeoning pipeline of opportunities will require, from time to time, supplemental firms with expertise and experience across our specific service lines, with our donor base, and with business development-related scopes of work. As a result of this RFP, we anticipate making multiple Framework Services Agreements (FSAs), and without further competition, to quickly award initial work orders, and (during the course of the period of performance) to award additional Work Orders. Resulting FSAs will be valid for one base period year with option periods. Quality of performance during the base period year will be a critical factor for exercising the option periods. However, Cardno has no obligation to issue work orders, any minimum business to any offeror with whom Cardno issues a FSA, nor any obligation to exercise the option periods of the FSA. Cardno also reserves the right to cancel any FSA at its sole discretion. Offerors can respond to one or more of the requested scopes of work (see Section 5). 2. Offeror Qualifications and Experience For all scopes of work, the ideal Offeror should have: Qualifications (for the organization and proposed personnel) that align to the specific scope of work At least 5 years of experience (for the organization) in the specific scope of work. Proposed personnel should be banded into Junior, Mid, and Senior level personnel with the following experience requirements per labor category: Junior – Less than 5 years in the specific scope of work Mid – 5 to 10 years of experience in the specific scope of work Senior – 10+ years in the specific scope of work In all cases, experience is desired in the specific scope work rather than merely years of general international experience. Contents and Structure of Proposal Submissions must follow these standards: Be in Microsoft Word 2003-97 format with one inch margins File name must end in “.doc” Font should be Times New Roman, no smaller than 11 point Pricing section of proposal must be in Microsoft Excel, showing formulas. There is no total page limit for the proposal. Please respect individual section page limits as stated below. If applying for multiple SOWs, please bundle all documents into one proposal – do not submit multiple proposals. Responses must include (in the following order): 1. Executive Summary, noting which scopes of work from Section 5 are addressed (1 page limit) 2. Qualifications of Specific Proposed Personnel a. Required Table. Assumptions & Constraints Travel may be required on specific work orders. participation at Cardno offices in Arlington. Other work may be done remotely with onsite TRAVEL COSTS. Firm Offerors will be responsible for their own US travel costs and ensuring any US donor-related travel complies with US rules and regulations; expenses should be included on invoices per work order terms. All international travel required in the terms of the work order is a reimbursable expense. Milestones on a specific work order under the Agreement will reflect pre-travel activities whenever possible, to limit out-of-pocket exposure. We do not anticipate that FSA holders will be required to travel to any location within the United States other than the Cardno offices in Arlington, VA. INSURANCE. Selected Offerors shall purchase and maintain through the course of the Work such insurance as will protect the Offeror – and – Cardno from the following claims, which may arise out of or result from its operations hereunder (whether by itself, any subcontractors, anyone directly or indirectly employed by any of them, or anyone for whose acts any of them may be liable): claims under workmen’s compensation, disability benefit and other similar employee benefit acts; claims for damages because of bodily injury, occupational sickness or disease, or death, of its employees or any other person; claims which are sustained by any person as a result of the actions of the Subcontractor or by any other person; and claims for damages because of injury to or destruction of tangible property, including loss of use resulting there from. If requested, Offerors will provide Cardno with satisfactory evidence of compliance with this requirement, when selected to receive an Agreement from Cardno. The obtaining of such insurance shall be the sole responsibility of the Offeror. 10. Terms and Conditions MAXIMUM INVOICE FREQUENCY. Invoices follow upon acceptance of a deliverable by Cardno’s point of contact for each Work Order under the resulting Agreement. Invoices must be submitted no more than once a month, unless tied to completion of a particular assignment. Supporting documentation for time spent on provision of Services, and scanned copies of all reimbursable costs must be attached, in order for the invoice to be acceptable. Invoices must be submitted within 30 days of work order completion. A sample Invoice will be provided with FSA. PAYMENT TERMS. The offeror should propose the payment terms and discounts they can offer. (Cardno prefers a lump-sum volume rebate, but other discount structures will be considered.) The payments will be made via electronic transfers upon acceptance of the Services performed under the resulting Work Orders. Payment milestones will be specified in the Work Order. OFFEROR REPRESENTATIONS. The Offeror represents, warrants, and covenants that A) the Offeror is not restricted in any way, by agreement or otherwise, from entering into an agreement resulting from this RFP and performing the Services, (B) the Offeror will not breach any agreement or other obligation to keep in confidence, or to refrain from using, the confidential, proprietary or trade secret information of a former employer, another client or any other person, and will not use any such information in connection with the Services, (C) the work product of the selected Offeror and the Services performed will constitute original work of the Offeror, and will not infringe any copyright, trade secret, contract or other intellectual property, proprietary or personal rights of any person, and will be free of any liens, encumbrances or other claims, (D) the Offeror does not have an existing or potential conflict of interest in making the offer and performing work for which they are submitting the offer. NON COMPETE CONDITION. Offeror will not provide similar consulting services to another organization on the same opportunity or solicitation on which they have advised Cardno for the later of either: twelve months from conclusion of a specific work order or final award decision by the donor/funder. NON DISCLOSURE AGREEMENT. Successful Offerors will sign a non-disclosure agreement with Cardno before issuance of an Agreement. CARDNO EMERGING MARKETS USA, LTD. All labor costs should be listed in daily rates for various labor categories and the cost items for reimbursable portion in the Materials section of the proposed price should be listed separately, such as travel beyond the Arlington, Virginia office or other direct costs not built in the LOE rates. For detailed instructions on budget, see section 7 Contents and Structure of Proposal, item 5 Pricing Data. Resulting work orders may require additional budget information related to ODCs, such as other travel. 12. Disclaimer Issuance of this RFP does not constitute an award commitment on the part of Cardno, nor does it commit Cardno to pay cost incurred in the submission of proposals. Nothing in this document shall be construed as an offer by Cardno and no terms, discussions or proposals shall be binding on either party prior to execution of a definitive agreement.
