Any such Teacher Participant must have obtained prior written authorization from the Student Participant’s parent or legal guardian and the Student Participant must attend a public school, accredited private school, or home school in compliance with the laws of its state. Neither Employees of Scholastic, nor ABC Cable Networks Group, Inc. (“ACNG”), nor their respective parent, subsidiary or affiliated companies, nor the advertising, promotional or fulfillment agencies of any of them (individually and collectively, “Entities”); nor members of their households or immediate families (defined as parents, children, siblings, step-parents, step-children, step-siblings and their spouses) are eligible to enter the Contest. ENTRY: A Teacher Participant or parent or legal guardian may enter this Contest on behalf of his/her Student Participants in one (1) of two (2) ways during the period beginning at 12:00 A.M. Eastern Time (“ET”), November 4, 2016, and ending at 11:59 P.M. ET, January 9, 2017 (“Entry Period”). During the Entry Period, visit www.scholastic.com/robots-‐of-‐the-‐future (“Website”). Once you visit the Website, follow the links to download the contest entry form (“Entry Form”) and student contest sheet (“Student Contest Sheet”), containing a Student Participant’s drawing of a robot, and a written description of a problem 1 that the robot solves and explains how the robot works, collectively referred to as the “Submission”. (a) MAIL ENTRY: Teacher Participants and/or parents or legal guardians may submit a copy of the Submission on behalf of the Student Participants via mail (“Mail Entry”). Student Participants cannot upload their own Online Entries. “Submission” shall mean and refer to each Mail Entry and Online Entry. LIMITATIONS: All Submission must be received or postmarked by January 9, 2017 at 11:59 P.M. ET. Submissions are limited to one (1) Submission per Student Participant (regardless of method of entry). Submissions by any method other than set forth above in Section 3 are void. Neither the Entities, nor any of their officers, directors, shareholders, employees, or representatives (individually and collectively, “Releasees”) are responsible for: Submissions from persons residing, or physically located, outside the Territory; Submissions that are 3 altered, delayed, deleted, destroyed, forged, fraudulent, improperly accessed, inaccurate, incomplete, interrupted, irregular in any way, late, lost, misrouted, multiple, non-delivered, stolen, tampered with, unauthorized, unintelligible or otherwise not in compliance with these Official Rules; lost, interrupted or unavailable network, server, Internet Service Provider, Website or other connections; miscommunications; failed computer, satellite, or cable transmissions, lines or technical failure; failed computer hardware or software malfunctions, failures, technical errors or difficulties; technical failures; unauthorized human intervention; traffic congestion; garbled or jumbled transmissions; undeliverable emails resulting from any form of active or passive email filtering; insufficient space in entrant’s email account to receive email; or other errors of any kind, whether due to electronic, human, mechanical, printing, production or technical errors or other causes; even if caused by the negligence of any of the Releasees. Each of such potential Submissions will be disqualified and any attempt by a person to use multiple email accounts to register more than the number of Submissions allowed by these Official Rules may result in disqualification at Scholastic’s sole discretion. Void where prohibited or restricted by law and subject to all applicable federal, state, local and municipal laws and regulations. 5. PRIVACY POLICY/DATA COLLECTION: All personal information collected from Student Participants, Participant Teachers, and/or parents or legal guardians of Student Participants will be retained in accordance with Scholastic’s records retention policies for the Contest (all Submissions will be kept for one year following selection of the winner; all winning Submissions will be kept for up to three years). By submitting a Submission in this Contest, the Teacher Participant, parent, and/or legal guardian understands and consents to the collection, maintenance, processing, and transfer of his or her information and the information of the Student Participant in and to the United States and other countries and territories, and to ACNG. The Participant Teachers, and parents and/or legal guardians of the Student Participants acknowledge and agree that such information may be available to United States authorities or otherwise accessed in accordance with United States federal or applicable state law. The Submissions will be subject to Scholastic’s privacy policy, which can be found at the following link: http://www.scholastic.com/privacy.htm. 4 6. WINNER DETERMINATION: Winners will be determined according to the process set forth below: Grand Prize Winner At the end of the Entry Period, a panel of qualified judges determined by Scholastic and ACNG in their sole discretion will select one (1) Student (“Student Participant Winner”) and his/her Participant Teacher (“Participant Teacher Winner”) with the highest-scoring Submission from among all eligible Submissions based on the following equally-weighted criteria (“Judging Criteria”): 1. How well the Student Participants explain how his/her robot works and what problem it solves 2. How well the Student Participant’s robot’s functionality addresses the problem 3. The Student Participant’s creativity and originality In the event of a tie, the Submission that received the highest score for how well the robot’s functionality addresses the problem, as determined by the qualified judges, in their sole discretion, will be deemed the Winner. Teacher Recognition Prize Four (4) Teacher Participants from the remaining eligible Submission will be chosen by random drawing to receive the Teacher Recognition Prizes (“Teacher Recognition Winners”). The winners of the Grand Prize and Teacher Recognition Prizes are collectively the “Winners”. The Winners, his/her parent or legal guardian, as applicable, will be notified on or around February 8, 2017 via cell phone, mail or email, as appropriate, to obtain and/or verify their mailing addresses (as applicable) as well as any additional required information or responses. Each Winner, his/her parent/guardian (where applicable) and the Participating Teacher (where applicable) agree to be bound by the Official Rules, and the decisions of the judges are final in all matters relating to this Contest. Each Winner and his/her parent/legal guardian (where applicable) may be required to sign, notarize, and return, within ten (10) days of date of notification: (1) an affidavit of eligibility/compliance with the Official Rules and statement of originality and verification of address; (2) a publicity release permitting Scholastic and ACNG and each of their respective designees to (i) use the Winner’s name and/or 5 Participating Teacher’s name, address, likeness, biographical information and/or Submission; (ii) reprint the Submission, in whole or in part, in any future publication(s); and/or (iii) use the Winner’s services, including all live and taped performances of Winner’s media interviews, photo/video and/or autograph sessions in connection with this Contest in any and all media now known or hereafter developed, worldwide without limitation, including for any advertising, publicity, and promotional purposes, without additional notice or compensation, notification or permission, except where prohibited by law; and (3) a release of liability signed by the Winner or parent/legal guardian of the Winner (where applicable). If the above are not executed and received by Scholastic within ten (10) days of date of receipt of notification, prizes may be awarded to an alternate winner from among all remaining eligible Submission. In addition, each Winner and/or parent/legal guardian of the Winner (where applicable) must execute all other documents reasonably requested by Scholastic and/or ACNG in connection with the Contest. If Scholastic and/or ACNG discover at any time, during or after the Contest, that a Submission contained infringing material, the parent or legal guardian of the Student Participant or the Participant Teacher that submitted the entry will be immediately disqualified and will be obligated, along with the respective Participant Teacher Winner, or the Teacher Recognition Winner to immediately return any and all prizes that may have been awarded to him/her in connection with his/her entry. 7. PRIZES: A. Note: For purposes of the Contest, the Participant Teacher Winner is defined as the teacher listed on the Entry Form. B. TEACHER RECOGNITION PRIZES: Four (4) Participant Teachers from the remaining eligible Submissions will be chosen by random drawing to each receive one (1) $100 Scholastic gift certificate. 6 “Prize” shall mean and refer to each Grand Prize and Teacher Recognition Prize. No cash substitutions for Prizes. In the event of Prize unavailability, a Prize of equal or greater value will be awarded as determined by Scholastic’s sole discretion. Prizes are nontransferable. All federal, state, and local taxes, if any, are the sole responsibility of the Winners and the parent or legal guardian thereof. Subject to all applicable laws. 8. [2] you will abide by and be bound by the Official Rules and the Scholastic and ACNG’s decisions and Privacy Policy; [3] you waive all rights in and to the Submission and it will not be returned; [4] you release and hold harmless the Releasees from any and all liability for claims, injuries, losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of any Prize; participation in the Contest or any contest-related activity or from any interaction with, or downloading of, computer Contest information; [5] the Prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose), and the Releasees do not make any representation, warranty or guarantee, express or implied, relating to the Contest or Prizes [6] a Winner’s acceptance of a Prize constitutes the grant to Scholastic and ACNG and assigns of an unconditional right to use Winner's name, address (city and state only), voice, likeness, photograph, biographical and prize information and/or statements about the Contest for any programming, publicity, advertising and promotional purposes without additional compensation, except where prohibited by law; [7] in the event viruses, bugs, unauthorized human intervention, Acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism or other matters beyond Scholastic’s reasonable control, corrupt, prevent or impair the administration, security, fairness or proper play of the Contest, so that it cannot be conducted as originally planned, except where prohibited by law, Scholastic has the right, in its sole discretion, to modify the Official Rules or to cancel, modify, terminate or suspend the Contests; and in such event, to select a Winner by such method as Scholastic in its sole discretion shall consider equitable; [8] the Releasees are not responsible for typographical or other errors in the offer or 7 administration of this Contest, including but not limited to: errors in the advertising, Official Rules, selection and announcement of the Winners and distribution of the Prizes; [9] any portion of any Prize not accepted or used by any Winner will be forfeited; [10] the Releasees are not responsible for any inability of any Winner to accept or use any Prize (or any portion thereof) for any reason; [11] Scholastic has the right, at any time and at its sole discretion, to disqualify any individual it suspects to be doing any of the following: (a) tampering or attempting to tamper with the entry process or the operation of the Contest; (b) violating the Official Rules; (c) violating the terms of service, privacy policy or other terms, conditions of use and/or general rules or guidelines of any Contest property or service; (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or (e) for any other good cause as determined solely by Scholastic; [12] Scholastic has the right to lock out an entrant whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter the Contest ; [13] since any attempt by any individual to damage or undermine the legitimate operation of this Scholastic is a violation of these Official Rules as well as criminal and civil laws, and should Scholastic believe or become aware that such an attempt has been, is being, or will be made, it has the right to seek remedies and damages from any responsible individuals to the fullest extent permitted by law, including without limitation criminal prosecution; [14] all disputes, claims and causes of action at law or in equity (individually, “Claim”) arising out of or relating to this Contest, the meaning or interpretation of the Official Rules or any Prize awarded shall be resolved by applying the laws of California, without regard to conflict of laws provisions therein, and shall be solely and exclusively brought in the state or federal courts within that state; [15] all Claims shall be resolved individually, without resort to any form of class action; [16] all Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event include attorneys’ fees, and under no circumstances will any entrant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses and waives all rights to have damages multiplied or otherwise increased; [17] Scholastic has the right to modify prize award procedures at its sole discretion; [18] the Winner’s acceptance of the Prize constitutes the grant of an unconditional right to ACNG and assigns to photograph, film, or otherwise capture any creative content in the Submission (“Creative Content”) and ACNG shall have the unconditional right to reproduce, distribute, display, exhibit, transmit, broadcast, stream, synchronize with visual material, modify, amend, create derivative works, and otherwise use and permit others to use the Creative Content throughout the universe in any and all media now known or hereafter 8 devised, in all languages and in all versions, in perpetuity, without compensation, except where prohibited by law; [20] ACNG’s use of the Creative Content as described herein will not give rise to any claims of infringement, invasion of privacy, defamation or claims for performance or payment of any kind, including but not limited to payment of re-use fees, residuals or license fees; and [21] ACNG shall have the right to make such changes to the Creative Content and make such uses thereof as it deems necessary or desirable, including but not limited to the right to use, edit, and reproduce and/or alter said Creative Content in perpetuity, in its entirety or in part, for any commercial and promotional purposes worldwide without any consultation or additional permission, or compensation, credit or attribution. 9.
