Eng President Bruce Francis is a Professional Engineer with over 30 years diverse experience in the oil and gas industry. Mr. Francis held the positions of President at C3 Resources Ltd. (June, 2005 - July, 2008) and C2 Energy Inc. (January, 2001 - May, 2005), each private oil and gas companies which he co-founded. Under Bruce’s direction, both C2 and C3 focused on fullcycle exploration and development prior to sale of the companies into the public market. Between 1995 and November, 2000, Bruce was President and Chief Operating Officer of Caravan Oil and Gas Ltd., a publicly-traded oil and gas company which he also co-founded. Caravan grew from a private energy company in 1995 to a reporting issuer producing over 1900 BOED prior to being acquired by an intermediate publicly-traded oil and gas producer in November, 2000. From 1992 and 1995, in a senior engineering capacity at Beau Canada Exploration Ltd., Mr. Francis directed a series of successful, aggressive, growth-oriented resource exploitation programs. Prior thereto, from 1989 to 1992, Bruce provided engineering and consulting services to a variety of energy companies. Bruce’s early career experience was gained through positions of increasing responsibility in both field and head office locations with Dome Petroleum Ltd. and Amoco Canada Petroleum Ltd. Bruce is a Professional Engineer and holds memberships in APEGA and the Society of Petroleum Engineers. He has served as a Director of a number of public issuers, including Seaview Energy Inc. and Kootenay Energy Inc., as well as several private resource companies. David Baldwin, P. Geol Vice President, Exploration Dave Baldwin is a Professional Geologist with more than 35 years of oil and gas experience throughout the Western Canadian Sedimentary Basin. Previously, as Vice President of Exploration at Kootenay Energy Inc. (2006-2011), he directed a successful exploration and acquisition program which culminated in the sale of the company, and resulted in sizable gains for investors. Prior thereto, as President of D. R. Baldwin Exploration, he provided geological consulting and exploration expertise to a large and diverse client base, developing economic oil and gas prospects throughout Western Canada. Dave is credited with numerous oil and gas discoveries that have made these companies successful. Specifically, Mr. Baldwin managed exploration efforts for a junior microcap client, taking the company from 300 BOED to over 3,500 BOED when the company was sold 3 years later. Earlier in his career, Dave supervised all development geological work in Canada for Canadian Occidental Petroleum, as well as all exploratory work in eastern Alberta and Saskatchewan. This provided excellent exposure to most play types in Western Canada. As a geologist with LL&E (Louisiana Land and Exploration) Dave had the responsibility for all prospects within the areas of Southern Alberta which accounted for over C GROUP ENERGY 2015 4 80% of the company’s Canadian production. He began his career with Pacific Petroleum developing prospects in N.E British Columbia. Mark Eilers, P. Eng Vice-President, Business Development Mark Eilers is a Professional Engineer with over 33 years experience in the energy industry. His technical background includes extensive operational, exploration and development experience in conventional and enhanced hydrocarbon recovery. From 1998 – 2005, Mark was a major shareholder, President and CEO of Markedon Energy Ltd., a private Canadian oil and gas company. Mark and his team grew the company from zero, to a $73 MM corporate divestiture in 2005. In addition, the disposition included an associate company which sold concurrently for $28 MM. The assets included sweet natural gas and light oil waterfloods with an exit production rate of 1300 BOEPD while the combined corporate dispositions exited at 1900 BOEPD. Prior to Markedon, Mark worked with Draig Energy Ltd., a publicly-listed junior energy firm from 1997 – 2000. He was a shareholder and held the position of Vice-President, Production Operations. Draig Energy Ltd. successfully executed reservoir development in a number of Alberta locations, incorporating under-balanced horizontal drilling of natural gas wells to fully exploit tight gas development. Mark helped steer Draig from production of 400 BOED to final production of 1800 BOEPD which led to disposition of the company through a share exchange with a mid-cap trust company. The disposition value was approximately $52 MM. Prior thereto, Mark worked with Samedan Oil of Canada, spearheading reservoir development, A & D, under balanced horizontal drilling (oil), and provided exploration assistance. Mark participated in Samedan’s growth from 1800 BOEPD to 3300 BOEPD. Terry Kraychy, CET Vice-President of Operations Terry Kraychy is a Senior Operations Technologist with over 30 years of diversified petroleum industry experience with public and private companies. Prior to joining C Group Energy, Terry held the position of Vice President of Operations for Kootenay Energy Inc. managing all corporate operational activity for five (5) years. Prior thereto, Mr. Kraychy managed production operations at Highpine Oil & Gas. Under Terry’s management, the company expanded rapidly via acquisition and new development of prolific sour oil production resulting in rapid growth from 3500 to 20,000 BOED. Mr. Kraychy coordinated pipeline and facilities construction, maintained Corporate Emergency Response Plans, and supervised field foremen and field staff in early stages of high- intensity company growth. He also represented Highpine at high profile regulatory hearings. His earlier experience includes operational roles at Petrobank Energy, Caravan Oil and Gas, Petrorep Resources, Beau Canada Exploration and Canada Northwest Energy. Experience included supervision of field foremen, coordination and supervision of pipeline and facilities construction, production optimization, workover and completion operations, abandonments and reclamations. Terry was directly involved in asset transactions, both purchases and divestitures and maintaining the Corporate Emergency Response Plans and Safety Policies. C GROUP ENERGY 2015 5 Mr. Kraychy’s early career experience also includes seven (7) years with the Energy Resources Conservation Board, with roles in field offices and Head office. Responsibilities included inspection of oil and gas facilities and drilling and service rigs for regulatory compliance. Terry also reviewed and processed regulatory applications and coordinated associated public hearings. Sherry Phan, B. Comm Land Manager Sherry is a Petroleum Landman with 10 years of diverse experience in the oil and gas industry. She graduated from both the University of Alberta, with a B.A. in 1999, and Haskayne School of Business, the University of Calgary, with a Petroleum Land Management degree in 2005. Ms. Phan held the position of Landman at Imaginea Energy Corp. from April – October 2014, where she completed land & title assessments, and evaluations of numerous properties, eventually culminating in a number of closing transactions. Sherry implemented and was responsible for corporate land and software systems (CS Explorer, ETS, SPIN2 and O&G Index.) Prior thereto, Ms. Phan was a negotiating and contracts Landman in the Asset Rationalization Group at Canadian Natural Resources Ltd. Sherry’s career also includes two years at Trident Exploration as Landman. Sherry holds memberships in both CAPL and CAPLA. Jack Marsh, P. Eng Evaluations Specialist Jack has had a career in the upstream oil and gas industry for over 39 years primarily in a reservoir and production engineering capacity. Following an 18 year career with Imperial Oil Ltd., Mr. Marsh has been involved with several junior oil and gas companies, including being a founding member of Bulldog Oil and Gas Inc. and Kootenay Energy Inc., both of which were ultimately acquired. He was recently the COO of Donnycreek Energy Inc. which was actively drilling and developing Montney gas pools in the Alberta deep basin area until the company’s merger with a partner company to form Kicking Horse Energy Inc. in December 2014. C GROUP ENERGY 2015 6 DIRECTORS Asheet Ruparell, B. Comm, LLB Special Advisor to the Board Asheet Ruparell is President and Director of AVR Enterprises Ltd., a private diversified investment and holding corporation with interests in automotive, hospitality, oil and gas and real estate development. Asheet started his career as a lawyer, practicing in corporate commercial, securities and real estate law. His transition into business included several hotel and other real estate acquisitions as well as being a founder and Chairman of the board of Caravan Oil and Gas Ltd., which grew from a private energy company to a publicly traded oil and gas company, producing over 1900 BOED prior to being acquired by an intermediate publicly traded oil and gas producer in 2000. Asheet’s direct involvement in oil and gas continued as a director of C2 Energy Inc. and C3 Resources Ltd., both start up private oil and gas companies sold after a period of growth. Asheet has developed real estate projects including hotels, auto dealerships and condominiums valued in excess of $300 million, is a strategic advisor for Silver Hotel Group (a private hotel investment company with over 28 hotels) and recently completed a takeover of a publicly traded hotel company. He continues to be an owner and oversees operations of three automobile dealerships in Calgary. Asheet has served as a director of AIC Diversified Canada Split Corp. (1999 – 2009), a publicly traded investment corporation and served on its audit committee. He was also Governor for Strathcona Tweedsmuir School (2007-2013), serving on its audit committee and continues on its Campus Rejuvenation Committee. Asheet has a Bachelor of Commerce degree from the University of Calgary and a law degree from the University of Toronto. Phil Toews, P. Eng. ICD.D Director Phil Toews is a Professional Engineer with over 30 years experience working in the banking and energy industries. He began his career working as an engineer for Amoco Canada and Crestar Energy in facilities and development. He then transitioned into banking, where he spent the majority of his career with Goldman Sachs and J.P. Morgan in a variety of sales and trading roles in the commodities groups. His most recent post was heading up J.P. Morgan’s very successful Canadian Commodities division. Phil was also a founder and director of Caravan Oil and Gas Ltd., which grew from a private energy company to a publicly traded oil and gas company producing over 1900 BOED prior to being acquired by an intermediate publicly traded oil and gas producer in 2000. Phil is a member of APEGA and the Institute of Corporate Directors. He is currently on the boards of Kudo’s Inc., a tech firm, and Diakonos, a non-profit serving first responders.
