Nancy George has been a nurse
practitioner for 19 years with experience in
nurse-managed health centers based in
community, hospital and academic
settings. Since 2004, Dr. George has
served as an assistant professor (clinical)
and assistant director of DNP Programs at
Wayne State University College of
Nursing. She works as a nurse practitioner
in the Campus Health Center and is active
on the Faculty Practice Plan Board.

Ann Sheehan has been a nurse
practitioner in pediatrics for 22 years. She
has been an active member of MICNP
since 2002 and NAPNAP since 1992.
Currently she is the Assistant Dean for
Practice for Kirkhof College of Nursing at
Grand Valley State University.

Mary Anne McCoy: Assistant Professor of
AG-ACNP program at Wayne State
University. AG-ACNP program director for
one of the most active NP acute care
programs in the nation. Lectures and
coordinates all aspects of the clinical
courses for the program. Co-Chair of the
National Organization of Nurse
Practitioners AG-ACNP Special Interest
Group. Contingent employee of HFHS
West Bloomfield site and works in their
Surgical ICU and for General Surgery
Service.

Mary Serowoky: Mary's advanced clinical
practice is in primary care, either in schoolbased teen health centers or as past
clinical coordinator for McAuley Health
Center. Her role as a clinical consultant for
the Michigan Department of Community
Health enables her to assist state-funded
child and adolescent health centers in their
delivery of high quality services. She
serves as volunteer NP at Cabrini clinic
(caring for uninsured adults).

Maureen Dobbie: Currently a Nurse
Practitioner for hospice patients in
outpatient and GIP setting. Primary
provider for patients with terminal acute,
chronic and cancer diagnoses for 9 years.

Sandra Oliver-McNeil DNP, ANCP-BC,
AACC has been a nurse practitioner for
over 12 years with a clinical focus in
Cardiology. She attended Wayne State
University, Detroit Michigan, where she
obtained her Doctor of Nursing Practice
and Masters of Nursing specializing as an
Acute Care/Critical Care Nurse
Practitioner. Her 30 year clinical
experience has included cardiac
catherization laboratory at Beaumont
Health Care System, Royal Oak,
management of patients with a variety of
cardiovascular disorders in the inpatient
and outpatient settings.

Janet Wyman
Janet Wyman has over 30 years of
experience in the hospital and private practice
settings, and has been with the Henry Ford
Hospitals and Medical Center since 2000 in a
variety of positions, currently serving as the
Program Coordinator for their Center for
Structural Heart Disease. Janet has received
awards from the American College of Cardiology’s
Cardiovascular Team Council, and was
inducted as an associate in 2011. A member
of the Michigan Council of Nurse Practitioners since
2006, she serves as the Chair of the council’s
Public Policy committee.

Board Position
President
Description of Responsibilities
President shall be the chairperson of the Board and shall:
 Preside over all meetings
 Supervise the function of the executive committee
and all administrative matters, business and affairs of
the Board including signing all contracts and legal
documents to be executed on behalf of the Board.
 Implement policies as promulgated and directed by
the board.
 Serve as the spokesperson of MICNP
 Serve as the ex-officio member of all standing
committees.
President-elect
President-elect shall:
 Be versed in the duties of the President
 Assume the duties of the President with full power
should the President be absent or unable to serve
 Assume and perform duties as assigned by the
Executive Committee.
 Automatically succeed to the presidency at the
conclusion of the President’s term of office
Secretary
Secretary shall:
 Record the minutes of all meetings of the Board and
Executive Committee.
 Perform other duties as the Board may designate.
Treasurer
Treasurer shall:
 Be responsible for management of all funds of the
Council.
 Account for all financial transaction of the Council.
 Oversee the annual budget.
 Render treasurer’s report at business meeting(s).
 Endure and authorize an external financial audit every
two (2) years.
 Perform other duties as Executive Committee may
designate.

Description of Responsibilities
Immediate Past President shall be an ex-officio position
that has completed the term of President. This position
will not affect quorum because it is voice and not vote.
This does not supersede this individual’s duties under the
by-laws in any other official position and capacity.

This committee shall uphold eligibility standards as
stated in these Bylaws shall promote State membership
to eligible candidates and shall formulate written plans to
maintain, increase and enhance MICNP State
membership to its greatest potential.
i.
Nominations Committee – This committee shall
serve as a sub-committee under the Membership
Committee. This committee shall prepare a slate
that optimally prefers at least two (2) nominees for
each office during election year and submit the
nominees to the Board and follow other duties as
directed in Article VIII, Elections, Sections 1 and 2.
Additionally, this committee shall prepare a slate
for MICNP’s NP of the Year Award including the
selection of the winner.
Education
Committee
This committee shall provide the council with information
education programs pertaining to the art & science of the
NP role/practice for continued professional growth of the
NP. The committee shall monitor criteria relevant to NP
certification continuing education requirements (CEUs) &
offer programs and be a provider of CEUs accordingly.

Annual Conference Task Force: This task
force will be a sub-committee of the Education
Committee responsible for the development
and implementation of the Annual Conference.
The Education Committee board appointee or
designee will act as chairperson of this
taskforce.
Public Policy
Committee
This committee shall evaluate proposed federal, state
and regional legislation and regulation for its implications
for Michigan NPs, ensure dissemination of information to
the Board. This committee will develop a legislative

platform and work to advance the profession.
Bylaws
Committee
This committee shall review existing Bylaws annually.
Members shall be permitted to present in writing
suggestions for revisions, changes or amendments to the
Bylaws. These suggested revisions, changes or
amendments will be presented to the Board for review
and then to MICNP membership at large for approval.
Political Action
Committee
(PAC)
This committee will develop professional relationships
with and educate legislators & key organizations to
facilitate awareness of, and advancement of, the practice
of Nurse Practitioners in the state of Michigan. PAC
funds are financially separate from MICNP funds and are
used to contribute to the campaigns of candidates for
public office who are supportive of MICNPs legislative
agenda.

Committee
This committee shall plan and implement public
communication and exposure of the purposes/programs
of the Council to the media, general public, membership
and prospective members.
Ad Hoc
Committees
Ad Hoc Committees may be appointed by the Board with
the concurrence of the voting membership for such
special tasks as circumstance warrant. These
committees shall focus their attention on, and have
limited power to, only those activities to accomplish the
task for which they were created. Dissolution of an Ad
Hoc Committee shall occur upon completion of the task
for which appointed, or as disbanded by the Board.
II. Historical references for the organization
a. MICNP was started to fill the void that was left when the largest state
nursing organization began to disengage from issues that impacted nurse
practitioners and other APRN’s. Two Metro-Detroit Chapters of nurse
practitioners merged to form MICNP. The goal was to address the
professional nurse practitioner practice issues that were impacted by
policies at the national, state and local levels. In 2001, from the humble
beginnings of ~50 members to the 1,300 member strong organization
today MICNP has begun to address key issues of professional practice for
nurse practitioners.

This strategic plan has been developed by MICNP Board of Directors in
order to provide a disciplined approach to the management of MICNP over
the next five (5) years.
Any questions about the strategic plan can be addressed to the MICNP
Board of Directors.

ii. All travel must be pre-approved by MICNP State Board
President or Treasurer. When you are required to attend a
MICNP event, overnight hotel stays are paid for if you are
traveling over 150 miles one way. In most cases, MICNP
will have the rooms paid for directly but occasionally, you
may have to pay for your room and then submit for
reimbursement.

MICNP DISCLOSURE POLICY PROCESS
1. All MICNP State Board members will read and sign the Conflict of
Interest Policy and Disclosure Statement. Conflict of interest disclosures
should be made upon or before accepting a nomination to the MICNP

State Board, or for existing members, annually at the January board
meeting.
The immediate Past President of the MICNP State Board reviews the
forms.
If no action is required, the forms are filed in MICNP office.
If the disclosure is in need of review, the Past President and the President
will review the disclosures. If they determine that there is no conflict, the
form is filed.
If it is determined that there may be a conflict, the Past President and the
President will discuss the potential conflict with the board member.
If the board member, the Past President and the President believe that no
conflict exists, no further action will be taken.
If the board member does not believe a conflict exists, but one or both of
the Past President and the President do believe that a conflict exists, the
matter will be brought to the full Board’s attention. The Board as a whole
will determine the next course of action.
If the person agrees to remove herself/himself from the conflict, no further
action is necessary. If not, the Board will determine the next course of
action up to including Board removal.
The Past President’s form goes to the current President for review and
handling.
Conflict of Interest Policy
Employees, board members and officers must avoid any conflict or
appearance of conflict between their interests and those of the association
so as to avoid compromising the honesty, integrity and reputation of the
organization.
Examples of conflict of interest include: (These are examples and are for
illustration only and not intended to be a complete description of possible
conflicts that may trigger enforcement. Any questions about what
constitutes a conflict of interest should be promptly presented to the
Executive Director or the MICNP State Board.)




Serving as a board member, officer, director or employee of a
competing association.
Employment outside of the association in a manner which would
affect the individual’s objectivity in carrying out his or her
responsibilities or where outside employment would conflict with
scheduled hours, including overtime or the timely performance of
work assignments.
Holding a financial interest in a competing association.
Taking knowledge, such as an idea generated for the betterment of
the association, and using it for your own financial gain, or for the
financial gain of another organization.

Accepting free or discounted goods or services or profiting
personally from any organization that does, or is seeking to do,
business with the association.
MICNP does not prohibit the acceptance of modest courtesies or nominal
gifts, openly given and accepted, where such courtesy or gift does not
appear to be made for the purpose of influencing a decision. A thank you
note must be written for the gift and it must be shared with all staff or
committee members. Volunteers and staff are not to request gifts or
favors for personal use.
Officers, directors and employees must use good judgment and business
ethics to govern their behavior and are responsible for timely reporting,
suspected or actual conflict to the President or to any member of the
MICNP State Board. Potential conflicts of interest may be investigated by
the President or the MICNP State Board. Conflicts not voluntarily and
reported and resolved in a timely manner may result in the disciplinary
action up to and including removal from the position held and from
membership in the organization.
Duty to Disclose
In connection with any actual or possible conflict of interest, an
interested person must disclose the existence of the financial interest
and be given the opportunity to disclose all material facts to the
directors and members of committees with governing board delegated
powers considering the proposed transaction or arrangement.
Recusal of Self – Any director may recuse himself or herself at any
time from involvement in any decision or discussion in which the
director believes he or she has or may have a conflict of interest,
without going through the process for determining whether a conflict of
interest exists.
Determining Whether a Conflict of Interest Exists -- After disclosure
of the financial interest and all material facts, and after any discussion
with the interested person, he/she shall leave the Board or Executive
Committee meeting while the determination of a conflict of interest is
discussed and voted upon. The remaining Board or Executive
Committee members shall decide if a conflict of interest exists.
Procedures for Addressing the Conflict of Interest

An interested person may make a presentation at the Board or
Executive Committee meeting, but after the presentation,
he/she shall leave the meeting during the discussion of, and the
vote on, the transaction or arrangement involving the possible

conflict of interest.
The Chairperson of the Board or Executive Committee shall, if
appropriate, appoint a disinterested person or committee to
investigate alternatives to the proposed transaction or
arrangement.
After exercising due diligence, the Board or Executive
Committee shall determine whether MICNP can obtain with
reasonable efforts a more advantageous transaction or
arrangement from a person or entity that would not give rise to a
conflict of interest.
If a more advantageous transaction or arrangement is not
reasonably possible under circumstances not producing a
conflict of interest, the Board or Executive Committee shall
determine by a majority vote of the disinterested directors
whether the transaction or arrangement is in MICNP's best
interest, for its own benefit, and whether it is fair and
reasonable. In conformity with the above determination, it shall
make its decision as to whether to enter into the transaction or
arrangement.
Violations of the Conflicts of Interest Policy

If the Board or Executive Committee has reasonable cause to
believe a member has failed to disclose actual or possible conflicts
of interest, it shall inform the member of the basis for such belief
and afford the member an opportunity to explain the alleged failure
to disclose.

If, after hearing the member's response and after making further
investigation as warranted by the circumstances, the Board or
Executive Committee determines the member has failed to disclose
an actual or possible conflict of interest, it shall take appropriate
disciplinary and corrective action.
Periodic Reviews To ensure MICNP operates in a manner consistent
with charitable purposes and does not engage in activities that could
jeopardize its tax-exempt status, periodic reviews shall be conducted.
The periodic reviews shall, at a minimum, include the following
subjects:
 Whether compensation arrangements and benefits are
reasonable, based on competent survey information (if
reasonably available), and the result of arm's length bargaining.

Whether partnerships, joint ventures, and arrangements with
management organizations, if any, conform to MICNP's written

policies, are properly recorded, reflect reasonable investment or
payments for goods and services, further charitable purposes
and do not result in inurement or impermissible private benefit
or in an excess benefit transaction.
The Executive Committee shall regularly and consistently monitor and
enforce compliance with this policy by reviewing annual statements
and taking such other actions as are necessary for effective oversight.
Each director, principal officer and member of a committee with
governing board delegated powers shall annually sign a statement
which affirms such person:
 Has received a copy of the conflicts of interest policy,
 Has read and understands the policy,
 Has agreed to comply with the policy, and
 Understands the Organization is non-profit and in order to
maintain its federal tax exemption it must engage primarily in
activities which accomplish one or more of its tax-exempt
purposes.
Each voting member of the Board shall annually sign a statement which
declares whether such person is an independent director.
If at any time during the year, the information in the annual statement
changes materially, the director shall disclose such changes and revise
the annual disclosure form.

CONFLICT OF INTEREST – DISCLOSURE STATEMENT
I have reviewed MICNP’s Conflict of Interest policy and understand that in my service as a
Board Member and volunteer it is my obligation to disclose a conflict of interest, or appearance
of a conflict, which might jeopardize the performance of duties which are in the best interest of
the association and the membership in general. I agree to disclose to the President when a
conflict (or appearance of a conflict) arises and that for transactions in which I have a conflict, I
will abstain from any vote on the matter involving the conflict. Conflicts of interest would
include, but not be limited to, direct financial or close personal interest in a company, product,
service or program, which could be affected by a decision of the Board on which I serve. I
understand all program and service ideas generated or implemented by way of my service are
property of MICNP and I agree not to compete with MICNP in the implementation of these
