0.00 GENERAL INFORMATION INSTRUCTIONS TO BIDDERS PERTINENT TO BID PREPARATION 0.01 DEFINITIONS A. Bidding Documents include the Invitation to Bid, Specifications, the Bid Form and any Addenda issued prior to receipt of Bids. The Contract Documents proposed for the Work will consist of an Owner-Contractor Agreement, Specifications and all Addenda issued prior to and all Modifications issued after execution of the Contract. The Contract Documents are complementary and what is required by any one shall be as binding as if required by all. B. All definitions set forth in the Contract Documents are applicable to the Bidding Documents. C. Addenda are written instruments issued by the Owner prior to the execution of the Contract which modify or interpret the Bidding Documents by additions, deletions, clarifications or corrections. D. A Bid is a complete and properly signed proposal to do the Work for the sums stipulated therein, submitted in accordance with the Bidding Documents. E. The Base Bid is the sum stated in the Bid for which the Bidder offers to perform the Work described in the Bidding Documents as the base, to which work may be added or from which work may be deleted for sums stated in Alternate Bids. F. An Alternate Bid (or Alternate) is an amount stated in the Bid to be added to or deducted from the amount of the Base Bid if the corresponding change in the Work, as described in the Bidding Documents, is accepted. G. A Unit Price is an amount stated in the Bid as a price per unit of measurement for materials or services as described in the Bidding Documents or in the proposed Contract Documents. H. A Bidder is a person or entity who submits a Bid. 0.02 BIDDER'S REPRESENTATION A. Each Bidder by making their Bid represents that: 1. They have read and understand the Bidding Documents and their Bid is made in accordance therewith. 2. Their Bid is based upon the existing, materials, systems, labor and equipment required by the Bidding Documents without exception. 0.03 BIDDING DOCUMENTS A. Bidders may obtain complete sets of the Bidding Documents from the Soliciting Agent designated in the Invitation to Bid. B. Bidders shall use complete sets of Bidding Documents in preparing Bids; the Owner does not assume any responsibility for errors or misinterpretations resulting from the use of incomplete sets of Bidding Documents. C. The Owner and Bidder, in making copies of the Bidding Documents available on the above terms, does so only for the purpose of obtaining Bids on the Work and does not confer a license or grant for any other use. D. Bidders shall promptly notify the Soliciting Agent – John Hill, Camp Snoopy, Mall of America, 5000 Center Court, Bloomington, MN 55425-5500, 952-893-8516, of any ambiguity, inconsistency or error which they may discover upon examination of the Bidding Documents. E. Bidders requiring clarification or interpretation of the Bidding Documents shall make a written request that shall reach the Owner at least seven (7) days prior to the date for receipt of Bids. F. Any interpretation, correction or change of the Bidding Documents will be made by Addendum. Interpretations, corrections or changes of the Bidding Documents made in any other manner will not be binding and Bidders shall not rely upon such interpretations, corrections and changes. G. No Addenda clarifying the Bidding Documents will be issued later than four (4) days prior to the date fixed for receipt of Bids except an Addendum, if necessary, postponing the date for receipt of Bids or withdrawing the request for Bids. Each Bidder shall ascertain prior to submitting their Bid that they have received all Addenda issued and they shall acknowledge their receipt on the Bid Form. 0.04 BIDDING PROCEDURE A. Bids shall be submitted on the forms provided with all Exhibits attached. All blanks on the Bid Form shall be filled in by typewriter or in ink. Where so indicated by the Bid Form, sums shall be expressed in both words and figures, and in the case of discrepancy between the two, the written amount shall govern. The signer of the Bid must initial any insertion, alteration or erasure. B. Each Bid shall include the legal name of the Bidder and a statement whether Bidder is a sole proprietor, a partnership, a corporation, or any other legal entity, and shall be signed by the person or persons legally authorized to bind the Bidder to a Contract. A Bid by a Corporation shall further give the State of Incorporation and have the corporate seal attached. A Bid by an Agent shall have a current Power of Attorney attached, certifying Agent's authority to bind the Bidder. C. One copy of the Bid Forms Sections shall be submitted as stated below. D. One copy of the Bid shall be returned to the Owner’s contact as stated on the first page of this document, no later than ____________________________, in a sealed opaque envelope with the notation "Bid Enclosed" on the face of the envelope. E. A Bid may not be withdrawn, modified or canceled by the Bidder within sixty (60) days after the time and date fixed for receipt of Bids, without the consent of the Owner and Bidder so agrees in submitting their Bid. The Owner reserves the right to waive any informalities, to accept any Bid at the amount stated, to accept a portion of a Bid, or to reject any Bid. The Owner shall have the right to accept alternatives and substitutions in any order or combination he so chooses. B. Bids will be opened privately. 0.06 POST-BID INFORMATION A. Selected Bidders will be requested to furnish cost information and any information the Owner may request. B. Information shall be furnished within five (5) calendar days from the date of request and in the form prescribed by the Owner. 0.07 SCHEDULE A. Successful Bidder will be notified within thirty (30) days. 1.00 GENERAL 1.01 DESCRIPTION A. WORK INCLUDED The work covered by these specifications consists of furnishing replacement plants and other materials, labor, equipment and performing all operations in connection with the interior landscape maintenance of the Project, and other such materials in strict accordance with these specifications. Work specified in this section includes but is not necessarily limited to the following: 1. Interior Landscape Maintenance 2. Planting Media 3. Related Materials 1.02 PRE-QUALIFICATION OF BIDDERS A. In order to qualify for the interior landscape work on this Project, Bidders must submit all information requested in the bid forms with the Bid Submittal. 1.03 QUALITY ASSURANCE A. GENERAL 1. Work covered in this section shall be performed by a single firm experienced in work of similar nature and scope. The Contractor may not subcontract any portion of the work described herein without the knowledge and written approval of the Owner. In the event of any Owner-approved subcontract, both the Contractor and the Subcontractor shall conform to the terms and conditions of this agreement and the Contractor shall remain finally responsible for all performance. 2. All materials and hardware to be supplied by the Contractor, which are not specifically described herein, shall be of suitable construction, composition and quality to Interior Landscape Specifications page 3 achieve their intended function within the interior planting. B. STANDARDS 1. The Contractor shall provide plants, unless specified otherwise, of a quality and size equal to or surpassing Foliage No. 1 grade as described in the Interior Plant Specifications section of Guide to Interior Landscape Specifications, 1988, 4th Edition, published by the Associated Landscape Contractors of America. 1.04 SUBMITTALS AND INSPECTION A. PRODUCT DATA 1. Upon the Owner’s request, selected Bidders will be required to furnish cost information, samples or any other information requested. 2. Information shall be furnished within ten (10) calendar days from the date of the request and in the form prescribed by the Owner. 3. Requested samples shall be furnished in a timely manner. 1.05 JOB CONDITIONS A. EXISTING CONDITIONS 1. The Contractor shall be familiar with the Project premises and how the existing conditions will affect their work during their interior landscape maintenance service. This is so that no misunderstanding may arise afterwards as to the character or as to the extent of the work to be done; likewise, in order to advise and acquaint themselves with all precautions to be taken in order to avoid injury to person or property of another. No additional compensation will be granted because of any unusual difficulties or Owner’s special requests that may be encountered in the execution of any portion of the work. 2. The Contractor shall establish a maintenance schedule in cooperation with the Owner. 3. The Contractor shall give written notice of conditions threatening to the existence of plant life. 4. The Contractor shall exercise care during the Project’s interior landscape maintenance. Should any obstructions be encountered which shall interfere with service, the Owner shall be consulted and adjustments will be made. The Contractor shall be responsible for immediate repair of any damage caused by their work. 5. The Contractor shall protect existing facilities from transportation of all materials and plants by covering floors, walls, etc., as necessary during their regular services. Interior Landscape Specifications page 4 1.06 PRODUCT DELIVERY, STORAGE AND HANDLING A. GENERAL 1. During any delivery and installation, the Contractor shall perform in a workmanlike manner, coordinating their activities so as not to interfere with the normal operations of the Project and keep their work area(s) clean of litter and debris. 2. The Owner shall diligently endeavor to facilitate the Contractor's work by providing them with off-loading and staging areas, freight elevators and other facilities required for their efficient performance of planting. B. DELIVERY 1. The Contractor shall coordinate all delivery and installation activities with the Owner. 2. The Contractor shall verify that products delivered comply with the requirements of the approved schedules, bear proper inspection certificates and are not damaged. 3. It shall be the Contractor's responsibility to protect all plant materials from adverse environmental conditions during procurement, preparation, acclimatization, transportation, delivery, unloading and installation at the job site. 4. All transport of plants shall be via enclosed and environmentally controlled vehicles by personnel experienced in handling live plants. C. STORAGE 1. Unless otherwise stipulated herein, it shall be the Contractor's responsibility to protect plants from adverse conditions. Further, the Contractor shall be responsible, except as otherwise stipulated herein, to protect all plants stored at the project premises during installation from any and all damage, theft or deterioration of health or appearance. D. HANDLING 1. The Contractor shall handle all materials within generally accepted industry standards. All plant materials shall be provided with protective covering during delivery. Plant materials shall not be bent or tied in such manner as to damage bark, break branches or destroy natural shape. Plants shall not be pruned prior to delivery unless approved by the Owner. 2. The Contractor shall be held responsible for any damage or injury to person or property that may occur as a result of their negligence in the execution of the work. 1.07 PLANT REPLACEMENT WARRANTY A. GENERAL 1. The Contractor shall replace any plant(s) that deteriorates in health and appearance so as to become a lesser specification and/or grade from that which was originally installed. Payment shall be the responsibility of the party controlling the factor(s) causing the plant failure. 2. All plant replacements shall be made with the same species, size and grade plant(s) as what was removed, or with another plant of comparable value that has been approved by the Interior Landscape Specifications page 5 Owner. 3. The Contract (Warranty) includes rotating the Seasonal Floral Units, as per the specified scheduled, attached, and shall also include replacing any Seasonal Floral Unit(s), inbetween the scheduled rotations, which deteriorates in health and appearance so as to become a lesser specification and/or grade from that which was installed. Payment shall be the responsibility of the party controlling the factor(s) causing the failure. 4. Either the Contractor or the Owner may make the decision to replace. However, upon request from the Owner, the Contractor shall perform any such replacement(s) at no additional charges to the Owner. 5. The Contractor shall bear all costs of this warranty, including, but not limited to: the plant replacement cost; and all other associated costs. 1.08 WAIVER OF CONTRACTOR'S PLANT REPLACEMENT WARRANTY A. GENERAL In the event of the below listed situations, the Owner shall release the Contractor from their plant replacement warranty, as specified above. Any resulting plant replacements shall be made at an additional cost to the Owner. 1. On site equipment failure, fire, theft, vandalism, flood, freezing, explosion, accident, or act of God. 2. Moving of any plant(s) to different locations than that initially specified without Contractor's prior approval. 3. Inaccessibility to any plant(s) for horticultural services during normal business hours, unless negotiated otherwise. 4. Lowering of lighting levels, at the Project site, below those that were originally specified as a basis for plant specifications or below those existing at the time of the initial Bid for the Agreement. 5. Watering or other well meaning care by Owner's employee(s), unless requested by Contractor's horticultural personnel. 6. Accidental or malicious damage to plants, containers or related interior landscape materials by: Owner's employee(s); cleaning or other personnel associated with the building; or by the general public. 7. Introduction of any liquids into the plants' soil such as cleaning chemicals, alcohol, etc. or the use of toxic gases such as strong ammonia from floor cleaning and stripping. Interior Landscape Specifications page 6 2.00 PRODUCTS 2.01 PLANT MATERIALS A. NOMENCLATURE Hortus Third (1976) shall be the authority for plant names. Plant materials shall be true to name and type. B. FOLIAGE PLANT STANDARDS 1. The Contractor shall provide plants, unless specified otherwise, of a quality and size equal to or surpassing Foliage No. 1 grade as described in the Interior Plant Specifications section of Guide to Interior Landscape Specifications, 1988, 4th Edition, published by the Associated Landscape Contractors of America. 2. All plants provided under this Agreement shall have been established in their present growing containers for at least six (6) months prior to installation. 3. No plant(s) provided under this Agreement shall be accepted which require permanent staking in order to maintain an upright position. 4. The Contractor shall prepare all plants for existence within the Project premises by acclimatizing them to lower light, moisture, humidity and fertilization levels in conformance with accepted industry standards and as recommended in the Plant Schedule Section of this specification. 5. Plants shall be free from disease and pest infestation that could, by their presence, induce or contribute to the decline of the plant. Plants shall be of a normal growth habit for the species. 6. Plants shall have well-developed root systems and upon inspection, shall be found to be free of pests and/or disease. The roots shall be well distributed throughout the container such that they visibly extend on all sides to the inside face of the growing container. Conversely, the root formation within the container shall not have developed to the point where it becomes excessive (i.e. "pot-bound") and prohibits water from permeating to the fine water-absorbing root hairs. 7. Plants' root systems shall afford firm support and insure physical stability of the plant parts above the soil. The root system shall maintain life systems required to produce vigorous, healthy growth. 8. Heights of plants specified are from the bottom of container to top of plant, not including any outstanding branches. Number of canes or plants per pot specified shall be the minimum acceptable. 9. Foliage width and origin shall be measured across mean foliage width dimension, not including random outstanding branches. Foliage origin along a main trunk, cane or stem shall be measured from soil line. 10. Foliage must be present in such quantity as may be required to produce an appearance representative of the species. 11. Plant materials must be reasonably free of conspicuous scarring evidence: scars, conspicuous or not, must be substantially healed, providing no point of entry for deleterious Interior Landscape Specifications page 7 pathogens or boring insects. There must be no splitting of canes or branching points. 12. Dead wood and all stubs resulting from pruning must be removed. 13. Plants shall be pruned according to Owner's direction and in accordance with standard horticultural practice to preserve the natural character of the plant. Only clean sharp tools shall be used. When necessary, cuts shall be painted with an approved tree wound paint or compound covering all exposed living tissue. 14. Plants must be free of any chlorosis, yellowing or poor chlorophyll formation, turgid and substantially erect, as well as substantially free of blemishes resulting from mechanical, chemical, pathological or pest-induced damage. 15. Plant materials must be reasonably free of dust, pesticide and water-borne residues. 2.02 PLANTING MEDIA A. The growing medium shall be composed of such constituents as may be necessary to provide: 1. Thorough drainage and satisfactory aeration of the root zone. The media mass should be uniform. 2. Adequate moisture and nutrient retention as may be necessary to promote vigorous but controlled plant growth. 3. Sufficient density in the growing container to insure stability of the entire unit, i.e. plant and container. B. The growing medium shall be visibly free of pest, pathogens and weeds. C. The growing medium shall be free of chemical residues which could be harmful to people or animals. Interior Landscape Specifications page 8 2.03 SCHEDULE OF PLANT TYPES & SPECIFICATIONS A. The awarded Bidder and his/her service manager shall tour the project with the Owner and any agent authorized to administer the interior landscape services. The basics and specifics of what the service will entail shall be discussed and made clear to all parties. The Contractor shall inform the Owner of the horticultural procedures, if different from normal, which will be employed. Scheduling, parking, access, availability of water and other logistical problems shall be discussed and firmed to a point of complete understanding amongst the parties. C. Horticultural Services shall consist of a complete, regularly scheduled program (as agreed upon with Owner) for maintaining the health and appearance of all the installed interior plantings. These services shall be carried out by trained service technician(s) at all times under the supervision of an Associated Landscape Contractors of America Certified Landscape Technician (Interior). The Contractor is responsible for all aspects of landscape maintenance during the length of the Maintenance Phase. D. Regular service procedures and functions shall include, but not be limited to: 1. notification to Owner of service technician(s) arrival and departure from the Project premises; and 2. inspection of soil moisture levels and replenishment as required, and Interior Landscape Specifications page 9 3. trimming and cleaning of all foliage and seasonal floral units, removal and proper disposal of diseased or unattractive plant debris from the plant or the soil surface and addition of soil and/or topdressing to soil surface as needed; and 4. inspections for soil and foliar insect pests, diseases and other such infestations; and 5. changing out the seasonal floral units per the attached schedule; and 6. plant pruning to maintain the plant’s health and it’s attractive, natural shape; and 7. Maintaining planting grade levels by topdressing with soil as required; and 8. maintaining proper growing medium nutrient levels through manual fertilizing or use of fertilization system; and 9. the implementation of control measures for pest and disease infestations shall be in strict compliance with all federal and local regulations and pre-approved by the Owner. A current Pesticide Applicators License shall be required by all those implementing any control measures on site; and 10. the Owner shall facilitate the Contractor's Horticultural Services Program by providing access to the Project premises during both off hours and during regular business hours, as is necessary, so that the Contractor can conduct both regular scheduled horticultural services and any special services; and 11. the Contractor shall establish and maintain an effective communication system with the Owner; and 12. the Owner shall notify the Contractor in advance of any change(s) in his normal hours and shall inform the Contractor of any future changes in or any immediate emergency situations regarding the environmental conditions at the Project premises; and 13. the Owner retains the right to continue the Horticultural Services Contract for an additional term.
