Independent Reseller Terms and Conditions:
(The Independent Reseller will be referred to as the IR)
Purchase and Payment Terms and conditions
As a NutriKing IR you are entitled to a basic discount of 33% on your once off purchases exceeding R3000.00(Exc. vat), after discount, during a one
month cycle. All once off invoices at any time of the month must exceed R3000.00(Exc. vat) after discount.
Monthly Purchases means all transaction within a one month cycle from the 26th of the month to the 25th of the following month.

Total monthly Purchases for the minimum invoice value of R3,000.00(Exc. Vat), after discount, up to R29,999.99(Exc. Vat) at a discount of
33% (Your profit on your R3000 Purchase is R1477.61, If you can repeat this every week, your monthly income is R5910.45).
Total monthly Purchases for the value of R30,000.00(Exc. Vat), after discount, up to R39,999.99(exc. Vat), after discount, a further
discount of 2% will be calculated on all monthly purchases during a single month cycle.
Total monthly Purchases for the value of R40,000.00(Exc. Vat), after discount, up to R49,999.99(exc. Vat), a further discount of 4.5% will
be calculated on all monthly purchases during a single month cycle.
Total monthly Purchases exceeding the value of R50,000.00(Exc. Vat), after discount, a further discount of 7% will be calculated on all
monthly purchases during a single month cycle.
All discounts referred to in 2, 3 and 4 will be calculated at the end of a one month cycle on the total value of all purchases during the
same month cycle, including the first purchase during the same month. Any additional discounts on purchases over and above the
R30,000.00 purchases will be entered as a credit on your IR account towards the purchases during the next monthly cycle, excluding the
minimum purchase value of R3000.00(In other words your Purchases will now be for an amount or R3000.00 plus the value of the
accrued discounts of the previous month). Credits are not refundable. This provision makes it possible for an IR to make any size
purchase not less than R3000.00(Exc. Vat), after discount, at his convenience during a one month cycle, after the first monthly purchase
of R3000.00(Exc. Vat), after discount, and build up his monthly purchases to the next target or discount category, while still receiving his
33% discount. Purchases of less than R3000.00(exc. Vat), after discount, at any stage during a one month cycle will not be eligible for
any discount and will not be considered as an IR transaction or entered on the IR account for future credits.
Payment method is Master Card, Visa Card or EFT. All payments MUST reflect in our bank account before any orders will be processed.
You will be notified when your order is ready for collection.

Packaging and labels of the CNT products may not be removed or altered in any way. The products must remain in the original packaging
and label. Repacking & rebranding is strictly prohibited.
All advertising material must conform to CNT/Calpharm t/a NutriKing™ specifications and exact wording describing the benefits of the
products must at all times correspond to the exact wording on the CNT/Calpharm t/a NutriKing™ product packaging and label.
Marketing material prepared by an IR must always refer to, or bear the words ‘Independent Reseller’, so as to confirm their
independence.
Marketing material must at all times be of a high quality, be designed professionally. Written approval by CNT/Calpharm t/a NutriKing™
is essential before launching any new advertising or promotional material.
IR’s may appoint another level of consultants to sell products on their behalf, direct to the public. It is however a clear understanding
that an IR or his/her representative may not sell the CNT/Calpharm t/a NutriKing™ products to other shops, retail stores, chain stores,
pharmacies or health shops, without prior written consent from CNT/Calpharm t/a NutriKing™.
CNT reserves the right to sell and advertise any of it’s products through any media, via any channel and to anyone at any time.
As an IR you are not restricted to sell your products in any specific area and no IR will be entitled to area or/and client exclusivity.
CNT/Calpharm t/a NutriKing™ reserves the right to appoint as many IRs as required and as the company deems fit and at its own
discretion. The IR further acknowledges and agrees that any goodwill accruing in terms of this Agreement with respect to the Company
or Company Products shall be considered the property of the Company and not that of the IR. The IR acknowledges that it has its own
independently established business which is separate and apart from the Company's business. The IR at all times shall be considered an
independent contractor with respect to its relationship with the Company. Nothing contained in this Agreement shall be deemed to
create the relationships of employer and employee, master and servant, franchisor and franchisee, partnership or joint venture between
the parties.
CNT/Calpharm t/a NutriKing™ reserves the right to amend prices as and when they see fit, without prior notice.
CNT/Calpharm reserves the right to amend product specification, to cancel or recall products from the market without prior notice.
Orders are subject to stock availability.
The IR hereby acknowledges that all goods are delivered ex-factory and that the risk associated with shipping the goods from the
CNT/Calpharm premises, whether or not arranged or assisted by CNT/Calpharm, is at the sole risk of the IR. CNT/Calpharm are not
responsible for the products once it left their premises.
It is the sole responsibility of the IR to verify the that the stock that he purchased is accurate and corresponds with his/her invoice before
it leaves the CNT premises, all stock must be checked by the IR or his/her representative for accuracy before the stock leaves the
CNT/Calpharm premises. Once the products have been removed from the premises, CNT/Calpharm is no longer responsible for any order
inaccuracies or discrepancies.
The IR undertakes to store all CNT/Calpharm products as specified on the label or insert of the products. All goods must be stored in a
cool, dry place, out of direct sunlight and below 25°C. Keep out of reach of children. The IR take full responsibility for any damaged
products due to incorrect storage and transport.
14. Failure to adhere to the CNT/Calpharm Terms & Conditions will result in immediate cancellation of your Reseller status and benefits.
15. CNT/Calpharm reserves the right to amend these terms & conditions, without prior notice. The IR will be required to sign any new
amended. Terms & Conditions prior to subsequent orders.
16. By signing this form you agree that you have read and understood all the above mentioned terms, and that you agree to adhere to all the
CNT/Calpharm conditions.
