CRRA/CMLS Company Merger/Acquisition Form 1. Consent. When a firm participating in the MLS merges with or acquires another firm that participates in the MLS, the DR/MP or BIC from each firm must sign this form, and submit it to the CRRA/CMLS Member Services Department consenting to the transaction. The MLS start-up fee for the new consolidated firm will be collected unless: • • The merging/acquired firm indicates the initial start-up fee previously paid transfers to the acquiring firm, OR The merging/acquired firm’s real estate licensees relocate to the already established physical office of the acquiring firm. a. Does the initial start-up fee previously paid by the merging/acquired firm transfer to the acquiring firm? (This is important if the MP for the merging/acquired firm plans to start a new firm in the future.) Yes No b. Use the attached worksheet (make additional copies if necessary) to list all transferring licensees within the two firms. b. Licensees who are not transferring to the acquiring firm must complete the “Transfer Request Form” available at http://www.carolinamls.com/general/forms.cfm. c. Provide a copy of the letter sent to the real estate commission for any licensee who will be dropped from the firm (acquiring and merging/acquired). CMLS will suspend the Subscriber’s access to the Service, as well as Supra service, if applicable. d. Any listings that are not transferred to the acquiring firm will be withdrawn. 4. Additional Documentation. Please include the following documents: a. A copy of the letter to the real estate commission informing it of the company merger/acquisition b. Registration of the transaction with the secretary of state (if applicable) c.
