REPRESENTATION AGREEMENT CRIMINAL DEFENSE 1. PARTIES. a. This agreement is made between Legacy Counsel, hereafter referred to as FIRM, and __________________________________________________________________, hereafter referred to as "Client". b. 2. This agreement is required by Cal. Bus. & Prof. Code § 6147, is intended to fulfill the requirements of that section, and shall be governed by California law. LEGAL SERVICES. a. The legal services to be provided by FIRM to Client are limited to the following: Court representation and defense relating to Client’s arrest as follows (Select Scope Of Representation: Allegations: County Of Jurisdiction: Misdemeanor Representation: Arraignment through Pre-Trial stage, case negotiation, and any reasonable necessary motions. Other: Exclusion: Unless specifically mentioned herein, this agreement shall not include representations for Trial or any appeals and/or Writs that may arise during the period of Representation. Should Client desire further representation for those services, a new agreement must be reached. 3. TERMS. a. Client Duties. FIRM and its staff will provide legal representation and perform services reasonably necessary to defend Client in the legal matter as set forth in this agreement. Client will be truthful and cooperative with FIRM, keep FIRM reasonably informed of developments and of Client's address, telephone number, and whereabouts. b. Client shall be responsible for paying all costs in connection with FIRM’s representation including all witness fees, sample re-analysis, transcripts, private investigator fees, etc. Documentary discovery fees shall be paid by FIRM and considered a cost of doing business (i.e., logs, video, analysis records, etc). c. ADVANCEMENT OF FEES. FIRM is NOT obligated to advance costs that are Client’s responsibility. If FIRM does advance such costs, FIRM shall be entitled to immediate reimbursement. CLIENT ACKNOWLEDGES that any costs of $50 (or less) shall be presumed by FIRM to be acceptable to Client. Any amount greater shall be cleared by Client before said cost is incurred on Client’s behalf. All advanced costs will automatically be added to Client’s account balance and due immediately. 4. LEGAL SERVICE FEES. a. Legal representation shall be compensated by a fixed-fee of $ b. . This shall be considered a good-faith, flat-fee retainer for the purpose of ensuring the availability of Attorney representation by FIRM, for the duration of Client’s case and payments shall be deemed earned upon tender and is based on information provided by CLIENT at consultation. Client acknowledges that FIRM is agreeing to lend its name, reputation, expertise, knowledge, attention, and time to defendant’s case for an indefinite period of time, and that FIRM only accepts a set number of cases at any given time, and FIRM’s acceptance of Client’s case necessarily will require that FIRM will have to reject employment in other cases. Should it become necessary to perform an accounting of work, CLIENT understands that FIRM bills at a rate of $350/hour for Attorneys & $75/hour for support staff. d. AFTER-HOURS APPOINTMENTS. Client understands this fee includes all meetings necessary for the duration of Client’s matter that occur during normal business hours (currently, M-F: 8:00 am – 5:00pm). FIRM will provide the option of meeting with Client outside of normal business hours, however, Client will be billed a $25.00 convenience fee which must be paid before meeting will be scheduled/confirmed. Client understands that Firm attorney must make personal arrangements in order to be available for Client after-hours that would not otherwise be necessary. As a result, this fee shall be considered earned immediately upon scheduling of meeting, and is non-refundable regardless of whether or not Client arrives for the meeting, unless Client provides a minimum cancellation notice of 8 hours. e. RIGHT TO ASSOCIATE OTHER COUNSEL. FIRM reserves the right to associate other counsel to assist with the matter. This includes, but is not limited to other private counsel, or “Special Appearance” attorneys. FIRM may pay other counsel a share of fees, but this will not increase fees charged to client. f. LATE PAYMENTS & BREACH FOR FAILURE TO PAY. FIRM shall have no continuing obligation to continue representation should Client fail to pay legal fees at any point in time. All fees are due in accordance with section 4(b) and a late-fee of $35.00 shall apply to all payments not received by said due date, except Client shall be granted a 2-day grace period after payment due-date. 5. RELEASE OF CLIENT'S PAPERS. a. Upon Client’s request, at the termination of services under this agreement, FIRM will release to Client copies of any documents in client’s file for a nominal copy charge. Client hereby acknowledges and agrees that FIRM will destroy client’s file 5 years after date of resolution/sentence. 6. DISCLAIMER OF GUARANTY. a. FIRM may offer an opinion about possible results, but FIRM cannot guarantee any particular result. Client acknowledges FIRM has made no promises about the outcome and that any opinion offered by FIRM in the future will not constitute a guaranty. 7. ENTIRE AGREEMENT & INDUCEMENTS. a. This agreement contains the entire agreement of the parties. No other agreement, statement, or promise made on or before the effective date of this agreement will be binding on the parties. Any modifications to this agreement must be done in writing. b. Client understands that Firm is entering this agreement based on representations that Client has made to Firm at, or before, execution of this agreement. Criminal Defense Agreement - Page 3 of 3 EFFECTIVE DATE OF AGREEMENT. a. The effective date of this agreement will be the date when, FIRM receives a Client-executed copy of this agreement, FIRM has executed agreement by an authorized representation of FIRM and the required fee payment is made. If Client funds are received on separate dates, the latter date shall be the effective date of this agreement.
