Letting our light shine! Member Voting Process Who Can Vote Eligible Voters Membership is defined in MSCU’s General By-Law, section 2.01. Voting rights are defined in MSCU’s General By-Law, section 2.05, “Each member of the Credit Union has one vote at a membership meeting. No member of the Credit Union under the age of 18 years shall be entitled to vote.” A member, as of the Record Date Monday, January 11, 2016: • Is an active personal or business member (membership is not closed); • Is age 18 or older; and • Has an open member share demand account. Joint members share a vote According to MSCU’s General By-Law, section 7.12 Joint Members, subsection (a), “Where two or more persons hold the same share or shares jointly, any one of such persons present at a meeting of members has the right, in the absence of the other or others, to vote in respect of such share or shares, but, if more than one of such persons are present, they shall vote together as one on the share or shares jointly held by them.” Businesses and Organizations vote by proxy According to MSCU’s General By-Law section 7.13 Proxies, “A member of the Credit Union which is Her Majesty the Queen, a corporation, a partnership or an unincorporated association shall only cast its vote as a member… appointing some one or more persons to vote on its behalf. Any person so appointed need not be a member of the Credit Union.” Ways to Vote You may vote in advance by: a) delivering your completed ballot to the ballot box set up in each local branch; or b) sending your ballot by regular mail using the provided, postage-paid Business Reply Mail envelope, to our strategic research partner, PMG Intelligence; or c) voting online at www.OneMemberOneVote.ca (maintained by PMG Intelligence) using the Unique Member Voter ID found on the ballot in the member voting package; or You may vote on February 29, 2016 by: a) attending and casting your ballot at the Special General Meeting. Replacement Ballots If you have lost or spoiled your ballot or did not receive it, please visit your local branch to request a replacement ballot. Page 1 Rev. 12.01.16 Assurances Our intent is to provide members with assurance that: • All ballots cast were received from eligible voters 1 • All ballots received were accurately recorded in the member online voting system 1 • Only one vote was recorded for each eligible voter 1 • All ballots recorded in the online voting system were accurately counted and reported 2 • The integrity and confidentiality of the member voting information is ensured throughout the process 1 1 review procedures to be performed by Internal Audit 2 review procedures to be completed by PwC Procedures designed to achieve these objectives include: • Clear definition of an eligible voter / use of unique eligible voter IDs • Checking the completeness and validity of member addresses (best efforts basis) • Independent service provider (PMG Intelligence) administers voting system and process to receive, record, and tabulate / report results • System controls that provide confidentiality, integrity, and availability • Secure ballot boxes under direct control of Branch Manager or his/her designate • After business hours, the locked ballot box will be kept in the branch vault under dual custody • Controls over replacement ballots • Ballot boxes transferred directly to PMG Intelligence • Independent reporting and review of voting results If you have questions or comments, please call or visit your local branch and speak with a staff member, or email [email protected].
