Signature: ___________________________________________________________________________ Date: Agreement The New Orleans Jazz & Heritage Festival and Foundation will provide a 10-foot by 10-foot booth, signage with menu and prices, two tables, two chairs and one 20-amp electrical circuit. The Food Vendor understands to participate it must: 1. Pay the booth fee at least 14 days prior to the start of the event. Each festival has a different fee – vendors accepted into the events will be notified of the fees required. 2. Provide the New Orleans Jazz & Heritage Foundation with a “Certificate of Insurance” indicating the following coverage limits: a. General liability/Liquor liability: $1,000,000 per occurrence, $2,000,000 Aggregate. b. Workers Compensation: Louisiana Statutory benefits. Employers liability: $500,000 each accident, $500,000 disease policy limit, $500,000 each employee. 3. Provide proof of being properly licensed for food sales in Orleans Parish. 4. Pay all sales taxes as required by the City of New Orleans. 5. Provide all cooking and serving equipment and supplies. 6. Provide an industrial-size fire extinguisher with proof of current inspection. 7. Any propane or other compressed gas containers must be properly chained to a sturdy structure. 8. Staff the booth the entire indicated times of the event. 9. Provide transportation to and from event location for all vendor staff and equipment. 10. Give the New Orleans Jazz & Heritage Foundation notice of any cancellation of participation twenty-four (24) hours in advance of the start time of the event. If cancellation is associated with the weather, notification should be sent by 1:00 pm the afternoon prior to the event. Hold-Harmless Agreement: Vendor agrees to defend, indemnify and save harmless the New Orleans Jazz & Heritage Festival and Foundation, Inc. from all fines, suits, claims, demands, actions or judgments of any kind and nature accruing against Vendor and/or the New Orleans Jazz & Heritage Festival and Foundation for loss of life, injury or damage to persons or property, or misappropriation or infringement of copyright arising out of or relating to operations of Vendor, its agents, servants or employees while engaged in or about or in connection with the discharge of performance of services under Vendor agreement with the New Orleans Jazz & Heritage Festival and Foundation. Vendor assumes all the risk in operation of its business in connection with the performance of the services called for under this Agreement, and shall be solely responsible and answerable in damages for any and all accidents, injuries or other harms to persons or property that arise as a result of its performance of the services called for under this Agreement.
