This Hospitality Booking Form (hereinafter referred to as this “Form” or this “Agreement”) for the 2014 BNP Paribas WTA Finals Singapore presented by SC Global (hereinafter referred to as the “Event”) is entered into between the
Company/Individual named above (hereinafter referred to as “you”, “your”, “yours”, or “yourself”) and World Sport Group Pte. Ltd. (hereinafter referred to as “WSG”, “we”, “us”, “our”, “ours” and “ourselves”), the duly appointed host,
manager and organiser of the Event.
Any bookings made under this Form shall be subject always to our Standard Terms and Conditions, as annexed hereto in the Schedule, and the following additional terms and conditions (all of which shall form part of this Agreement):
PAYMENT TERMS AND PAYMENT DETAILS (  in appropriate boxes):
On or before 31 July 2014, Hospitality Package(s) shall be reserved only upon receipt by WSG of a
completed and signed Form and payment of a non-refundable deposit of 50% of the cost of the package.
The balance cost of the package (the remaining 50%) shall be payable on 31 July 2014 (unless otherwise
agreed by WSG).
After 31 July 2014, Hospitality Package(s) shall be reserved only upon receipt by WSG of a completed
and signed Form and payment of the full amount of the package which shall be non-refundable (unless
otherwise agreed by WSG).
Reservation of Hospitality Package(s) shall be subject to availability and the Hospitality Package(s)
tickets shall only be issued upon receipt of full payment by WSG.

STANDARD TERMS AND CONDITIONS
Definitions:
The terms set out in this Agreement shall have the meaning set out against them below, unless the context otherwise requires:
a.“Associates” shall mean any of your guests, employees, officers, representatives, agents or contractors, who is the holder of a ticket issued under a Hospitality Package purchased in accordance with this Agreement.
b.“Event” shall mean the BNP Paribas WTA Finals Singapore presented by SC Global.
c.“Facility” shall mean the facility or facilities constructed for the relevant Hospitality Package(s) purchased by you in accordance with this Agreement.
d.“Hospitality Package(s)” shall mean the package(s) including the ticket(s) to the Event and purchased by you in accordance with this Agreement.
e.“Host Venue” shall mean the venue of the Event.
f.“Police” shall mean the Singapore Police Force, or any other body tasked with providing security arrangements for the Event, and includes auxiliary police forces and members of the Singapore Armed Forces.
g.“WTA” shall mean WTA Tour Inc, a New York not-for-profit corporation with offices located at 1 Progress Plaza, Suite 1500, St. Petersburg, FL 33701, the owner and rights holder of the Event.
1. YOUR OBGLIGATIONS, WARRANTIES AND UNDERTAKINGS
1.1 You hereby warrant that you have, and will continue to have full right, title and authority to enter into this Agreement and to undertake and perform all of the obligations on your part contained herein and there is nothing (including
by way of agreement or arrangement) affecting you which may prevent the proper performance by you of your obligations under this Agreement.
1.2 You shall not and shall procure that your Associates shall not develop, undertake and/or engage in any other activity in relation to the Event at any time, either on your/their own or in conjunction with a third party, without
the prior written consent of WSG.
1.3 You shall not and shall procure that your Associates shall not, use in any internal or external advertising, marketing, promotional or any other literature or material in any media worldwide the name, logos or marks of the Event,
WSG, WTA, any official sponsors of the Event, any images of players of the Event, or any other related logos or marks associated the Event that may, in the reasonable opinion of WSG, imply or give the
impression that you or any of your Associates or the activities conducted by you or any of your Associates are connected to or endorsed by the Event, WSG, WTA, any official sponsors of the Event or any of the players
of the Event.
1.4 You undertake that you and your Associates shall not conduct yourself/yourselves in a manner which is prejudicial or defamatory to the image of the game of tennis or its governing bodies, WTA, the Event, WSG, the host,
Singapore Tourism Board or Singapore Sports Council.
1.5 You acknowledge and agree that the Hospitality Package purchased under this Agreement shall not be resold or transferred (whether for free or otherwise, or whether as a package with accommodation, transportation, food, beverage
and/or other ancillary item or experience in the course of business or otherwise), and shall not be used for advertising, sales promotions or other commercial purposes (e.g. competition prize, sweepstakes) without WSG’s prior approval.
Any Hospitality Package(s) or ticket(s) obtained in breach of this Clause shall be void and all rights conferred or evidenced by such package and/or ticket shall be nullified. Any person seeking to use a package or ticket obtained
in breach of this Clause in order to gain or provide entry to or remain at the Event will be liable to be refused admission to or be ejected from the venue where the Event will be held and may be liable to legal action.
WSG reserves the right to retain or confiscate any package or ticket held by you or your Associates reasonably determined by WSG to be in breach of this Agreement without any liability to make any refund in respect thereof.
2. TERMS OF USE AND ACCESS TO THE FACILITY AND THE EVENT
2.1 WSG hereby reserves the right to determine in its sole and absolute discretion and impose any conditions it deems fit, the nature and location of the Facility and any dedicated areas within the Facility at the Event in
all respects.
2.2 If WSG is unable to obtain or maintain rights to use the Facility, WSG may at its absolute discretion provide an alternative comparable to the Facility, but shall not in any event be liable to you for and you hereby release and discharge
WSG against any damages, loss (including, without limitation to, any indirect loss, consequential loss or loss of profit), costs and expenses that may be suffered by you as a result of WSG failing to provide the Facility or an alternative.
2.3 You shall comply and shall ensure compliance by any Associates with:
(a) Any security arrangements, directions or notices displayed or given by the Police or officers, employees, agents, contractors or representatives of WSG, Singapore Tourism Board, Singapore Sports Council, WTA or the Host Venue,
in connection with the Facility, including, without limitation, notices, directions or other requirements relating to the access and security at the Event or your or your Associates’ conduct at the Event;
(b)The conditions of sale attached to the Hospitality Package(s) and/or ticket(s) to the Event and the conditions of entry displayed at the entrances to the Event;
(c)All laws, regulations or requirements of the Police or any other authorities (including without limitations WSG, Singapore Tourism Board, Singapore Sports Council, WTA or the Host) in connection with the Event,
the Facility and the Host;
(d)All instructions displayed within the Facility and the Host; and
(e) You shall be responsible for all claims resulting from any breach of these terms. 2.4 There shall be no alterations or additions to the Facility or to any use of the Facility other than those approved by WSG. You hereby agree that any approval granted in connection with alterations or additions to the Facility may be
subject to additional rules or guidelines prescribed by WTA and/or WSG. You shall be liable for and shall indemnify WSG against any and all costs and expenses howsoever incurred in relation to any alternations and additions to the
Facility requested by you or any of your Associates.
2.5 As an attendee and spectator at the Event and as a user of the Facility, you and your Associates shall assume all risks and dangers incidental to being present at the Host Venue for the Event (including the Facility).
WSG, WTA, Singapore Tourism Board, Singapore Sports Council, official sponsors of the Event and the Host Venue (and their respective officers, employees, agents, contractors and representatives) shall not be responsible
or liable for any injury, loss or damage occurring out of or incidental to your/your Associates’ attendance or presence at the Event held at the Host Venue and/or your/your Associates’ use of the Facility.

HOSPITALITY PACKAGE(S) AND TICKET(S)
On or before 31 July 2014, Hospitality Package(s) shall be reserved only upon receipt by WSG of a completed and signed Form and payment of a non-refundable deposit of 50% of the cost of the package. The balance cost of the package
(the remaining 50%) shall be payable on 31 July 2014 which shall also be non-refundable, unless otherwise agreed by WSG.
After 31 July 2014, Hospitality Package(s) shall be reserved only upon receipt by WSG of a completed and signed Form and payment of the full amount of the package which shall be non-refundable, unless otherwise agreed by WSG.
All quoted prices for the Hospitality Package(s) are exclusive of goods and services tax (GST) or any other applicable taxes.
Hospitality package tickets shall only be issued to you upon receipt of full payment by WSG and WSG shall further advise you on the applicable collection and/or delivery options for the Hospitality package tickets.
There shall be no replacement for loss, misplaced or stolen tickets issued to you.
Hospitality Package(s) and/or ticket(s) cannot be exchanged or refunded under any circumstances, including but not limited to, the possible non-appearance of any particular person, group or personality or player expected by you, or
any variations to the Event schedule and/or line-up, or any adverse weather conditions or any circumstances beyond the reasonable control of WSG.
You further acknowledge that the schedule for the Event (whether notified by WSG or otherwise) and its proposed format is only provisional and is subject to change if necessary for any reason whatsoever. WSG shall not be
liable to you or your Associates for any changes in the players or format of, or any other element of, the Event or arising from any arrangement of a substitute event.
4.ASSIGNMENT
4.1 You shall not assign, sub-license, share or part with in whole or in part the benefit and/or burden of this Agreement without the prior written approval of WSG. For the avoidance of doubt, WSG may assign or otherwise transfer the
benefit and/or burden of this Agreement to another group company and/or for the purposes of corporate restructure and/or amalgamation.
5.CANCELLATION
5.1 Where the Event is cancelled, WSG shall exercise all reasonable endeavours to inform you immediately.
5.2 Where the Event is rescheduled to take place on dates other than the dates stipulated in this Agreement, the costs directly associated with such rescheduling (if any) shall be carried out at WSG’s expense.
5.3 You further acknowledge that you are fully responsible for taking out adequate insurance to cover against any losses which you may suffer as a result of cancellation, abandonment or postponement.

LIMITATION OF LIABILITY AND INDEMNITY
Nothing in this Agreement shall exclude or restrict either party’s liability for death or personal injuries resulting from the negligence of that party or of its employees.
WSG shall not be liable to you by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express terms of these for any loss, damage, costs, expenses
or other claims for compensation arising as a direct or indirect result of breach or non-performance of this Agreement due to a Force Majeure Event.
WSG shall not be liable in any circumstances for any actual, indirect or consequential loss (which expression shall include but not be limited to loss of profits, anticipated profits, savings, business or opportunity loss, loss of publicity or
reputation, or any other economic loss) that may be suffered or incurred by you.
The entire liability of WSG under or in connection with this Agreement shall not exceed in any event the price of the Hospitality Package(s).
You shall indemnify, defend, and hold harmless officers, WSG, Singapore Tourism Board, Singapore Sports Council, WTA official sponsors of the Event and the Host Venue and their respective officers, employees, agents,
contractors and representatives (collectively (the “Indemnified Parties”) from and against any and all actual losses and expenses (including, without limitation, reasonable outside attorneys’ fees and litigation costs) incurred by
the Indemnified Parties as a result of any third party claims, which arise from any fraud, negligence, default or wilful misconduct on your part and/or on the part of your Associates.

7.TERM/TERMINATION
7.1 This Agreement shall commence on the date of signature hereof and shall expire thirty (30) days following completion of the Event, subject to earlier termination or renewal in accordance with the provisions of
this Agreement.
7.2 WSG may terminate the Agreement forthwith by notice in writing:
(a) should you commit a breach of this Agreement and such breach, if capable of remedy, is not remedied by you within seven (7) days from the date of receipt of notice from WSG; or
(b)if you pass a resolution for your winding up (or a court of competent jurisdiction makes an order for its winding up or administration) or a receiver is appointed over any of your assets or you make an arrangement or composition
with your creditors (or any event analogous to any of the foregoing occurs under any jurisdiction to which you are subject).
7.3 Upon termination by WSG in accordance with Clause 7.2, WSG shall be free to re-sell the Hospitality Package(s) including the ticket(s) held by you and/or your Associates.
7.4 Expiry or termination of this Agreement shall not preclude any of other rights which WSG may have under this Agreement or all other rights and remedies available to WSG at law, in equity, under contract or otherwise.

FORCE MAJEURE
If WSG is prevented in any manner from fully performing its duties under this Agreement due to the occurrence of a Force Majeure Event, then WSG’s obligations shall be suspended as long as any Force Majeure Event occurs and during
the periods of time that those events exist; provided however, that WSG shall make good faith efforts to continue to fulfil its obligations under this Agreement and to remedy the Force Majeure Event within a reasonable period of time
so as not to materially affect the performance of its obligations under this Agreement.
If any Force Majeure Event is of a severity or duration such that it materially affects the ability of WSG to perform its obligations under this Agreement, then WSG may terminate this Agreement without liability or further obligation to
you, including but without limitation to any claim under this Agreement for any loss, damage, costs, expenses or other claims for compensation or indemnification arising as a direct or indirect result of breach or non-performance of
the Agreement due to the Force Majeure Event.
“Force Majeure Event” shall mean an act of God, war (declared or undeclared), revolution, riot, civil unrest, terrorism (threatened or act) strike, lock-out, earthquake, flood, fire, delay in transit, satellite failure, inclement weather
(including typhoons), failure of any public utility, undertaking or any other cause whatsoever beyond the reasonable control of WSG.
9.NOTICES
9.1 Any notice required to be given hereunder shall be sufficiently given to either party if delivered in person or forwarded by prepaid post, electronic mail (e-mail) or telex or via facsimile addressed to:

9.2 All notices shall be deemed to have been received when delivered by hand or on the date on which they would be received in the ordinary course of transmitting via facsimile cabling, e-mail or telexing or three (3) business days after
posting or five (5) business days after airmail posting if posted overseas.
10. PHOTOGRAPHS, IMAGES & RECORDING
10.1. You and your Associates must not make, create, store, record or transmit any kind of sound recording, visual footage or audio-visual footage of, at or in relation to the Event (“Recording”), or store, record or transmit any
information or other data of, at or in relation to the Event (“Data”). Unless authorised by WSG in writing, you and/or your Associates must not bring into or use within the Host Venue any equipment that may enable a person
to do the aforementioned acts. Personal electronic devices (including still image cameras, mobile telephones and other personal communications devices) are permitted with the Host Venue unless otherwise advised, provided that
any Recording, Data and any image, including photographic images and any still pictures derived or capable of being derived from a Recording of, at or in relation to the Event (“Image”) that is recorded, stored and/or created
thereon is used for personal, private and non-commercial purposes only.
10.2. Without limiting any action available to WSG, it is a condition of sale that you and all your Associates acknowledge and accept that it is a condition of entry to the Event that:
(a) the use of any such Recording, Data or Image (“Footage”) or any part of it for profit, commercial gain, public advertisement, display or for any other purpose except for the private enjoyment of the person making/recording the
Footage, without the prior written consent of WSG is strictly forbidden and will constitute a breach of this Agreement for which you may be liable; and
(b)if a person makes or reproduces or uses such footage or any part of with or without the consent of WSG, that person shall on request by WSG, assign in writing, all copyright and all intellectual property in the Footage to WSG,
WTA or any other assignees of WSG.
10.3. WSG shall have the right to allow any authorised photographers and/or videographers into the Host Venue (including the Facility) for photography and/or video recordings for any present or future advertising, marketing or promotional purposes without your (or your Associates’) prior permission. As an attendee and a spectator of of the Event, you and/or any of your Associates may be photographed, filmed or sound recorded and WSG shall
have the right to, and may permit WTA, Singapore Tourism Board, Singapore Sports Council, official sponsors of the Event and the Host Venue to, utilize you and/or your Associates’ name, likeness, image, voice, writings and/or
other identification in any manner, in and on any media, in perpetuity and without payment or approval, including (for example) in any and all: still pictures of/from the Event, live or recorded television, radio, wireless, or
internal transmissions of the Event and in general promotion of the Event, WSG, WTA, Singapore Tourism Board, Singapore Sports Council, official sponsors of the Event and/or the Host Venue.
11. PERSONAL DATA PROTECTION
11.1. This Clause shall only be applicable if you are providing your personal details and information (your “personal data”) solely for your own personal capacity as an individual and not for and on behalf of a company, as any provision of
your personal data in your capacity for and on behalf of a company shall be construed as “business contact information” under provisions of the Personal Data Protection Act 2012 (No. 26 of 2012).
11.2. In general, WSG collects and uses your personal data to facilitate its provision of the services requested by you pursuant to this Agreement. WSG will maintain a file about you and your use of WSG’s services. WSG will collect, use and
retain your personal data in your file, and such other information that it may obtain by WSG from time to time and disclosed by you, for as long as the purpose for which your personal data is collected continues or where otherwise
necessary for legal purposes or the purposes of WSG’s normal business operations. Such purposes may include but are not limited to: customising and optimising your experience at the Event; auditing and accounting
purposes; collecting fees owed to us; measuring clients’/sponsors’ interest and satisfaction at the Event and/or in WSG’s products and services; resolving disputes; communicating with you and informing you about
promotional and marketing information; detecting and protecting WSG against error, fraud and other criminal activity; and such other purposes as may be notified to you before or at the time of collection or use or disclosure of
the information.
11.3. WSG may also compare and review your personal information for errors, omissions and/or accuracy.
11.4. Under some circumstances, WSG may require certain financial information from you. WSG will use your financial information (including credit card information) only to verify the accuracy of your name, address, and other information,
to detect any fraud or other criminal activity, and to bill you in accordance with this Agreement.
11.5. WSG recognises the importance of your personal data and WSG has put in place reasonable security arrangements to protect your personal data, in such manner and to such extent as WSG deems reasonably appropriate to prevent
unauthorised access, collection, use, disclosure, copying, modification, disposal or similar risks.
11.6. As a matter of policy, your personal data will not be shared or disclosed to third parties (whether for their promotional and/or marketing purposes or otherwise) without your consent. However, WSG hereby reserves the right to
disclose your personal data to our third-party service providers (including but not limited to any credit, debit and charge card companies, banks and other entities processing payment instructions given by you through this Agreement;
lawyers; auditors; and any other agents or subcontractors acting on behalf of WSG), government or regulatory authorities, to the extent required in the normal course and scope of WSG’s business in the provision of its services to you
in accordance with this Agreement, and where required or permitted by applicable law, statute, stock exchange regulation or by-law, regulatory or governmental order or court order.

agree that WSG’s grant of access to your personal data and any update, change or removal of your personal data kept with WSG will be in a manner consistent with the Personal Data Protection Act 2012 (No. 26 of 2012).
12.GENERAL
12.1. All clause headings are included in the Agreement for convenience and are not to be construed as affecting the interpretation of this Agreement in any way.
12.2. No failure or delay by either party in exercising any right, power or privilege under this Agreement shall operate as a waiver thereof nor shall any single or partial exercise thereof preclude any subsequent exercise in law, in equity
or otherwise.
12.3. If any provision of this Agreement is held to be void, invalid, illegal, or unenforceable under any law or regulation, such void, invalid, illegal, or unenforceable provision shall be (a) revised to the minimum extent necessary (while still
reflecting the original intent of this Agreement as closely as possible) in order to make it valid, legal, and enforceable, or (b) deemed stricken if such revision is impracticable or impossible; and in either event all remaining provisions
shall continue to be valid and binding upon the parties.
12.4. Nothing contained in this Agreement shall be interpreted as constituting a partnership or joint venture between WSG and you and neither WSG nor you shall have authority to bind the other in any manner whatsoever unless otherwise
expressly provided in the Agreement.
12.5. You shall make or cause to be made or issued any announcement to the press or media regarding the rights outlined in this Agreement except in the form agreed to by WTA.
12.6. No amendment or variation of this Agreement is valid or binding unless made or confirmed by WSG in writing.
12.7. All the terms and conditions of this Agreement are confidential and you shall not reveal any details or information relating to this Agreement without the prior written consent of WSG.
12.8 Save for the parties to this Agreement, i.e. WSG and yourself, you hereby agree that terms of this Agreement are also for the benefit of WTA, Singapore Tourism Board, Singapore Sports Council, official sponsors of the Event
and the Host Venue, which are deemed third party beneficiaries to this Agreement (the “Third Party Beneficiaries”), with all rights, benefits and remedies provided for under this Agreement. You further agree and acknowledge
that any of the Third Party Beneficiaries may seek to enforce against, or benefit from, you pursuant to the provisions of this Agreement. Save as expressly provided herein, nothing in this Agreement shall confer on any other third party
the right to enforce or benefit from any provisions of this Agreement.
12.9. This Agreement shall be read and construed in accordance with the laws of the Republic of Singapore to the non-exclusive jurisdiction of whose courts the parties submit
