HISTORY & LEGAL STATUS
NSL Capital Partners Limited (“NCAP”/”the Company”) was incorporated on 21st February, 2014 to anchor
the Issuing House License of its Parent Company, Nigerian Stockbrokers Limited (NSL).
SERVICES
Following the indigenisation exercise, the interest of FHNL was transferred to some Nigerian citizens and
association. NSL was registered in Nigeria as a private limited company in 1968. It obtained its Dealing
License on 2nd May, 1961 and thereby became the first registered Dealing Member of the Nigerian Stock
Exchange (NSE). Today, NSL had grown from a Stockbroking firm with a single license to a firm with
multiple licenses and activities covering the following areas:

Issuing House/Financial Advisers

Stockbroking Services

Investment Advisers

Real Estate
THE NEED FOR SEPARATION OF LICENSES
Over the years NSL had been involved in a number of Capital Issues either as Stockbrokers, Issuing House
or Financial Advisers on transactions which involved either quotation/listing, Capital Issues or Mergers.
The need to separate the Issuing House function and transfer the Licence to its subsidiary was to give more
prominence to the Issuing House activity as the stockbroking in the name of the company does not convey
the depth of its activities in the Issuing House and Financial Advisory services Terrain.
The transfer of the license to a subsidiary is therefore to eliminate the frequent conflict in the
understanding of NSL roles as an Issuing House. All along NSL has built a strong Investment Banking team
that anchors its Issuing House and Financial Advisory Services under the same roof and this enormous skills
and experience have been deployed over the years in its activities in the Market on those transactions.
