CONTRACT
ILAB Academy (henceforth called “The Academy”) represented by Ms. Natalia Fabian
Corbacho, with ID 053120876F, as Director of the society TERRA Ñ BARCELONA S.C.P.,
CIF J 66008137, owner of ILAB Academy, with residency at Carrer de Balmes, 21, 08007
Barcelona, Spain on one part, and
(henceforth called “The Agent”) on the other part,
together called “The Parties”, have herein agreed as follows:

The Academy employs the agent as its representative for providing the
services of sales of the language courses and other services.
2.
The present agreement is signed for the undetermined period of time provided
that The Agent diligently implements their responsibilities and increases the sales of the
services provided by The Academy.
3.
The Academy will provide the Agent with all the information on the prices for
the courses, the conditions (time, start date, schedule, etc) and any data that is can be
needed in order to carry out promotional activity.
The Agent is responsible of any errors committed while informing students about
prices and schedules that can lead to legal suits.
To promote all products and services provided by the Academy, the Agent is to use
only the materials confirmed by the Academy
The Agent must clearly transmit the content of and meaning of all the materials
produced by the Academy, so that the potential client fully understands what set of services
they pay for.

The Agent must provide the Academy with the following documentation:
The registration form allocated on the web www.ilab-edu.com with a student’s
data.

The final cost of the course including its discount.
Once the Academy has received this documentation the Academy will forward to the
Agent the Invoice for the reservation as well as the full course price Invoice.
To reserve a place the payment of 200 Euros is required. In case the price for the
course is less than 200 Euros, the complete payment must be performed.
The rest of the payment must be carried out before the course starts, or on the first
day of the course at the latest.
Registration will be completed only when the Academy receives the reservation fee or
the total fee for the course. The confirmation of the payments will be sent by email.
All costs (bank transfer, currency convention) will be charged to the student or the
Agent.
The payment for the service provided by the Academy are the payments made to the
bank account of the academy.

The Agent will receive 30 % (Thirty percent) of the course fee as commission.
The Agent is free to determine the discount granted to a student within the boundaries of the
discount granted to the Agent by the Academy.
The Agent is free to choose any of the 3 forms of cooperation with the Academy.
Option 1
The student makes all the payments directly to the bank account of the
Academy (student will be in charge of the bank fees caused by this operation). The Agent will
receive a commission once the student has completed the full course fee. During 6 days
following the payment the Academy makes the deposit of the commission to the account
named by the Agent except for the discount granted to a student and the expenses for the
bank transfer.
Once a month The Agent provides the Academy with the complete list of all the
students enrolled due to their activity on verification purpose.
Option 2
The student pays the full cost of the course to the Agent. The Agent deducts their
own commission left after a student is granted a discount and transfer the remaining 70% to
the account of the Academy. All costs (bank transfer, currency convention) will be charged to
the Agent.
Option 3
A student makes the payment both ways: in this case the commission is to be
transferred to the account of the Agent; the remaining 70 % of the full course fee are to be
transferred to the account of the Academy. All costs (bank transfer, currency convention) will
be charged to a student.
6.
The terms and conditions, prices and types of services provided by the
Academy are available on the website: www.ilab-edu.com and constitute an integral of the
present Agreement. The Agent is fully aware of them when signing the contract.

The Academy is free to reject or accept any reservation carried out by the
Agent and in case of denial no commission can be claimed.

Both parties, renouncing any other jurisdiction, are subjected to the Courts
and Tribunals of Barcelona (Spain). All discords must be settled in the pre-trial procedure. If
the mentioned above is impossible the Parties are free to expressly waive their right to any
legal remedy and any controversies solely in degrees of jurisdiction of Barcelona. The
legislation used in the legal process will be the one of Barcelona, Spain and the language of
the arbitration will be Spanish. The court decision will be final and mandatory for both
Parties.

The parties accept all the conditions of the present Agreement. Any activity
carried out by the Agent and connected with the implementation of the functions that are the
subject of the present Agreement are considered as the acceptance of the terms on the
behalf of the Agent.
