VIVA TECHNOLOGY PARIS 2017 HACKATHON REGULATIONS Article 1 ORGANISATION MSL France, a limited company governed by a Board of Directors, with capital of 182,400 Euros, whose registered offices are at 5-7-9 rue Feydeau - 75002 Paris, recorded in the Trade and Industry Register of Paris under number 347 895 096 RCS Paris and Les Echos Solution, a limited company with capital of 46,000 Euros, whose registered offices are at 16, rue du Quatre-Septembre – 75002 PARIS, recorded in the Trade and Industry Register of Paris under number 408 165 157 (hereinafter both referred to as the “Organiser”) are organising a free competition called “VivaTech Hack” (hereinafter referred to as the “Hackathon”). The Hackathon will take place from Friday June 16 2017 at 4:30 p.m. to Saturday June 17 at 6p.m., on the theme of Deep Technology. Prizes will be awarded on Saturday June 17 from 6p.m. during the Viva Technology Paris 2017 exhibition, which is taking place at Paris Expo Porte de Versailles, 1 Place de la Porte de Versailles, 75015 Paris. The terms and conditions and rules relating to the Hackathon are defined herein (hereinafter referred to as the “Regulations”). Article 2 AIM OF THE HACKATHON Made up of the words “hack” and ”marathon”, the aim of the Hackathon is to allow individuals with a variety of different skills to work together, in small groups, in order to create innovative digital projects on one or more set themes over a twenty-four (24) hour period. Teams of ten (10) people will take part in the Hackathon. During the Hackathon each team will be aiming to create a prototype, consisting of either a development or an application (the “Project”) in relation to one of four (4) themes (also called “Tracks”), each of which is sponsored by one of the partners of the Hackathon (hereinafter referred to as a “Partner”), as follows: 1) Event Experience, Reimagine the Digital Experience of Vivatech Attendees, whose Partner is Cisco; 2) How to empower people to live a better life, whose Partner is AXA; 3) The New Way of engaging empowered by AI, whose Partner is Microsoft; 4) Boost your work experience experience, Smart Office – Coworking – Home office, whose Partner is Sodexo. Teams must present their Project in front of a jury specific to each Track on Saturday June 17 2017 from 4:30 p.m. When the presentations are finished each jury will meet and will rank each winning team according to a number of evaluation criteria. The Hackathon plans to reward the winning teams. They will be awarded prizes as detailed in Article 7 of the Regulations. Article 3 CONDITIONS FOR PARTICIPATION Those persons wishing to take part in the Hackathon must provide proof of age as at the starting date of the Hackathon. 1 VIVA TECHNOLOGY PARIS 2017 HACKATHON REGULATIONS Any minor taking part in the Hackathon shall be deemed to be taking part under the supervision of and with the consent of his parents or a person with parental authority, or alternatively his legal guardian(s). The Organiser reserves the rights to request proof of this consent at any time during the course of the Hackathon, in particular when sending prizes, and may cancel the participation of a minor player whose legal representative has not authorized participation. Only one entry per person is allowed. By taking part in the Hackathon, the participant specifically accepts the Regulations and the terms of conduct of the Hackathon in full, as well as the conditions for the rewards offered by the Organiser. Participants can be students, salaried employees, freelancers, entrepreneurs, independent professionals, researchers, seeking employment or retired, in particular in the IT, design, marketing, and digital sectors. However, any person involved either directly or indirectly in the organisation of, the running of or the awarding of prizes for the Hackathon, is not authorized to take part. Article 4 PROCEDURE FOR REGISTRATION AND PARTICIPATION Registration for entry to the Hackathon is made by completing the on-line form available at the following address: hackathon.vivatechnology.com. Registration is free and opens on May 2 2017 at 9 a.m. until June 12 2017 at 11:59 p.m. . Registration is limited to fifty (50) participants per Track. Over and above this number, those persons applying to register will be placed on a waiting list. No application made after the aforementioned final entry date will be taken into account. Following application for entry, an email will be sent providing confirmation of entry subject to availability, or confirmation of registration on the waiting list. Participants undertake to supply full and accurate information. The Organiser reserves the right to request proof, in the form of relevant documents, of each of the statements made by the participants. Any participant who supplies incomplete and/or inaccurate details will have their participation in the Hackathon invalidated, with no possibility to contest. Providing a false identity or address, or non-compliant documentation, may result in participation for that participant being void and any winnings being annulled. The Organiser can under no circumstances be held responsible for applications that have not been received or which have been received after the closing date. Article 5 5.1 PRINCIPLE AND RUNNING Location and Schedule The Hackathon will take place according to the following schedule: Tuesday May 2 2017 from 9 a.m.: Hackathon registration opens. Monday June 12 2017 at 11:59 p.m.: Hackathon registration closes. Friday June 16 2017: 4:30 p.m. – 5:00 p.m: welcome. 5:00 p.m – 6:15 p.m: Introduction and presentation of Tracks. 6:15 p.m – 8:00 p.m: constitution of teams, as applicable, and ideas workshop. 8:00 p.m – midnight: prototyping., 2 VIVA TECHNOLOGY PARIS 2017 HACKATHON REGULATIONS Saturday June 17 2017: midnight – 2:30 p.m.: prototyping (continued). 2:30 p.m. – 4:30 p.m.: training sessions for Project presentation / Mentor sessions / Finalising demonstrations. 4:30 p.m. – 6:00 p.m.: Project presentation sessions to the relevant jury. 6:00 p.m.: winners announced by the juries and final speeches. The Hackathon will be held at the following address: Paris Expo Porte de Versailles, 1 Place de la Porte de Versailles, 75015 Paris. The schedule and the running of the Hackathon are provided for information purposes only and may be subject to amendment by the Organiser. 5.2 IT Tools A Wi-Fi Internet connection will be available throughout the entire Hackathon. Each participant must provide his own material (computers and software). The participants alone are responsible for their material and IT tools for the entire duration of the Hackathon and can under no circumstances hold the Organiser responsible in case of loss or damage to their material and /or IT tools. 5.3 Reimbursement of costs incurred The Organiser will provide, free of charge, the participants with drinks and a catering offer. The participants are hereby informed that all other costs relating to their participation in the Hackathon (for example costs of participant travel, accommodation, equipment and software licences) will not be paid by the Organiser. 5.4 Team Constitution Participants register individually for the Hackathon. Participants may make up their own teams before the start of the Hackathon or on site, in accordance with article 5.1 of the Regulations. Each participant is free to join the team of his choice, up to the limit of ten (10) participants per team, the Organiser not being liable in this respect. Each team must appoint a member to be in charge of relations with the Organiser, known as the “Speaker”. The Speaker must inform the Organiser as soon as possible of the Track in which his team wishes to compete. At least one participant per team must be physically present on the Hackathon site at all times. 5.5 Participant Projects Each team must supply, when making the jury presentation, a presentation of its Project, including: team presentation, the thought process of the team, an illustration of their ideas and the Project, its originality, the final aims, a schedule and a plan of action for the completion of the Project. The presentation must be made in English. The Organiser will decide, during the course of the Hackathon, how long it should last according to the number of teams in each Track category. During the presentation the relevant jury may question the teams about their Projects. It is pointed out that a Project can only be presented in one Track category. Each participant undertakes that the Project in which he takes part complies with applicable legislation, third party rights and does not offend public decency. 3 VIVA TECHNOLOGY PARIS 2017 HACKATHON REGULATIONS Article 6 6.1 DECIDING WINNERS Jury Composition One jury is established per Track, in other words there are four (4) juries. Each jury is made up of 5 to 7 people, selected for their aptitude and their knowledge in the digital sectors and/or innovation (e.g., investors, UX/tech experts, sponsors of the Track in question). 6.2 Appointing Hackathon winners – Jury Sovereignty After the Projects have been presented each member of the relevant jury will, as part of the jury deliberations, rank the Projects that have been presented to it. Project ranking will depend on the following criteria: ‐ Relevance of the Project with regard to the overall theme of Deep Technology and of the Track in question; ‐ The innovative nature and originality of the Project; ‐ Technical Performance and potential for use of the developments produced; ‐ Project feasibility; ‐ Demonstration and presentation of the Project in English. A number of points will be awarded to each Project according to its ranking by each member of the relevant jury, such that first place will be awarded one point, second place will be awarded two points, third place will be awarded three points, etc. After all of the points for each Project have been added together, a final ranking will be drawn up according to the lowest number of points received by each Project. The participants acknowledge that each member of the jury is sovereign in determining a ranking and does not have to give reasons for the ranking that it has drawn up on the basis of the evaluation criteria as defined in article 6.2 of the Regulations. Each participant specifically undertakes not to contest the composition of the juries, the procedures for ranking Projects by the juries and/or the final ranking of the juries. Winners of the Hackathon will be announced immediately after the final ranking has been established by each jury. Article 7 PRIZES AND PRIZE-GIVING The winning team of each Track of the Hackathon, as designated by each jury according to the procedure set out at article 6.2 of the Regulations, will be awarded the following prizes: - A financial prize of ten thousand euros (10.000 €) in order to allow the development of the project; - Technical and operational assistance to develop the Project, according to the skills of the Partner of the relevant Track, subject to the availability of Partner’s teams; - Invites to at least one another event to which the Partner of the relevant Track takes part, in order to allow the winning to pitch the Project. Prizes will be awarded on site immediately after the final ranking in each Track of the Hackathon has been announced. Participants are therefore required to remain on site for prize giving., Prizes will be accepted as announced and are not transferable. Prizes cannot give rise to contestation of any kind whatsoever on the part of the participants, nor can they be exchanged for an equivalent monetary value, nor can they be replaced or exchanged for any reason whatsoever. 4 VIVA TECHNOLOGY PARIS 2017 HACKATHON REGULATIONS The winners authorize any checks to be made as to their identity and home address, and to the conformity of information provided at the time of registration. Any information relating to the identity or address that is false will result in the participation being void and the prize awarded to the team being annulled. Prizes that are not claimed or taken under the conditions set out in these Regulations will not be reassigned, and the Organiser will be free to dispose of them. Article 8 PERSONAL DATA As part of the registration of participants in the Hackathon, the personal data of those participants is collected and processed by the Organiser in accordance with the provisions of law n°78 – 17 of January 6 1978, relating to data processing and privacy, and to Regulation 2016/679 of April 27 2016 relating to the protection of individuals with regard to personal data processing and free movement of said data. The participants have the right to access, correct, amend and object to the processing of their personal data by the Organiser. To exercise any one of these rights, the participant must do so in writing to the following address: [email protected] giving his full name. Article 9 USE OF DATA MADE AVAILABLE BY THE ORGANISER The Organiser retains exclusive ownership of the data that it makes available to the participants during the course of the Hackathon. This data may, however, be used by the participants in order to add value to the Projects designed during the event, excluding any other commercial use. The authorization granted to the participants to use the data made available by the Organiser is limited to the duration of the Hackathon. For any use of such data outside the scope of the Hackathon, the participant and the Organiser must necessarily have entered into a prior written agreement. Article 10 IMAGE RIGHTS Each participant expressly authorizes the Organizer, free of charge, to use his surname and/or name and place of residence, together with the description of his Project, at any event for advertising or promotional purposes associated with the Hackathon and in particular on the Organizer’s website, in any press releases or articles, advertising documents or marketing brochures, by all means and on all platforms, for a period of five (5) years with effect from the date of registration to the Hackathon, throughout the world. Each participant expressly authorizes the Organizer, free of charge, to publish all photographs, images and videos taken during the Hackathon on all platforms, in all formats, as well as by all means and procedures known or unknown at this date, for a period of five (5) years with effect from the date of registration to the Hackathon, throughout the world. Each participant expressly authorizes the Organizer, free of charge, to use any audiovisual and/or sound footage taken during the Hackathon (image and sound or image or sound separately, by extract and/or in full), on all platforms, in all formats, as well as by all means and procedures known or unknown at this date, for a period of five (5) years with effect from the date of registration to the Hackathon, throughout the world. The Organiser must feature the name and surname of each participant to the Project when it is used for marketing purposes in accordance with custom applicable for that particular method of distribution. The Organiser is explicitly prohibited from any use that is liable to breach privacy or harm reputation, or from using images and voices on any platform that is of a pornographic, racist, xenophobic nature or any other harmful use. The participants can benefit from the communication of the Projects that they have carried through media actions initiated by the Organiser. The participants will make every effort, during a period of one (1) year from the date of the prize giving, to respond to requests from the Organiser with the aim of promoting their Project. During the year that follows the prize giving, the participants must give priority to the Partner in charge of 5 VIVA TECHNOLOGY PARIS 2017 HACKATHON REGULATIONS the Track in which their Project was created when offering any form of collaboration (for example: codevelopment, co-contracting, partnership, investment) that they are looking for with third parties and linked to the Project. In the event that the Partner in question explicitly makes known to the participants in writing that it has no interest in the collaboration on offer, the participants are once again free to begin discussions with third parties to start collaborating on the Project. Article 11 INTELLECTUAL PROPERTY RIGHTS 11.1 Intellectual property rights in Hackathon and its components All names, trademarks or other distinctive signs referred to in the Regulations or on the pages of the Hackathon website remain the exclusive property of the Organiser. Reproduction and representation of all or part of the components that make up the Hackathon is strictly prohibited. All data (in particular photographs and texts) made available to the participants during the Hackathon by the Organiser (hereinafter the “Data”) remains the exclusive property of the Organiser. The participants undertake to use the Data in such a way that it remains severable from the rest of the Project and that it is not governed by one or more free licences. In absolute terms, Data copyright is reserved and the participants can only use the Data in strict compliance with that right. Authorization for the participants to use the Data as made available by the Organiser or in a derived form is limited to the duration of the Hackathon as set out in article 5.1 of the Regulations. For any use of the Data outside the framework of the Hackathon, it is imperative that a new agreement be concluded between the participant and the Organiser. 11.2 Project intellectual Property Rights In no way whatsoever and to no party whatsoever do the participants transfer their rights to use and their ownership of their Project. However, the participants may offer to sell these rights to the Organiser for commercial use. The parties must make such transfer formal in the form of a written agreement. All of the Projects developed by the participants during the Hackathon must be personal creations. The participants must only use sources and contents that are free of rights, or for which the participants have been specifically authorized to make use. In any case they alone will be responsible for such use as is made. Any element supplied by third parties and incorporated in the Project, including freeware, runtimes, programmes, algorithms, libraries or scripts, must be clearly identified with their version, applicable licence terms and conditions and any other details relating to their use. Each participant understands that this information will be taken into account in the jury evaluation. Each participant guarantees the Organiser that all elements making up the Project do not breach any rights held by third parties in any way whatsoever, and that, where applicable, he has obtained permission from those third parties that have participated in its elaboration. To this end the participant guarantees and absolves the Organiser from any claim, action or contestation on this subject and from all costs, expenses or compensation that may result therefrom. Article 12 UNDERTAKINGS, LIABILITY AND GUARANTEES FROM THE PARTICIPANTS The Hackathon is an enjoyable and ethical event. Each participant undertakes to respect these principles and acknowledges in particular that any act aimed at hindering the progress of the Projects of other teams is not allowed. The Organiser reserves the right to exclude any team or any participant that fails to respect these principles 6 VIVA TECHNOLOGY PARIS 2017 HACKATHON REGULATIONS from participating in the Hackathon or from being awarded a prize. The Organiser reserves the ability to exclude and/or to bring any claims against a participant who has caused damage or stolen during the course of the Hackathon. The same will apply to a participant who has cheated, committed fraud, falsified or disrupted the Hackathon or who has attempted to do so. Any person attempting to cheat, to slow down the Hackathon or damage the premises on which the Hackathon is being held will be prosecuted. The consumption of alcohol during the Hackathon is prohibited. Moreover, the participant must comply with the rules governing access to the premises on which the Hackathon is being held. The participants are responsible for the legal and financial consequences of any damage that they cause. Each participant is solely responsible for the content of the elements developed and transmitted during the course of the Hackathon and declares that these latter comply with currently applicable legislation, in particular as far as third party intellectual property rights are concerned. Article 13 UNDERTAKINGS AND GUARANTEES FROM THE ORGANISER The Organiser shall not be liable in the event that the Hackathon should be modified, delayed, curt short, extended, carried over or cancelled by reason of (i) an insufficient number of participants or (ii) the occurrence of an event outside the control of the Organiser that could not have been reasonably foreseen when the participant registered and the effects of which can not be avoided by taking appropriate measures (hereinafter the “Force Majeure”). Shall be considered to be a Force Majeure, in particular, but not limited to, the following events: act of state, war (declared or not), terrorism, invasion, rebellion, blockade, sabotage, vandalism, full or partial strike action external to all Parties, social unrest external to all Parties, civil unrest, zombie invasion, storms, natural disaster, fire, epidemic, transport or supply blockades, particularly energy, failure of electrical energy supply, heating, air conditioning, telecommunication network, data transport network, satellite failure. The Organiser reserves in any case the possibility to extend the participation period and to carry over any date that has been announced. In any case, if the administrative and/or technical running of the Hackathon is disturbed by a virus, a computer bug, an anomaly, technical failure, unauthorised human intervention or any other cause outside the control of the Organiser, this latter reserves the right to suspend the Hackathon. The Organiser supplies no service or guarantee other than the supply of prizes as set out in Article 7 of the Regulations and the supply of drinks and meals as set out in article 5.3. As necessary, it is stated that the Organiser will not be liable for any damage whatsoever that occurs during the moving or transportation of a participant to the premises on which the Hackathon is taking place. The Organiser will not be liable in case of poor reception or non-receipt of registrations by electronic means, whatever the reason. The Organiser cannot be held responsible if data relating to the registration of a participant doe not reach it or if it is illegible or impossible to process. The Organiser reminds the participants of the nature and the limitations of the Internet network and declines any responsibility for any of the consequences that may arise when the participants connect to the network through the website when registering or though the Wi-Fi internet connection made available to the participants during the Hackathon. The participants take full responsibility for their participation in the Hackathon. Under no circumstances will the Organiser be held responsible for any accidents or disputes arising on the premises where the Hackathon is being held. 7 VIVA TECHNOLOGY PARIS 2017 HACKATHON REGULATIONS During the Hackathon it is up to each participant to take the appropriate measures to protect his own data and/or the software stored on his hardware against any breach. The Organiser will not be held responsible in this regard. The Organiser is not responsible for any damage whatsoever caused to the participants, to their computer equipment and to the data that is stored on it, or for the resulting consequences for their private or professional business. The participants are solely responsible for the material and personal belongings that they choose to bring onto the premises on which the Hackathon is being held. Generally, the Organiser will not be held responsible in the event of theft, loss or damage to material and/or personal belongings of the participant. Article 14 ACCEPTANCE OF THE REGULATIONS Registration and participation in the Hackathon implies full, complete and unreserved acceptance by the participants of the Regulations and of any amendments thereto in their entirety, which shall be binding., Article 15 VALIDITY OF THE REGULATIONS In the event that one or more of the provisions in these Regulations should be annulled or ruled to be unenforceable, this will not result in the complete Regulations or its remaining provisions becoming invalid and it will not affect the performance of the undertakings given by the parties under the terms hereof. Any provision that is ruled to be void or unenforceable shall be replaced by a provision whose meaning and scope are as close as possible to the invalidated clause, at the same time complying with applicable legislation. Article 16 APPLICABLE LAW– JURISDICTION The Regulations are exclusively subject to French law. ANY DISPUTE RELATING TO OR ARISING FROM THE HACKATHON ITSELF BETWEEN THE ORGANISER AND A PARTICIPANT, AND WHICH CAN NOT BE SETTLED AMICABLY, WILL BE SUBMITTED TO THE JURISDICTION OF THE COURTS OF PARIS, NOTWITHSTANDING PLURALITY OF DEFENDANTS OR WARRANTY CLAIMS, INCLUDING IN CASE OF SUMMARY PROCEDURE OR ON APPLICATION. 8 VIVA TECHNOLOGY PARIS 2017 HACKATHON REGULATIONS
