ABOUT THE 1-DAY SEMINAR
The seminar will cover the provisions of the new
Companies Act (the new Act) in general, including
the following areas:

rationale and structure of the new Act;

types of companies;

improved accountability and openness;

corporate finance;

governance, duties and liability of directors;

takeovers and offers, and fundamental
transactions;

remedies and enforcement including the
appraisal right and the issuing of compliance
notices as a form of enforcement;

new regulatory agencies; and

drafting Memorandum of Incorporation for
the New Companies Act.
There will also be a specific emphasis on major
changes brought about and observations on the
new Act.
PRESENTER
Lucky Phakeng is the Executive Director of the
Takeover Regulation Panel (TRP) and a nonpractising attorney, notary and conveyancer. He
was Legal Counsel of the TRP for more than 10
years before being appointed Executive Director.
He has participated in a number of seminars on the
Companies Act with a specific emphasis on
Takeover and Mergers, and has also presented the
new TRP Provisions at an International Conference
of Takeover Regulators.
Lucky was involved in the drafting of the Takeover
Regulations in Chapter 5 of the Companies
Regulations. He has the LLM and MBL degrees
from UNISA, among other qualifications.

practitioners who want to brush up on the latest
developments around the new Companies Act.

Payment is made up-front by direct deposit (preferred),

Any person who has registered for a seminar and fails
to cancel (in writing) at least 48 hours prior to the
seminar, shall be held liable for the payment. All
refunds must be claimed in writing not more than 15
business days after cancellation.
LEAD reserves the right to cancel a learning activity
should the number of delegates not justify the costs
involved. Registered delegates will be given
reasonable notice of cancellation.
