(“U.S.”) AND THE DISTRICT OF COLUMBIA (“D.C.”) (VOID IN PUERTO RICO, GUAM AND
ALL OTHER U.S. TERRITORIES AND POSSESSIONS), AND IS INTENDED FOR
PARTICIPATION IN THOSE AREAS ONLY. PLEASE DO NOT PROCEED IF YOU ARE NOT
AT LEAST 18 YEARS OF AGE OR OLDER AS OF APRIL 24, 2017 AND A PERMANENT LEGAL
RESIDENT OF ONE OF THE 50 STATES OF THE U.S. OR D.C. (EXCLUDING PUERTO RICO,
GUAM AND ALL OTHER U.S. TERRITORIES AND POSSESSIONS).
1. Eligibility: The Galapagos Great Escape Sweepstakes (“Sweepstakes”) is open only to permanent legal
residents of the 50 states of the U.S. or D.C. (excluding Puerto Rico, Guam and all other U.S. and foreign
territories and possessions), who are physically located and residing therein, and who are 18 years of age
or older as of April 24, 2017. Entrants must have either a valid social security number or a valid U.S.
personal tax identification number to participate. Employees of Quadra Productions, Inc. (“Sponsor”),
Sony Pictures Television Inc., Sony Pictures Digital Inc., CBS Television Distribution, the television show
JEOPARDY! (“Show”), The National Geographic Society, National Geographic Magazine, National
Geographic Channel, National Geographic Partners, LLC, Lindblad Expeditions Holdings, Inc. and its
subsidiaries and affiliates (“Lindblad”), the Sweepstakes Administrator, their advertising or promotion
agencies, those involved in the production, development, implementation or handling of the
Sweepstakes, participating stations, stations airing Show, any agents acting for, or on behalf of the above
entities, their respective parent, subsidiary, and related companies, officers, directors, licensees, service
providers, any other person or entity associated with the Sweepstakes (collectively “Sweepstakes
Entities”), members of their immediate families (spouses, domestic partners, children, siblings, parents),
and/or persons living in the same household as such persons, whether or not related, are ineligible to
participate in the Sweepstakes.
2. Sweepstakes Description: This Sweepstakes begins at 7:00:00 a.m. Pacific Time (“PT”) on April 24,
2017 and ends at 6:59:59 a.m. PT on May 6, 2017 (“Sweepstakes Period”) and consists of ten (10)
individual and separate daily sweepstakes drawings (each a “Daily Sweepstakes”) and one (1) overall
sweepstakes described in Section 4 below (see entry chart below for details). Each Daily Sweepstakes
corresponds to an episode of the Show airing between Monday, April 24, 2017 and Friday, May 5, 2017.
The overall sweepstakes only pertains to the Daily Sweepstakes prize winners, as described in Section 5
below. As part of the entry process for each Daily Sweepstakes, prospective Sweepstakes entrants must
identify a special phrase (“Solution”) that will air during each respective first-run episode of the Show
originally airing on the first day of each entry period (Monday – Friday only) as defined in the chart
below between April 24, 2017 and May 5, 2017. Then, prospective Sweepstakes entrants are asked to go
to the Jeopardy! website located at www.jeopardy.com (the “Website”) and correctly input/submit the
Solution from the corresponding episode of the Show in order to be entered into the applicable Daily
Sweepstakes. Additionally, prospective Sweepstakes entrants will be able to earn additional bonus
entries for completing specific activities (see below for details). Check local listings for Show schedule,
which may be changed or preempted without notice. In these cases, at the election of the Show, the
Sweepstakes Period may be played outside the usual dates and times, or not at all.

3. How to Participate and Enter: To enter a given Daily Sweepstakes, access the Website during the
relevant Sweepstakes Period and click on the Sweepstakes icon or text link to access the Sweepstakes
entry page. Then, complete in full and submit your Email Address, Date of Birth, First Name, Last
Name, Home Address (no P.O. Boxes), City, State, Zip Code, Phone Number (including area code), and
the Solution from the corresponding episode of the Show (collectively, “Online Entry”). Entrants will
receive one (1) Online Entry into the Sweepstakes if they provide the correct Solution from the episode
of the Show corresponding to that Daily Sweepstakes. Solution must be correct for that designated
episode of the Show to be entered into the corresponding Daily Sweepstakes. Online Entries must be
received during the entry period for that Daily Sweepstakes (that is, between 7:00:00 a.m. PT on a given
day and 6:59:59 a.m. PT the immediately following day with the exception of the April 28, 2017 Daily
Sweepstakes which will end at 6:59:59 a.m. PT, May 1, 2017). Sponsor’s computer is the official clock
for purposes of Sweepstakes participation. All Entry information must be completed in full. The Entry
Information must match the information of the entrant that completed the act of physically entering the
Sweepstakes. If an entrant’s contact information changes after he/she submitted his/her Online Entry, it
his/her responsibility to contact the Sponsor (by mail at the address stated in Section 9 below) and
provide his/her new Entry information (to be received by May 19, 2017. If an entrant is a resident of a
jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to
entering or submitting any personally identifiable information. Limit one (1) Online Entry per email
address per Daily Sweepstakes. Entrants will be able to earn additional entries into the Sweepstakes
for completing the following activities. Entrants can earn one (1) additional entry if they opt-in to the
Jeopardy! Newsletter from the Website and one (1) additional entry if they opt-in to the Lindblad
Newsletter from the Website (“Opt-In Entry”). Limit two (2) Opt-In Entries (one (1) per Newsletter) for
the entire Sweepstakes Period. Opt-In Entries will be awarded for the respective Daily Sweepstakes in
which the opt-in function was performed. Entrants can earn one (1) additional entry per Daily
Sweepstakes by completing a ‘share on Facebook’ function on the submission confirmation page and one
(1) additional entry per Daily Sweepstakes by completing an ‘email to a friend’ function on the
submission confirmation page (“Share Entries”). Limit two (2) Share Entries per Daily Sweepstakes
(one (1) per share function). Entries submitted from the same person in excess of the above listed limits
will be disqualified. Any attempt by an entrant to obtain more than the stated number of entries by using
multiple/different email addresses, identities, registrations, logins or any other methods including, but not
limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void
that entrant’s entries and that entrant may be disqualified. Proof of delivery or receipt of an Entry will
not be deemed by Sponsor as proof of entry. Any attempted form of participation in this Sweepstakes
other than as described herein is void. Final eligibility for the award of any prize is subject to eligibility
verification as set forth below. Entries generated by a script, computer programs, macro, programmed,
robotic or other automated means are void and may be disqualified. Sponsor may run multiple
campaigns, contests, sweepstakes or other promotions simultaneously. Entry into one (1) campaign,
contest or sweepstakes does not constitute entry into any other.
4. Drawing and Notification of Potential Winners:
a. DAILY SWEEPSTAKES: For each Daily Sweepstakes, one (1) potential winner will be
randomly selected from among all eligible Entries received for that particular Daily Sweepstakes
in a drawing. Non-winning Entries will NOT be retained for the subsequent Daily Sweepstakes
drawings. All Daily Sweepstakes drawings will be held on or about May 19, 2017.
b.OVERALL SWEEPSTAKES: Overall Prize winner will be randomly selected from among all
verified Daily Sweepstakes prize winners in a drawing. Overall Prize drawing will be held
within seven (7) days after all Daily Sweepstakes prize winners have been verified and declared
official.
All prize drawings will be conducted by the Sweepstakes Administrator, an independent judging
organization, at its offices in Burbank, California USA. Each potential winner (or his/her parent/legal
guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will be notified within
two (2) weeks of being selected in a drawing. If a potential winner cannot be reached after a reasonable
effort has been exerted, if he/she is found to be ineligible, if he/she cannot or does not comply with these
Official Rules, or if his/her prize or prize notification is returned as undeliverable, such potential winner
will be disqualified, and an alternate potential winner for such prize may be selected at Sponsor’s sole
discretion, time permitting. Sponsor will have complete discretion over interpretation of the Official
Rules, of administration of the Sweepstakes, and of selection of the winners. Decisions of the Sponsor as
to the selection of the winners will be final.
5. Prizes/Odds of Winning: DAILY SWEEPSTAKES PRIZES: Ten (10) Daily Sweepstakes prizes
(one (1) Daily Sweepstakes prize for each of the ten (10) Daily Sweepstakes): Each Daily
Sweepstakes prize is a trip to be shared by winner and one (1) guest (“Guest”) consisting of: round-trip
coach-class air transportation from a major commercial airport near winner’s residence (as determined
by Sponsor in its sole discretion) to the Galapagos Islands; standard hotel accommodations for two (2)
nights in Ecuador (single room/double occupancy); airport transfers; one (1) cabin (single cabin/double
occupancy) aboard the National Geographic Endeavour II for winner and his/her Guest for seven (7)
nights; Galapagos National Park entrance fees; all designated excursions or sightseeing events offered on
the expedition; all meals on board the National Geographic Endeavour II; use of shipboard equipment
(including but not limited to kayaks, wetsuits, stand-up paddleboards, and snorkeling gear); and $1,000
spending money for trip for winner only (awarded in the form of a check) (“Trips”). Approximate Retail
Value (“ARV”) of each Daily Sweepstakes prize: $17,960. Odds of winning a Daily Sweepstakes prize
depend on the total number of eligible Entries received for that particular Daily Sweepstakes. IN
ORDER TO BE ELIGIBLE AND ACCEPT A DAILY SWEEPSTAKES PRIZE, EACH WINNER
MUST BE ABLE TO TRAVEL ON THE OCTOBER 6-15, 2017 GALAPAGOS ISLANDS
EXPEDITION ABOARD THE NATIONAL GEOGRAPHIC ENDEAVOUR II (SUBJECT TO
CHANGE AT SPONSOR’S SOLE DISCRETION). IF A WINNER, UPON NOTIFICATION OF
HIS/HER WINNING STATUS, CANNOT TRAVEL TO TAKE TRIP ON SPECIFIED DATE
SUCH POTENTIAL WINNER SHALL BE DISQUALIFIED, HIS/HER PRIZE FORFEITED AND
NO FURTHER SUBSTITUTION OFFERED. Additional compensation will not be provided if value
of sweepstakes prize is less than stated ARV. Sponsor reserves the right to award trip “as is” and to
structure travel route in its sole discretion. Trip may not be exchanged for another destination, except as
otherwise set forth herein. All trips are subject to air travel availability, hotel availability, and are subject to
the specific terms and conditions set forth by travel prize suppliers and Sponsor. Once travel has been
confirmed, any cancellation or change fees or restructuring of travel are the sole responsibility of such
winner and his/her Guest as applicable. Each winner and his/her respective Guest must travel together
on the same itinerary and in the same class of air travel and same cabin aboard ship if applicable. Each
winner and his/her Guest are solely responsible for obtaining and providing all necessary travel
documents/identification necessary to travel to their respective destination (e.g., passport, visa, etc.).
Passports must be valid for 6 months after return date of trip. Failure to provide such documents
may result in trip cancellation at any point during the trip/cruise. If a winner elects to travel alone, no
substitute compensation will be awarded. If a component of a sweepstakes prize is not available during
time of a winner’s trip for whatever reason, that portion of the sweepstakes prize will be forfeited, and no
compensation will be awarded in lieu thereof. Items not specifically mentioned as being included as part
of a sweepstakes prize are the sole responsibility of each winner and his/her Guest and may include, but
not limited to, unspecified ground transportation, passport fees, visa fees, airport tax, travel tax, travel
insurance, room service, laundry service, spa treatments, internet access, unspecified meals, alcoholic
beverages, hotel incidentals, local and long distance telephone calls and Internet cards, personal items,
government fees, and all other costs and expenses not otherwise mentioned herein. If a winner is a
resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her
parent/legal guardian, and such person must pay his/her own expenses unless deemed to be an allotted
Guest. If a Guest is a resident of a jurisdiction that deems him/her to be a minor, he/she must have the prior
written consent of his/her parent/legal guardian. The Daily Sweepstakes prize restrictions/conditions stated
herein are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in
the Affidavit/Release (described below) and/or prize travel documents. Terms of Affidavit/Release and any
documents provided by prize suppliers are incorporated herein by reference. One (1) Overall Prize: The
Overall Prize winner will receive one (1) Gift Card to Ship to Shore Traveler – Adventure Cruise Outfitter
(www.shiptoshoretraveler.com). ARV of Overall Prize: $200. Gift Card cannot be exchanged/redeemed for
cash or combined with any other offer and is subject to stated terms and conditions. Odds of a Daily
Sweepstakes prize winner winning the Overall Prize are 1:10. TOTAL ARV OF ALL PRIZES: Up to
$179,800. All applicable federal, state, and local taxes on a prize are the sole responsibility of each
winner. No substitution, transfer, or redemption of prize (or prize component) for cash, except that Sponsor,
at its sole discretion, may substitute a prize of equal or greater value due to unavailability of advertised prize
for any reason. Prize(s) and prize notification(s) will only be sent to U.S. addresses within the fifty (50)
states of the U.S. (including D.C.) (excluding Puerto Rico, Guam and all other U.S. Territories and
Possessions). Any depictions of prizes are for illustrative purposes only. Limit one (1) Daily Sweepstakes
prize per person/household for the entire Sweepstakes Period. Each winner will receive an IRS Form
1099 (or applicable corresponding tax forms) from the Sponsor for the calendar year the prize was taken for
the total ARV of the prize(s) as stated in these Official Rules. In the event a prize winner (and/or his or her
companion) engages in behavior that (as determined by Sponsor or any prize provider in its or their sole
and absolute discretion) is obnoxious, inappropriate, or threatening, illegal or that is intended to annoy,
abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip or other
applicable experience early. Unclaimed prize(s) will be forfeited. Sponsor shall not be obligated to
award more than the stated number of prizes.
6. General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state, and local
laws and regulations (collectively “Rules and Laws”). Each potential winner (or his/her parent/legal
guardian if he/she is a resident of a jurisdiction that deems him/her to be a minor) will be required to sign,
execute, have notarized, and return an original unmodified Affidavit of Eligibility, a Liability Release, a
Publicity Release (exactly as provided by Sweepstakes Administrator), and any other documentation that the
Sweepstakes Administrator and/or Sponsor may require (collectively “Affidavit/Release”), within seven (7)
days after receipt or such potential winner may be disqualified. If a winner is a resident of a jurisdiction
that deems him/her to be a minor, such winner’s prize may be awarded in the name of his/her
parent/legal guardian. Guest (or his/her parent/legal guardian if he/she is a resident of a jurisdiction that
deems him/her to be a minor) of each winner will be required to execute, have notarized, and return a
Liability Release, a Publicity Release and any other documentation that the Sweepstakes Administrator
and/or Sponsor requires (“Guest Releases”) within seven (7) days after receipt by such potential winner.
By returning a completed Affidavit/Release and, if applicable, Guest Release, such winner and Guest,
respectively, attest to the provisions stated therein including compliance with these Official Rules. Once
submitted, Registration Information becomes the sole property of Sponsor. Notwithstanding anything to
the contrary in Sponsor’s privacy policy located at http://www.sonypictures.com/corp/privacy.html,
except where prohibited by law, the completion of an Affidavit/Release by a winner and Guest Release
by his/her Guest constitutes permission of such winner and Guest (or his/her parent/legal guardian if
he/she is a resident of a jurisdiction that deems him/her to be a minor) for Sponsor, to use, without notice or
further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and
hereafter devised, including, but not limited to, without limitation, on the Website, and on the Show,
such winner’s and his/her Guest’s full name, city, state, likeness, voice, photos, videos, biographical
information and statements made by such winner and his/her Guest for purposes of advertising, trade,
promotion and publicity. Additionally, by opting-in to specific offers from any of the Sweepstakes
Entities, Registration Information will be subject to their respective privacy policies and terms of service
and registrant agrees to receive additional e-mail communication from those companies. The privacy
policy for any Sweepstakes Entity participating in an opt-in will be accessible from the Website
(including, but not limited to: http://www.expeditions.com/privacy-policy/). Residents of the State of
California may request a list of all third parties to which our online service has disclosed certain personal
information (as defined by California law) during the preceding year for those third parties’ direct
marketing purposes. If you are a California resident and want such a list, please contact us at
https://secure.sonypictures.com/corp/contactus.html. For all requests, you must put the statement
“California Privacy Rights Request” in the body of your request, as well as your name, street address,
city, state, and zip code. In the body of your request, please provide enough information for us to
determine if this applies to you. You need to attest to the fact that you are a California resident and
provide a current California address for our response. Please note that we will not accept requests via the
telephone, mail, or by facsimile, and we are not responsible for notices that are not labeled or sent
properly, or that do not have complete information. Entrants agree that Sponsor may use service
providers, including the Sweepstakes Administrator, to process personal information for the purposes
described above and otherwise in the Sponsor’s privacy policy. Sponsor reserves the right, at its sole
discretion, to disqualify any individual it finds to be tampering with the registration process or the
operation of the Sweepstakes or any Web page related to the Sweepstakes; to be acting in violation of the
Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy,
abuse, threaten or harass any other person in connection with the Sweepstakes. Any person attempting to
defraud or in any way tamper with this Sweepstakes will be ineligible to win a prize and will be
prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as
originally planned (e.g., Show schedule changes), Sponsor, at its sole discretion, reserves the right to
cancel, suspend or modify the Sweepstakes or any portion(s) thereof; and, at its sole discretion, Sponsor
may, conduct the Sweepstakes and make prizes available in a manner that is fair, consistent, and in
accordance with the spirit of the Sweepstakes. In case of a dispute over the identity of a participant who
is a potential winner, the authorized account holder of the e-mail address associated with that winner’s
Registration Information may be deemed, in Sponsor’s sole discretion, the entrant. The "authorized
account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access
provider, service provider or other online organization that is responsible for assigning e-mail addresses
for the domain associated with the submitted e-mail address. Said entrant must comply with these
Official Rules and, at Sponsor’s sole discretion, may be required to provide proof of ownership of the email account.
7. Disclaimers: The Sweepstakes Entities are not responsible or liable for, Entries that are entered/obtained
by other than human means (such as by an automated computer program or any non-human mechanism,
entity, or device), or for Entries that are illegible, destroyed, lost, misplaced, stolen, misdirected,
tampered with, incomplete, deleted, damaged, or otherwise not in compliance with these Official Rules.
By entering this Sweepstakes, each entrant agrees and acknowledges to be bound by the Official Rules and
applicable laws. Each entrant also agrees to be bound by the decisions of the Sweepstakes Administrator,
which are final and binding in all respects. Further, each entrant agrees to waive any rights to claim
ambiguity with the Official Rules and applicable laws. Each entrant agrees the Sweepstakes Entities shall
have no responsibility or liability (including, but not limited to, liability for any property loss, damage,
personal injury or death) in connection with: participation in this Sweepstakes (including, but not limited
to, the preemption, cancellation, interruption of Show or any elements of Show as it relates to the
Sweepstakes); human error; incorrect or inaccurate transcription of Entry
Information;
acceptance/possession and/or use/misuse of any prize awarded herein (including, but not limited to,
cancellations and delays or any change by the air carrier(s), cruise line, or other company or any other
persons providing any of these services for any winner and his/her Guest during the trip/cruise a winner
won due to reasons beyond control of Sponsor and/or Sweepstakes Entities); any technical malfunctions
of the telephone network, computer online system, computer dating mechanism, computer equipment,
software, internet service provider; interruption or inability to access the Sweepstakes, any Web page
associated with the Sweepstakes, or any online service via the internet due to hardware or software
compatibility problems; problems with phone verification; any damage to registrant’s (or any third person’s)
computer and/or its contents related to or resulting from any part of this Sweepstakes; any
lost/delayed/duplicate/multiple data transmissions, omissions, interruptions, defects and/or any other errors
or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities. ENTRANTS
FURTHER AGREE TO RELEASE, HOLD HARMLESS AND INDEMNIFY THE SWEEPSTAKES
ENTITIES FROM ANY AND ALL LIABILITY, CLAIMS, ACTIONS, DAMAGES, LOSSES OR
INJURY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THAT
ENTRANT'S PARTICIPATION IN THE SWEEPSTAKES AND THE ACCEPTANCE, USE OR
MISUSE OF ANY PRIZE THAT MAY BE WON, AND WHETHER OR NOT SPONSOR HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Entrants hereby acknowledge that
Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty,
representation or guarantee, express or implied, in fact or in law, relative to any prize. Sweepstakes
Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or
irregularity that may be caused or contributed to: (1) by any wrongful, negligent or unauthorized act or
omission on the part of the prize supplier or any of its agents, servants, employees or independent
contractors; (2) by any wrongful, negligent or unauthorized act or omission on the part of any other
person or entity not an employee of Sponsor; or (3) by any other cause, condition or event whatsoever
beyond the control of Sponsor or their parents, subsidiaries and affiliated companies. The failure of
Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire,
riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the
control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure
event will not be considered a breach of these Official Rules.
8. ARBITRATION; WAIVER OF INJUNCTIVE RELIEF; GOVERNING LAW: ANY
CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO (i) THE SWEEPSTAKES, (ii)
THE AWARDING OR REDEMPTION OF ANY PRIZES, AND/OR (iii) THE DETERMINATION OF
THE SCOPE OR APPLICABILITY OF THESE OFFICIAL RULES OR THEIR ENFORCEMENT ON
INTERPRETATION SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE
SUBSTANTIVE LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY
CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE
APPLICATION OF ANY OTHER STATE’S LAWS. BY SUBMITTING AN ENTRY, EACH
ENTRANT (AND HIS/HER PARENT/LEGAL GUARDIAN IF THE ENTRANT IS A MINOR IN THE
JURISDICTION HE/SHE RESIDES) AGREES THAT ANY CONTROVERSY OR CLAIM ARISING
OUT OF OR RELATING TO THESE OFFICIAL RULES, THEIR ENFORCEMENT,
ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING
ARBITRATION, TO BE HELD IN LOS ANGELES, CALIFORNIA BEFORE A SINGLE
ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280
ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE
PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR
FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND
MEDIATION SERVICES WITH THE AGREEMENT OF THE PARTIES’ ADR SERVICES). IN
THE EVENT JAMS IS UNWILLING OR UNABLE TO SET A HEARING DATE WITHIN
FOURTEEN (14) DAYS OF THE FILING OF THE “DEMAND FOR ARBITRATION,” THEN
EITHER PARTY CAN ELECT TO HAVE THE ARBITRATION ADMINISTERED BY THE
AMERICAN ARBITRATION ASSOCIATION (“AAA”) OR ANY OTHER MUTUALLY
AGREEABLE ARBITRATION ADMINISTRATION SERVICE. IF THE PARTIES STILL CANNOT
AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY THE
ARBITRATION SERVICE. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING,
CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN
OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE
ARBITRATOR’S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF
THE ARBITRATOR’S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS
UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS
OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS’ FEES AND OTHER EXPENSES TO
THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT).
NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH
FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS
REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER
APPLICABLE LAW.
ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR
CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, MUST BE RESOLVED
INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION OR CLASS
ARBITRATION.
ENTRANT WAIVES ANY RIGHT TO BRING CLAIMS AS A
REPRESENTATIVE OR AS A MEMBER OF A CLASS OR IN A PRIVATE ATTORNEY GENERAL
CAPACITY. ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF
ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR
EQUITABLE RELIEF.
ENTRANTS FURTHER UNDERSTAND AND AGREE THAT THEY SHALL HAVE NO RIGHT TO
ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION,
DISTRIBUTION OR EXPLOITATION OF THE SWEEPSTAKES, OR ANY MOVIE, SHOW,
PRODUCTION OR PROJECT OF SPONSOR OR ANY OF ITS PARENTS, SUBSIDIARIES OR
AFFILIATES.
THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL
CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER
SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT
INDUCEMENT THEREOF.
THE INTERNAL SUBSTANTIVE LAWS (AS DISTINGUISHED FROM THE CHOICE OF LAW
RULES) OF THE STATE OF CALIFORNIA AND THE UNITED STATES OF AMERICA
APPLICABLE TO CONTRACTS MADE AND PERFORMED ENTIRELY IN CALIFORNIA SHALL
GOVERN THE VALIDITY AND INTERPRETATION OF THESE OFFICIAL RULES AND ALL
OTHER CAUSES OF ACTION (WHETHER SOUNDING IN CONTRACT OR IN TORT) ARISING
OUT OF OR RELATING TO THE SWEEPSTAKES OR THESE OFFICIAL RULES.
9. Rules/Winners List: For a copy of these Official Rules or the Winners List, send a self-addressed, stamped
envelope (with proper postage affixed) to: The Galapagos Great Escape Sweepstakes “Rules”/ “Winners
List” (specify which), P.O. Box 6452, Burbank, CA 91510. Vermont requestors may omit return postage.
All requests must be received by July 6, 2017. Official Rules will also be accessible from the Website
during the Sweepstakes Period. Winners’ Information may also be posted online. To change your Entry
information, legibly handprint your new Entry information on a standard sized postcard (no larger than
5” x 7”), enclose it in a postage-paid business size envelope (#10), and mail it (with proper postage
affixed) to: The Galapagos Great Escape Sweepstakes “Entry Information Change”, P.O. Box 6452,
Burbank, CA 91510. All Entry information change requests must be received by May 19, 2017.
10. Miscellaneous. The invalidity or unenforceability of any provision of these Official Rules or the
Affidavit will not affect the validity or enforceability of any other provision. In the event that any
provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or
illegal, the other provisions will remain in effect and will be construed in accordance with their terms as
if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of
these Official Rules will not constitute a waiver of that provision. When terms such as “may” are used in
these Official Rules, Sponsor has sole and absolute discretion. Headings are solely for convenience of
reference and will not be deemed to affect in any manner the meaning or intent of the documents or any
provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other
statements contained in any Sweepstakes-related materials, privacy policy or terms of use on the Website
and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control
and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
