History:
Prior to 1999 – Subsidized child care program administered by DCF
1999 – Florida Statute establishing School Readiness Coalitions
2002 – Florida voters approve VPK Constitutional Amendment
2004 – Legislature implements VPK, sets criteria for VPK, houses program in Agency for
Workforce Innovation (AWI)
2004 – School Readiness Coalitions renamed Early Learning Coalitions; responsible for
oversight of School Readiness and VPK programs at the local level
2005 – Three counties were merged to become the Early Learning Coalition of Indian
River, Martin & Okeechobee Counties
2012 – AWI becomes Florida’s Office of Early Learning
2013 – FOEL is now under the Department of Education (DOE)

 Review and resolution of grievances filed by a member of the board, staff,
provider or public;
 Seek and recruit new board members;
 Annually prepare an official slate of nominees for each office and
committee chairs;
 Conduct new member orientation, produce board materials and evaluate
the performance of the board itself;
 Address other issues, events or activities not assigned to a committee;
 Act on behalf of the board during the intervals between meetings of the
Board of Directors.

 Ambassador
 Attend Board meetings, including special meetings;
 Serve on at least one Committee;
 Review all materials prior to meetings;
 Offer constructive suggestions, comments and feedback;
 Represent ELC during community events and grant opportunities;
 Help to recruit new private sector members as needed;
 Publicly support all Board decisions;
 Assure the long-term progress of the Coalition;
 Ensure accountability, transparency and compliance in all areas of ELC
operations.

 Take initiative in developing, participating, and securing contributions
for fundraising events.

Board Protocol & Procedures:
 The Coalition operates under a set of approved By-Laws.
 The Coalition is governed by both state and federal statute.
 The Coalition adheres to the requirements of the Sunshine Law:
 All meetings where two or more board members are present must be
publicly noticed;
 Board members may not speak to each other regarding potential board
business outside of an advertised meeting;
 All documentation is public record, excluding child records & specific
employee personnel information;
 All meetings must be open to the public;
 Minutes must be taken for each meeting;
 The Coalition Board follows Robert’s Rules of Order.

Board Ethics & Conflicts of Interest:
The activities of the Coalition shall be governed by the Code of Ethics for Public Officers
and Employees, as defined in Florida Statutes, 112.313, 112.3135, and 112.3143.
 No member of the Coalition Board may participate or vote
upon any measure which would inure to their special private
gain or loss or that of the principal whom they represent.
 If a member has abstained from voting due to a conflict of
interest, they must complete and submit the form to the
Coalition Executive Assistant within 15 days of the vote.

Board Ethics & Conflict of Interest (cont’d)
Members must represent un-conflicted loyalty to the interests of the
community it serves. Specifically, Board Members:
 Will not engage in any action contrary to the purpose and intentions of the
School Readiness Act;
 May not act in any way inconsistent or in conflict with applicable federal
and state statutes, rules and regulations;
 Shall follow the Florida Sunshine Law;
 Shall follow the Code of Ethics for Government Officials, Chapter 112,
Florida Statutes;
 Will not allow themselves to be lobbied by potential vendors with respect
to issues coming before the Coalition.

Board Ethics & Conflict of Interest (cont’d)
Members must avoid conflict of interest with respect to their fiduciary responsibility.
This includes:
 There must be no self-dealing or any conduct of private business or personal
services between any Board member and the organization;
 When the Board is to decide upon an issue about which a member has an
unavoidable conflict of interest, that member shall declare the conflict, may enter
into discussion, but must recuse him/herself;
 Board members must not use their positions to obtain employment for themselves,
family members, or close associates.
 Board members must not use their positions to obtain business contracts with the
Coalition.
 Members will annually disclose their involvements with other organizations, with
vendors, and any other associations that might produce a conflict of interest.

Board members may not attempt to exercise individual authority over the
organization, except as explicitly set forth in Board policies. This includes:
 Members may not individually direct the CEO or any staff reporting to the CEO
directly or indirectly;
 Members are not responsible for the day-to-day operations, management and
personnel decisions of the Coalition.
