Early Learning Coalition of Indian River, Martin & Okeechobee Counties www.elcirmo.org 30 Board Responsibilities: Ambassador Attend Board meetings, including special meetings; Serve on at least one Committee; Review all materials prior to meetings; Offer constructive suggestions, comments and feedback; Represent ELC during community events and grant opportunities; Help to recruit new private sector members as needed; Publicly support all Board decisions; Assure the long-term progress of the Coalition; Ensure accountability, transparency and compliance in all areas of ELC operations. Policy Maker Develop a thorough understanding of by-laws, policies, and fiscal reports and review them on a regular basis; Provide input into the development and revision of ELC policies. The Coalition is governed by both state and federal statute. The Coalition adheres to the requirements of the Sunshine Law: All meetings where two or more board members are present must be publicly noticed; Board members may not speak to each other regarding potential board business outside of an advertised meeting; All documentation is public record, excluding child records & specific employee personnel information; All meetings must be open to the public; Minutes must be taken for each meeting; The Coalition Board follows Robert’s Rules of Order. Early Learning Coalition of Indian River, Martin & Okeechobee Counties www.elcirmo.org 33 Board Ethics & Conflicts of Interest: The activities of the Coalition shall be governed by the Code of Ethics for Public Officers and Employees, as defined in Florida Statutes, 112.313, 112.3135, and 112.3143. No member of the Coalition Board may participate or vote upon any measure which would inure to their special private gain or loss or that of the principal whom they represent. If a member has abstained from voting due to a conflict of interest, they must complete and submit the form to the Coalition Executive Assistant within 15 days of the vote. Specifically, Board Members: Will not engage in any action contrary to the purpose and intentions of the School Readiness Act; May not act in any way inconsistent or in conflict with applicable federal and state statutes, rules and regulations; Shall follow the Florida Sunshine Law; Shall follow the Code of Ethics for Government Officials, Chapter 112, Florida Statutes; Will not allow themselves to be lobbied by potential vendors with respect to issues coming before the Coalition. This includes: There must be no self-dealing or any conduct of private business or personal services between any Board member and the organization; When the Board is to decide upon an issue about which a member has an unavoidable conflict of interest, that member shall declare the conflict, may enter into discussion, but must recuse him/herself; Board members must not use their positions to obtain employment for themselves, family members, or close associates. Board members must not use their positions to obtain business contracts with the Coalition. Members will annually disclose their involvements with other organizations, with vendors, and any other associations that might produce a conflict of interest. This includes: Members may not individually direct the CEO or any staff reporting to the CEO directly or indirectly; Members are not responsible for the day-to-day operations, management and personnel decisions of the Coalition.
