1. These Points offer on the HPC Data Center Specialty Promotion (the “Promotion”)
terms and conditions, in addition to the Intel® Technology Provider Program terms
and conditions, including Exhibit A, Points Supplementary Terms and Conditions
(the “Rules”) govern this Promotion. Participation in the Promotion, and
acceptance and redemption of Points awarded in connection with this Promotion
are conditional upon acceptance of the Rules by your company (“You” or “Your”).
2. Eligibility. This promotion is available to qualified HPC Data Center Specialists who
maintain an active Intel® Technology Provider Registered, Gold or Platinum
partner status in Intel’s Europe, Middle East, Turkey and Africa (EMEA) regions
(“Eligible Partners”).
3. Promotion Period. The promotion is valid from 1st July until 30th September
2016. (“Promotion Period”).

5. Promotional points are in addition to standard earning limits.
6. Qualifying products are the Intel® products listed above purchased from an Intel®
Authorized Distributor or an Intel® Approved Components Supplier (“Qualifying
Products”).
7. Partners who receive other contributions, rebates or discounts direct from Intel on
Qualifying Products might not be eligible to earn points on that Qualifying
Product. Intel will inform you if this is the case.
8. Promotional points will be awarded based on salesout reports received from
Eligible Suppliers within 60 days of the promotion end date.
9. Only purchases from Intel® Authorized Distributor or Intel® Approved Component
Suppliers (“Eligible Suppliers”) are eligible.
10. These Terms and Conditions together with the Intel® Technology Provider Points
Terms and Conditions (including Exhibit A, Points Supplementary Terms and
Conditions, constitute the entire understanding and agreement between You and
Intel with regard to the subject matter hereof and supersedes all prior agreements,
communications, representations and discussions between the parties, whether
written or oral. Any contrary or conflicting term is hereby rejected.
11. These Rules are effective from the start of the Promotion Period. Defined terms
in the Intel® Technology Provider Program Terms and Conditions (including
Exhibit A, Points Supplementary Terms and Conditions) have the same meaning in
these Promotion terms and conditions, unless the context requires otherwise.

12. Each party is responsible for its own respective income taxes or taxes based upon
gross revenues, including, but not limited to, business and occupation taxes.
Company shall be responsible for any and all applicable taxes related to its receipt
of the Intel contribution, including but not limited to any sales, use, goods and
services, services, consumption, business, value added, or other taxes or
comparable levies, transaction privilege taxes, gross receipts taxes, net receipt
taxes, any withholding taxes and other charges such as duties, customs, tariffs,
imposts, contributions and other government imposed surcharges.
13. This agreement shall be exclusively governed and construed in accordance
with the laws of England and Wales, without regard to its conflict of law principles.
Each party irrevocably agrees to submit to the exclusive jurisdiction of the courts
of England as regards any claim or matter arising under or in connection with this
agreement or its subject matter or formation (including non-contractual disputes
and claims). This agreement is not intended to create any right under the
Contracts (Rights of Third Parties) Act 1999 which is enforceable by any person
who is not a party to this Agreement, and the rights of any third party under the
said Act are hereby expressly excluded.
14. Rebates and benefits offered in this promotion are not conditioned on any
exclusivity or market share commitment. Furthermore, nothing in this agreement
shall prevent either party from entering into similar arrangements with third
parties.
15. Without prejudice to any right and remedy provided for in this Agreement and
any other right and remedy available at law, in the event that You do not comply
with the terms and conditions set out in this Agreement, Intel shall have the right,
at Intel's choice, to: (i) withhold the entire value of the points or part thereof
awarded under this Agreement; (ii) offset the entire value of the points, or part
thereof, awarded under this Agreement, against existing or future Company's
credit claims; (iii) adjust the amount of points to be awarded to You under this
Agreement; and/or (iv) obtain reimbursement of the entire value of the points paid
to You, or part thereof, under this Agreement.

16. (a) Subject to section 15(b), these Rules and any dispute or claim arising out of or
in connection with these Rules (including non-contractual disputes and claims) are
governed by the laws of England and Wales, and shall be subject to the exclusive
jurisdiction of the courts of England and Wales. (b) Claims or disputes arising out
of or in connection with an Intel trademark license agreement and/or Intel logo
license agreement shall be subject to the governing law and jurisdiction specified
in such agreement.
