Thesetermsandconditionsshallapplytoalloffers,proposalsandagreementsmadebetweenOxfordUniversityPress(“OUP”)andanythirdpartyoritsagent(“theAdvertiser”)relatingtothe
provisionofadvertising(the“Advertising”)inOUP’sproducts,includingproductsOUPcreatesonbehalfofthirdparties(“theProducts”)and,alongwiththerelevantOxfordAdvertisingOrder
Confirmation,shallformtheentireagreementbetweentheparties(the“Agreement”).TheAgreementsupersedesanyprevioustermsandconditions.Anygeneraltermsandconditions
proposedbytheAdvertisershallnotapplyandtheAgreementwillprevail.Unlessotherwisepermittedherein,anyvariationtotheAgreementandanyrepresentationsabouttheProductsshall
havenoeffectunlessexpresslyagreedinwritingandsignedbyanauthoriz edsignatoryofOUP.
EachorderforAdvertisingbytheAdvertiserfromOUPshallbedeemedtobeanofferbytheAdvertisertopurchasetheAdvertisingsubjecttotheAgreement.ByplacinganorderforAdvertising
withOUPyouherebyagreetothesetermsandconditions.NoorderplacedbytheAdvertisershallbedeemedaccepteduntilanAdvertisingOrderConfirmationisissuedbyOUPor(ifearlier)
OUPdeliverstheProductscontainingtheadvertisingcontent(the“Advertisement”)orissuestheinvoicetotheAdvertiser.Publishingerrors,including,butnotlimitedto,typographicalerrors,
havingnosignificanteffectontheeditorialcontentordesigncharacteristicsoftheAdvertisement,cannotbeconsideredareasonformodifyingtheagreedprice.
UnlessotherwiseagreedbyOUPinwritingtheprice/ratesfortheAdvertisingshallbethosesetoutinOUP’sRateCard.Allsuchprices/ratesshallbeexclusiveofanyhandling,packing,loading,
freight,transport,shrink-wrappingotheratypicalproductioncosts,andinsurancechargesunlessotherwiseagreedinwriting,andshallalsobeexclusiveofanytaxes,importdutiesorother
leviesimposedonthesaleorimportoftheProductsbylocalornationalauthorities,whichshallbechargedbyOUPasappropriate.Whereapplicable,theAdvertisershallprovidetoOUPClient’s
VATregistrationnumberorcharitycertificateatthetimeofplacingitsorder.
Unlessotherwiseagreedinwriting(includingbyemail),paymentshallbeduewithinthirty(30)days’receiptbytheAdvertiseroftheinvoice,inthecurrencyinvoiced.Timeforpaymentshall
beoftheessence.OUPmaysetandvarycreditlimitsforanyAdvertiseraccountandshallbeentitledtorefusetosupplyanyAdvertiserwhohasexceededitscurrentcreditlimit.TheAdvertiser
shallmakeallpaymentsdueundertheAgreementwithoutanydeductionwhetherbywayofset-off,counterclaim,discount,abatementorotherwiseunlesstheAdvertiserhasavalidcourt
orderrequiringanamountequaltosuchdeductiontobepaidbyOUPtotheAdvertiser.Fromtheduedateoftheinvoicetothedateofpaymentinfull,interestatthelesseroftherateof4%per
monthorthehighestratepermissibleunderapplicablelawmaybechargedtotheAdvertiser,calculateddailyandcompoundedmonthly,foranysumsoutstanding,togetherwithcosts
incurredbyOUPincollectinganylatepaymentsincludingreasonableattorneys’fees.IftheAdvertiserwishestodisputeanyinvoice(orpart),theAdvertisershall,assoonasreasonably
practicable,butnolaterthantheduedateofsuchinvoice,sendfulldetailsofsuchdisputetoOUPinwriting.TheAdvertisershallremainliableforanyundisputedpartofsuchinvoice.
TheAdvertiserissolelyresponsibleforensuringthattheproposedadvertisingcopyfortheAdvertisementisreceivedatOUPinelectronicform(orsuchotherformasspecifiedbyOUP)
accordingtotheprintand/ordigitalmeasurements/specificationssetforthintheOUPMediaKitprovidedtotheAdvertiser,andwithintherelevantdeadlinesetbyOUPand/orcontainedon
theAdvertisingOrderConfirmation(the“Deadline”).TheAdvertiserunderstandsthatfailuretomeetthespecificationsagreeduponbetweenOUPandtheAdvertisermayresultindelaystothe
agreeduponstart-datefortheadvertisingcampaign(the“StartDate”).IftheAdvertisementhasnotbeensuppliedtoOUPbytheDeadline,OUPmaybeunabletoruntheAdvertisementand
mayatitsdiscretioneither:(i)delaytheStartDate;(ii)useanAdvertisementpreviouslyprovidedbytheAdvertiser;(iii)canceltheAdvertiser’sorder;or(iv)agreetoupdatedtermsinwriting
(includingbyemail).IntheeventofcancellationtheAdvertisermaybesubjecttoreasonablecancellationfees.OrdersforprintAdvertisingmadeaftertheDeadlinearenotguaranteedandthe
Advertisermayincuradditionalcharges.TheAdvertisershallretainacompletecopyofallmaterialsdeliveredtoOUP.OUPshalltakereasonablecarebutshallnotbeliableforaccidentallossor
damagethereto.Mail-outdatesofprintjournalissues(includingvoucher/checkingcopies)containingconfirmedAdvertisingareasestimatedintheOUPMediaKit.
OUPand,whereanassociationorsociety(collectivelyan“Association”)isassociatedwiththeOUPProduct,theAssociationexplicitlyretaintherighttorejectand/orrequestmodificationsto
theAdvertisement.IntheeventtheAdvertisementisrejected,OUPwillusereasonableeffortstoprovidetheAdvertiserwithnotificationtoallowtheAdvertisertomodifyorsupplyasubstitute
Advertisement.IftheAdvertisementisrejectedandthemodifiedAdvertisementisnotreceivedbyOUPbeforetheDeadline,theAdvertisementshallbeconsideredpast-dueandthetermsof
clause5,above,shallapply.Incorrectlysiz edAdvertisementswillbereturnedtotheAdvertiser(oritssupplier,asthecasemaybe)forcorrection.OUPwillbeentitledautomaticallytoadjust
theformatoftheAdvertisementtoensurethatitmeetsOUP’srequirements.
TheAdvertiserunderstandsandagreesthatend-userviewabilityoftheAdvertisinginamobileapplication(an“App”)willdependontheend-userdownloadingtheAppandallrelevant
updates,whichisbeyondOUP’scontrol;accordingly,itisacknowledgedthatAdvertisementsappearinginanAppmaynotbeviewableduringthecampaignbyallend-users.Similarly,inthe
eventanend-userdoesnotupdateanApp,theAdvertisementmayremainviewablebeyondtheend-dateofthecampaign.ItisunderstoodandagreedthatOUPshallbearnoliability
whatsoever,includingthattheAdvertisershallnotbeentitledtoanyrefunds,intheeventthatAppAdvertisingisnotviewableduringthecampaignorremainsviewableaftertheCampaign’s
end-dateduetotheseandsimilarcircumstances.
WithoutprejudicetoanyrightstheAdvertisermayhaveunderapplicablelaw,iftheAdvertisercancelsanordereitherfullyorpartiallyacancellationfeemaybecharged.Allcancellations
mustbemadeinwriting.Thisfeewillbecalculatedtocoveranyexternalorinternalcostswhichhavebeenincurredorcommitteduptoandincludingthedateofcancellation.Nonewexternal
costswillbeincurredorcommitted/contractedfromthedateofreceiptofwrittennoticeofcancellationbyOUP.OrdersforAdvertisingsmustbecancelledinwriting(includingbyemail)prior
totheDeadline,andintheeventthatanycancellationsaremadeaftersuchdate,OUPshallbeentitledtochargetheAdvertiserthefullcostoftheAdvertising.Requestsforvoucher/checking
copiesand/orscreenshotsmustbemadeatorpriortotheorderstage.OUPcannotguaranteetheprovisionofanyvoucher/checkingcopiesrequestedafterpublicationoftheProduct.

CopyrightandotherintellectualpropertyrightstoallOUPproposals,publicationsandotherProductsshallremainwithOUPunlessagreedotherwiseinwritingsignedbybothparties.The
AdvertisershallnotacquireanyintellectualpropertyrightsintheProducts.NopartoftheOUPproposals,publicationsorProductsmaybestoredinanyautomateddatafileand/orreproduced,
whetherelectronically,echanically,byphotocopying,recordingorinanyothermannerorform,withoutthespecificpriorwrittenpermissionofOUP.
OUPreservestherighttorejectanyAdvertisementthatisnotconsistentwithOUP’sand/ortheAssociations’relevantAssociation’sstandards.Inaddition,OUPshallhavetheright,atanytime,
toremoveanyAdvertisementand/orterminatethisAgreementifOUPdetermines,initssolediscretion,thattheAdvertisementoranyportionthereof(1)violatesOUP’sand/ortheAssociation’s
policies;(2)violatesanylaw,ruleorregulationorindustrycodeorifOUPisdirectedtodosobyanylawenforcementagency,courtorgovernmentagency;(3)isthesubjectofaclaimassertedby
anentitywithrespecttoitstrademarks,tradenames,servicemarksorotherproprietaryrights;or(4)isotherwiseobjectionabletoOUP.Insuchevent,OUPmayeither(i)publishanalternative
AdvertisementinconsultationwiththeAdvertiserandonascheduletobedeterminebyOUPinitssolediscretion;or(ii)cancelthisAgreement.Insuchevent,theAdvertiserwillberesponsible
foranyandallcostsandfeesassociatedwithremovingand/ormodifyingtheAdvertisement.OUPwillnotbeliableforthetimelyappearanceoraccuracyofanyAdvertisementsuppliedbythe
Advertiser.OUPmayterminatethisAgreementatanytime:(i)intheeventofabreachofthisAgreementbytheAdvertiser;(ii)iftheAdvertiserwillhaveareceiveroradministrativereceiver
appointedoverit,oroveranypartofitsundertakingorassetsorwillpassaresolutionforwindingup(otherwisethanforthepurposeofabonafideschemeofsolventamalgamationor
reconstruction)oracourtofcompetentjurisdictionwillmakeanordertothateffectoriftheotherpartywillenterintoanyvoluntaryarrangementwithitscreditorsorwillbecomesubjectto
anadministrationorderorifsuchpartyisinanyequivalentsituationunderitsownjurisdiction;or(iii)ifthisAgreementisassignedorotherwisetransferredtoadirectcompetitorofthenontransferringparty.Ordersmustspecifyadefinitescheduleofinsertions,issuesandsiz esofspacefortheAdvertiser.TwoormoreAdvertisersarenotpermittedtousespaceunderthesameorder.
Noadvertisingorderswillbeacceptedforperiodslongerthanoneyear.WhereanorderforaseriesofadvertisementshasbeengivenadiscountedrateforvolumebyOUP,andtheAdvertiser
doesnotorderthequotedvolume,OUPshallbeentitledtore-calculatethepricefortheactualvolumeattheendoftheapplicableyearatareduceddiscountandtheAdvertisershallpayany
additionalamountfoundowingtoOUP.
TOTHEMAXIMUMEXTENTPERMITTEDBYRELEVANTLAWS(i)OUPshallnotbeliableforanyofthefollowinglosseswhichmayarisebyreasonofanybreachofthisAgreementoranyimplied
warranty,conditionorotherterm,anyrepresentationoranydutyofanykindimposedonOUPbyoperationoflaw:(a)anylossofanticipatedprofitsorexpectedfuturebusiness;(b)damageto
reputationorgoodwill;(c)anydamages,costsorexpensespayablebytheAdvertisertoanythirdparty;(d)lossofanyorderorcontract;or(e)anylossthatwasnotforeseeablebytheAdvertiser
andOUPatthetimethisAgreementwasenteredinto;or(f)anylossnotcausedbyanybreachonthepartofOUP;AND(ii)NEITHERPARTYSHALLBERESPONSIBLEFORDEATHORPERSONAL
INJURYEXCEPTTHATRESULTINGFROMITSOWNNEGLIGENCEORWILFULINTENTORTHENEGLIGENCEOFITSEMPLOYEESOROTHERSFORWHOMTHEPARTYISLEGALLYRESPONSIBLE.
NOTHINGINTHEAGREEMENTSHALLBECONSTRUEDASCREATINGANOBLIGATIONTOINDEMNIFYTHEOTHERPARTYAGAINSTTHEOTHERPARTY’SOWNNEGLIGENCE.OUP’SLIABILITYFORANY
OTHERLOSSIMPUTABLETOITSHALLINANYEVENTBELIMITEDTOTHEINVOICEVALUEOFTHEPARTOFTHEAGREEMENTTOWHICHTHELIABILITYARISES.TOTHEMAXIMUMEXTENTPERMITTED
BYRELEVANTLAWSOUPEXPRESSLYEXCLUDESANYLIABILITYFORBREACHOFANYIMPLIEDOREXPRESSWARRANTYOFASTOMERCHANTABILITYORFITNESSFORAPARTICULARPURPOSE.
NOTHINGINTHISCONTRACTSHALLLIMITTHEADVERTISER’SEXISTINGLEGALORSTATUTORYRIGHTSWHEREITISACTINGASACONSUMER.Moreover,nothinginthisclauseshalllimiteither
party’sliabilityfordeathorpersonalinjury,fraudormisrepresentationoranyotherliabilitythatcannotbeexcludedorlimitedbylaw.TheAdvertiserhasenteredintothisAgreementwiththe
knowledgethattheliabilityofOUPistobelimitedinaccordancewiththesetermsandconditionsandthechargeshavebeenagreedaccordingly.TheAdvertiseracknowledgesthatahigher
pricewouldbepayablefortheAdvertisingbutforsuchlimitations.
TheAdvertiserissolelyresponsibleforanylegalliabilityarisingoutoforrelatingtoanyoftheAdvertising/Advertisement.TheAdvertiserrepresentsandwarrantsthat(i)theAdvertiserholds
thenecessaryrightstopermittheuseoftheAdvertisementbyOUPforthepurposesofthisAgreement;(ii)theuse,reproduction,distribution,ortransmissionoftheAdvertisementwillnot
violateanycivilorcriminallaws,rulesorregulationsorindustrycodesoranyrightsofanythirdpartiesincluding,butnotlimitedto,infringementormisappropriationofanycopyright,patent,
trademark,tradesecret,music,image,orotherproprietaryorpropertyright,falseadvertising,unfaircompetition,defamation,invasionofprivacyorpublicityrights,violationofanyantidiscriminationlaworregulation,oranyotherrightofanypersonorentity;(iii)theAdvertisementcomplieswithanyapplicablelaws,rules,industrycodes,regulationsandgenerallyprevailing
customandpractice.TheAdvertiseragreestoindemnifyOUPandtoholdOUPharmlessfromanyandallliability,loss,damages,claims,orcausesofaction,includingreasonablelegalfeesand
expensesincurredbyOUP,arisingoutoforrelatedtotheAdvertising/AdvertisementortheAdvertiser’sbreachorallegedbreachofanyoftheforegoingrepresentationsandwarranties.
Ifbyreasonoflabordispute,strikes,inabilitytoobtainlaborormaterials,fireorotheractionoftheelements,accidents,powerortelecommunicationsfailure,customsdelays,governmental
restrictionsorappropriationorothercausesbeyondthecontrolofaparty,suchpartyisunabletoperforminwholeorinpartitsobligationssetforthinthisAgreement,thensuchpartyshallbe
relievedofthoseobligationstotheextentitistherebyunabletoperform,andsuchinabilitytoperformshallnotmakesuchpartyliabletoanyotherparty.Thepartysubjecttoaneventofforce
majeureshallusegoodfaitheffortstocomplyascloselyaspossiblewiththeprovisionsofthisAgreementandtoavoidtheeffectsofsucheventtotheextentpossible.
ThisAgreementissubjecttothelawsofEnglandThepartiessubmittothenon-exclusivejurisdictionoftheEnglishCourtsTheAdvertisershallnotbeentitledtoassigntheAgreementorany
partofitwithoutthepriorwrittenconsentofOUP.OUPmayassigntheAgreementoranypartofittoanyperson,firmorcompany.IfanyprovisionofthisAgreementisvoidorunenforceableor
renderstheAgreementoranypartofitvoidorunenforceable,thenthatprovisionwillbeseverablefromtheremainderoftheAgreement,whichwillcontinueinforceandbeconstruedasif
such
