NAAPA GIFT/LOAN AGREEMENT
The National African American Photographic Archive (NAAPA) is an online repository that
documents African American life in America through photographs. The University Libraries, University
of Memphis accepts photographs documenting African American life and culture for inclusion in the
NAAPA collection. The NAAPA project is a non-profit educational endeavor: no charges will be made for
scanning and mounting materials and no fees will be charged for viewing the photographs in the
archive.
Photographs may be donated outright as gifts to the University Libraries or they may be loaned
for purposes of scanning and inclusion in the online archive. In both cases, the digitized images will be
subject to the administration by and of the University of Memphis, University Libraries' policies and
staff, and will be accessible to all persons in accordance with University Libraries' policies.
The University Libraries' NAAPA Project personnel may select or reject donated images for
inclusion based on their judgment of uniqueness, content, historical value, or other factors. The
University Libraries' NAAPA Project cannot commit to a specific time schedule for digitizing and
mounting loaned images online, though reasonable efforts will be made to accomplish both in a timely
manner. Donors should expect a minimum of six to eight weeks between the time the images are
donated/loaned and their appearance in the repository.
This Agreement shall be governed by and construed and enforced in accordance with the laws
of the State of Tennessee.
By signing this Agreement and transferring materials to the University Libraries for consideration
for inclusion in the NAAPA project, the Donor/Lender represents and warrants that he or she is the
lawful owner ofthe material and has the legal right to convey the material for use in the project.

established gift policy [link to Deed of Giftland will be considered for inclusion in the NAAPA
Collection.
( ) These photographs are being loaned to the University Libraries for consideration for
inclusion in the NAAPA. The photographs will be returned to the undersigned owner when
scanning has been completed.
As owner of the photographs
included in this gift/loan,

University Libraries of the University of Memphis will be the owner of the copyright of the digital images
created as a result of this gift/loan.
