PARTICIPATION AGREEMENT
THIS AGREEMENT is entered into as of this ___ day of ____________, 2017 (“Effective Date”) between the California –
Orange County Chapter of the American Society of Interior Designers (“Chapter”) and
___________________________________________ (“Exhibitor”).
As a material condition of Exhibitor’s participation in the Chapter’s 26th Annual Design Expo (“Event”) to be held at
the Hotel Irvine Jamboree Center, Garden Pavilion on April 13, 2017, Exhibitor agrees to the following terms and
conditions:
1.
Chapter does not endorse, warrant or guarantee Exhibitor’s products, services or business practices and
Exhibitor shall not, in any manner, represent or imply otherwise.
2.
Exhibitor assumes the risk of loss and damage, however and wherever caused, to its equipment and
supplies and it its exhibited goods and materials and acknowledges that neither the Chapter nor the Hotel
Irvine Jamboree Center has promised or is obligated to maintain insurance coverage for the Exhibitor’s
equipment, supplies, goods and materials.
3.
Exhibitor agrees and represents that it shall comply, at all times, with the rules and regulations of the
Chapter, the Hotel Irvine Jamboree Center, as well as all applicable federal, state and local laws,
ordinances, rules and regulations.
4.
Exhibitor assumes the entire responsibility and liability for any and all losses, damages and claims
(including personal injury and death) caused by, arising from, or relating to the actions, omissions,
negligence and/or willful misconduct of the Exhibitor and/or its officers, directors, members, employees,
agents, subcontractors, and invitees.
5.
Insurance: Exhibitor shall obtain and maintain and provide Chapter with a certificate of insurance
showing proof of general liability and professional liability coverage in amounts of not less than one
million dollars ($1,000,000.00) and an automotive liability policy in a reasonably sufficient amount. If
the Exhibitor has employees, Exhibitor shall provide proof of Worker’s Compensation insurance. The
certificate of insurance should also list the following as additional insured:
(a) The California – Orange County Chapter of the American Society of Interior Designers, their directors,
officers, agents, servants, and employees
(b) The American Society of Interior Designers, Inc.
(c) The Hotel Irvine Jamboree Center
6. Limitation Liability: For purposes of this Agreement the term “Chapter Person” shall mean any
present or former Chapter Officer, Director, Member or Employee except that the term Chapter Person
shall not include Exhibitor. As a material inducement on the part of Chapter to enter into this
Agreement, it is agreed that:
(a) To the extent that the proceeds, if any, from any insurance policy maintained by the Chapter are
insufficient to satisfy any judgment obtained against the Chapter, or if the event giving rise to the
Chapter’s liability is not covered by insurance, only the assets of the Chapter, not the individual
assets of any Chapter Person, may be used to satisfy any such judgment requiring the payments of
monies;
(b) Without limiting the generality of the foregoing, the maximum aggregate liability of the Chapter
pursuant to the foregoing shall not exceed the greater of i) the available proceeds of any insurance
policy maintained by the Chapter; or ii) two hundred fifty dollars ($250.00.)
(c) Chapter shall not be held responsible for the actions, omissions, negligence and/or willful
misconduct of third parties, or the non-performance of third parties, including but not limited to
other exhibitors, the Hotel Irvine Jamboree Center and the State of California.
(d) Chapter shall not be liable to Exhibitor, its agents, employees, contractors, patrons, guests,
licensees or to any other person whatsoever for any injury or damage to person or property
caused by or arising out of any action, omission, negligence and/or willful misconduct of

Exhibitor, Exhibitor Person (as defined below), or any other person attending the Event under
expressed or implied invitation by Exhibitor.
7.
Indemnification: Exhibitor agrees to indemnify, defend and hold harmless the American Society of
Interior Designers, Inc. (“ASID, Inc.”), Chapter and/or any Chapter Person to the fullest extent permitted
by law from any and all losses, claims, demands, suits, costs, expenses (including reasonable attorney’s
fees) of whatever nature and description arising from or in connection with Exhibitor and/or Exhibitor
Person’ s (i) actions, omissions, negligence and/or willful misconduct (including infringement claims);
(ii) performance of services, provision of goods, and/or participation in the Event; (iii) transactions,
interactions, and/or agreements with any third parties; and/or (iv) breach of the terms of this
Agreement.
For purposes of this Agreement the term “Exhibitor Person” shall mean any present or former Exhibitor
Officer, Director, Member or Employee.
8. Publicity : Exhibitor has the power and authority to grant and does grant Chapter the right to publicize,
advertise and promote the Event using Exhibitor’s name, biography, likeness, images, copyrights and
trademarks (collectively “Exhibitor Property”) and Exhibitor shall provide such materials to Chapter
upon Chapter’s reasonable request. However, Chapter does not guarantee that Exhibitor Property will be
used to promote the Event.
9.
No Waiver: The failure to insist upon the strict performance of this Agreement shall not constitute a
waiver of Chapter’s rights hereunder. No provision of this Agreement may be deemed to have been
waived by Chapter unless such waiver shall be in writing signed by Chapter.
10. Survival: All waivers, releases, and indemnification obligations contained in this Agreement (as well as
any other obligations which would ordinarily would survive termination or expiration of the agreement)
shall survive termination or expiration of this Agreement.
11. Severability. If any provision contained herein is determined by a court of competent jurisdiction to be
invalid or unenforceable, said determination shall not affect the validity and enforceability of the
remaining provisions hereof.
12. Parties to the Agreement: Exhibitor understands and agrees that only the California – Orange County
Chapter of the American Society of Interior Designers, an unincorporated nonprofit association of the
state of California, and NOT the American Society of Interior Designers, Inc., is a party to this Agreement
By signing this agreement, Exhibitor understands and acknowledges the terms and conditions of this
Agreement, and expressly agrees to be bound by the terms and conditions of participation as outlined in this
Agreement. If a corporation or a limited liability company is a party to this Agreement, the person signing
this agreement on behalf of the Corporation or limited liability company represents and warrants that he or
she is duly authorized and has legal capacity to execute and deliver this Agreement and grant the rights and
assume the obligations that are being provided for in this Agreement.
