Airopack Technology Group receives extension from SIX Swiss Exchange for
publishing its 2015 Annual Report
 SIX Swiss Exchange has granted extension until 31st May 2016 with
reservations and conditions
 ATG releases statement on key financials for the year 2015
Baar, 29th April 2016 – Airopack Technology Group AG (“ATG”) today announced that SIX Swiss Exchange has
granted ATG an extension until 31st May 2016 for publishing and submitting its annual report for the year 2015.
ATG’s annual report 2015 was previously scheduled to be published by 29th April 2016.
As previously disclosed, ATG’s financial results are largely determined by the Airolux joint venture. Given the
deadlock situation that existed for the joint venture, the annual accounts of the joint venture companies could
not be approved by the two partners and the respective consolidation was not possible. Based on the settlement
agreement that was reached between ATG and Resilux on 26th April 2016, ATG will take over ownership of the
joint venture companies and will finalise the annual accounts and the consolidation. ATG continues to devote
significant resources to complete and file its annual report 2015 as soon as possible.
SIX Swiss Exchange has requested that ATG publish the following information:
I.
The application of Airopack Technology Group AG of 26 April 2016 for granting an extension of the
deadline to publish its 2015 annual report and to file such report with SIX Exchange Regulation until 31
May 2016 is granted with the following reservation (lit. a) and under the following conditions (lit. b):
a. SIX Exchange Regulation reserves the right to suspend trading in the shares in Airopack Technology Group
AG In case the 2015 annual report is not published until Tuesday, 31 May 2016, 11:59 pm CET, at the
latest, in accordance with the provisions regarding ad hoc publicity (art. 53 of the Listing Rules [LR] in
connection with the Directive on Ad hoc Publicity [DAH]).
b. Airopack Technology Group AG is required to publish a notice in accordance with the provisions regarding
ad hoc publicity (art. 53 LR in connection with the DAH) until Friday, 29 April 2016, 07:30 am CET, at the
latest. The ad hoc notice must contain:
- an unaltered reproduction of the wording of section I. of this decision, placed in a prominent position
in the ad hoc notice; and
- a statement, as precisely as possible, regarding profit/loss, revenues and EBITDA for the business year
2015 of Airopack Technology Group AG; and
- the reasons for the application of Airopack Technology Group AG for granting an extension of the
deadline to publish its 2015 annual report and to file such report with SIX Exchange Regulation.
Statement on key financials for the year 2015
SIX Swiss Exchange has requested that ATG publish a statement, a precisely as possible, regarding profit/loss,
revenues and EBITDA for its business year 2015. ATG underlines that given the aforementioned deadlock situation
for the Airolux joint venture it is difficult to make correct management estimates and other judgements on
various profit and loss and balance sheet items. The following unaudited consolidated key figures are based on
the current best estimates made by ATG’s group management on the annual accounts of the joint venture
companies. ATG has applied Swiss GAAP FER 31 (share based payments) for the first time in 2015. The 2014
figures have been restated for comparative purposes.
