PRE-QUALIFICATION QUESTIONNAIRE
OCTOBER 2009
1.
Introduction
1.1. The Agriculture and Horticulture Development Board (‘AHDB’; see 2 below) is to
procure services from law firms (including patent/trade mark attorneys). The firms
will be expected to demonstrate their resources and legal skills, and also a
willingness and ability to invest in developing a substantial relationship with, and
contributing pro-actively to the needs of, AHDB.
1.2. AHDB aims to apply its expenditure on legal fees in a way that provides value for
money and is consistent with the above relationship goals.
1.3. AHDB will procure a range of legal services (“the Services”) for a period of four years,
from 1 April 2010 until 31 March 2014. The procurement is being carried out in
accordance with the requirements of the Public Contracts Regulations 2006 for Part
B services contracts using an open procedure.
1.4. Interested firms are invited to respond to this Pre-Qualification Questionnaire ("PQQ";
see 9-13 below) to enable AHDB to establish short lists of potential appointees.
Those selected for a short list will be invited by a “Request for Proposals” to Tender
by submitting a detailed bid to enter into one or more Framework Agreement(s).
AHDB will then hold mini-competitions as appropriate to select firms to be placed on
the law firm panel (see 3 below).
1.5. The purpose of this questionnaire is to enable you (whether as an individual firm or a
member of a consortium of firms) to provide sufficient information for AHDB to assess
your capability and suitability to become a prospective contractor in respect of part or
all of the Services.
1.6. AHDB requires Applicants to provide all information requested in this questionnaire.
Failure to do so in sufficient detail may prevent AHDB from inviting your organization
to tender. Please indicate clearly which information if any you consider to be
confidential.
1.7. The information disclosed in response to this questionnaire will be used in the
selection of tenderers. Any invitation to tender based on your response to this
questionnaire does not imply any acceptance by AHDB as to your organization’s
financial stability, technical competence or ability to carry out the Services. AHDB
reserves the right to return to these matters as part of the formal tender evaluation
process.
1.8. Tenderers are not permitted to canvas any Member of the Board or any Office Holder
of AHDB.

About AHDB
2.1. AHDB is a Non-Departmental Public Body created in April 2008 from predecessor
bodies. It undertakes statutory functions under the Agriculture and Horticulture
Development Board Order 2008. That ‘AHDB Order’ defines the scope of AHDB’s
activities. AHDB is structured as a core and six divisions, plus subsidiary companies.
2.2. AHDB operates throughout the United Kingdom in relation to cereals and oilseeds;
throughout Great Britain in relation to dairy, horticulture and potatoes; and in England
only in relation to cattle, sheep and pigs. It has international interests in relation to
operators in those parts of the United Kingdom.

2.3. The subsidiary sector companies are not expected to be trading from 1 April 2010.

Development Council Holdings Ltd and Sutton Bridge Experimental Unit Ltd.
2.4. For details of AHDB’s operations and strategy, please refer to the AHDB Order and
the AHDB website, www.ahdb.org.uk, which includes links to its divisional websites.
3.
Law Firm Panel
3.1. AHDB will develop and operate a law firm panel whose members will be
selected from frameworks created through public procurement procedures. In
future AHDB intends to instruct only firms appointed to the panel in relation to
specified areas of law, subject to:
a)
an appropriate transition period to allow matters to be completed by any law
firm working for it now but which is not appointed to the law firm panel;
b)
any instructions from the UK government or the European Commission; and
c)
limited discretionary use of panel or non-panel law firms for niche activities or to
meet specific demands.

3.2. Please note that appointment to a framework or the panel is not a guarantee of future
work. AHDB reserves the right to amend or alter the selection process at any time,
without giving reasons or notice.
3.3. Appointments to a framework and/or the law firm panel will be from 1 April 2010 until
31 March 2014. AHDB reserves the right to add law firms to the panel at any time.
3.4. In general, the Services will be provided on an ‘all-AHDB’ basis. For some Services
(as yet unspecified), AHDB divisions will each be able to select (from the AHDB
frameworks) providers in relation to the activities in their sector.
3.5. AHDB will require the framework arrangements to be made available to each of its
wholly-owned subsidiary companies on the same terms as to AHDB itself. Those
companies may procure legal services (i) through AHDB frameworks or (ii) otherwise
in accordance with AHDB’s Standing Instructions and the principles underlying the
Public Contracts Regulations.
4.
The Services
4.1. The Services will be procured through three tenders, each covering a range of
services in lots. These are indicated as:

4.1.1.

4.2. You are invited to express an interest in any or all lots in any or all of the tenders,
within a single PQQ response (see 9.2.2 below). Failure to express your interest in a
lot by the last date for receipt of the PQQ will disqualify you from consideration for
those Services. You are requested not to indicate an interest in any lot where you do
not have sufficient experience and expertise to fulfil AHDB’s likely needs.
4.3. AHDB anticipates that its needs in relation to any lot may apply in any UK jurisdiction
and in relation to EU law.
4.3.1.
You should indicate whether you are able to provide Services in relation to
England and Wales, Scotland and/or Northern Ireland (see 9.2.3 below). This may
be directly or through another firm, which could be part of a consortium including
you. A PQQ response in relation to that firm must be provided if it is to be taken
into consideration in relation to your application.
4.3.2.
While Applicants may have their principal place(s) of business in any EU member
state(s), the Services will primarily relate to United Kingdom jurisdictions. AHDB
intends that the majority of its meetings with you will take place in a conveniently
located office of yours or in AHDB’s principal office in Warwickshire (England) or
elsewhere in the UK as appropriate.
4.3.3.
Appropriate knowledge and understanding of relevant European Union law will be
required.
4.4. AHDB will reserve the right in its sole discretion to procure legal services otherwise
than from within the relevant framework should it deem this necessary in any
particular circumstances.
4.5. For the avoidance of doubt:
4.5.1.
You must demonstrate the expertise, resources and commitment necessary to
satisfy AHDB’s likely needs in relation to the tender/lot concerned.
4.5.2.
AHDB does not wish to disadvantage small firms, which may individually have
limited resources. AHDB will consider consortia of these on an equal basis,
whether or not the consortium has legal personality.
4.5.3.
The fact that you may have previously provided legal services to AHDB or one of
its predecessor organizations or associated companies of any of these will in itself
neither advantage nor disadvantage you.
4.5.4.
A demonstrable understanding of relevant legislation applying to the agriculture
and horticulture industry and/or to public bodies, including of the AHDB Order,
may confer an advantage.
5.
Notes for completion of the PQQ
5.1. The Applicant is the organization which proposes to enter into a formal
contract with AHDB to provide specified Services if successful in being awarded
a contract to do so. In the case of any consortium not having legal personality, each
and every member of the consortium is an Applicant and every member of any
successful consortium will become a party to such a contract.
5.2. If the submission is from a single organization then that organization must complete
all sections of the questionnaire.

5.3. If two or more organizations acting together as a consortium wish to express an
interest in tendering for the contract, all members of the consortium must complete all
sections of the questionnaire, subject to the following:
5.3.1.
No member of a consortium that is applying for any lot in a tender may also apply
as a single applicant or be a member of another consortium in relation to any lot in
that tender. For the avoidance of doubt, such a member may apply as a single
applicant or as a member of another consortium in relation to a different tender.
5.3.2.
A consortium must nominate a lead firm to participate in the tender process and
act as the consortium’s communication channel. All information supplied to the
lead firm will be deemed to have been provided to all the members of the
consortium.
5.3.3.
If a change is proposed to the membership of a consortium after it has submitted
its PQQ response, the lead firm must forthwith communicate this and the reasons
for the change in writing to AHDB, enclosing a completed response to this PQQ in
relation to any new member to allow AHDB to undertake an assessment of the
new member’s eligibility, financial and economic standing, and technical and
professional ability. All other members shall be deemed to have consented to the
change. AHDB reserves the right to refuse to consider or consent to changes in
the consortium.
5.4. When insufficient space has been provided for your response to any questions,
please append any additional pages. However please note that the boxes provided
for responses can be expanded.
5.5. Please answer, in the correct order, the questions in sections 9-12 below as fully as
possible. Each response sheet and all supporting documents must clearly indicate
the name of the Applicant, the numbers of the sections and the questions to which
they relate. Also please complete section 13.
5.5.1.
Please declare any likely conflicts of interest in an appendix together with detailed
information on how these will be controlled. Section 13 will be deemed to apply to
this appendix.
5.5.2.
A complete response will comprise completed sections 9-13 and the conflicts of
interest appendix (if applicable) for the Applicant, or for each Applicant in the case
of a consortium.
5.6. The provision of false or misleading information could result in your organization’s
exclusion from the bidding process.
5.7. In this PQQ the terms “Applicant” and “organization" refer to the Sole Proprietor,
Partnership, Chambers, Firm, Incorporated Company, etc. as appropriate.
5.8. If there are any significant changes to the information supplied in this questionnaire
after it has been submitted you must let AHDB know as soon as reasonably practical.
You should also note that financial evaluations will be based on the information and
records submitted to AHDB. You will not be invited to tender if your response has not
been provided by the return time stated in 6.1 below.
5.9. AHDB will not reimburse any expenses incurred by any organization in preparing
their responses to this questionnaire or any subsequent submission as part of this
tender process.

5.10. AHDB reserves the right to discontinue the tendering process at any time and/or not
to award a contract for any or all of the Services.
6.
Return of questionnaires
6.1. Completed questionnaires with accompanying documents (no testimonials are
to be included) must be returned in accordance with 6.2 or 6.3 and be received
no later than 1300 hours GMT on Friday 6 November 2009 by:

6.2. Applicants may provide one hard copy of the completed questionnaire with
supporting documents in loose-leaf format.
6.2.1.
Consortia may provide confidential information on individual members in sealed
envelopes within an outer envelope.
6.3. As an alternative to 6.2, Applicants may provide the completed questionnaire
as a Microsoft Word (2003 or 2007) or PDF file (readable and printable using
Adobe Reader 8) and submit this by e-mail to [email protected].
7.
Queries
7.1. Questions and requests for clarification or further information (‘queries’)
concerning the PQQ must be sent by e-mail to [email protected]. No other
means of communication is available.
7.2. AHDB is committed to maintaining a competitive procurement process by ensuring
that information is equally available to all interested firms. Responses to queries will
where practicable be sent simultaneously to all organizations registered at the
appropriate time as being interested in this procurement. Anonymity will be preserved
in so far as it is practicable to do so.
7.2.1.
Any law firm interested in completing this PQQ may register its interest by e-mail
to AHDB at [email protected] including an e-mail address to be used to receive
disseminated responses to queries.
7.3. AHDB aims to respond within five working days of receiving the request, but will not
respond to queries received after 1300 hours GMT on Friday 30 October 2009.
7.3.1.
Responses will be sent by e-mail to the address from which the query was
received and disseminated to addresses registered as above. Any failure for any
reason to send any response to any address will not invalidate this procurement.
7.3.2.
Responses may refer to information available on the internet.
7.3.3.
AHDB will not respond to questions that it considers to be vexatious, unduly
complicated, unduly lengthy or which are clearly answered in this PQQ and/or
disseminated responses.

7.3.4.

The response to any enquiry will be given in good faith, but should not be
regarded as constituting acceptance of any proposal of the enquirer.
Marking
Disqualification criteria (Sections 9 and 10)
8.1. A full response must be provided to Sections 9 and 10.
8.1.1.
If a full response is not provided, it will be deemed that you do not meet the prequalification criteria and the questionnaire will not be marked.
8.1.2.
If any of the circumstances set out in Regulation 23(1) of the Public Contracts
Regulations 2006 apply to your organization (see 10.2 below), it will be deemed
(subject to 10.2.1 below) that you do not meet the pre-qualification criteria and the
questionnaire will not be marked.
8.1.3.
If any of the circumstances set out in Regulation 23(4) of those Regulations apply
to your organization (see 10.3 below), AHDB may decide that you do not meet the
pre-qualification criteria, in which case the questionnaire may not be marked.
8.2. Applicants whose questionnaires are not marked will be excluded as potential
appointees.
8.2.1.
In the case of a consortium, provided the lead firm provides a full response, AHDB
will consider the merits of the application having excluded those applicants whose
responses are incomplete. An incomplete response from the lead firm will
disqualify the consortium.

13. Undertaking
