2017 Lollapalooza + Chicago Blackhawks T-Shirt Design Contest OFFICIAL RULES (1) NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE A PERSON’S CHANCES OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED. VOID OUTSIDE THE UNITED STATES AND CANADA, AND WHERE PROHIBITED BY LAW. (2) ELIGIBILITY: The 2017 Lollapalooza + Chicago Blackhawks T-Shirt Design Contest (the “Contest”) is open only to legal residents of the United States and Canada (except where prohibited by law) who are 18 years of age or older; provided that the following persons are not eligible to participate in the Contest: (a) the employees, officers, directors, partners, equity holders, members, and agents of Chicago Blackhawk Hockey Team, Inc. (“Chicago Blackhawks), C3 Presents, LLC (“C3”) and Lollapalooza, LLC (“ Lollapalooza”) (Chicago Blackhawks, C3 and Lollapalooza are collectively referred to as “Promotion Entities”), and each of their respective immediate family members (spouse, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren) and members of the same households (whether legally related or not); and (b) the employees, officers, directors, partners, equity holders, members and agents of the National Hockey League (the “NHL”) and its member teams, NHL Enterprises, L.P., NHL Enterprises Canada, L.P., NHL Enterprises B.V., and/or NHL Interactive CyberEnterprises, LLC (the foregoing are collectively the “NHL Entities”), and each of their respective parents, subsidiaries, advertising and promotion agencies, and affiliates, and their respective immediate family members (as defined herein) and members of their same households (whether legally related or not). The decisions of the Promotion Entities, including but not limited to eligibility of participants and selection of the winner and runners up, are final and binding on all matters relating to the Contest. By participating in the Contest, each entrant unconditionally accepts and agrees to comply with and abide by these “Official Rules.” (3) CONTEST PERIOD AND ENTRY: The Contest begins at 9:00 a.m. Central Time (“CT”) on May 8, 2017 and ends at 11:59 p.m. (CT) on May 19, 2017 (“Contest Period”). Chicago Blackhawks’ computer is the official timekeeper of the Contest. HOW TO ENTER: To enter, complete an entry form and submit an original t-shirt design online at https://www.nhl.com/blackhawks/fans/lollapalooza-contest by no later than 11:59 p.m. (CT) on May 19, 2017. Once submitted, all entries and designs become the exclusive property of one or more of the Promotion Entities, and will not be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by the Chicago Blackhawks. The Promotion Entities are not responsible for: (a) electronic transmissions or entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected or not received by the Chicago Blackhawks for any reason; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries, or for destruction of or unauthorized access to, or alteration of, entries; (c) failed or unavailable hardware, network, software or telephone transmissions, damage to entrants’ or any person’s computer or device and/or its contents, or causes beyond reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Contest; (d) incorrect or inaccurate entry information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Contest; (e) any typographical or other error in any printing or advertising related to this Contest, in the administration or execution of the Contest, or in the announcement of the prize winners; or (f) cheating or fraud by any entrant. Limit five (5) entries per person for the entire Contest Period. Entries in excess of this limit shall be disqualified. Late, incomplete, illegible or duplicate and non-original entries (as determined by the Promotion Entities in their sole discretion) will be disregarded. SUBMISSION GUIDELINES: Designs must be the original work of entrant, must have been created specifically for the Contest, and must not have been previously published, released commercially or won any awards. Any element appearing in a design, including, without limitation, photographs, art or any other materials, must be entrant’s own original work, created by entrant, or be in the public domain. Designs must not feature the name, likeness or other personally identifiable information of any person other than entrant. Personally identifiable information includes, but is not limited to name, license plates, phone numbers and personal addresses. Designs must not include, depict or make reference to any of the following: obscenity, inappropriate language, nudity, sexual explicitness, drug or alcohol use, violence, firearms/weapons, commercial products, unauthorized copyrighted, trademarked or patented properties, including brand names, logos, or trade dress private property, unless entrant has obtained a property release from the owner specific for uses specified herein, material that promotes any activities that may appear unsafe or dangerous, or promotes any particular political agenda or message, material that is hateful, tortious, defamatory, false or misleading, disparaging, slanderous, libelous, or otherwise unlawful or inappropriate, as determined by Promotion Entities in their sole discretion. Designs must not contain material that violates or infringes another’s rights, including but not limited to, rights of privacy or publicity, copyrights, trademarks, patents or any other intellectual property rights, material that promotes bigotry, racism, hatred or harm against any group or individual, or promotes discrimination based on race, ethnicity, sex, religion, nationality, disability, sexual orientation or age, and any other content, including but not limited to, text, images, graphics, photographs, captions and descriptions, data, codes or programs that could be considered inappropriate or offensive, as determined by Promotion Entities in their sole discretion. Further, designs must not contain any claim that is not and cannot be substantiated or that would be false or misleading to a reasonable consumer. Any content, text or otherwise included as part of the design must be in the English language. By entering the Contest, each entrant represents and warrants that: (i) the design is the original work of the entrant, that he/she has all rights to the design, that the design has not been released commercially, been previously published or won any awards; (ii) the design and use of the design does not and will not violate any law, statute, ordinance or regulation; (iii) the design is free and clear of any and all liens or claims with respect to the use of the design in the manner authorized in these Official Rules; (iv) the design does not infringe upon or violate the intellectual property rights of any third party and will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on copyrights, trademarks, patents or other intellectual property rights or any rights or interests of any third party, or give rise to any claims for any payment whatsoever; and (v) the design is not and will not be defamatory, disparaging, libelous, pornographic or obscene. Promotion Entities reserve the right to disqualify any design that they deem, in their sole discretion, to be a violation of the Official Rules or that is not in keeping with the guidelines specified herein, or designs which contain content inconsistent with the positive images and/or good will to which the Promotion Entities wish to associate. Promotion Entities may request entrant to modify or edit any design so that the design meets such guidelines. Promotion Entities are not obligated to use, publish or display or broadcast any design. All designs will be reviewed for content before being published or judged, however such review does not relieve entrant from responsibility for compliance with all of these Official Rules. Entrants acknowledge and agree that the Promotion Entities may receive many designs in connection with this Contest and that some designs may be very similar in content, idea, theme, or in other respects to other designs received or submitted. Entrants waive any and all claims entrant may have had, may have and/or may have in the future, that any design in this Contest is similar to his/her design, or that any compensation is due to entrant in connection with such design. One or more of the Promotion Entities shall own all designs submitted, and entrant waives any and all rights to the design. All entrants agree that, in exchange for their participation in Contest, they grant, and have full right to grant, Promotion Entities, and each of their respective representatives, affiliates, licensees, successors and assigns; (i) the right, but not the obligation, to use, edit, adapt, reformat, rearrange, modify, combine with other pictures, items and/or materials, add to and/or customize design; and (ii) the non- exclusive, irrevocable, royalty free, right and license to use, exhibit, display, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, rebroadcast, transmit, record, publicly perform, create derivative works of, distribute and synchronize in timed relation to visual elements, and or otherwise exploit, the designs, and/or any portions or excerpts thereof, including without limitation, using entrant’s name, image, likeness, performance, voice and any other attributes of entrant, individually or with others, in whole or in part, in conjunction with other material, in any manner, including advertising, promoting and publicizing Promotion Entities, an unlimited number of times, in any and all media, now known or hereafter devised, in perpetuity, throughout the world, without any additional liability, obligation or additional payment of any kind to entrant or any third party. Entrants agree to obtain, upon request from Promotion Entities, any documentation necessary to prove their right to use the design as specified in these Official Rules. Entrants also acknowledge and agree that Promotion Entities shall own all right, title and interest, including all copyright ownership, in the design and any derivative works Promotion Entities may create from any element of the design. (4) SELECTION OF FINALISTS/CONTEST PROCEDURE: On or about May 23, 2017, the Promotion Entities will select finalists from among all eligible entries received, based upon the quality of the designs submitted in connection with the entry. Designs will be judged by representatives selected by the Promotion Entities (“Judges”) based on the judging criteria specified herein. The designs will be judged on the following criteria: (i) how well the design communicates team spirit (33.3%); (ii) creativity (33.3%); and (iii) originality (33.3%), (“Judging Criteria”). The designs with the highest aggregate scores will each be determined to be a finalist (each a “Finalist” and collectively “Finalists”) (subject to verification and compliance with these Official Rules). The Judges reserve the right to conduct interviews with any entrant. The Judges also reserve the right to select more or less Finalists, or not to declare any Finalists if, in their sole discretion, an insufficient number of designs are received and/or the designs do not meet the qualification standards based on the Judging Criteria specified herein. The application of the Judging Criteria shall be in the sole and absolute discretion of the Judges. In the event of a tie or dispute or for any other reason that Chicago Blackhawks deems necessary, the tied designs will be re-judged by Judges based on the team spirit criteria (specified above) continuing thereafter to each Judging Criteria, in order, as needed to break the tie. In the event that more than one entrant independently submits the same winning design, the entrant that posted the design first will be determined to be the Winner. Promotion Entities and Judges disclaim any liability from any entrant and entrants agree to waive any claims against Promotion Entities and Judges relating to the judging or awarding process. (5) PUBLIC VOTING FOR WINNER DETERMINATION: The Finalists’ designs will then be judged by members of the public during the Voting Period (defined herein) using the same Judging Criteria as set forth above. The Voting Period commences at 12:00 AM CT on May 24, 2017 and ends at 11:59 PM CT on May 31, 2017 (“Voting Period”). Each voter will be limited to a total of one (1) vote during the entire Voting Period. The Finalists’ designs will be posted online during the Voting Period so that members of the public can vote on the design they feel best satisfies the Judging Criteria. On or about June 5, 2017 the one (1) design with the most votes will be determined to be the winning design. The one (1) design with the second highest vote total will be determined to be the first runner up. The one (1) design with the third highest vote total will be determined to be the second runner up. The total number of online votes submitted for each Finalist design will be tabulated by Chicago Blackhawks. In the event of a tie, the Judges in their sole and absolute discretion will determine the winner and the runners up. The application of the Judging Criteria shall be in the sole and absolute discretion of the Judges and the online viewers. Finalists are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, vote farming or any other activity that artificially inflates such Finalist’s votes as determined by the Promotion Entities in their sole discretion. Chicago Blackhawks reserves the right in its sole discretion, to nullify all votes obtained via such means and to disqualify responsible Finalists from further voting or participation in the Contest. The designs of the winner and the runners up will be used on t-shirts that will be sold at Chicago Blackhawks retail stores and will be used for commercial and non-commercial purposes by Promotion Entities as determined by Promotion Entities. The Chicago Blackhawks reserve the right to use other entrant designs on apparel that will be sold at Chicago Blackhawks retail stores (even if the design is not from the winner or runners up). Lollapalooza and/or C3 may also use the designs of the winner, runners up or other entrant on t-shirts that are sold to the public, on a royalty-free basis, through various channels with no further compensation to the designer. (6) PRIZES: The winner will receive two (2) 4-day general admission passes to the 2017 Lollapalooza Music Festival, to be held at Grant Park in Chicago, Illinois on August 3-6, 2017 (the “Festival”), two (2) tickets to a Chicago Blackhawks home game played at the United Center during the 2017 – 2018 regular season, and a post-game meet & greet with a current Blackhawks player. The dates of the game, location of the seats, and identity of the player shall be determined by Chicago Blackhawks in its sole discretion. The approximate retail value (“ARV”) of the winner’s prize is $3,000. The first runner up will receive a photo print of a t-shirt bearing the design submitted by the first runner up autographed by a current Chicago Blackhawks player, two (2) tickets to a Chicago Blackhawks home game played at the United Center during the 2017 – 2018 regular season, and two (2) 1-day general admission passes to the 2017 Festival. The dates of the game, location of the seats, and identity of the player shall be determined by Chicago Blackhawks in its sole discretion. The ARV of the first runner up’s prize is $1,500. The second runner up will receive a photo print of a t-shirt bearing the design submitted by the second runner up autographed by a current Chicago Blackhawks player. The identity of the player shall be determined by Chicago Blackhawks in its sole discretion. The ARV of the prize is $500. Festival passes valid only on the date(s) printed on the passes and subject to all Festival rules and policies. No cash equivalent is available, Festival passes are nontransferable, nor will Festival passes be replaced if lost or stolen. Winner must redeem the Festival Passes during the 2017 Festival dates (August 3-6, 2017) or forfeit all rights to the Festival Passes. No substitution, exchange or transfer of the prize is permitted. All prizes are non-transferable and non-assignable by winner and/or runners up to any other person, including relatives or friends, without the consent of the Chicago Blackhawks. Prizes may not be offered for sale or at auction. All prize details not specified in these Official Rules will be determined by the Promotion Entities in their sole discretion. In the event a prize is unavailable, the Chicago Blackhawks reserve the right to substitute a prize of equal or greater value. Unless otherwise stated herein, all prizes are awarded "AS IS" and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). All expenses not specifically mentioned herein as being included with the prizes, including but not limited to federal, state and local income taxes, travel to and from the United Center, are solely each winner’s and/or runner up’s responsibility. Unclaimed prizes will be forfeited. The prizes are not redeemable for cash. (7) By entering, each entrant agrees to release, hold harmless and indemnify Lollapalooza, LLC, C3 Presents, LLC, Chicago Blackhawk Hockey Team, Inc., the United Center Joint Venture, the NHL Entities, and each of their respective parents, subsidiaries, affiliates, directors, officers, partners, equity holders, shareholders, members, employees, agents and representatives and all others associated with the manufacture, distribution, development and execution of this Contest and prizes (the “Released Parties”) from and against any and all claims, liability, injury, expenses (including reasonable attorneys’ fees), damage, loss or causes of action (however named or described) that may occur, directly or indirectly, in whole or in part, from: (i) entrant’s participation in the Contest; (ii) the delivery, misdelivery, receipt, acceptance, possession, use or misuse of the prizes awarded in the Contest; (iii) the use of a winner’s name, photograph and/or likeness as permitted herein, including, without limitation, claims based on publicity rights, defamation and/or invasion of privacy; (iv) any claim that the design submitted by entrant violates or infringes upon the rights of any third party, and/or (v) any travel or activity related to the receipt, use or misuse of the prizes, including, but not limited to, personal injury, death and/or property damage. Additionally, the Released Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s e-mail account to receive e-mail messages. Released Parties are not responsible or liable to any entrant or winner or any person claiming through such entrant or winner for failure to supply the prize or any part thereof or inability to continue the Contest, by reason of any act of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, kidnapping, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute, lockout, work slowdown or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, civil disturbance, insurrection, riot, vandalism, or any other cause beyond the control of any Released Party. Those who do not follow all of the instructions, provide the required information in their entry form, or abide by these Official Rules or other instructions of the Promotion Entities will be disqualified. The Chicago Blackhawks reserve the right in its sole discretion to disqualify any individual believed to be tampering with the entry process or the operation of the Contest or found to be acting in violation of the Official Rules, or who is believed to be undermining or attempting to undermine the legitimate operation of the Contest, or who has used a software-generated, robotic, programmed, script, macro or other automated method of entry or a third-party entry service to participate in the Contest. (8) In consideration for being awarded a prize, each winner and runner up hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the use of such winner’s or runner up’s design, name, photograph, biographical information and/or likeness in any and all advertising, promotions and other publicity conducted by the Promotion Entities, the NHL Entities, and each of their respective parents, subsidiaries, affiliates and designees. Each winner assumes all liability and risk for any injury or damage caused, or claimed to be caused, by participation in this Contest or the receipt, use or misuse of any prize, including but not limited to travel related thereto. Each potential winner and runner up will be required to sign and return an affidavit of eligibility, release of liability and publicity (collectively, the “Affidavit”) within a specified time after first attempted notification. If any potential winner or runner up fails or refuses to sign and return such Affidavit within the required time period or if the prize or prize notification is returned as rejected, faulty or unclaimed, or returned as undeliverable to such potential winner or runner up, such winner or runner up may be disqualified and an alternate winner or runner up may be selected. If a winner or runner up is found to be ineligible, or if he or she has not complied with these Official Rules, or declines a prize for any reason, such winner or runner up may be disqualified and an alternate winner or runner up may be selected. Identity and eligibility of each winner and runner up is subject to the Chicago Blackhawks’ verification. The Promotion Entities are not responsible for and shall not be liable for late, lost, damaged, intercepted, misdirected, or unsuccessful efforts to notify the winners. All personal information collected from entrants in the Contest shall be subject to the terms of the Chicago Blackhawks Privacy Policy, which may be viewed at http://blackhawks.nhl.com/club/page.htm?id=46907 and C3’s privacy policy located at :. http://concerts.livenation.com/h/privacy.html]. (9) Contest is void outside of the United States and Canada, and where prohibited by law. (10) The invalidity or unenforceability of any provision of these Official Rules or the Affidavit will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Affidavit is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained therein. The Promotion Entities failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest-related materials, privacy policy or terms of use on the Contest website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in the Promotion Entities sole and absolute discretion. The Contest shall be governed by and construed in accordance with the internal laws of Illinois without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state's laws. If, for any reason, the Contest is not capable of running as planned, or is disrupted or corrupted, including, without limitation, by strikes, acts of war or terrorism, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical or system failures, or any other causes beyond the control of the Chicago Blackhawks that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, or for any reason Chicago Blackhawks deems it necessary, Chicago Blackhawks reserves the right in its sole and absolute discretion to cancel, terminate, modify or suspend the Contest. In the event the Contest is terminated before the intended end date of the Contest period, winner(s) may be selected by the Promotion Entities from among all eligible, non-suspect entries received as of the time/date of termination. C3 Presents, LLC and Lollapalooza, LLC, each of their respective members, parent companies, and affiliates have no involvement in the administration of this Contest. Lollapalooza, LLC is a sponsor of this Contest solely to the extent such designation is required under applicable Illinois law. All inquiries regarding the Contest should only be directed to the Chicago Blackhawks at the address listed above. (12) BY ENTERING THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OFPOCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FIFTY DOLLARS ($50.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED FIFTY DOLLARS ($50.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF; AND (E) ENTRANT IRREVOCABLY AGREES TO BRING ANY ACTION ARISING OUT OF OR RELATED TO THE CONTEST IN THE CIRCUIT COURT OF COOK COUNTY, ILLINOIS, OR THE UNITED STATES DISTRICT COURT FOR THE NORTHERN DISTRICT OF ILLINOIS (IF JURISDICTIONAL PREREQUISITES ARE SATISFIED). All trademarks used herein are the property of their respective owners and the use or mention of any third party trademarks in these Official Rules or in the Contest is solely for descriptive purposes and shall in no way imply an endorsement or sponsorship by such third parties of the Contest.
