Proposed sale of Bond HR and Payroll Software Limited,
Bond Payroll Services Ltd and Eurowage Ltd
Further to the announcement made earlier today (RNS number: 9338E), the Board of Directors of
the Company announces that it has received confirmation from FMP Global Bidco Limited (the
“Purchaser”), the proposed purchaser of Bond HR and Payroll Software Limited, Bond Payroll
Services Limited and Eurowage Limited, that it has entered into definitive debt finance documents
with HSBC plc. The facilities pursuant to those debt finance documents have become and remain
unconditionally available to the Purchaser subject only to the satisfaction of certain conditions
precedent to the utilisation of the debt financing, which will be capable of satisfaction by the
Purchaser on or prior to completion of the sale and purchase agreement. As a result the condition in
the sale and purchase agreement relating to the completion of the Purchaser’s finance
documentation has now been satisfied.
In addition, the condition relating to the finalisation of documentation with Barclays Bank Plc has
also been satisfied today. Therefore, the only remaining condition to the sale and purchase
agreement, which was announced earlier today, is shareholders’ approval of the proposed sale. The
Company will post a circular to shareholders convening a General Meeting to approve the sale as
soon as practicable and, in any event, no later than 28th July 2016.
