It was good to meet you in Jamaica in January 2015 to discuss our partnership in the
staging of Rastafari Rootzfest, High Times World Cannabis Cup and the Jamaica
Cannabis Cup in November 2015 in Jamaica. Thanks also for providing the Letter of
Intent (LOI) which outlines the general scope of the partnership.
Regarding the LOI, we would like to clarify a few things and mention some additional
points which are important to be included in our agreement.
1. Rastafari In Inity Limited (RIIL) is the contracting party and Rastafari Rootzfest
is the name of the event. Rastafari Rootzfest is a four-day event that will include
High Times’ (HT) World Cannabis Cup and the Jamaica Cannabis Cup. HT will
partner with RIIL to organize the event (with or without additional local sponsors).
[This seems okay, the word 'include' indicating that other participants are
possible.]
2. In addition to identifying suitable available venues, assisting with preparation
of required budget, RIIL will also be responsible for securing all required permits
in Jamaica and may request from HT relevant documentation to support required
permit and licensing applications.
3. All costs will be covered by HT, including national and global marketing,
venue, ticketing, security, logistics, infrastructure, transportation, accommodation
and other costs, to be recouped. [this seems invitation to lay the may plan
before ht, presented as marketing and planning]
4. RIIL will develop seminars related to Rastafari, ganja and Rastafari-related
industries. HT is responsible for seminars related to cannabis and cannabisrelated industries. Each party entitled to have booths, information and products
on display. [is there any distinction being made here?]
4. HT to psy a small upfront non-refundable deposit, in the event that doesn’t
take place for whatever reason) (amount to be negotiated)

Information to be provided by HT to RIIL regarding plans, logistics, costs,
infrastructure and management of past Cannabis Cups organized by HT to
inform the staging of the World Cannabis Cup and the Jamaica Cannabis Cup in
Jamaica.
6. HT is primarily responsible for planning, organizing and staging the World
Cannabis Cup as part of Rastafari Rootzfest in Jamaica in consultation with and
with the approval of RIIL.
7. HT and RIIL to jointly plan, organize and stage the Jamaican Cannabis Cup as
part of Rastafari Rootzfest in Jamaica.
[what is the planning structure; right now its orientation is wrong. we are
planning it. what plans are there to legally grow, to process, to transport, to
consume, to compete, to distribute after completion of the cup? can we
establish a structure to finance the farmers
8. IP Rights in ‘Rastafari Rootzfest’ belongs to RIIL. High Times retains all IP
rights in Cannabis Cup in Jamaica. ‘Jamaica Cannabis Cup’ to be jointly owned
by RIIL and High Times. Each to maintain separate websites. [what
functionalities will each site have? what access to what data?
9. In all marketing, advertising, and public relations in Jamaica and worldwide,
Jamaica Cannabis Cup and World Cannabis Cup event in Jamaica to be
promoted alongside and within the context of Rastafari Rootzfest, in consultation
with and with the approval of RIIL.
10. HT to bring representatives of RII to Denver Cannabis Cup to experience an
HT Cannabis Cup and to launch the Rastafari Rootzfest & Jamaica Cannabis
Cup
11. HT to send reps to Jamaica for local launch of Rastafari Rootzfest in Jamaica
in May 2015
12. HT not to employ or provide services, assistance, financing, investment,
sponsorship, or conduct the same or any similar business, activity or event in
Jamaica, directly or indirectly, for five years, without the prior written consent of
RIIL.
