THEME: SHARE REGISTRATION AND DIVIDENDS MANAGEMENT
PURPOSE OF THE SEMINAR: This seminar intends to address issues specific to
Corporate Secretarial Practice and governance. The seminar will offer the practitioners,
aspiring practitioners and other participants an opportunity to share experiences on the
various issues facing them on a day to day basis including but not limited to: setting-up
of professional firms, procedures at the State Law Office, statutory compliance, fees to
be levied to various clients and execution of various corporate secretarial assignments.
In this year’s seminar, participants will focus on Share Registration and Dividends
Management. Emphasis will be put on key best practices as well as governance and
compliance requirements under the Companies Act on Share Registration and Dividends
Processing. The purpose of this seminar is to equip Certified Secretaries and other
professionals with skills that will enable them effectively serve their organizations and
clients on matters of Share Registration and Dividends Processing. The training will also
provide a forum for participants to reflect on the challenges of implementing the current
corporate governance and compliance framework and the implications of such
framework. In this regard, the scope to be covered in this first CS Practitioners’ seminar
includes best practice in:
1. Role of CS in Share Registration and Dividends Management.
2. Management of Unclaimed Dividends and Shares
3. Share Transfers, Transmissions and Immobilizations.
4. Over-The-Counter Share Transfer.
5. Management of Bonds.
6. Administration of Members General Meeting.
7. Management of Employees Stock Option Scheme.
8. Management and Processing of Dividends.
9. Share Register Maintenance.
10. Managing Shareholders Relations.
TARGET AUDIENCE: This seminar is designed to benefit Practicing Certified Secretaries
and those aspiring to start practicing. It is also open to non-members and will be of great
importance to Company Secretaries, Corporate Secretarial Assistants, Share Registrars,
Lawyers, Legal Assistants and Accountants, among others.
CONTINUOUS PROFESSIONAL DEVELOPMENT: Members attending all sessions will
earn 6 CPD credits.

NATIONAL INDUSTRIAL TRAINING AUTHORITY (NITA): The Institute is a registered
Management Trainer with National Industrial Training Authority (NITA). For
reimbursement purposes from the Industrial Training Levy Fund for contributors,
sponsoring organizations should strictly follow the laid down NITA requirements.
SEMINAR FEES PER DELEGATE: The cost of this seminar is Kshs. 10,000 for members
and Kshs. 20,000 for non-members. Fees are payable in advance and cover facilitation,
training materials, tea/coffee and lunch.

1. Cheques payable to Institute of Certified Public Secretaries of Kenya.
2. Deposit to A/c No: 1103151045, Kenya Commercial Bank, Capital Hill Branch and
email a scanned copy of the deposit slip to the Institute.

BOOKINGS: All bookings must be done in writing, on email or online via the institutes’
website. Telephone bookings will not be accepted. Participants attending without booking
will pay a penalty of Kshs. 1,000. ICPSK reserves the right to decline any late registration.
