UPON PAYMENT of the sum of $2,700.000 by Buyer to Seller (the “Purchase Price”), the receipt and sufficiency of
which are hereby acknowledged, Seller hereby grants, sells, transfers, assigns, conveys and delivers unto Buyer all of
Seller’s right, title and interest of every kind and description in and to the following puppy (the “Puppy”) to Buyer:

This Bill of Sale is executed shall be governed by and interpreted in accordance with the Terms and Conditions. Nothing
contained herein shall in any way supersede, modify, replace, amend, change, rescind, waive, exceed, expand, enlarge
or in any way affect the provisions, including the warranties, covenants, agreements, conditions, representations or, in
general any of the rights and remedies, and any of the obligations and indemnifications of any party set forth in the Terms
and Conditions.

This Bill of Sale shall be binding upon and inure solely to the benefit of the parties hereto and their respective successors
and permitted assigns, and nothing herein, expressed or implied, shall give or be construed to give any person, other than
the parties hereto and such successors and assigns, any legal or equitable rights hereunder.
This Bill of Sale and the Terms and Conditions shall be construed and interpreted in accordance with and governed by the
laws of the State of Georgia, without regard to the conflict or choice of law provisions thereof.
This Bill of Sale may be executed in counterpart, and may be executed by facsimile or electronic signature, each of which
shall be considered an original signature.

TERMS AND CONDITIONS
1. Deposit, Payment, Fees
a. A nonrefundable deposit of $300.00 is required upon signing these terms and conditions, and the
remaining balance of $2,400.00 must be paid in full by the Buyer before release of the Puppy by the
Seller to the Buyer. Payment of the deposit may be made by cash, check or PayPal. The remaining
balance must be paid by cash or check only. Buyer shall be responsible for all shipping costs if shipping
of the Puppy is required.
b. Buyer acknowledges that Buyer will forfeit the Puppy and any rights to the Puppy if Buyer fails to
complete the purchase of the Puppy for any reason. Upon forfeit by Buyer, Seller shall be free to sell the
Puppy to any other party.
c.
In the event that the Puppy is not available due to sickness, death, or any other circumstance not
caused by Buyer, Buyer’s deposit will, at Seller’s option, be either (i) refunded, or (ii) transferred to
the next litter of puppies.
d. A boarding fee of $25.00 per day will be charged for each day the Puppy is boarded by Seller or
Seller’s designee past the agreed delivery date.
2. Seller Warranty
a. The Puppy was bred as a companion animal, and Seller does not provide any warranty as
to the Puppy’s fitness for any specific purpose, including obedience trials, show ring
performance, a n d o r breeding purposes.
b. Seller warrants that the Puppy is in good health, has up-to-date immunizations appropriate for the
Puppy’s age and has had appropriate worming’s at the time the Buyer takes possession. The Buyer
agrees to take the puppy to a licensed veterinarian of his or her choice within two (3) business days for a
physical examination. Should the puppy be determined to be in ill health, the cause of which is clearly
attributable to the Seller, the puppy may, upon signed written diagnosis from said veterinarian, be
returned (at Buyer’s expense) for a refund of the purchase price or a replacement at Seller’s discretion. If
the puppy is not taken to a licensed veterinarian within two (3) business days, the warranty herein is null
and void.
c.
This warranty does not cover viral illnesses, infections, improper bites, hernias, hypoglycemia, worms,
Guardia or Coccidosis. It also does not include any illness due to the ingestion of foreign objects, food,
chemicals or physical injury. Further, any condition that is minor, correctable, or any condition that will go
away as the puppy gets older, are not covered. Seller is not responsible for any harm that comes to the
puppy once in Buyer’s possession, such as: accidents, heat related conditions, electrocution, etc. The
death, injury, or loss of the puppy due to theft, carelessness, abuse, neglect, heat stroke, or accident will
not entitle Buyer to compensation from the Seller.
d. If the Puppy should die from a suspected congenital defect within the 24 months from the date of birth, an
autopsy must be performed at the Buyer’s expense by a licensed
veterinarian acceptable to the Seller. If the autopsy shows a congenital defect as the cause of death, the
Seller will provide another puppy of equal value to the Buyer. A written statement from the veterinarian
must be provided. This warranty is void in the event of an indeterminable or inconclusive diagnosis
e. Seller provides the warranty for a period of two (2) years only. This warranty covers only the
original Buyer and is not transferable. This warranty shall be null and void if Buyer fails to comply

with these Terms and Conditions including, but not limited to Buyer’s responsibilities set forth in
Section 3 herein.
3. Buyer’s Responsibility
a. Buyer must have the Puppy spayed or neutered by the age of nine (9) months for females 12 months for
males. Buyer must provide documentation of proof of spay or neuter to the Seller or forfeit ownership of
the Puppy to Seller or, at Seller discretion, Seller may charge Buyer a $12,000.00 fee (“Breeding Dog
Fee”). If necessary, legal action will be taken to collect the Breeding Dog Fee and Buyer will be
responsible for all court costs and attorney fees.
b. The proof of spay/neuter must be from a certified veterinary hospital, on paper, showing the Puppy’s
description, breed and micro-chip number. If proof is not received, Seller's warranty described herein shall
become null and void. If Buyer provides proof of spay/neuter in accordance with these Terms and
Conditions.
c.
The Buyer must contact the Seller immediately if any questions or concerns arise about the Puppy, such
as housing, diet, health or training. The Buyer agrees to consult with Seller before any treatment is
provided and agrees further to keep the Seller informed of any treatment as it occurs.
d. The Buyer agrees to take good care of the Puppy and provide proper indoor housing. Buyer will provide
the Puppy with proper food and necessary veterinary care, including de-worming, heartworm
prevention and regular vaccinations (including rabies). Buyer will provide a safe and secure outdoor
play area. If the Puppy is found to run freely and create a public nuisance, or found to be neglected or
abused, or allowed to live in poor health or conditions, the Seller has the right to repossess the Puppy
with no refund to the Buyer. If at any time the Buyer can no longer care for the Puppy, the Buyer will give
the Seller the exclusive opportunity to rehome the Puppy.
e. Buyer will not sell, give, or release the Puppy to a pet shop, retail store, dog dealer, animal testing
facility, research facility, or an agent for any such business or facility. In the event Buyer sells the
Dog to a new owner, Buyer shall ensure that the new owner agrees in writing to comply with
these Terms and Conditions.
f.
The Puppy should not be brought to a public place (i.e. pet store or park) until they have completed their
full cycle of vaccinations due to risk of contagious illness.
4. Indemnity/Limitation of Liability.
a. If any action or failure to act on the part of Buyer shall result in any claim, suit, loss, damage, injury,
death, or liability to Seller, Buyer agrees to defend, indemnify, and
b. hold Seller harmless and to pay all of Seller’s costs and expenses, including reasonable legal
fees, any amount paid in settlement and any award or judgment with respect thereto. Buyer
releases Seller from any and all liability, costs or damages caused by the Puppy after placement
with Seller, including but not limited to damage to or destruction of property, and injury to any
person.
c.
For the avoidance of doubt, Seller’s liability (if any) shall be limited to the purchase price paid by
Seller for the Puppy.
