Agent Agreement
The agreement between <Client Name>, Client, and Richard Troy, Agent, is as follows:

If Agreement involves purchase of an automobile, using funds provided by Client, Agent shall purchase the selected vehicle,
described above, from its present owner for Client and convey vehicle, its title and bill of sale to Client in substantially
identical condition as that received.
o Price or price limit in U.S. dollars:
o If Agent found vehicle for Client, Client shall pay Agent a “finder’s fee” of 10% of the sale price of the vehicle.
o If Client elects, Agent will conduct an inspection prior to purchase for a fee of not less than $100.

If Agreement involves service of an automobile, Agent shall bring into effect the restoration, refurbishment, refinement
and/or other improvement(s) desired by Client, aspiring to achieve the exacting standards of Client, as such Client’s goals are
known and achievable, and to a level of quality not less than Agent’s own demonstrated exacting standards Agent exercises
upon Agent’s own vehicles.

Except for flat-rate services, Client shall remunerate Agent for Agent’s time and all reasonable and customary expenses,
including but not limited to parts, or services executed by others. The rate for Agent’s time is $75 per hour, and may be
reported fractionally.

Unless provided in an attachment or supplement to this agreement, Client understands that the goals are not yet outlined,
preventing Agent from providing any reasonable estimate for price or time of completion.

Client acknowledges that road-testing is a vital part of the restoration, refurbishment, refinement or other improvement
process, and shall provide appropriate insurance throughout the time the vehicle remains in Agent’s care. Such insurance
shall protect both Client and driver from loss, including “comprehensive” and “uninsured motorist” provisions.

When appropriate, Agent shall assist Client in securing appropriate transport of the vehicle to a destination of Client’s choice,
paid for by Client. Agent may provide this transport for a fee of an amount agreed upon in advance.

When storage is required, Client shall pay Agent storage fees. For service work, the rate is based upon original service
duration. For less than a week, a rate of $10 per day or part day shall apply, with the first two days waived. For more than a
week but less than a month, a rate of $40 per week or part week shall apply, with the first four days waived. For purchases or
service of a duration of more than a month, a rate of $120 per month or part month shall apply with the first week waived.

Agent shall maintain and provide to Client on the monthly anniversary date of this agreement a ledger outlining each month’s
activities, a time-log, a needed parts list, and any other remuneration details.

Client shall remit to Agent within one week of receipt of the monthly ledger funds at least sufficient to bring the outstanding
balance to zero.

This agreement becomes effective upon receipt by Agent of <Dollar Amount> U.S. dollars.

This agreement may only be modified, supplemented, or amended in writing, signed by both parties. Should any provision of
this agreement be shown to be unenforceable, both parties agree that the remainder shall remain in full force and effect.
Should any dispute arise under the terms of this agreement, the parties agree to select a mutually agreeable neutral third party
to help them mediate it. Should mediation fail, legal action may only be brought in the courts of applicable jurisdiction in
California at Alameda County, and the parties hereby submit to the jurisdiction and venue of such courts.
