APPOINTMENT OF AGENT TERMS
These terms (the “Appointment of Agent Terms” or “Terms”) set out on the basis on which you appoint
Trade Facts Ltd (trading as SALT) (“SALT”), a company registered in England and Wales with registered
number 5054098 and having its registered office at Park House, 16 Finsbury Circus, London EC2M 7EB,
as your agent (the “Agent”) in respect of your account(s) (“Account(s)”) with Gain Capital UK Limited
(trading as SALT Trading) (“SALT Trading”).
As a result of such appointment, the Agent will have full unrestricted and unconditional power and
authority to trade on the Account(s) and to do (and/or to omit to do) all acts and things in relation to
trading activities on the Account(s).
Words and expressions used in these Terms have the meanings given to them in the General Terms of
Business of SALT, unless specified otherwise and you confirm that you have read and understood such
General Terms.
You confirm and agree that:
1. you shall disclose your Account(s) number(s) and password(s) to the Agent and shall not disclose
your Account(s) number(s) and/or password(s) to any person other than the Agent;
2. you shall pay to SALT Trading the commission set out in the table below for the following

3. We reserve the right to amend the rates of commission at our sole discretion.
4. The appointment of the Agent will be effective only upon the verification by SALT Trading of your
identification and proof of address. If you fail to verify your address, the appointment of the
Agent will not take effect and this agreement will terminate;
5. The Agent is entitled to access all information relating to your Account(s) including, without
limitation, all information available on-line, all trading information and Account history;
6. The Agent is entitled to give instructions to SALT Trading with respect to the Account(s)
including, without limitation, to open and/or close any Trade, to place and/or cancel any Order,
to convert currencies and/or to utilise any funds SALT Trading may hold in respect of your
Account(s) in or towards payment of a Margin Requirement or any other amounts payable by
you to SALT Trading provided that under no circumstances will the Agent act or be deemed to
act in a discretionary capacity in respect of the Account(s). For the avoidance of doubt, the
Agent is authorised to withdraw or to transfer any funds from your Account(s);
7. SALT Trading is entitled to rely upon any statement made or other information given (including,
without limitation, in relation to your financial situation) given by the Agent;
8. You are fully responsible for all acts and omissions of the Agent including all Trades and Orders
placed and instructions given by the Agent as if such acts, omissions, Trades, Orders and/or
instructions were done, made or given by you and as if the Agent were you. You shall be fully
responsible for all monies payable in respect of your Account(s) (whether in respect of Trades
or Orders placed by you or the Agent), including any Margin Requirement which may be
payable;
9. If you or the Agent wish to terminate the appointment of the Agent, you or the Agent must
serve written notice on the other and on SALT Trading and such notice shall not be effective in
the case of SALT Trading unless served in accordance with the General Terms;
10. You acknowledge that SALT Trading may refuse to accept the appointment of the Agent for any
reason and may terminate the appointment of the Agent at any time upon two days’ notice to
you and the Agent;
11. You acknowledge that SALT Trading may exercise its rights under the General Terms by refusing
to accept instructions from the Agent or taking such other actions as it is entitled to do under
the General Terms;
12. Notwithstanding the appointment of the Agent, you will be treated as SALT Trading’s client for
the purposes of the Rules of the Financial Conduct Authority;
13. Each of you, the Agent and SALT Trading shall be entitled to enforce these Terms (jointly and/or
severally). No provision of these Terms shall be enforceable under the Contracts (Rights of Third
Parties) Act 1999 by a person who is not a party, but this does not affect any right or remedy of
a third party which exists or is available apart from under that Act;
14. These Terms are subject to the General Terms which, in the case of a conflict, shall prevail over
these Terms; and

15. These Terms are governed by the laws of England and Wales and you submit to the nonexclusive jurisdiction of the English courts.
