PROCEDURE FOR (UK Regional) BOARD ELECTIONS AND NOMINATIONS

REGIONAL BOARD
1.1
Composition
The members of the UK Board (hereafter to be known as the Board) will comprise eleven
individuals:
 Chairman
 Vice Chairman
 Eight other members of which two to be CGMA students / CGMA candidates
 Regional Vice President (staff)
There will be provision to co-opt two further individuals (members or non-members) in line
with strategy related skills or experience requirements.
1.2
Rules governing election
1.2.1
Board members will be appointed/ elected for one-year terms, and will normally serve a
maximum of three consecutive one year terms (including the term served as a Chairman
or Vice Chairman). A Board Member can in exceptional circumstances serve up to 6
terms of 1 year each with the agreement of the Nominations Committee and the Chairman
of the Regional Board.
1.2.2
An elected member of the Board must vacate office immediately if:
1.2.2.1 they become a member of the Board in another capacity;
1.2.2.2 they cease to be a member of CIMA;
1.2.2.3 they resign from the Board by notice in writing given to the senior member of staff
responsible for the region;
1.2.2.4 they cease to have an official address in the Board’s region;
1.2.2.5 they are subject to any adverse finding by or have any sanction imposed by the
Investigation Committee or Disciplinary Committee or agree to a consent order in
respect of any complaint;
1.2.2.6 they fail to declare, at the time of completing the declaration forms, or in
discussion in Board or in a committee or at any other time, a material interest or a
conflict of interest;
1.2.2.7 they become disqualified from being appointed or acting as a Director of a
Company;
1.2.2.8 they become unfit to serve through mental or physical disorder;
1.2.2.9 they are absent from three consecutive meetings of the Board and the
Nominations Committee resolves to terminate their membership.
1.2.3
No member who has been subject to any adverse finding by or had any sanction imposed
by the Investigation Committee or Disciplinary Committee or agreed to a consent order in
respect of any complaint, shall take, or continue to hold, office as a member of the board for
a period of five years after the consent order, finding was made or sanction(s) was imposed.
1.2.4
In the event that an elected or an appointed member or student vacates office, and if
his/her remaining term of office is more than six months, then the position must be filled

and the newly appointed/elected member into this casual vacancy shall continue until the
date when the membership of his predecessor would normally have ceased.
1.2.5
All candidates are expected to understand the roles and responsibilities of Board
members and encouraged to speak to the Regional Vice Presidents to gain further insight
into the role.
1.2.6
Canvassing and electioneering is not permitted. Should any of the rules be contravened,
the matter will be referred to the Nominations Committee. Potential action may result in
the applicable candidate being disqualified from the current and possibly future elections
and their actions along with those of any other member(s) involved being reviewed for
possible disciplinary action. The decision or ruling of the Nominations Committee on any
matters will be deemed final.
1.3
Election process
For the three elected member positions the voting process will be electronic only. Only those
members who have an official registered address in the UK Region (excluding Northern Ireland)
are eligible to stand/vote. The election process and counting will be handled by an independent
election service provider.
1.3.1
Nominations
A call for nominations will be sent to every CGMA member with an e-mail address in the region. In
addition, this call will be posted on the website and other social media sites. Nominees will be
given 14 days to submit nominations.
The completed and signed nomination form (scanned electronic copy is acceptable) must be
received by the closing date and time. The nomination form must be accompanied by a resume
(200 words) of the nominee and a passport size photo.
A CGMA member may either nominate themselves or another CGMA member may nominate
them. All members must have at least two CGMA members nominate (called nominators) them for
election. Where a member nominates another member they must check that the member they
nominate is willing to become a member of the Regional Board. The nominators must be CGMA
members in good standing with a registered address in the UK (excluding Northern Ireland). The
nominated member and nominators must all sign the form. Staff within the UK will contact each
nominator to verify that they have agreed to nominate the candidate.
In the event that there are only as many nominations as there are vacant elected positions, then
the candidate(s) is/ are elected unopposed and an election will not be held. Except for exceptional
circumstances, there may only be one elected member for a country in the region.
If there are fewer nominees than vacancies, then the candidates are elected unopposed and the
unfilled posts will be re-advertised.
Nominators can support one or more candidates; the Honorary Officers of CIMA or the Senior
Member Leaders of the Association may not act as nominators.
1.3.2
Ballot
A ballot will be held where there is more than one candidate for a vacancy. The election will be
conducted by an independent service provider and the ballot material supplied to the electorate will
include:
1. Names of the nominees
2. Name of the proposer
3. Resume of the nominee

4. An image/ photograph of the candidate
1.3.3
Counting
The Single Transferable Vote System will be used to elect members of the xx Board. Under STV,
voters rank candidates in order of preference by marking 1, 2, 3 and so on next to the names of the
candidates on a ballot paper. A voter can rank as many or as few candidates as they like or just
vote for one candidate.
Each candidate needs a minimum number of votes to be elected. This number is calculated
according to the number of seats and votes cast and is called a quota. The first preference votes
for each candidate are added up and any candidate who has achieved this quota is elected.
If a candidate has more votes than are needed to fill the quota, that candidate’s surplus votes are
transferred to the remaining candidates. Votes that would have gone to the winner instead go to
the second preference listed on those ballot papers.
If candidates do not meet the quota, the candidate with the fewest first preference votes is
eliminated and the second preference votes are transferred to other candidates. These processes
are repeated until all the seats are filled.
If there is a tie in the number of votes that have been allocated to candidates at the final stage of
voting, first preferences are taken into consideration again.
The candidate first preferences are reviewed again and whoever has the most first preference
votes is elected.
If the result is still tied after the first stage then the preferences at the second stage are reviewed
and whoever has the most preferences at this stage is elected.
This continues through the stages (moving from left to right) until the tie is resolved.
If there is still a tie at each stage then the position is elected by the drawing of lots.
1.3.4
Announcement of results
The results will be submitted by the election provider to the Regional Vice President. The
candidates will be informed with the outcome and once the successful candidates have confirmed
acceptance, the Board members are notified. Should an elected candidate decline the position, the
position is offered to the candidate with the next highest number of votes.
The outcome of the ballot will subsequently be announced via the website.
1.3.5 All elected candidates must complete and sign the following forms before taking office:
a) Code of Conduct
b) Declaration of Compliance
c) Declaration of interests
d) Confidentiality undertaking
