Dear Mr. Smith,
Quest Aircraft Company, LLC (“Quest”) is pleased to present the following proposal for a new
2012 KODIAK (“Aircraft”).
Our intention in providing this proposal is not to bind Rowdy Joe’s, Inc. (“Buyer”) to an
agreement at this point, but rather to provide Buyer with the details of our offer. Any binding
agreement between Quest and Buyer will be subject to our discussions and the finalization of an
Aircraft Sales Agreement.
Specification and Price
The Standard Equipment List for the 2012 KODIAK is attached as Exhibit A.
The Aircraft Base Price equipped according to the attached
Standard Equipment List:
US $1,750,000.00
Optional Equipment:
Your optional equipment specs are due January 21, 2012.
Total Aircraft Purchase Price:
Delivery
Estimated Month/Year for delivery is June, 2012.

Payment Terms







Refundable deposit of US$25,000.00 should be wired to Quest, upon execution of this
proposal, to hold the Aircraft for a period of ten (10) days while the Aircraft Sales Agreement
is being finalized. Upon finalization and execution of the Aircraft Sales Agreement, this
deposit will be applied to the Initial Deposit and will no longer be refundable.
Non-refundable Initial Deposit of US$175,000.00 payable upon the execution of the Aircraft
Sales Agreement.
Second payment of US$175,000 is due 180 days prior to delivery.
Third payment of US$175,000 is due 150 days prior to delivery.
Fourth payment to bring Buyer’s payment up to 40% of the Final Purchase Price (including
Options) is due 120 days prior to delivery.
Balance of the Final Purchase Price due on or prior to the Acceptance Date.
Payments shall be made in U.S. dollars by wire transfer of immediately available funds.

Certification
The Aircraft will be delivered with a U.S. Certificate of Airworthiness.

registering and importing the Aircraft in ____________.]
Warranty
Various warranties are provided with your new Aircraft. The following warranties are
highlighted:
 Airframe – 24 months or 500 hours, whichever occurs first
 Exterior Paint – 1 year
 Interior items – 24 months or 500 hours, whichever occurs first
 Pratt & Whitney engines – 1,000 hours
 Garmin avionics – 2 years
 S-Tec avionics – 24 months
 Hartzell propellers – 1 year or 1,000 hours, whichever occurs first
Training
The Aircraft Purchase Price includes a training course for one pilot at Spokane Turbine Center
in Spokane, Washington and a training course for one mechanic normally held at Quest’s facility
in Sandpoint, Idaho.
Proposal Validity
This proposal is valid until _____________. Availability of the Aircraft is subject to prior sale.
We trust that you will find this proposal acceptable. If we have a general understanding to
proceed, please indicate by signing below. Upon receipt of a US$25,000.00 deposit, Quest will
remove the Aircraft from the market for a period of ten (10) days to enable us to prepare the
Aircraft Sales Agreement. If, for any reason, the Aircraft Sales Agreement is not executed
within such ten (10) day period (unless extended by mutual agreement), the Aircraft will be
placed back on the market for sale and the US$25,000.00 deposit will be returned to Buyer
upon receipt of Buyer’s wiring instructions.
