Seller hereby appoints GSA Auctions LLC as its Agent (the “Agent’) for the purpose of selling the below described vehicle (the
“Vehicle”), and authorizes the sale of same on the terms and conditions herein. Upon such sale of the Vehicle by Agent, Seller
agrees to pay to Agent a commission in accordance with the “Agent’s Commission Schedule” set forth below.
Seller agrees to be responsible and to reimburse Agent, upon demand, for all fees and expenses incurred in connection with the
sale, including, but not limited to, transport fees, administrative fees, and out-of-pocket expenses. Seller’s responsibility for fees
and expenses is assumed and is owed whether or not the Vehicle is sold.
Agent shall remit the proceeds of the sale of the Vehicle to Seller, less all commissions, fees, and expenses owed to Agent, between
seven and twenty-one business days after Agent receives payment from the purchaser.
Seller represents and warrants that Seller is the sole registered and legal owner of the Vehicle, and that title to the Vehicle is valid,
transferrable, and unencumbered in accordance with all applicable state and federal laws. Seller further represents that all
information provided about the Vehicle is complete and accurate.
Seller shall maintain appropriate insurance on the subject vehicle, and waives any and all claims against Agent for damage which
may occur while the Vehicle is held in Agent’s or its designee’s care, possession, or control pending sale or return, including, but not
limited to, damages from vandalism, theft, accident, flood, fire, or act of God.
Seller represents that all component parts on the Vehicle are original, except as specifically noted below; and that the Vehicle
contains no stolen parts.
Seller represents that no vehicle identification numbers have been tampered with, replaced, or altered on the Vehicle.
Seller represents and warrants that Seller is the legal owner of the Vehicle, and guarantees to deliver, as directed by Agent, at the
time of sale, a fully valid and transferable title to the Vehicle free of all liens and/or other encumbrances. Seller hereby agrees to
indemnify, defend, and hold Agent harmless from and against any claims, demands, actions at law, or liabilities, from any source,
arising out of or relating to the sale of the Vehicle; agent’s actions related to such sale; the condition, title, mileage, or history of the
Vehicle or any component part of the Vehicle; and any misrepresentation, concealment, or omission of facts made on the part of
Seller.
This Agreement shall remain in full force and effect until the Vehicle is sold and delivered to any purchaser or is owner retained.
Seller may not cancel this Agreement or request return of the Vehicle until after a period of 45 days from the date of execution.
Seller shall have the right to specify, in the space provided below, a minimum bid which Agent is authorized to accept on Seller’s
behalf for sale of the Vehicle. Seller authorizes Agent to accept verbal authorization from Seller or Seller’s representative to accept a
sale price below the specified minimum.
Agent shall not enter into any sale of the Vehicle on behalf of Seller if such sale is prohibited by local, state, or federal law, rule, or
applicable regulation.
Agent shall not be liable to Seller for consequential, incidental, indirect, punitive, exemplary, or other damages of any kind, including
lost revenues or profits, loss of business or loss of data, even if Agent is advised of the possibility of such damages. Seller agrees that
the liability of Agent and its subsidiaries, agents, employees, and affiliates, arising out of or related to this Agreement and the
Vehicle, shall not exceed the commission paid to Agent by Seller hereunder.
Any dispute arising out of or in any way related to this Agreement shall be litigated in the state/province and county where the
Vehicle was stored at the time of sale, and the parties agree to be bound by the applicable laws of such state/province. In the event
Seller materially breaches any or all of its obligations hereunder, and in addition to all other commissions, costs, fees, and expenses
incurred, Seller shall also be responsible for the costs of collection incurred by Agent, including, but not limited to fees of attorneys,
collection agencies, and court costs.
This Agreement may not be altered or modified except in a writing signed by the party to be charged.
