2. Challenge Entities:
Navy Federal Credit Union (“Sponsor”) is headquartered at 820 Follin Lane, Vienna,
Virginia 22180. Navy Federal Credit Union is the sponsor and administrator of this
Challenge (herein referred to as “Sponsor” and “Administrator”). Sponsor and
Administrator are collectively referred to herein as the “Challenge Entities.”
3. Eligibility:
Submitting a video in this Challenge is open to persons who are Navy Federal members
or potential members, and who on the date of entry are legal residents of the United
States of America, at least (eighteen) 18 years of age (or age of majority if greater than
18), and are registered users of http://www.instagram.com (including all mirror or

derivative sites, and all replacements or successor versions thereof) (“Social Channels”)
(“Registered User”). All entries must come from “Public” Instagram accounts – if your
account is set to “Private”, your entry will not be viewable by the judging panel and you
will be disqualified. Employees, officers, directors and their immediate family members
of the Challenge Entities and each of their respective parents, affiliated and subsidiary
companies, advertising and promotion agencies, legal and financial advisors, and any
and all other companies associated with this challenge are not eligible to participate in
the Challenge. For purposes of this Challenge, "immediate family members" means
parents, spouses, children, siblings, in-laws, grandmothers, grandfathers, or partners
and/or those persons living in the same house as a family. To become a Registered
User of one or more of the Social Channels, you must register for an account and agree
to the ‘Terms of Use” set forth by Instagram at:
https://help.instagram.com/478745558852511, (“Terms of Use”). There is no fee or
charge to become a Registered User.
4. How to Enter:
To enter, create and submit one (1) video that shows an original interpretation of Military
Appreciation Month. Video may feature your feelings on Military Appreciation, a thank
you to a solider in your life, a general thank you to our servicemen and women, why you
are proud to serve your country as a soldier, or any other personal interpretation of the
Challenge theme. For the purposes of this Challenge, a Video Submission is an
Instagram video created specifically for this Challenge uploaded during the Challenge
entry dates indicated above that follows the Video Submission Requirements disclosed
in Rule #5 and elsewhere in these Official Rules. Video Submissions may be submitted
anytime during the Video Submission Period at www.instagram.com - entries must
include #ProudToServeChallenge in the description field of your entry. Limit one (1)
Video Submission per entrant. If more than one (1) Video Submission is submitted by an
entrant, only the first Video Submission received (based on date and time uploaded to
Instagram) will be judged pursuant to the terms. By uploading your video to
www.Instagram.com and using the official Challenge entry hashtag
(#ProudToServeChallenge) you agree to the Terms and Conditions put forth here, and
to the decisions made by Challenge Entities. You further agree that there is no appeal
or manner in which to contest the decisions, opinions or determinations of the Challenge
Entities, Judges or Panel. This promotion is in no way sponsored, endorsed,
administered by, or associated with Instagram. All information is provided to Navy
Federal and not to Instagram.
5. Video Submission Requirements:
Running Time: Video submissions will run for no more than one (1) minute maximum,
including any credits. If entry is longer than one (1) minute, the entry may be disqualified
in the Administrator’s sole and absolute discretion.
Language: Video submissions must be in English.
All video submissions must be uploaded to the entrant’s own Instagram profile during the
entry period and must include the official Challenge hashtag, as stated above in Rule #4.
Video Submissions must also comply with Instagram’s “Community Guidelines” set forth

Include trademarks, logos, or copyrighted material not owned by entrant or used
without permission (to include but not be limited to company names, music,
photographs, works of art, or images published on or in websites, television,
movies, or other media);
Use individuals’ last names, in whole or in part;
Reveal any personal information about entrant or another individual, including but
not be limited to a person’s address, phone number, e-mail address, credit card
number or any information that may be used to track, contact or impersonate that
individual;
Refer to public figures;
Contain profanity, pornographic, or sexual content, content promoting alcohol,
illegal drugs, tobacco, firearms, or weapons, hateful content of any kind
(including racism, sexism, etc.), content that promotes violence or harm to
another living creature, or any other offensive, obscene, or inappropriate content;
Involve or promote any activity that is illegal or dangerous;
Defame, misrepresent, or contain disparaging remarks about other people,
groups, associations, entities or companies, including, but not limited to, the
Challenge Entities;
Promote a political agenda regardless of the political affiliation;
Contain materials embodying the names, likenesses, photographs, or other
identifying elements of any person, living or dead, without their express written
permission (which if obtained must be submitted to Challenge Entities); and
Use or wear military uniforms, rank, insignia, or logos.
Administrator and/or its designated representatives will review all Video
Submissions received during the Video Submission Period on the Challenge
Website and will only post those Video Submissions on the Challenge Website
that conform to these Official Rules and the Terms of Use and Community
Guidelines, as determined by the Challenge Entities in their sole and absolute
discretion (“Eligible Video Submissions”). Video Submissions that do not comply with
these Official Rules, as determined in Challenge Entities’ sole and absolute discretion,
will be disqualified from the Challenge and will not appear on the Challenge Website.
Decisions of the Challenge Entities are final and binding.
6. Submission Terms:
This Challenge is void where prohibited. By submitting a Video Submission, each entrant
must include the hashtag #ProudToServeChallenge, whereby he or she acknowledges
that he or she has read, understood, and agrees with these Official Rules and that he or
she will retain sole ownership of his or her Video Submission subject to the license and
right to use by Challenge Entities as set forth in Section 10 below. However, by
submitting your video entry, you also grant permission to Navy Federal Credit Union to
repurpose your video on social media or other outlets in relation to the Challenge or
future promotions. Further, by submitting a Video Submission to this Challenge, and as
part of the Official Rules, entrants agree to comply with Terms of Use and Privacy Policy
which can be found at http://www.instagram.com. By entering this Challenge, each
entrant also represents and warrants that his or her idea, Video Submission, and all
elements thereof satisfy the Terms and Conditions of the Instagram Terms of Use and

Community Guidelines including, without limitation, representing and warranting that the
Video Submission in this Challenge:

Is the original work of the entrant;
•
Has not previously been published or won an award or prize of any kind;
•
Does not infringe or violate the rights of any third party, including, but not limited
to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing
rights, rights of publicity or privacy, moral rights, or any other intellectual
property rights;
•
Is not subject to any third party agreements, and that the Challenge Entities will
not be required to pay or incur any sums to any person or entity as a result of
their use, exhibition or exploitation of the idea or video or elements therein;
•
Has written proof that required permits from local authorities and other
permissions required to produce Video Submission have been obtained;
•
Does not contain any content that is likely to be considered offensive by
Challenge Entities or could adversely affect the name, reputation, or goodwill of
the Challenge Entities.
•
Has obtained all of the rights, licenses, and written permissions from each person
who appeared in or helped to create the Video Submission or where the use of a
person’s or entities’ name, likeness, photograph or other identifying elements is
contained in the Video Submission.
Video Submissions may only be submitted by an individual entrant. Group Video
Submissions will not be accepted (e.g., although different individuals might have taken
part in the making of a Video Submission, and/or more than one individual may star in
the Video Submission, only one individual may be considered to have produced and
submitted the Video Submission). If the Sponsor and/or Administrator determine, in their
sole and absolute discretion, that an entrant has violated or breached a representation
or warranty, the Video Submission will be disqualified. Each Entrant agrees that the
Challenge Entities, any of their respective parents, subsidiaries, affiliates and each of
their respective officers, directors, shareholders, agents and employees, and any
Internet access providers (collectively “Released Parties”) are not responsible for the
incorrect or inaccurate entry of information, human error, technical malfunction,
lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any
telephone, computer or other network, computer equipment, software or any
combination thereof, inability to access the Social Channel, or issues presented within
said social channel, included, but not limited to problems uploading any Challengerelated materials, late, lost, damaged, misdirected, incorrect or incomplete Video
Submissions, outages of Instagram, or any other unforeseen issues with the platform.
For purposes of these Official Rules, receipt of submission occurs when Social
Channel’s servers successfully receive the uploaded video file and record the required
Video Submission information. Any entry information collected from the Challenge shall
be used only in a manner consistent with the consent given by entrants at the time of
entry, with these Official Rules, and with Social Channel’s Privacy Policy.

7. Judging to Determine Winners:
All Eligible Video Submissions received during the Video Submission Period will be
judged by a panel of six (6) representatives of the Administrator/Sponsor (“Panel” or
“Judge(s)”). The Judges will assess each entrant’s video based on the rules of eligibility
set forth within these Challenge Official Rules and the following criteria (the “Judging
Criteria”):

1/3 - How creative is the Video Submission?
•
1/3 - How entertaining is the Video Submission?
Based on the above criteria, the Judges, in their sole and absolute discretion, will
determine Challenge winners for first place and honorable mention. Judges and
Sponsor’s decisions are final and binding in all matters relating to this Challenge.
8. Winner Notification:
Winners will be notified via email and/or telephone by the Administrator on or
about June 9, 2017. Winners will be required to sign, execute and return the
following documents to Administrator by 12:00:00 (NOON) PM ET on June 12,
2017: (1) an Affidavit of Eligibility and Publicity Release, unless prohibited by law; (2) an
Entrant Agreement and Release; and (3) a W9 Tax Form (together, the “Releases”). If
any documents sent by any means to a potential Winner are returned as undeliverable
or if a potentialWinner fails to properly execute and return all documents described
herein in the time noted, or if a potential Winner is found not to be eligible or not in
compliance with these Official Rules, the potential Winner will be disqualified and, at the
sole and absolute discretion of the Challenge Entities, the next highest scoring Eligible
Video Submission will be included as a potential Winner and be notified, time permitting
in the sole and absolute discretion or determination of Challenge Entities.
In addition, all entrants acknowledge and agree that the Challenge Entities reserve the
right to disqualify any potentialWinner at any time, in their sole and absolute discretion,
on the basis of anything contained in, learned about or obtained as a result of any
submitted Releases, or any other forms requested by the Challenge Entities that, in their
sole and absolute determination, would constitute a violation or breach of these Official
Rules or otherwise.
No more than one (1) prize will be awarded per Posted Entrant (whether or not Social
Channel permits multiple ‘Users’). Except where prohibited by law, all entrants agree
that Sponsor may announce the name and home state of Winners online. In the event
that a Winner is disqualified for any reason, Sponsor may, in its sole and absolute
discretion, award the prize to an alternate even if the disqualified Winner’s name or
Video Submission may have been shown or announced online. In clarification, an
alternate will only become a Winner if a previously selected Winner is disqualified.
Designation as a Winner is subject to entrant’s proof of compliance with these Official
Rules, maintaining compliance with these Official Rules and Social Channel registration,
and approval by Challenge Entities. Each entrant acknowledges and agrees that other

entrants may have created ideas and concepts contained in their Video Submission that
may have familiarities or similarities to his/her Video Submission, and that he/she will not
be entitled to any compensation or right to negotiate with the Challenge Entities because
of these familiarities or similarities. The decisions of the Challenge Entities are final and
binding in all matters relating to this Challenge, including interpretation and application of
these Official Rules. Entrants understand and agree that there are no appeals of any
nature or type or any manner in which to contest the decision, determination or opinion
made by Challenge Entities, Panel or Judges. The Administrator will notify the Winners
via email or telephone on or about January 25, 2016.
9. Prizes:
Five (5) grand prize Winners will receive $5,000.00 credited to their Navy Federal
membership savings account. Ten (10) runner-up Winners will each receive $1,000.00
credited to their Navy Federal membership savings account. Fifteen (15) honorable
mention winners will each receive $250.00 credited to their Navy Federal membership
savings account. Should any grand prize or runner-up winners be perspective members
of Navy Federal, monetary prize of either $5,000 or $1,000 will be awarded via
alternative payment method, to be determined by sponsor. Any honorable mention
winners who are perspective members will have $250 prize awarded as a Navy Federal
Loyalty Card. Approximate retail value (ARV) of each prize is as stated, and the total
ARV of all prizes is $38,750.00. Directions for award redemption will be provided to each
Winner along with the Winner notification as noted in Section 8 above. All details of the
awards not specified herein shall be determined solely by Sponsor. All taxes (if any) and
any other expenses not explicitly specified herein are the sole responsibility of Winner.
The award is non-transferable; no substitution is allowed except at the sole and absolute
discretion of the Sponsor due to award unavailability. Sponsor reserves the right to
substitute the award with awards of comparable value. Any and all guarantees and
warranties for awards is subject to the manufacturer’s terms and conditions, and
Winners agree to look solely to such manufacturer for any such warranty or guarantee
claim.
10. Additional Challenge Terms:
An entrant will retain sole ownership of his or her Video Submission. By entering this
Challenge, entrants grant the Challenge Entities and each of their affiliates, licensees,
promotional partners, third party marketing entities, successors and assigns, the nonexclusive, perpetual, irrevocable, worldwide, royalty-free, no-cost license and right to use
and otherwise exploit the Video Submissions submitted as part of the Challenge, and all
images, text, and materials depicted therein, in whole or in part, in any manner or
medium now or hereafter known or devised (including, without limitation, CDs, streaming
media, film, television, videocassettes, print, interactive devices, mobile media, Internet
and on-line systems), throughout the universe and in any and all languages, including,
without limitation, the right to display, reproduce, record, perform, exhibit, distribute,
copy, edit, change, modify, add to, subtract from, re-title and adapt the same, to combine
it with other material and otherwise use and exploit it without cost, remuneration or
compensation of any type or nature. The Challenge Entities and each of their
successors, affiliates, subsidiaries, assigns, and licensees will have the right to make
unlimited derivative works there from, to assign or transfer any or all such rights and to
grant unlimited, multiple-level sublicenses. Without limiting the foregoing, the Challenge

Entities will have the right to use the Video Submissions submitted as part of the
Challenge, and all images depicted therein (if any), in any merchandising, advertising,
marketing, promotion or for any other commercial or non-commercial purpose. Entrants
hereby forever waive and relinquish all so-called “moral rights (droit moral)” now or
hereafter recognized in connection with Video Submissions submitted as part of the
Challenge. Entrants agree that the Challenge Entities shall have the sole and absolute
discretion in determining the extent and manner of use of Video Submissions and are
not obligated to use any Video Submission. All Video Submissions that are posted on
the Challenge Website are available to be viewed by anyone with access to the Internet.
Entrants waive and release the Released Parties from any and all claims that entrants
may now or hereafter have in any jurisdiction based on unfair competition with respect to
the Challenge Entities exploitation of Video Submissions without further notification or
compensation to entrants of any kind, and agree not to instigate, support, maintain, or
authorize any action, claim, or lawsuit against the Released Parties or any other person
in connection with this Challenge, on the grounds that any use of any Video Submission,
or any derivative works, infringe, or violate any of entrants’ rights therein. By entering
this Challenge, entrants agree that the Challenge Entities and each of their affiliates,
subsidiaries, licensees, promotional partners, and third party marketing entities shall
have the right and permission to use their name, picture, voice, biographical data,
photograph, testimonial, or other likeness and/or personal exposition (and/or any edited
portion thereof), and/or any information contained in his/her Video Submission for
promotional, advertising, and/or publicity purposes in any media, now or hereafter
known, throughout the world in perpetuity, without compensation or notice to, or further
consent of the Recipient or honorable mention. The Released Parties will not enter into
any correspondence, including email, with non-winning entrants. The Challenge Entities
reserve the right, in their sole and absolute discretion, to disqualify any individual found
tampering with the entry process or entry materials or otherwise interfering with the
proper administration of the Challenge or violating these Official Rules. EACH
ENTRANT ACCEPTS THE CONDITIONS STATED IN THESE OFFICIAL RULES,
AGREES TO BE BOUND BY THE DECISIONS OF THE CHALLENGE ENTITIES,
REPRESENTS AND WARRANTS THAT THEY ARE ELIGIBLE TO PARTICIPATE IN
THIS CHALLENGE, AND AGREES TO RELEASE, INDEMNIFY, AND HOLD
HARMLESS THE RELEASED PARTIES FROM AND AGAINST ANY AND ALL
CLAIMS, LOSSES, LIABILITY, AND DAMAGES OF ANY KIND, (INCLUDING
REASONABLE ATTORNEYS’ FEES AND EXPENSES) ASSERTED AGAINST ANY
OF THEM, INCURRED, SUSTAINED, OR ARISING IN CONNECTION WITH
PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELLING TO OR FROM ANY
CHALLENGE-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY
INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY, OR
FROM THE RESPECTIVE ENTRANTS’ VIOLATION OR BREACH OF ANY
AGREEMENT, REPRESENTATION OR WARRANTY ASSOCIATED WITH THE
CHALLENGE, INCLUDING BUT NOT LIMITED TO THESE OFFICIAL RULES. ANY
ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE
LEGITIMATE OPERATION OF THE CHALLENGE IS A VIOLATION OF CRIMINAL
AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE CHALLENGE
ENTITIES AND EACH OF THEIR LICENSEES RESERVE THE RIGHT TO SEEK
DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE
FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
Each entrant hereby acknowledges and agrees that the relationship between the entrant
and the Challenge Entities is not a confidential, fiduciary, or other special relationship,

and that the entrant’s decision to provide the Video Submission to the Challenge Entities
for purposes of the Challenge does not place the Challenge Entities in a position that is
any different from the position held by members of the general public with regard to
elements of the Video Submission, other than as set forth in these Official Rules. Each
entrant understands and acknowledges that the Challenge Entities have wide access to
ideas, stories, designs, and other literary materials, and that new ideas are constantly
being submitted to it or being developed by their own employees. Each entrant also
acknowledges that many ideas or stories may be competitive with, similar to, or identical
to the Video Submission and/or each other in theme, idea, plot, format, or other
respects. Each entrant acknowledges and agrees that such entrant will not be entitled to
any compensation as a result of Challenge Entities' use of any such similar or identical
material that has or may come to Challenge Entities, or any of them, from other sources.
Each entrant acknowledges and agrees that the Challenge Entities do not now and shall
not have in the future any duty or liability, direct or indirect, vicarious, contributory, or
otherwise, with respect to the infringement or protection of the entrant’s copyright in and
to the Video Submission.
If, in any of the Challenge Entities’ sole and absolute determination, there is any
suspected or actual evidence of electronic or non-electronic tampering with any portion
of the Challenge, or if technical difficulties compromise the integrity of the Challenge, the
Challenge Entities reserve the right to void suspect Video Submissions and/or terminate
the Challenge, the result of which may be that no prizes are awarded in the sole and
absolute discretion and determination of Challenge Entities. The use of any automated
launching or entry software or any other mechanical or electronic means that permits a
participant to automatically enter is prohibited. In the event of a dispute as to the identity
of an entrant based on an email address, the entry in question may be disqualified
subject to the Judges' or Challenge Entities’ sole and absolute discretion.
11. Governing Law:
All issues and questions concerning the construction, validity, interpretation and
enforceability of the Challenge, or the rights and obligations of entrants and the
Challenge Entities in connection with the Challenge, shall be governed by, and
construed in accordance with, the laws of the Commonwealth of Virginia, without giving
effect to any choice of law or conflict of law rules or provisions (whether of the
Commonwealth of Virginia or any other jurisdiction) that would cause the application of
the laws of any jurisdiction other than the Commonwealth of Virginia.

The Winners will be notified by email and/or telephone. Their winning videos will be
