Kingsdale’s Corporate Actions department is comprised of a dedicated team of professionals who specialize in shareholder services
including depositary, information agent, asset reclamation, escrow agent and odd lot management.
DEPOSITARY AND INFORMATION AGENT
Combining Depository and Information Agent services together results in seamless execution of your transactions. In addition to
acting as depository, our Corporate Actions Team works closely with legal counsel in drafting the bid material and crafting the
message to shareholders. Our in-house call centre is staffed by specially trained agents that will convey key messages to
shareholders and record their opinions of the transaction. This valuable intelligence provides insight into pending deposits and
investor voting sentiment. It also enables us to provide real time reports to adjust your strategy and tactics as the campaign runs its
course.
In addition, the agents and Corporate Actions Team provide assistance in completing deposit paperwork and correcting deficient
deposits, working with shareholders, brokers and other shareholder advisors. We have a vested interest in ensuring the targeted
bid threshold is reached at the first attempt, avoiding costly extensions.
Kingsdale is well equipped to handle transactions in a number of foreign currencies and entitlements can be paid by wire or
traditional draft. Foreign currency entitlements are processed at no market risk to the issuer and are a significant convenience to
foreign shareholders.
Whether the transaction consists of cash, shares or a combination of both, Kingsdale’s corporate actions team will execute the
exchange, securely and efficiently.
ASSET RECLAMATION
Typically, up to one-fifth of registered shareholders do not respond to requests to tender shares. In most cases, these are small
retail investors who have moved and are unaware of the merger, don’t know of the requirement to turn in their shares, have lost
the certificates or have simply forgotten they own them. For an issuer, maintaining these inactive shareholder accounts is costly and
can impair investor relations efforts.
Kingsdale’s Shareholder Find™ technology provides our experienced team with a powerful tool to search for and locate holders of
untendered shares. We handle all aspects of material preparation and devise an outbound call campaign to reach all
shareholders. The service is at little to no cost to the issuer, while allowing shareholders to conveniently tender their holdings by
completing a simple one-page form.
ESCROW AGENT
As an independent third-party financial services provider, Kingsdale is equipped to provide corporate escrow services for any
transaction. We are fully enabled to escrow cash, securities or any other consideration until the transaction conditions have been
met for release.
Kingsdale will coordinate escrow services with any of our other offerings to provide you with a customized service that meets your
unique needs. The individualized agreement will seamlessly integrate with other functions as we furnish end-to-end escrow
management through the process of the transaction.
ODD LOT PROGRAM
Retail investors holding less than 100 shares often represent a large base of inactive shareholders who do not vote at annual and
special meetings, but each requires an account with your transfer agent – and that cost is billed to your company.
Kingsdale’s odd-lot program locates these shareholders and provides them with an economical way to either sell their shares or topup their holdings to at least 100 shares. In this manner we “clean up” such small, inactive accounts, streamlining your shareholder
base, shrinking administrative costs and simplifying investor relations initiatives.
