GENERAL CONTRACT PROVISIONS
Note: Unless otherwise noted in vendor clarifications and exceptions, the vendor (lessor) agrees to the
following.
Note: Multiple vendors will be listed alphabetically for each lease category. Agencies will choose the vendor
that offers the best overall package (not necessarily the lowest rate) of availability, rate, insurance coverage
and other convenience factors such as delivery time that meets their needs.
Note: Lessees should thoroughly review and understand each Vehicle Lease Agreement prior signing.
1. CONTRACT USE: All agencies and campuses must receive prior written approval prior to entering into
any vehicle lease contract.
A. Approving Authority/Procedures: The Department of Administration, State Bureau of Procurement (SBOP)
Director, must approve in writing all requests to lease vehicles. All agencies and campuses must have the
SBOP Director's written approval prior to entering into any lease contract. Approval may be granted by
providing the following justification/information.
1. Agencies and campuses will submit justification to the Transportation Procurement Manager per the
State Procurement Manual, PRO-E-12 and PRO-E-22. The Transportation Procurement Manager will
make his/her recommendation to the SBOP Director for final consideration. Per PRO-E-12 and PRO-E22 the justification must include the following:
a. Why leasing an additional vehicle is the most cost effective means? The following options are
listed in order of their cost effectiveness from lowest to highest cost: purchase from state
contract, lease from DOA Central Fleet, lease from state contract, rent from DOA Central Fleet,
rent from state contract.
b. Why an internal vehicle reallocation isn't possible?
c. Has legislation passed necessitating an additional vehicle? Provide copy of legislation.
d. Has your staffing increased and is your mission at risk due to a lack of vehicles? Explain.
e. What other information supports your need for an additional vehicle?
f. What is the length of the lease contract?
g. What make and model vehicle are you requesting? Justify requested options.
h. How many miles per year will this vehicle be driven on official state business?
B. Required Signatures: To be valid, all contracts must be initialed by the Transportation Procurement
Manager and signed by the secretary, agency head, deputy, chancellor, vice chancellor or written designee
of the agency leasing the vehicle(s).

PROMOTION OF CONTRACT: The selected vendor agrees to:
A.
Notify all vendor locations of the rates and service requirements of its contract with the State of Wisconsin
within 10 days of the contract effective date.
B.
Provide an electronic file or 50 current Directories listing all U.S. mainland leasing locations within 15
days of a contract award date.
RESERVATIONS AND PAYMENTS: The selected vendor agrees to:
A.
Have all leasing locations electronically connected to its central reservation service to facilitate
communications and report preparation.
B.
Ensure all leasing locations honor the contract rates and terms.
C.
Bill a central travel card system if requested by the State of Wisconsin for all charges including rental,
maintenance, repairs fuels, etc.
D.
Accept direct charges or purchase orders from State agencies/universities for agency leases.
E.
Honor any lease made during the contract period for 30 days following the contract, at the contract rate,
to allow for orderly transition.
F.
Allow the State of Wisconsin the right to cancel the order if the vehicle is not delivered within 60 days of
order or the agreed upon delivery date (whichever comes first) without penalty, unless the delay was
previously approved by the lessee.
G.
To be valid, all contracts must be initialed by the Transportation Procurement Manager and signed
by the secretary, agency head, deputy, chancellor, vice chancellor or written designee of the agency
leasing the vehicle(s). The leasing agency will return a copy of the lease to the Transportation
Procurement Manager within five (5) working days of the contract initiation.
RATES: The selected vendor agrees to:
A.
Guarantee contract rates for every day of the contract period.
B.
Lease a vehicle in accordance with the terms of its contract to any state agency. This includes drivers
between the ages of 21 and 25 who are on official state business.
C.
Honor any geographic or other promotional rate of the vendor when such rate is less than the State's
contract rate available while still maintaining contract coverage, i.e., honor "best rate".
D.
Allow upgrading to another vehicle (within a month of delivery) if it is inadequate for the lessee's purpose.
The new rate shall not exceed the difference in price between the two vehicles and the term shall not be
greater than the term of the original lease.
NEW VEHICLE DELIVERY AND SERVICE REQUIREMENTS: The selected vendor agrees to:
A.
Prior to the delivery, service the vehicle completely in accordance with the manufacturer’s standard new
vehicle “Make-Ready” recommendations. Vehicles must be delivered with at least a half tank of fuel and
to the site in the State of Wisconsin specified by the Lessee.
B.
Provide a replacement vehicle of equal or greater functionality within 24 hours whenever the leased
vehicle is out of service due to vendor-provided scheduled maintenance, or whenever the vehicle is out of
service for a reason not in the control of the lessee.
C.
Assist any agency with billing issues and provide toll-free number for such service.

D.
Provide instructions and assistance for reporting accidents and stolen vehicles with each lease.
E.
Allow up to two (2) additional drivers per lease, who otherwise would be eligible to drive a vehicle, without
additional charge.
NEWS RELEASE/PUBLICATIONS: The selected vendor agrees not to:
A.
Issue any news release announcing the award of the lease car contract or its terms without the prior
written approval of the Department.
B.
Use the name of the State of Wisconsin or of any state agency or to refer to any endorsement by the state
in any advertisement without the prior written approval of the Department.
C.
Release any travel data generated under its contract with the state without the prior written approval of
the Department.
1. VENDOR REPORTING REQUIREMENTS: The vendor will provide the Department of Administration, SBOP,
Transportation Procurement Manager, a copy of the all State agency lease contracts within one week of the lease
start date.
8. CHARGING LEASED VEHICLE COSTS:
A. Leases: Vehicle leases can be charged to the appropriate corporate travel card under contract. If that
program is not available, the lease can be charged to an authorized procurement card.
B. Fuel: Fuel for leased vehicles should be charged to the fuel card under State contract. Leasing
agencies/campuses should submit an annual report based on fiscal or calendar year to the Department of
Administration, describing the total fuel used and miles driven by vehicles under lease. The procurement
card should not be used for charging fuel purchases.
C. Vehicle Maintenance: Vehicle maintenance can be charged to fuel cards under state contract that accept
these chargers.
9. INSURANCE: Risk Management, Agency and Vendor Responsibilities:
A. Vehicles leased under this program have restricted coverage under the State Risk Management Program and
the indemnification provisions of s. 895.46 of the Wisconsin Statutes.
B.
Vehicles leased under this program shall be used as Pool Vehicles when the only liability coverage provided
is that provided through the State Risk Management program and indemnification provisions under s.
895.46, Stats. Leased vehicles that are Personally Assigned and/are used for personal miles are not
authorized by law to be provided with liability protection under the State Risk Management Program
or indemnified under s. 895.46, Stats., while being driven for personal miles. Liability insurance must
be purchased through the leasing company or through a commercial insurance company for Personally
Assigned vehicles, which are to be driven for personal use miles.
C. Auto property protection shall be provided through the State Risk Management Program. Coverage is not
provided for loss of use of the vehicle. If the Agency desires coverage for loss of use of the vehicle, it shall
purchase this insurance through the leasing company or through a private insurance vendor. A lease
agreement may provide for the leasing company to provide the leasing Agency with a vehicle during a loss of
use. If the leasing company charges the state for this service, the leasing Agency shall be responsible for the
costs.
D.
The Agency must report the vehicle's value to the Bureau of State Risk Management on the annual reporting
of values form submitted in June in order to obtain property protection. Failure to report the values and
failure to document the reporting of values may exclude the vehicle from coverage whereby the Agency shall
be responsible for damages.

If a vehicle will be driven for personal miles, a Certificate of Insurance reflecting minimum auto liability
coverage of $100,000/$300,000 must also be provided. Questions should be directed to John Vick at 608266-0168.
Driver/Agency:
A. Only State of Wisconsin officers and employees may drive leased vehicles.
B. The driver of the leased vehicle shall be responsible for following all of the policies and procedures outlined in
the State of Wisconsin Fleet Policies and Procedures Handbook. This includes prohibiting pool vehicles
being driven for personal miles.
C. Each Agency shall be the responsibility licensing its lease vehicles. Standard red State plates can be used.
The Agency may request that the leasing vendor deliver the vehicle with the State of Wisconsin public license
plates.
D. The leasing Agency should send a copy of each lease agreement to the Bureau of State Risk Management,
P.O. Box 77008, Madison, WI. 53707-1008. Questions should be directed to John Vick at 608-266-0168.
E. The leasing Agency should send a copy of each lease agreement to the Department of Administration, State
Bureau of Procurement, P.O. Box 7867, Madison, WI 53707-7867. Direct questions to Rob Severson, 608266-8024.

Fuel:
A. The Voyager fuel card shall be the only acceptable method for purchasing fuel and vehicle services, i.e. oil
changes, wipers, and washer fluid.
B. If your organization does not have an account with Voyager for use of the Voyager fuel card, an account
must be established following the procedures found on VendorNet using contract number 15-94635-401
“Purchasing Card Program, Fleet Fuel Card Program and Travel Card Program. This is a mandatory contract
and is the only acceptable fuel card to be used with State operated vehicles. All leased vehicles in an
Agency use the same account. A unique fuel card must be issued for each vehicle. The SBOP recommends
that a central point of contact be established to coordinate the fuel card account in each Agency. Invoices
and all usage reports, detailing all purchases made with the card, shall be directed to your Voyager account
designee on a periodic basis. If there are questions initiating this account please contact DOA's energy

CONTRACT LENGTH: This contract is for one year with two one year renewal options if mutually agreeable
without any increase in rates.

Monthly Lease Rate for a Closed Ended Lease based on 15,000 miles per year (no tax - State of Wisconsin is tax exempt).
Agencies will choose the vendor offering the best overall package. The best package is not necessarily the lowest rate. The best overall package is based on availability, rate,
maintenance, insurance coverage, vehicle suitability and other convenience factors such as delivery time to meets Agency needs.
Cost per mile charge in excess of 15,000 miles per year or prorated for the lease period unless otherwise noted in vendor exceptions .
Monthly Lease Rate for Unlimited Mileage is in addition to monthly rate.

Lease Agreement: The state agency or university agrees to be bound by all terms and conditions of
the Vendor’s lease agreement.
Authorized Drivers: The state agency or university is responsible to ensure authorized drivers
possess a valid Wisconsin Motor Vehicle Driver License.
Maintenance: The Vendor is not providing maintenance. The state agency or university agrees to
provide preventive scheduled maintenance in accordance with the manufacturer’s recommendations.
Mileage Allowance: The bid rates on page 17 & 18 of the Request for Bid are based upon 1,250 miles
per month and 15,000 miles annually. The rate for mileage in excess of 1,250 per month is indicated
on the form.
Vehicle Order Lead Time: All lease rates are based on factory orders in order to obtain state and
municipal concessions from the manufacturer. Order lead times will vary based on the time of year.
Model year change over and build out dates will affect this lead time. Lessee will be notified of the
anticipated lead time of order.

Quality: All vehicles provided will be within the current or one model year and within the
manufacturer’s warranty. The examples of vehicles indicated on page 17 & 18 of the Request for Bid
are representative of the vehicles being proposed. The makes and models may vary, subject to
availability.

Supplemental liability insurance is available for $9.95 per day. The Vendor will not provide a
replacement vehicle during a loss of use.
