PGA TOUR VOLUNTEER CHALLENGE OFFICIAL RULES PROGRAM OVERVIEW: The PGA TOUR Volunteer Challenge (“Program”) begins at each participating PGA TOUR tournament on the date listed in the chart below at 10:00 A.M. Eastern Time (“ET”) and ends on the Saturday of each participating PGA TOUR tournament at 1:59 P.M. ET (the “Promotion Period”), unless otherwise noted. NO PURCHASE NECESSARY TO PARTICIPATE. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. TO REGISTER FOR THIS PROGRAM YOU MUST BE THE AGE OF MAJORITY OR OLDER AND YOU MUST HAVE ALREADY SIGNED ON AS A VOLUNTEER AT ONE OF THE PARTICIPATING PGA TOUR TOURNAMENTS PRIOR TO THE PROMOTION PERIOD. VOTERS MUST BE AGE OF MAJORITY OR OLDER AND A LEGAL RESIDENT OF THE U.S. OR CANADA AT THE TIME OF SUBMITTING VOTE. 1. PROGRAM DESCRIPTION: “Volunteers,” “Teams” and “Voters,” as defined below, can register at www.tourchallenge.com (the “Program Site”) during the Promotion Period. The Team receiving the most votes at each participating PGA TOUR tournament will be announced and posted at www.tourchallenge.com/Home/WeeklyWinners according to chart in Rule 7 below. 2. AGREEMENT TO ABIDE BY RULES, ETC: By participating in the Program, each Volunteer and Voter unconditionally warrants that they have read and understood and agree to comply with and abide by these Official Rules, including, without limitation, with respect to eligibility. Each Volunteer and Voter further agrees PGATOUR.COM, LLC (“Sponsor”) and the other Promotion Entities, defined below, shall retain full authority, in their sole discretion, to interpret and administer these Official Rules, and further agrees that all decisions made by them shall be final and binding and without appeal. Voters acknowledge that the information they provide in connection with the Program will be used by Sponsor to administer this Program. Participation also acts as authorization and subscription to be included in Sponsor communications, including email, regarding PGA TOUR, its sponsors, tournaments and affiliates information, updates and offers, subject to exercise of a provided option to unsubscribe from such communications. By participating, you are sharing your information with the Sponsor of this Promotion and its third-party branded sponsor, Myrbetriq. 3. ELIGIBILITY: A Volunteer must be: (a) a legal resident of and reside in either the U.S. (excluding Puerto Rico, U.S. Virgin Islands, Guam and other U.S. territories and possessions) or Canada (excluding Quebec); (b) age of majority or older; and (c) registered as a Volunteer of one of the participating PGA TOUR tournaments listed below (“Volunteer”) during the Promotion Period. A Team must be: (a) comprised of one to four Volunteers, as defined above (a “Team”); and (b) organized prior to the end of the Promotion Period. A Volunteer may only participate as a member of one Team during the Promotion Period. A Voter must be: (a) a legal resident of and reside in either the U.S. (excluding Puerto Rico, U.S. Virgin Islands, Guam and other U.S. territories and possessions) or Canada (excluding Quebec); and (b) age of majority or older (“Voter”) during the Promotion Period. Employees, officers, and directors of Sponsor, PGA TOUR Inc., Trepoint (“Administrator”), Program sponsors and participating tournaments, and each of their respective parents, affiliated companies and subsidiaries, (collectively, “Promotion Entities”), and members of their immediate families and households, whether or not related, are not eligible. For these Official Rules, “immediate family” has the definition assigned by the IRS and consists of mothers, fathers, sisters, brothers, spouses, including common law, regardless where they reside. Program is subject to all applicable federal, state, provincial and local laws and regulations. TO REGISTER IF YOU ARE A VOLUNTEER: If you are a Volunteer, to register for the Program, during the Volunteer Registration Periods shown in the chart below, visit the Program Site at www.tourchallenge.com. Click on the Program link and select the participating PGA TOUR tournament for which you are a Volunteer. Click on the Volunteer Registration link and fully complete the on-line registration form with all required information. You may only register once during the Promotion Period and you are only eligible to participate in the participating PGA TOUR tournament at which you are volunteering. In the event you volunteer for more than one participating PGA TOUR tournament, you may only register for the PGA TOUR Volunteer Challenge with one participating PGA TOUR tournament. Volunteers and Teams are encouraged to invite friends and family to vote and may use any official tools and promotional materials provided by Sponsor or the participating PGA TOUR tournament. Attempting to manipulate votes in any way, including but not limited to, using technology, creating multiple accounts or accounts on behalf of voters, using third party online voting sites to solicit votes, soliciting or participating in voting trading with other nominees, is inappropriate conduct and may result in removal from the Program. Sponsor reserves the right to disqualify any Volunteer or Team who has entered the Program incorrectly or has used marketing materials, language or conduct that is not in line with the spirit of the Program as determined by Sponsor. 5. TO VOTE FOR A VOLUNTEER OR TEAM: During the Voting Period, visit the Program site at www.tourchallenge.com and click on the Program link. Select a PGA TOUR tournament for a list of registered Volunteers and Teams at that tournament. Click on the Volunteer’s name or Team name of your choice and fully complete the on-line registration form with all required information, including your first and last name, gender, date of birth and valid email address to submit your vote. As an alternative, instead of voting for a particular Volunteer or Team, you have the option of voting for a participating PGA TOUR tournament. Votes must be submitted prior to each participating PGA TOUR tournament Voting end date listed above to be eligible. Limit one (1) vote per person/email address. You may only vote in the Program once. Votes received from any person or email address in excess of the stated limit will be void. Use of script, macro or any automated system to vote or with the intent to impair the integrity of the voting process is prohibited and all such votes will be void. Votes obtained by any fraudulent or inappropriate means, including, without limitation, offering prizes or other inducements to members of the public, payment for votes or offering to trade votes, as determined by Sponsor in its sole discretion, may result in those votes being void and the volunteer(s) and Team being disqualified. Registrations or Votes submitted outside of the Voting Period for each participating PGA TOUR tournament will not be accepted. The clock on Sponsor’s computer will be the official clock for the Program. Registrations or Votes received via script, macro, automated computer program or any non-human mechanism, entity, or device, and Registrations that are late, tampered with, incomplete, garbled, delayed, misdirected, lost, misplaced, or otherwise not in compliance with these Official Rules will be disqualified. Promotion Entities not responsible for technical failures of any kind, including, but not limited to, electronic malfunctioning of any network, Internet Service Provider (ISP), technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures or any telephone network, computer hardware or software; any failed, incomplete, garbled or delayed computer transmissions or any combination thereof; or for any error, human, technical or otherwise; or any injury or damage to participant’s or any other person’s computer related to or resulting from entering, participating in, or accessing or downloading information in connection with this Program. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds tampering with the operation or entry process of the Program, or acting in violation of these Official Rules. 6. “WINNING” VOLUNTEER OR TEAM: The Volunteer or Team with the most votes received during each Voting Period will be deemed the potential winning Volunteer or Team for the PGA TOUR tournament under which they registered, subject to winner confirmation. There is a maximum of one (1) winning Volunteer or Team per PGA TOUR tournament. In the event of a tie between two or more Volunteers and/or Teams, the Sponsor will conduct a random drawing between the tied Volunteers and/or Teams to determine the one (1) winning Volunteer or Team. If the Volunteer or Team selected by random draw is from Canada, as part of the winner confirmation process, the Volunteer or each Volunteer member of Team must first correctly answer, without assistance of any kind, whether mechanical or otherwise, a mathematical, skill-testing question. To be confirmed a winner, each potential winning Volunteer or Team member (Volunteer) must, if required by Sponsor, provide proof of identity; be in full compliance with these Official Rules; and sign and return within the specified time, Sponsor’s Declaration of Compliance with the Official Rules / Release of Liability /Marketing/Astellas/Volunteer Challenge Official Rules 2017.docx PGA TOUR Volunteer Challenge - Official Rules 2017 and Consent to Publicity Form. If a potential winning Volunteer or Team cannot be confirmed a winner as above, then Sponsor will disqualify the Volunteer or Team and confirm the Volunteer or Team with the next highest number of votes. 7. WINNER ANNOUNCEMENT: The confirmed winning Volunteer or Team (‘Winner”) will be announced on or about the last day of each of the participating PGA TOUR tournaments as stated below. AWARDS (one (1) per participating PGA TOUR tournament): A maximum of sixteen (16) Winners will be recognized and receive the honor of having a $10,000 USD donation made in their name by the participating PGA TOUR tournament to a qualified 501(c)(3) charitable organization, if the U.S., or a registered charity under provincial or federal Canadian law, as applicable, approved by Sponsor and the participating PGA TOUR tournament under which the Winner registered. Each such Winner may also be invited to participate in the check presentation at the PGA TOUR tournament. Specific time, date and location of check presentation to be solely determined by Sponsor. /Marketing/Astellas/Volunteer Challenge Official Rules 2017.docx PGA TOUR Volunteer Challenge - Official Rules 2017 9. “BONUS DONATIONS”: In addition to the above, Sponsor (or designee) will make bonus donations to participating PGA TOUR tournaments based on the total number of votes earned collectively by Volunteers and Teams and each such participating PGA TOUR tournament. Each tournament has the opportunity to earn $10,000 for the tournament’s qualified charity. 10. PUBLICITY RELEASE: Acceptance of award constitutes the confirmed Winner’s permission for the Promotion Entities and their respective designees to use the Winners’ names, photographs, likenesses, voices, biographical information, statements and cities and states (collectively, the “Attributes”), for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter devised, in perpetuity, without further compensation, notification or authorization (except where prohibited by law), and the winners release the Promotion Entities from all claims arising out of the use of such Attributes. 11. DISQUALIFICATION FOR UNSPORTSMANLIKE CONDUCT: Promotion Entities are not responsible for lost, late, mutilated, misdirected, garbled, delayed, incomplete, inaccurate, or stolen registrations, votes; all of which will be disqualified. Sponsor reserves the right in its sole discretion to disqualify any individual(s) or Team(s) and void all associated registrations/votes who are found to be tampering with the registration or voting process or the operation of the Program, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Program, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages (including, without limitation, attorneys’ fees) and other remedies from any such person to the fullest extent permitted by law. 12. MODIFY, ETC. PROGRAM, RULES: Sponsor reserves the right to amend these Official Rules at any time and without prior individual notice. Sponsor also reserves the right to modify, extend, suspend, or terminate the Program if it determines, in its sole discretion, that the Program is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Program as contemplated herein. In the event of termination, a notice will be posted online and Sponsor will determine the Winners from among all non-suspect eligible registrations and votes (if applicable) using the determination procedure outlined above or as otherwise deemed fair and appropriate by Sponsor. In the event Sponsor is prevented from continuing with the Program as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then Sponsor shall also have the right to modify, suspend, or terminate the Program. If the Program is terminated before the designated end date, as stated above, a notice will be posted online and Sponsor will determine the Winners from among all non-suspect eligible registrations and votes (if applicable) using the determination procedure outlined above or as otherwise deemed fair and appropriate by Sponsor. 13. SEVERABILITY: The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. 14. LIMITATION OF LIABILITY: Promotion Entities are not responsible for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Program, including, without limitation, errors or difficulties which may occur in connection with the administration of the Program, the processing or the tabulation of votes, or in any Program-related materials. Participants hereby release, discharge and hold harmless Promotion Entities from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from participation in the Program or any Program-related activity. 15. DISPUTES: Except where prohibited, participant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Program without resort to any form of class action, and exclusively by the appropriate federal or state court of New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, and in no event will entrant be permitted to obtain attorneys’ fees or other legal costs; and (3) unless otherwise prohibited, under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Sponsor in connection with the Promotion shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York. 16. PRIVACY: By participating in this Program, each Volunteer, Team and Voter acknowledges his/her understanding that (s)he is providing information to the Sponsor. Information submitted to Sponsor by any Voter is subject to Sponsor’s Privacy Policy located at http://www.pgatour.com/company/privacy-policy.html. 17.
