Introduction 1.1. Purpose/Objective - The Alcoa City School District requests proposals from qualified contractors to furnish and maintain proposed equipment or services as highlighted in Appendix X. The RFP is being done to comply with all state and local procurement requirements. The Alcoa City Schools is seeking a one year Contract with the yearly option to mutually extend the contract for 4 (four) more years for a total 5 (five) years. The Alcoa City School District reserves the right to reject all proposals. 1.2. Validity of Proposals and Pricing - All submitted proposals shall remain valid for a minimum period of an 18 month period from the opening date of the sealed proposals, or the end of the contract, whichever is longer. Prices shall not increase for this entire period. Decreases in prices over the contract period are considered to be valid prices. Prices quoted shall be net delivered, including all trade, quantity and cash discounts. Each item required by the bid must be individually priced (i.e. priced per single unit) and be able to be ordered individually. 1.3. Inquiries - Direct all questions related to this RFP to Lisa Berry, Director of Technology, and submit such questions via email or fax a minimum of one week prior to the bid due date. All questions must include the RFP number, page, and paragraph number for each question. The District reserves the right to withdraw this RFP at any time and for any reason, and to issue such clarifications, modifications, and/or amendments as it may deem appropriate. 1.5. Ambiguity, Conflict, or Other Errors in the RFP - If a Proposer discovers any ambiguity, conflict, discrepancy, omission, or other error(s) in the Request for Proposals, it shall immediately notify the District of such error in writing and request modification or clarification of the document. The District will make modifications by issuing a written revision and will give written notice to all parties who have submitted the RFP Change/Amendment Request Form (Appendix 0). The Proposer is responsible for clarifying any ambiguity, conflict, discrepancy, omission, or other error in the Request for Proposals prior to submitting the proposal or it shall be waived. FRP – 2013 Security Cameras Page 2 of 64 1.6. Method of Source Selection - The District is using the Competitive Sealed Proposals method of source selection. Award(s), if made, will be made to the responsible proposer(s) whose proposal is most advantageous to the district, taking into consideration price and the other factors set forth in this Request for Proposals. The District may, as it deems necessary, conduct discussions with responsible proposers determined to be reasonably susceptible of being selected for award for the purpose of clarification to assure full understanding of, and responsiveness to solicitation requirements. 1.7. Warranties, Governing Regulations - Upon award, the selected vendor(s) agrees to warrant that all goods and services delivered will abide by agreed upon specifications and be free from inadequate support or defects in workmanship and materials. Each proposing vendor’s warranty statement must accompany the response to this RFP. The proposal contents and any resulting contract will be governed by any applicable local, state and federal laws and regulations. Any portion of the proposed or contracted goods or services found to be in conflict with such will be grounds for termination of that portion. Vendor is assumed to be familiar and compliant with all local, federal and state laws, statutes, and regulations affecting the services and goods provided. 1.8. Cooperative Agreements – Proposers are advised that Alcoa City Schools is a member of several cooperative agreements. Those include, but not limited to, National Joint Power Alliance, and U.S. Communities. Alcoa City Schools reserves the right to seek quotes from these cooperatives at any time. 1.9. Cooperative Purchasing – Proposers must indicate whether it is permissible for other governments in Tennessee to purchase these items or services at the same price. Freight charges and service charges, outside of 50 miles, can be adjusted to reflect differences in delivery and service costs. Indicate any additional delivery charges, service charges, or minimum orders for purchases by other entities. 1.10. Minimum (General) Criteria the District Will Use to Determine the "Ability to Respond" of Each proposer: 1.10.1. Does the proposer possess the ability, capacity, skill, and financial resources to provide the service? 1.10.2. Can the respondent take upon itself the responsibilities set forth in the RFP (and resultant contract) and produce the required outcomes in a timely manner? 1.10.3. Does the proposer have the character, integrity, reputation, judgment, experience, and efficiency required by the contract? 1.10.4. Constraints On The Contractor The Contractor shall be responsible for all licenses, fees, and permits required for performance of the contract resulting from this Request For Proposal. All work to be performed under this contract shall be provided at times convenient to the District. Maintenance and installations may only be performed at times that do not interfere with daily operations of the District and with no interruption of normal school operations. 3. Nondiscrimination No person shall be excluded from participation in, be denied benefits of, be discriminated against in the admission or access to, or be discriminated against in treatment or employment in the school system’s contracted programs or activities on the grounds of disability, age, race, color, religion, sex, national origin, or any other classification protected by federal or Tennessee State Constitutional or statutory law; nor shall they be excluded from participation in, be denied benefits of, or be otherwise subjected to discrimination in the performance of contracts with the School System or in the employment practices of the school system’s contractors. Accordingly, all vendors entering into contracts with the school system shall, upon request, be required to show proof of such nondiscrimination and to post in conspicuous places, available to all employees and applicants, notices of nondiscrimination. 4. Contractor Responsibilities The package of services the District seeks to obtain under contract(s) resulting from this RFP includes, but is not limited to the following: 4.1. Supply and maintain all necessary equipment, when applicable. 4.2. Routine maintenance, including those services required to maintain equipment. 4.3. Emergency services and repairs. FRP – 2013 Security Cameras Page 4 of 64 4.4. Furnishing replacement parts and equipment necessary to provide additional functionality or upgrade of installed systems 4.5. Necessary training for end users of systems. 4.6. Installation of goods, if applicable. 4.7. Compliance with Tennessee Code Annotated 49-5-413. 4.8. Certification of all goods and services to be compatible with current systems. 5. Insurance and Licensure The apparent successful proposer may be required to provide proof of adequate worker’s compensation and public liability insurance coverage before entering into a contract. The school system may require the same to provide proof of adequate professional malpractice liability or other forms of insurance. Failure to provide requested proof, in a form acceptable to the school system, shall be grounds for disqualification of proposal and termination of contract negotiations. The school system may require any or all proposers to provide evidence of all necessary, applicable business or professional licenses as listed in Appendix IV. 6. District Responsibilities The District shall provide to the Contractor access to the buildings to install and maintain equipment on a schedule convenient to the district at times that do not interfere with daily operations of the District and with no interruption of normal school operations except in emergencies. 7. District Right to Inspect The District shall have the right to inspect any facility or project site where the services performed under the resultant contract are performed. The District may request test equipment to test proposed solutions. 8. Terms and Conditions of Contract Contract(s) resulting from this RFP shall be subject to the terms and conditions set forth in this RFP. These contracts are expected to provide the proposer’s standard terms and conditions, and may be modified by a District prior to signing. It is expected to include a matrix of offerings so that the District may simply insert the quantity of items to be included for each type of service as described in Appendix X. It is helpful, although not a requirement, for a proposer to submit a proposed contract form prior to the submission of its final proposal with pricing as described in Appendix XIII. This will allow time for the District to examine the vendor’s contract form and offer any needed modifications and facilitate signing once proposals have been received. Contract(s) resulting from this RFP shall be subject to School Board approval and FRP – 2013 Security Cameras Page 5 of 64 necessary budget funding. The term of the contract will be subject to a 30-day cancellation by the Alcoa City School District without cause. 9. Shipping and Delivery All orders shall be shipped FOB destination, prepaid and allowed, within SEVEN (7) business days of receipt of a purchase order. Deliveries must be clearly marked with the Purchase Order number. Any orders that are to be shipped on pallets, or requiring dock height unloading must be made known to the Director of Technology more than 24 hours before the order arrives. If delays in delivery are anticipated, the Contractor shall immediately notify the ordering agency of the revised delivery date or partial delivery date. The order may be canceled if delivery time is unsatisfactory. The Contractor shall inform the school system of any supply or delivery problems. Continued delivery problems may result in termination of the contract. 10. Instructions for Proposal 10.1. Compliance with the RFP - Proposals must be in strict compliance with this Request for Proposals. Failure to comply with all provisions of the RFP may result in disqualification. 10.2. Acknowledgment of Insurance Requirements - By signing its proposal, proposer acknowledges that it has read and understands the insurance requirements for the proposal. Proposer also understands that the evidence of required insurance must be submitted upon contract signing; otherwise, the District may rescind its acceptance of the proposer’s proposal. The insurance requirements are General Liability and Automobile Liability in the amount of $1,000,000 and Worker’s Compensation Insurance, Statutory Limits as listed in Appendix IV. 10.3. Proposal Opening The District will not accept any proposals received after 11:00 A.M. on the due date and shall return or file unopened late proposals. Proposals will be opened publicly in a manner to avoid public disclosure of contents. Only names of proposers will be read aloud. The box or envelope must list the title of the RFP on the outside and note "Request for Proposals enclosed." 10.4. Evaluation of Proposals (Procedure) - The District will first examine proposals to eliminate those that are clearly non-responsive to the stated requirements. Therefore, proposers should exercise particular care in reviewing the Proposal Format required for this RFP. Proposals will be evaluated by a panel appointed by the District. Documents may also be examined by other agencies and consultants of the District. FRP – 2013 Security Cameras Page 6 of 64 The detailed evaluation that follows the initial examination may result in more than one finalist. At this point, the District may request presentations by proposers, and carry out contract negotiations for the purpose of obtaining best and final offers. Receipt of a proposal by the District or a submission of a proposal to the District offers no rights upon the proposer nor obligates the District in any manner. The District reserves the right to waive minor irregularities in proposals, provided that such action is in the best interest of the District. Any such waiver shall not modify any remaining RFP requirements or excuse the proposer from full compliance with the RFP specifications and other contract requirements if the proposer is awarded the Contract. 10.5.Proposals and Presentation Costs - The district will not be liable in any way for any costs incurred by any proposer in the preparation of its proposal in response to this RFP, nor for the presentation of its proposal and/or participation in any discussions or negotiations. 10.6.Rejection of Proposals - The District reserves the right to accept or reject in whole or in part any or all proposals submitted. The District shall reject the proposal of any proposer that is determined to be non-responsive. The unreasonable failure of a proposer to promptly supply information in connection with respect to responsibility may be grounds for a determination of non-responsibility. 10.7.Acceptance of Proposals - The District shall accept all proposals that are submitted properly. However, the District reserves the right to request clarifications or corrections to proposals. 10.8.Requests for Clarification of Proposals - Requests by the District for clarification of proposals shall be in writing. Said requests shall not alter the vendor’s pricing information contained in its cost proposal. 10.9.Response Format - The items listed below shall be submitted with each proposal and should be submitted in the order shown. Each section should be clearly labeled, with pages numbered and separated by tabs. Failure by a proposer to include all listed items may result in the rejection of its proposal. The Network Video Management Software, NVR Hardware and related components shall be installed and commissioned by authorized integrators trained and certified by the manufacturer. Certification and training for authorized integrators shall be available from the manufacturer. The manufacturer shall have a dedicated professional services group providing Integrators and End Users the following fee-based services including but not limited to: training, installation, commissioning, remote diagnostics and integration with 3rd party software and hardware systems. Network Video Management Software (NVMS) The Network Video Management Software (NVMS) shall be Avigilon Control Center (ACC) version 4.12 or later. The NVMS shall be available as a stand-alone software offering or pre-loaded on turnkey workstations and servers running Microsoft Windows with configurable storage. The Network Video Management Software (NVMS) shall be an enterprise level software solution that shall be scalable from one client, server, and camera to hundreds of clients, servers, and cameras. The Network Video Management Software (NVMS)shall consist of server software applications and client software applications. The Network Video Management Software (NVMS)shall include a gateway software application that connects mobile devices to the NVMS.
