Sage One Sell Through Promotion Terms and Conditions Terms and Conditions – Sage One Sell Through Promotion (the “Promotion”) The following terms and conditions are applicable to our voucher reward promotion when a qualifying amount of sales of Sage One products and services are made during the Promotional Period (as defined below). 1. Who is this agreement between? This Promotion is brought to you by Sage (UK) Limited (“Sage”, “we”, “us”), North Park, Newcastle upon Tyne, NE13 9AA. By participating in the Promotion you indicate your acceptance of these terms and conditions. 2. How to participate in the Promotion If you wish to participate in the Promotion, you must be a Sage One Accountant Edition customer and you must telephone our Accountants’ Division on 0845 111 1111 to register your participation. 3. The Promotional Period You will receive a voucher reward from us if you sign up New Subscription Customers (as defined below) to use our Sage One accounting and Sage One payroll products and services (also as defined below) during the Promotional Period. By the Promotional Period, we mean that this Promotion will be available for eleven (11) days only from 09.00 on 27 May 2014 and that this period will expire automatically without notice at 16.59 hours on 6 June 2014 (“Promotional Period”). To qualify for the voucher reward, all orders for New Subscription Customers must be received by us during the Promotional Period. All orders will be placed by you using your Sage One Accountant Edition and the New Subscription Customer must be linked to your Sage One Accountant Edition account. Further detail on how the voucher reward will operate is set out in paragraphs 5 and 6 below. 4. Which Sage One products and services apply to this Promotion? The Sage One accounting and payroll products applicable to this Promotion are: 4.1 Sage One Cashbook, Sage One Accounts Standard and Sage One Accounts Extra; and 4.2 Sage One Payroll 5, Sage One Payroll 10 and Sage One Payroll 15, each a “Product” and collectively the “Products”. 5. What do we mean by New Subscription Customers? By a New Subscription Customer, we mean a customer who is new to Sage One and for whom during the Promotional Period you place an order with us for that customer to subscribe to the Products. All New Subscription Customers must be a customer linked to your Sage One Accountant Edition and must be an Indirect Billing Customer of Sage (UK) Limited. By an “Indirect Billing Customer”, we mean that the New Subscription Customer will pay you for their use of the Products and you will then pay us for that use in accordance with the Sage One Accounting Programme terms and conditions referred to in paragraph 6 below. You understand and agree that, for you to qualify for the voucher reward we must be in receipt of cleared funds in full for each of your New Subscription Customers for their use of the Products for a Final Page 1 of 3 period of not less than thirty (30) days from the date that their subscription commences. You further understand and agree that as Indirect Billing Customers, the New Subscription Customers will not qualify for a free trial of the Products. Please note that when we refer to New Subscription Customers, we do not mean a customer who is already an existing customer of Sage One (i.e., if that customer already has an active subscription for any of the Products). Customers who elect to upgrade or downgrade a Product will also not qualify as a New Subscription Customer for the voucher reward under this Promotion. 6. The voucher reward You will receive a voucher reward from us if you sign up New Subscription Customers to receive the Products during the Promotional Period in accordance with these terms and conditions. The reward under this Promotion is non-transferable. In addition to the voucher reward, you will also receive any commission incentives which are payable to you in connection with the Products under the Sage One Accounting Programme. These incentives will be subject to the terms and conditions of our Sage One Accounting Programme which are available at http://uk.sageone.com/terms-conditions/. The voucher reward will operate as follows: Value of Amazon Reward Voucher (GBP £)* Number of New Subscription Customers £20 1-2 linked New Subscription Customers £50 3-4 linked New Subscription Customers £100 5-9 linked New Subscription Customers £200 10-24 linked New Subscription Customers £400 25 or more linked New Subscription Customers For the purposes of non-binding examples: (a) If you sign up five (5) New Subscription Customers during the Promotional Period who are Indirect Billing Customers and we are in receipt of cleared funds from you in full for their use of the Products for a period of not less than thirty (30) days, you would be entitled to receive from us a voucher reward of one hundred pounds (£100) in aggregate for those five (5) New Subscription Customers. (b) If one (1) or more of the five (5) New Subscription Customers used in the above example did not pay you for their use of the Products for a period of not less than thirty (30) days such that you did not pay us, you would not qualify for the voucher reward of one hundred pounds (£100) as you did not reach the threshold of five (5) New Subscription Customers. However, if we are in receipt of cleared funds in full for three (3) or four (4) of the New Subscription Customers for a period of not less than thirty (30) days, you would be entitled to receive a voucher reward in aggregate of fifty pounds (£50) for those three (3) or four (4) New Subscription Customers. *Subject to availability. We reserve the right to substitute this voucher with an alternative reward (which may be a cash equivalent). 7. How you will receive your voucher reward Following the end of the Promotional Period, we will advise you of the number of New Subscription Customers who you have signed up to receive the Products during the Promotional Period in accordance with these terms and conditions and the voucher reward payable to you. We will then send you the voucher reward. If, for any reason, the voucher rewards are substituted with cash, the remainder of this paragraph 7 will apply. Final Page 2 of 3 Following the end of the Promotion Period, we will issue you with a purchase order setting out the number of new Subscription Customers who you have signed up to receive the Products during the Promotional Period and the cash reward payable to you. Within seven (7) days of receipt of that purchase order, you will send us an invoice (which must include the purchase order and any VAT payable) and email that invoice to us at: [email protected]. We will pay your correctly constituted invoice within thirty (30) days of the date of receipt of that invoice. If you do not have a “supplier account” with us, you will need to create one. Please contact us and we will advise you on how to do this. If the reward paid under this Promotion is in cash it may be taxable. You are advised to check your own tax position and you are responsible for any tax liability which arises out of or in connection with your receipt of the reward and/or your participation in the Promotion. 8. Important things to note Please note that any orders received for the Products will be subject to our standard terms and conditions of purchase and our product/service specific terms and conditions of use. These are available on our website at http://uk.sageone.com/terms-conditions/. This Promotion cannot be used in conjunction with any other offer. This Promotion is not available to any employees of Sage (UK) Limited or Sage Pay Europe Limited and is only available to residents of the United Kingdom (England, Wales, Scotland and Northern Ireland). We shall not be liable to you if you suffer any loss or damage by entering this Promotion (including without limitation any loss of profits, loss of revenue, loss of goodwill that arises out of or in connection with your participation in the Promotion) or from our refusal to allow you take part in the Promotion or our withdrawal of the Promotion or any other failure or inability by you to participate in or benefit from the Promotion for any reason. Nothing in these terms and conditions excludes or limits our liability in respect of personal injury or death caused by our negligence, or for fraud. We reserve the right to change these terms and conditions and withdraw this Promotion at any time without notice. 9. Data protection If you enter this Promotion you agree that we may use your personal details to administer and run this Promotion and to send you other marketing material relating to any of our products or services. We will retain the personal details you submit on our database for a reasonable period of time and we may need to share your details with our agents or contractors who help us to run our marketing and promotional activities. If you do not consent to such use of your personal details please do not enter this Promotion. Governing Law and Jurisdiction These term and conditions (and all non-contractual claims and disputes) are governed by English law and by entering this Promotion you agree that the courts of England shall have exclusive jurisdiction of any such claims or disputes which arise out of or in connection with this Promotion.
