ANNEX1TOTHESICOTEMPLATEAGREEMENTFORCERTIFIEDPLAYERAGENTS
ThePlayerandtheAgency/AgentagreethattheAgency/Agentwillreceivethefollowingremuneration,asthefullcompensation
fortheAssignment.
Remunerationamountingto____%incl.VAToftheremunerationthatthePlayerreceivespursuanttotheemploymentcontractnegotiatedwiththeicehockeyclubthathasbeensignedbythePlayer.
Remunerationamountingto___%incl.VAToftheremunerationthatthePlayerreceivesfromapartyotherthanthe
Player’semployerinthefieldoficehockeythatisrelatedtothePlayer’sroleasanicehockeyplayer,suchasadvertisingcontracts(thePlayershallnotpayremunerationrelatingtoremunerationotherthanthatwhichisclearlylinkedto
thePlayer’sroleasanicehockeyplayer.Inotherwords,noremunerationshallbepaidregardingthePlayer'spossible
incomefromotheremployment).
TheAgent'srighttoremunerationbecomesvalidatthetimethePlayerreceivesremunerationasdescribedabove.ThePlayer
andtheAgentagreethatthePlayershallpaytheremunerationasfollows(circletheappropriateoption).Ifnoneoftheoptions
arecircled,theremunerationispaidquarterlyinarrears.

9. TotheextentrequestedbythePlayer,theAgentcanalso
assistthePlayerregardingtheobtainingofsuitableadvice
abouttaxissues,insuranceandfinancialservices.
10. TheAgentshallperformtheAssignmentinaprofessional
manner,inparticularwithregardtothecodeofethicsfor
agentactivitiesasissuedbySICOfromtimetotime.
11. TheAgenthasnoauthoritytoactasthePlayer’slegal
representative,whichiswhyalltheagreementsnegotiated
underthisAgreementshallbeconcludedandsignedbythe
Player.TheAgentmayincertaincasesobtainauthorisationto
representthePlayerinotherwaysthanthosedirectly
concerningtheemploymentofthePlayer.Suchauthorisation
mustbemadeinwritingandbelimitedintermsofduration.
1. Thesegeneraltermsandconditionsareissuedbythe
SwedishIceHockeyPlayers’CentralOrganisation("SICO")and
areconsistentwiththeprovisionsissuedbySICOregardingthe
certificationofplayeragents,whichmaybesubjecttochange
oradditionfromtimetotime("SICOprovisions").TheAgent
confirmsthattheAgentunderstandstheSICOprovisionsin
theircurrentformandthattheAgentholdstheappropriate
playeragentcertificationissuedby
SICO/SIF/SHL/HockeyAllsvenskan(hereinafter"Certification").
ThevalidityoftheAgreementrequiresthattheAgentis
certifiedandstayscertifiedduringthetermoftheAgreement.
Ifanyoftheseconditionsarenotmet,thisAgreementwill
automaticallyandimmediatelyexpirewithoutnotice,although
fullremunerationwillbepayabletotheAgentforthemost
recentlynegotiatedcontract,totheextentthatsuchpaymentis
dueunderthisAgreement.
2. Theagentalsoundertakestoobserve,respectand
abidebytheagreementsthathavebeen/arereached
betweenSICOandSIF/SHL/HockeyAllsvenskan/Div1or
otherparties.
ObligationsoftheAgent

3. ThePlayerisanicehockeyplayer.TheAgentisacertified
playeragentpursuanttotheRegulationsforCertifiedPlayer
AgentsdefinedbySICO,SIF,SHLandHockeyAllsvenskan.
4. BysigningthisAgreement,thePlayerdesignatesthe
Agentastheformer’sexclusiverepresentativefortheterm
oftheAgreement,withtherighttorepresentthePlayerin
themattersspecifiedinthisAgreement.
TheAssignment
5. ThePlayergivestheAgenttheAssignmentandtheAgent
therebyundertakesto,duringthetermoftheAgreementand
exclusivelywithintheTerritory,assistthePlayerregarding
transitionstonewclubsandrepresentthePlayerincontract
negotiations,inaccordancewithwhatisstatedbelow.
AdditionalassignmentsthattheAgentmaybegivenbythe
Player,suchasnegotiationsconcerningmarketingand
advertisingrights,etc.,arealsopossibleandarealsocoveredby
thisAgreement.
6. Theagentalsoundertakesto,duringthetermofthe
Agreement,activelymonitorandprotectthePlayer’sinterests
inrelationtothePlayer'sicehockeyactivities(whichofcourse
alsoinvolvesprovidingthePlayerwithsuggestionsabout
potentialnewemployers)andto,inlinewithinstructionsfrom
thePlayer,activelysearchforotherpotentialemployersfor
thePlayer(hereinafter“theAssignment”).
StructureoftheAssignment
7. TherelationshipbetweenthePlayerandtheAgentshallbe
basedonmutualloyaltyandtrust.TheAgentmustalwaysactin
thebestinterestsofthePlayer.TheAgentshallthus,for
example,negotiatethebestpossibletermsforthePlayerand
ensurethatallthePlayer’sprotectiveinterestsarerespected.
8. TheAgentshall,amongotherthings,ensurethatthePlayer
receivesthefollowinginformationregardingemployment
agreementsofferedtothePlayer:
a. Dateofthestartofemployment,
b. Durationoftheagreement,ortheexpecteddurationofthe
employmentagreement,

12. OnbehalfofthePlayer,theAgentshall:
a. activelymonitortheterritoryforicehockeyplayersin
Swedenandotherpartsoftheworld;
b. continuallyinformthePlayeraboutconditionsthatmay
affectthePlayerandhisactivitiesasanicehockeyplayer;
c. uponthePlayermovingtoanewclub,representand
assistthePlayer,andtherebyprotecthisinterests;
d. representandassistthePlayerwiththepreparationand
conclusionofagreementswithregardtocontract
negotiations(employmentcontractsandothercontracts),
13. TheAgentshall,tothebestofitsabilities,monitorand
safeguardtheinterestsofthePlayerwithrespecttoallthe
agreementsthatarenegotiatedorrenegotiatedduringthe
termoftheAgreementandwhicharelinkedtothePlayer'sice
hockeyactivities.
14. InexecutingtheAssignment,theAgentshallalwaysactin
accordancewiththecurrentlyvalidnationallegislationand
ensurethattheagreementsnegotiatedonthePlayer'sbehalf
duringthetermoftheAgreementareconsistentwith
applicablelawandregulations,andtheapplicableregulations
oftheSwedishSportsConfederation,theInternationalIce
HockeyFederation,theSwedishIceHockeyAssociationand
SICO.
15. DuringthetermoftheAgreement,theAgentwill
regularlyinformthePlayerabouttheoutcomeofthe
Assignment.BoththePlayerandtheAgentundertake
topromptlyinformtheotherpartyaboutany
conditionsthatmayaffecttheAgent'scapacityto
executetheAssignmentinaccordancewiththe
obligationsorwhichmaychangethescopeofthe
Assignmentoritsexecution.
16. Duringcontractnegotiations,theAgentmaynot
represent,onthePlayer’sbehalf,anotherpartythatmayhave
aninterestinthecurrentcontractnegotiations,unlessthe
Playerhasagreedtothis.
17. IftheAgentdeemsittobeinthePlayer'sintereststhat
the Assignment’s scope is changed or increased, to the
extent that this must be agreed in writing, the Agent shall
notifythePlayerofthiswithoutdelay.
18. TheAgentandthePlayerwillconsulteachotherregarding
issuesrelatingtothisAgreement,suchastheAssignment’s
implementationandscope(exceptasprovidedinthis
Agreement),thecontractualtermspriortonegotiationor
renegotiation,thestructureofcontractsandotherissuesof
importancetothePlayer.Inthiscontext,theAgentshallfollow
thePlayer’sinstructions,andinfulfillingtheAssignmentshall
atalltimesensureprofessionalismandthePlayer’sbest
interests.

IffulfilmentofthePlayer'sinstructionsbytheAgentis
unreasonable,theAgentisentitledtowithdrawfromthe
AssignmentandthisAgreementimmediately,afterwritten
noticeofthishasbeenissuedtothePlayer–butobligations
specifiedinthisAgreementregardingtheperiodafterthe
expiryoftheAgreementshallstillbefulfilled.
19. TheAgentandthePlayershallinallcasesportrayeach
otherinanadvantageousmannertothirdparties,andthus
bothundertakenotto,eitherinwritingorverbally,explicitlyor
implied,expressthemselvesinsuchawaythatthePlayer'sor
Agent'sname,imageand/orgoodreputationmaybedamaged.
ThisapplieseveniftheAgreementisterminatedbyeither
party.
27or28above,thePlayerhastherighttoclaimdamages
equivalenttothefullfinancialdamages,butnotlessthanan
amountequaltotheAgent'sremainingentitlementto
remunerationunderthisAgreement.TheAgentisentitledto
fullremunerationfromthePlayerifthePlayera)isfoundguilty
ofdopingb)issuspendedorc)isfiredfromtheclubdueto
disciplinaryreasons.
30. TheAgentundertakestohavevalidliabilityinsurancewith
coveragecorrespondingtotherequirementsimposedbySICO
regardingcertifiedplayeragents.
20. TheAgentisresponsibleforallthecostsandexpenses
incurredasaresultoffulfillingthisAgreement,unless
otherwiseagreedinwritingbetweentheparties.
21. ThePlayeragreesnottohireanotheragentformatters
coveredbytheAgreementduringthetermofthe
Agreement.
22. DuringthetermoftheAgreement,thePlayerundertakes
to;
a. referallcontractrequestsreceivedbythePlayerto
theAgent,
b. beavailablefortheAgentinordertorespondto
questionsandoffers,
c. actinaccordancewiththeclub'semploymentcontract
andthecompetitionrulesthatapplytothePlayer’s
employment,
d. informtheAgentofanyfactsthatmayberelevant
totheAgent'sfulfilmentoftheAssignment.

32. ThisAgreementconstitutestheentireagreementbetween
thepartiesandreplacesanyprioragreements,whetherverbal
orwritten.AnyaddendaormodificationstothisAgreement
shallbemadeinwritingandsignedbybothpartiesinorderto
bevalid.

31. TheAgent'sliabilitytothePlayerunderthisAgreementis
limitedtotheamountthatSICOhasdeterminedastheliability
amount(5millionSEKin2015).TheAgent'sliabilitytothe
playerisnotdependentontheexistenceofinsurance
coverage.ThispointthereforesolelylimitstheAgent'sliability
toaspecifiedmaximumamount.
ObligationsofthePlayer

23. InreturnfortheAgent'sexecutionoftheAssignmentin
accordancewiththeAgreement,aswellastocovertheAgent’s
expensesinthiscontext,thePlayershallpayremunerationto
theAgentasdefinedinannex1ofthisAgreement.Ifnoannex
isincludedinthisAgreement,theAgenthasnorightto
remunerationfortheemploymentcontractnegotiatedbythe
AgentandsignedwiththeicehockeyclubbythePlayer.
24. Theremunerationpursuanttotheaboveisnotlimitedin
timetothetermoftheAgreementbutshallbepaidforthe
wholetermofthecontract(s)negotiatedduringthetermof
theAgreement,unlessotherwiseagreedinwriting.
25. RemunerationpursuanttothisAgreementonly
becomespayableoncethePlayerhassignedhisfirstAteamcontract.
26. TheremunerationpayableunderthisAgreement
shallbepaidinaccordancewiththeprovisionsdefined
inannex1.
33. Thepartiesundertakenottodisclose,withouttheprior
consentoftheotherparty,informationtothirdpartiesthat
hasbeenmadeavailableaspartoftheAgreementandcanbe
consideredtobeofasensitivenature,suchasinformation
thatcanbeassociatedwithplayertransfers,marketing
activities,financialissuesorwhichisattributabletotheother
party'sindividualandpersonalcircumstancesorothersimilar
informationofwhichthepartyhasbecomeawareonaccount
ofexecutingtheAssignmentinaccordancewiththis
Agreement.Thisdutytoconfidentialityappliesduringandalso
afterthetermoftheAgreement.
Notifications
Earlyterminationwithoutpriornotice
34. NotificationsassociatedwiththisAgreementshallbe
madeinwritingandsubmittedvialetterore-mail.
Disputesandapplicablelaw
27. Each party has the right to immediately terminate the
Agreement if the other party is in breach of essential
obligationsunderthisAgreement.
28. ThePlayerisalsoentitledtoterminatetheAgreement
withimmediateeffectiftheAgentgoesintoliquidation,
requestsorisdeclaredbankrupt,commencescomposition
orreorganisationproceedingsorisotherwisedeemed
insolvent.
29. Ifgroundsforterminationexistpursuanttoparagraphs
35. AnydisputesarisingfromthisAgreementshallprimarily
beresolvedthroughnegotiationsbetweentheparties.Ifthis
doesnotresolvethedispute,adjudicationistobemadebya
courtintheStockholmDistrictCourt,basedonSwedishlaw.
