NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.
THIS IS A FOUR-PART PROMOTION WHICH INCLUDES A SKILL CONTEST (THE “CONTEST”), A RANDOM-DRAWING (THE
“PARTICIPATION SWEEPSTAKES”), A YOUTUBE SUBMISSION SWEEPSTAKES (THE “YOUTUBE UPLOAD SWEEPSTAKES”), AND A
SURVEY RESPONSE SWEEPSTAKES (THE “SURVEY SWEEPSTAKES”), COLLECTIVELY REFERRED TO AS THE PROMOTION.
1. Eligibility: The Sing with LG Promotion (the “Promotion”), is open only to legal residents of the 50 states of the United States,
and the District of Columbia, who are at least thirteen (13) years old at the time of entry. Employees of LG Electronics MobileComm
USA, Inc., US Sweepstakes & Fulfillment Co. and any of their respective related companies, parents, subsidiaries, affiliates, and agents
and any agencies or other companies involved in the development or execution of the Promotion or production or distribution of
Promotion materials, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such
employee are not eligible. The Promotion is subject to all applicable federal, state, and local laws and regulations. Void outside the U.S.,
in Puerto Rico, and wherever else prohibited by law.

3. Agreement to Official Rules: By participating in the Promotion, entrant fully and unconditionally agrees to and accepts these Official
Rules and the decisions of the Sponsor and/or Administrator, which are final and binding in all matters related to the Promotion.
Whether an entrant receives a prize is contingent upon fulfilling all requirements set forth herein. Entrant agrees that at no time will
he/she violate the Official Rules, or directly or indirectly assist or direct anyone to do so.
4. Timing: The Promotion begins on Wednesday, April 19, 2017 at 12:00:01 PM Eastern Standard Time and ends Friday, May 12,
2017 at 11:59:59 PM EST (the “Promotion Period”). Participants may submit an entry into the Promotion only during the Promotion
Period.

5. How to Enter:
Contest Entry
1) During the Promotion Period, use the Sing! Karaoke by Smule App (“Smule”) to record a duet performance to “Jealous” by Nick
Jonas (the “Video”). You may only record a video to “Jealous”. No other song recordings will be accepted. NOTE: To participate in the
YouTube Upload Sweepstakes, participant must follow the YouTube Upload Sweepstakes Entry instructions below prior to submitting
his/her Contest Entry.
2) Click on the link to the LG page located within Smule;
3) Complete the entry form in its entirety, including a link to your Smule Video, and submit; (the “Contest Entry”).
YouTube Upload Sweepstakes Entry
To earn an entry in the YouTube Upload Sweepstakes, entrant must post his/her YouTube account (the “YouTube Video”) and provide
the YouTube share URL to the Video along with his/her Contest Entry to receive one (1) entry into the YouTube Upload Sweepstakes
(“YouTube Upload Sweepstakes Entry”).
Participation Sweepstakes Entry
Upon successfully submitting a Contest Entry, entrant will automatically receive one (1) entry into the Sweepstakes (“Participation
Sweepstakes Entry”).
Survey Sweepstakes Entry
Upon successfully submitting a Contest Entry, entrant will have the option to take a short survey with regards to his/her entry
submission process. Entrant must complete the survey in its entirety and submit as instructed to receive one (1) entry into the
Survey Sweepstakes (“Survey Sweepstakes Entry”).
IMPORTANT: MESSAGE AND DATA RATES MAY APPLY TO USE OF MOBILE PHONE/DEVICE TO PARTICIPATE IN PROMOTION. SMULE
IS FREE TO DOWNLOAD AND AVAILABLE FOR IPHONE FROM THE APPLE APPLICATION STORE AND FOR ANDROID FROM THE
GOOGLE PLAY STORE. By using the Smule app and submitting an Entry, entrants agree to HYPERLINK “http://www.smule.com/
termsofservice” Smule’s Terms of Service. Smule, Inc is not a sponsor of this Promotion.
By using YouTube and submitting an Entry, entrants agree to HYPERLINK “https://www.youtube.com/static?template=terms&gl=AU”
YouTube’s Term of Service. YouTube is not a sponsor of this Promotion.
Limit: One (1) Contest Entry, one (1) YouTube Upload Sweepstakes, one (1) Participation Sweepstakes Entry, and one (1) Survey
Sweepstakes Entry per person during the Promotion Period. Contest Entry, YouTube Upload Sweepstakes Entry, Participation
Sweepstakes Entry, and Survey Sweepstakes Entry collectively referred to herein as “Entry”.
6. Submissions: Submission of an Entry does not indicate the Entry has complied with the Official Rules. The Sponsor, Administrator
and official judges the right in their sole and absolute discretion to reject, disqualify and/or remove any Entry (along with the entrant
who submitted them) that violates these Official Rules or is otherwise inappropriate without any notification or warning.
All Entries must comply with the following guidelines to be eligible:
Video must be original.
No duplicate Video may be submitted.
Video cannot contain content that is irrelevant to the purpose of the Contest.
Video cannot be profane, pornographic, sexually explicit or suggestive or contain nudity.
Video cannot promote alcohol, illegal drugs or tobacco.
Video cannot contain materials embodying copyrighted images, names, likenesses, photographs or other indicia identifying any person,
living or dead, without permission.
Video cannot include a reference to product names and/or images or brand names and/or images other than LG. Including or omitting
LG in any Video will have no effect on an Entry’s score.
Video cannot defame, misrepresent or contain disparaging remarks about people or companies.
Video cannot be obscene or offensive, endorse any form of hate or hate group or be derogatory to any ethnic, racial, gender, religious,
professional or age group.
Video cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to
associate.
Video cannot depict illegal activity and cannot itself be in violation of any law.
Video may not include references to a known celebrity, famous or well-known person or any image which violates the right of privacy
or publicity of any person, with the exception of the Nick Jonas song as outlined in Section 5, How to Enter.
By submitting an Entry, entrant warrants and represents that: (a) Video does not infringe upon the copyrights, trademarks, rights of
privacy, publicity or other intellectual property or other legal or moral rights of any person or entity; (b) entrant has obtained written
permission from a third party whose Video is being used in the Entry; (c) entrant owns all rights to the Entry, including without
limitation, copyrights, and has received prior written permission from a third party if Video was shot by someone other than the
entrant him/herself; (d) publication of the Entry via various media, including posting on the Websites, will not infringe on any thirdparty rights; and (e) entrant will indemnify and hold harmless the Sponsor and related entities, agents and assigns from any claims
and damages (including reasonable attorneys’ fees) arising from or relating to the breach or alleged breach of your representations
and warranties herein, the Entry, or entrants conduct in creating the Entry, the acceptance or use of any prize or otherwise in
connection with this Contest.
By submitting an Entry, entrant warrants and represents that he/she and any other persons appearing or who are otherwise
identifiable in the Entry consents to the submission and the use of the Entry. By participating, entrant grants Sponsor permission to
use his/her name, hometown, photograph or image, or Entry for future advertising and publicity purposes in any and all media without
additional compensation, notification or permission. Sponsor reserves the right in their sole and absolute discretion to alter, change or
modify any Entry, which includes the Video. Entries made in any manner inconsistent with these Official Rules will be declared invalid
and disqualified from this Contest.
7. Contest Judging: All eligible Contest Entries received during the Promotion Period will be judged by the Sponsor based on the
following judging criteria. Judging will begin on/around Thursday, April 20, 2017 and be completed on/around Money, May 15, 2017:
A. Voice quality & tone – 65 points
B. Performance is engaging & entertaining – 25 points
C. Accuracy of timing & lyrics – 10 points
8. Contest Winner Determination:
Sponsor will judge all eligible Entries in accordance with Section 7, Contest Judging. The Contest Entry that receives the highest score
will be deemed the potential Contest Grand Prize winner.
In the unlikely event of a tie, the tied entrant with the highest score in Criterion A. will be deemed the potential winner. If additional tie
breakers are needed, the tie-breaking mechanism above will be used; however, instead of the highest score in Criterion A. determining
the potential winner from among the tied entries, the highest scores in each of Criteria B. through C., in sequence (to the extent
needed) will determine the potential winner. If additional tie-breakers are still needed, Sponsor will assign another panel of judges who
will judge the tied Entries using the Contest Judging process above.
In the event that a potential winner is disqualified for any reason, the Entrant with the next-highest score may be named the potential
Contest Grand Prize winner.
Contest Grand Prize winner may be announced by the Sponsor, along with the winner’s name, on the Site for an indefinite period of
time.
9. Contest Grand Prize Winner Notification: The potential Contest Grand Prize winner will be notified via email and/or phone on or
around Tuesday, May 16, 2017, and will be required to sign and return, within five (5) days of notification, an Affidavit of Eligibility,
a Liability Waiver, and where allowable, a Publicity Release (collectively, the “Releases”). Noncompliance will result in disqualification
and an alternate winner may be notified. The Releases will require the winner to complete a W9 and to furnish his/her social security
number for the sole purpose of tax reporting, as required by law. Travel companion of winner will also be required to sign a Travel
Companion Liability Release.
If a winner is otherwise eligible under these Official Rules, but is nevertheless deemed a minor in his or her state of primary residence,
his/her prize will be awarded in the name of his/her parent or legal guardian who must execute the Releases on the minor winner’s
behalf, as applicable, and such parent or legal guardian must accompany Contest Grand Prize winner as his/her travel companion on
the Contest Grand Prize trip.
Noncompliance will result in disqualification and an alternate winner may be notified. The prize package will be awarded within
approximately 45 days after the winner is verified.
10. YouTube Upload Sweepstakes Winner Determination: Administrator is an independent judging organization whose decisions as
to the administration and operation of the Promotion and the selection of the potential winners are final and binding in all matters
related to the Promotion. Administrator will randomly select the potential YouTube Upload Sweepstakes First Prize winners from all
eligible entries received during the Promotion Period, on or around Wednesday, May 17, 2017.
11. YouTube Upload Sweepstakes Winner Notification: The potential YouTube Upload Sweepstakes First Prize winners will be
confirmed via email and/or phone on or around Wednesday, May 17, 2017, and will be required to sign and return, within five (5) days
of notification, the Releases. Noncompliance will result in disqualification and an alternate winner may be notified.
If a winner is otherwise eligible under these Official Rules, but is nevertheless deemed a minor in his or her state of primary residence,
his/her prize will be awarded in the name of his/her parent or legal guardian who must execute the Releases on the minor winner’s
behalf, as applicable.
Noncompliance will result in disqualification and an alternate winner may be notified. The prize package will be awarded within
approximately 45 days after the winner is verified.
12. Participation Sweepstakes Winner Determination: Administrator is an independent judging organization whose decisions as to the
administration and operation of the Promotion and the selection of the potential winners are final and binding in all matters related to
the Promotion. Administrator will randomly select the potential Participation Sweepstakes First, Second and Third Prize winners from
all eligible entries received during the Promotion Period, on or around Wednesday, May 17, 2017.
13. Participation Sweepstakes Winner Notification: The potential Participation Sweepstakes First Prize winner will be confirmed
via email and/or phone on or around Wednesday, May 17, 2017, and will be required to sign and return, within five (5) days of
notification, the Releases. Noncompliance will result in disqualification and an alternate winner may be notified. These Releases will
require the winner to furnish his/her social security number for the sole purpose of tax reporting, as required by law.
The potential Participation Sweepstakes Second Prize and Third Prize winners will be confirmed via email and/or phone on or around
Wednesday, May 17, 2017, and will be required to sign and return, within five (5) days of notification, the Releases. Noncompliance
will result in disqualification and an alternate winner may be notified.
If a winner is otherwise eligible under these Official Rules, but is nevertheless deemed a minor in his or her state of primary residence,
his/her prize will be awarded in the name of his/her parent or legal guardian who must execute the Releases on the minor winner’s
behalf, as applicable.
Noncompliance will result in disqualification and an alternate winner may be notified. The prize package will be awarded within

14. Survey Sweepstakes Winner Determination: Administrator is an independent judging organization whose decisions as to the
administration and operation of the Promotion and the selection of the potential winners are final and binding in all matters related
to the Promotion. Administrator will randomly select the potential Survey Sweepstakes Grand Prize winners from all eligible entries
received during the Promotion Period, on or around Wednesday, May 17, 2017.
15. Survey Sweepstakes Winner Notification: The potential Survey Sweepstakes Grand Prize winners will be confirmed via email and/
or phone on or around Wednesday, May 17, 2017, and will be required to sign and return, within five (5) days of notification, the
Releases. Noncompliance will result in disqualification and an alternate winner may be notified.
If a winner is otherwise eligible under these Official Rules, but is nevertheless deemed a minor in his or her state of primary residence,
his/her prize will be awarded in the name of his/her parent or legal guardian who must execute the Releases on the minor winner’s
behalf, as applicable.

16. Winner Requirements: Potential winners must comply with all terms and conditions of these Official Rules; and winning is
contingent upon fulfilling all requirements. Acceptance of any prize shall constitute and signify winner’s agreement and consent that
Sponsor may use the winner’s name, city, state, likeness, Entry and/or prize information in connection with the Promotion, worldwide,
including the Internet, without limitation and without further payment or consideration, except where prohibited by law. Without
limiting the generality of these Official Rules, winner shall irrevocably grant, transfer, convey and assign to Sponsor the entirety of
the rights in and to the Entry and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in
perpetuity including, without limitation, the rights to use the Entry for any and all purposes in any and all media whether now known
or hereafter developed, on a worldwide basis, in perpetuity. Winner accepts and acknowledges that Sponsor shall not be obligated
to use the Entry and that Sponsor in its sole discretion shall have the right to refrain from using the Entry. Sponsor shall not incur
any liability whatsoever to the extent Sponsor chooses to refrain from any exploitation of its rights hereunder. Winner will indemnify
Sponsor, Released Parties (as defined in Section 18, below) and any licensee of Sponsor against all claims, damages, liabilities, and
expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms.
17. Prizes:

Meet and greet opportunity with Nick Jonas at a location (the “Location”) and time to be determined by Sponsor based on Nick
Jonas’s schedule.
Round-trip coach airfare for two (2) to Location city from a major airport nearest winner’s residence, as determined by the Sponsor.
Two (2) nights double-occupancy hotel accommodations at a hotel in the Location city to be determined by Sponsor.
The Approximate Retail Value (“ARV”) of Contest Grand Prize: $5,000.00.
All travel related expenses including but not limited to ground transportation to and from home, taxes, gratuities, incidentals,
upgrades, insurance, service charges, airport surcharges, luggage fees, departure taxes, resort or property fees, food & beverage and
personal expenses such as telephone/Internet charges, and gift shop purchases are the sole responsibility of prize winner. Winner
and travel companion must travel on same itinerary. Winner and travel companion must have valid photo ID and any other required
documentation. Prize must be used on dates specified by Sponsor or prize will be forfeited. Dates are subject to change.
Travel is subject to availability and must be taken on date(s) to be determined by Sponsor in its sole discretion. If winner is not able to
travel on dates provided by Sponsor, the meet & greet; airfare; and hotel portion of the prize will be forfeit.
All hotel reservations are based on availability and holidays may be excluded. Accommodations are subject to availability at time of
reservation. Blackout dates, advance booking requirements and travel restrictions may apply. Availability is subject to factors such as
weather, seasonality and space availability. Reservations are subject to availability. If weather affects the ability for winner and his/
her guest to redeem any portion of prize during the scheduled date and time, then the Sponsor shall have no further obligation to
the winner and/or guest other than to supply the remaining elements of the prize package minus the unused portion of prize. Any
penalties or incremental fees associated with changes made to any reservation following confirmation of booking will be the sole
responsibility of the winner. If for any reason whatsoever, winner and/or guests are unable to travel after all travel arrangements
have been made and paid, the Sponsor shall have no further obligation to the winner. In the event Contest Grand Prize winner’s home
is within 100 miles to trip destination, Sponsor may determine in its sole discretion that a flight is unnecessary, and the prize will not
include air transportation and a $500 pre-paid card will be provided and may be used to help offset any travel expenses. If Contest
Grand Prize is forfeited prior to Sponsor finalizing and paying for travel, and there is sufficient time to notify an alternate winner, the
prize will be awarded to an alternate winner in a separate random drawing from among all non-winning eligible entries. Contest Grand
Prize winner and guest are responsible for obtaining the proper travel documentation (e.g., valid photo ID) prior to travel. Contest
Grand Prize winner’s guest must be legal U.S. resident, 21 years of age or older and must complete and return a Travel Companion
Liability Release prior to travel as noted above. If winner’s guest is deemed a minor in his or her state of primary residence, Contest
Grand Prize winner must be minor guest’s parent or legal guardian and must execute the Travel Companion Liability Release on the
minor guest’s behalf, as applicable.
In the event the prize winner or his/her guest engages in behavior that, as determined by the Sponsor and in its sole discretion, is
obnoxious or threatening, illegal, or that is intended to annoy, abuse, threaten or harass any other person, the Sponsor reserves the
right to terminate the trip prize in whole or in part, with no further compensation.

Survey Sweepstakes Grand Prizes: Ten (10) Survey Sweepstakes Grand Prizes are available to be won. Survey Sweepstakes Grand

The ARV of Survey Sweepstakes Grand Prize: $99.99 each.
The total ARV of all Survey Sweepstakes Grand Prizes is: $999.90.
Prizes are non-transferable and no substitution will be made unless Sponsor, in its sole discretion, determines otherwise. Sponsor
reserves the right to substitute a prize or prize components for one of equal or greater value should it become unavailable for any
reason. Any additional costs or expenses not specified herein, including but not limited to, options and upgrades are the winner’s sole
responsibility.
Winners are responsible for all taxes and fees and phone service associated with prize receipt and/or use. TOTAL ARV FOR ALL
PRIZES: $12,248.97. The ARV of prizes is subject to price fluctuations in the consumer marketplace based on, among other things,
any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or
redeemed. The difference of any such fluctuation will not be awarded to the winner.
18. Release: By participating, entrant agrees to release and hold harmless Sponsor, Administrator, and their respective subsidiaries,
affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies
and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or
cause of action, including, but not limited to, any claim or cause resulting from a catastrophic event, personal injury, death, or damage
to or loss of property, arising out of participation in the Promotion or receipt or use or misuse of any prize.
19. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud,
technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the
Promotion, as determined by Sponsor in its sole discretion. Sponsor, in its sole discretion, reserves the right to disqualify any individual
it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules
or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the
legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor
reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term
of these Official Rules shall not constitute a waiver of that provision.
In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the “Authorized Account Holder” of the
e-mail address submitted at time of entry. Authorized Account Holder means the natural person who is assigned to an e-mail address
by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the
domain associated with the submitted e-mail address. Sponsor may ask any entrant or potential winner to provide Sponsor with
proof that such party is the authorized account holder of the email address associated with the entry. Entry materials/data that have
been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void.
20. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused
by entrant, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical
failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware
or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error
which may occur in the administration of the Promotion or the processing of entries; (5) late, lost, undeliverable, damaged or stolen
mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s
participation in the Promotion or receipt or use or misuse of any prize. Sponsor is not responsible for misdirected or undeliverable
entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable
network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Sponsor and
Administrator are not responsible for any typographical/other error in entries, selection announcement or for any liability for damage
to any computer system resulting from participation in, accessing or downloading information in connection with this Promotion.
If for any reason an entrant’s Promotion entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or
corrupted, entrant’s sole remedy is another entry in the Promotion, provided that, if it is not possible to award another entry due to
discontinuance of the Promotion, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing
from among all eligible entries received up to the date of discontinuance for any or all of the Promotion prizes offered herein. No more
than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons
cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the
right to award only the stated number of prizes as determined in Section 17 above.
21. Disputes: EXCEPT WHERE PROHIBITED, ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF

DISTRICT OF NEW JERSEY OR THE APPROPRIATE NEW JERSEY STATE COURT LOCATED IN BERGEN COUNTY; (2) ANY AND ALL
CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS

GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW JERSEY WITHOUT GIVING EFFECT
TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES (WHETHER OF THE STATE OF NEW JERSEY OR ANY OTHER JURISDICTION),
WHICH WOULD CAUSE THE APPLICATION OF THE LAWS OF ANY JURISDICTION OTHER THAN THE STATE OF NEW JERSEY. ALL
