In response to MBA student feedback from Fall 2003, asked to teach full-time while maintaining a
limited private practice. In 2006, asked by Dean of Graduate Studies to split teaching responsibilities
with University as business community liaison. Teach (or have taught) courses in International
Business, Entrepreneurship, New Venture Finance, New Venture Creation, Small Business Consulting,
Legal Environment of Business (I and II) and Management Fundamentals. For Spring, 2013, I added a
field studies course (over spring break) examining the business environment in Dublin, Ireland.

Assisted in starting an independent research foundation for Youngstown State University. Work
included helping complete 501(c)(3) paperwork, defining job responsibilities as they related to the
University, analyzing similar foundations associated with comparable institutions, negotiating
Memoranda of Understanding, etc. Based upon my request to focus on completing my dissertation, my
research foundation responsibilities were removed from my upcoming academic contract.

Provided integrated legal and management services to companies at startup and in distress. Located within
the Youngstown Business Incubator, clients included entrepreneurs, angel investors, software start-ups, ISPs,
and traditional companies in periods of transition. Business was shut down while salvaging East Palestine
China, LLC (next page) and when I began preparing for the Doctorate of Business Administration.

Negotiated asset purchase of a closed china decorating company from its secured lender, organized an
investor group, drafted initial business plan, supervised resumption of operations, and acted as the corporate
advisor/co-managing principal. Efforts resulted in award for small business excellence in April 2008 (see
awards section, below). Exited successful business through negotiated agreement with primary partner.

Provide initial review of potential legal and business issues for new tenants. Formulate and recommend
“win-win” investment structures for tenants and local angel investors. Aid in the referral of tenants to
